Soudal is the leading European manufacturer of chemical
building specialities such as adhesives, sealants, PU foams,
moisture-repellents and technical products for both professional and private use. In 2011, Soudal employed
around 1.450 people, enabling it to break through the EUR
400 million turnover mark. Of this, more than 90% is from
outside the Benelux area and we export to more than 110
different countries including 37 branches of our own.
Soudal is a tip-top family firm, which is still being run by its
founder Vic Swerts after more than 45 years.

Dear Reader,
Soudal is proud to have received one of the most prestigious business awards last year: the Company of the Year
2011. This public recognition is a reward for over 45 years of hard work to improve continually and is a result of
the tireless efforts of all our staff who give their best day in and day out to take Soudal to the top. I, therefore,
dedicate this award to the entire Soudal family which continues to grow year after year.
Soudal around the world
Soudal again continued to expand its network in 2011. At the beginning of the year, we concluded an agreement to acquire all silicone sealant activities under the LNX brand in the Chinese market. In October 2011, we
announced the acquisition of part of the Işik Group, which operates in the same market sectors and channels as
Soudal in the fast-growing Turkish building materials market. This will not only strengthen Soudal’s position in
Turkey but will also create a fantastic springboard to serve the neighbouring countries.
Finally, I would like to thank all Soudal Group employees for their continued commitment to serve all our custo10
mers. It is they who have achieved these great results. These efforts give me great confidence about Soudal’s
future. Over the last decade, Soudal has grown significantly and we have ambitious growth plans for the immediate future too. As we implement these, we will be guided - and inspired - at all times by our mission and our
associated core values. We are investing continuously in adapting our structures and production capacity to our
growth. Even as a company with nearly 1,500 employees, we strive to maintain the character of a family firm.
Soudal celebrated its 45th anniversary in 2011. Over this period, we have built a solid foundation on which we can
continue to grow for years to come.

Met trots mocht Soudal vorig jaar één van de meest prestigieuze bedrijfstrofeeën in ontvangst nemen: de prijs van Onderneming van het Jaar 2011. Deze publieke erkenning is een beloning voor meer dan 45 jaar volgehouden inspanning om
steeds beter te doen en is te danken aan de tomeloze inzet van alle medewerkers die dag in dag uit hun uiterste best doen
om Soudal naar de top te brengen. Deze prijs draag ik dan ook op aan de ganse Soudal familie, die jaar na jaar blijft groeien.

Soudal in de wereld
Ook in 2011 heeft het Soudal netwerk zich verder uitgebreid. In het begin van het jaar werd een overeenkomst gesloten
om alle activiteiten inzake silicone mastieken onder het LNX merk over te nemen op de Chinese markt. In oktober 2011 werd
de overname aangekondigd van een deel van de Işik Group, actief in dezelfde marktsegmenten en –kanalen als Soudal op
de sterk groeiende Turkse bouwmaterialenmarkt. Hiermee versterkt Soudal zich niet alleen in Turkije, maar heeft het nu ook
een fantastisch bruggenhoofd om de naburige landen te bedienen.
Tot slot zou ik alle medewerkers van de Groep Soudal willen bedanken voor hun blijvende inzet ten dienste van al onze klanten. Zíj hebben deze mooie resultaten gerealiseerd. Deze inzet laat mij toe om de toekomst van Soudal met veel vertrouwen
tegemoet te zien. Soudal is de laatste decennia sterk gegroeid en ook voor de eerstvolgende jaren hebben we ambitieuze
groeiplannen. Bij het realiseren daarvan zullen we ons consequent laten leiden en inspireren door onze missie en onze bijhorende kernwaarden. We investeren continu in structuren en productie capaciteit om duurzaam te kunnen blijven groeien.
Ook als bedrijf met bijna 1.500 medewerkers streven we er naar om een familiaal karakter te behouden.
Soudal vierde in 2011 zijn 45 jarig jubileum. In deze periode werd een stevig fundament gelegd waarop we nog jaren verder
kunnen bouwen.

Le groupe Soudal est particulièrement fier d’avoir remporté un des trophées les plus prestigieux du pays, à savoir
le prix de l’entreprise de l’année 2011. Cette reconnaissance publique récompense toutes ces années consacrées
au développement de l’entreprise et elle n’aurait jamais pu être obtenue sans le travail de tous nos collaborateurs
qui, jour après jour, donnent le meilleur d’eux-mêmes pour hisser Soudal au sommet. Ce prix, je le dédie donc à
toute la famille Soudal, qui ne cesse de s’agrandir au fil des ans.
Soudal dans le monde
Soudal a poursuivi son expansion en 2011. Au début de l’année, un accord a été conclu en vue de reprendre
toutes les activités liées aux mastics silicones commercialisés sous la marque LNX sur le marché chinois. En
octobre 2011, le groupe a annoncé la reprise d’une partie du groupe Işik, actif dans les mêmes segments et les
mêmes canaux que Soudal sur le marché turc des matériaux de construction, qui est en plein essor. Cette transaction permet non seulement à Soudal de renforcer sa position en Turquie, mais elle va également lui permettre
de rayonner dans les pays voisins.

En conclusion, j’aimerais remercier tous les collaborateurs du groupe Soudal pour leur engagement permanent
au service de nos clients. C’est à eux que nous devons ces excellents résultats. Tout cela me pousse à envisager
l’avenir avec sérénité. Le groupe Soudal a connu une forte croissance au cours de cette dernière décennie et
nous disposons encore de projets ambitieux pour les années à venir avec, comme ligne de conduite, le respect de
notre mission et de nos valeurs. Nous continuerons à adapter nos structures et notre capacité de production à la
hauteur de nos ambitions de croissance. Nous veillerons aussi à préserver le caractère familial de notre entreprise,

Soudal ist stolz darauf, vergangenes Jahr eine der begehrtesten Auszeichnungen der Wirtschaftswelt empfangen
zu haben: den Preis „Unternehmen des Jahres 2011“. Diese öffentliche Auszeichnung ist die Honorierung des
mehr als 45 Jahre währenden Bemühens um ständige Verbesserungen sowie Ergebnis des unermüdlichen Einsatzes aller unserer Mitarbeiter, die Tag für Tag ihr Möglichstes tun, um Soudal an die Spitze zu bringen. Diesen Preis
widme ich daher der ganzen Soudal-Familie, die sich Jahr um Jahr vergrößert.
Soudal weltweit
Auch im Jahr 2011 hat sich das Soudal-Netzwerk ausgeweitet. Anfang des Jahres wurde eine Vereinbarung geschlossen, um alle Aktivitäten im Bereich Silikondichtstoffe unter der LNX-Marke auf dem chinesischen Markt zu
übernehmen. Im Oktober 2011 wurde die Übernahme eines Teils der Işik-Gruppe angekündigt. Diese Gruppe ist
auf dem stark wachsenden türkischen Baumaterialienmarkt in denselben Marktsegmenten und -kanälen aktiv wie
Soudal. Damit wird Soudal nicht nur in der Türkei gestärkt, sondern verfügt nun auch über einen ausgezeichneten
Brückenkopf in die Nachbarländer.
Zum Schluss möchte ich allen Mitarbeitern der Soudal-Gruppe für ihren fortwährenden Einsatz im Dienste aller

unserer Kunden danken. Sie sind es, die diese schönen Ergebnisse erzielt haben. Dieser Einsatz erlaubt es mir, vertrauensvoll in die Zukunft von Soudal zu blicken. Soudal hat sich in den letzten Jahrzehnten stark vergrößert, und
quent von unserem Auftrag und den Grundwerten unseres Unternehmens leiten lassen. Wir investieren kontinuierlich sowohl in die Anpassung unserer Strukturen als auch der Produktionskapazität an unser Wachstum. Auch

Most important events 2011
In 2011, Soudal again continued along the outlined
growth path with a new record in consolidated
turnover of just over EUR 400 million, representing
growth of over 13% compared with 2010. This great
operating result was achieved in almost every field in
which Soudal is active with the exception of Southern
Europe, where the general economic malaise naturally
had an impact on the markets where Soudal operates.
These less positive results were more than offset by
brilliant results in areas where Soudal has been operating for a long time as well as in new countries such as
China and India, where Soudal opened its own branches just recently.
However, the strong growth in turnover did not translate into an equivalent growth in margin. Runaway raw
material prices that could not be passed on in full and
fluctuating exchange rates put the operating margin
greatly under pressure and 2010’s high level could not
be maintained. Nevertheless, a pre-tax profit of EUR
13,4 million was achieved in 2011.

Notwithstanding this, we invested heavily in both
plant and people in 2011. In terms of capital expenditure, 2011 was indeed a bumper year with investment
of nearly EUR 22 million in new, advanced production
capacity and efficiency in the sealant production plant
in Turnhout, additional capacity in the production units
in Pionki (Poland) and Taicang (China), the start of construction of a brand new factory in Bawal (India) and
various major investments in the factories in Overpelt
(Belgium) and Weert (Netherlands) where the production of wood adhesives for the group will be further
centralised in future.
Our workforce grew again to 1,453 people who are
now spread almost evenly across the headquarters in
Turnhout and the various branches around the world.
In addition, in 2011, we invested heavily in a new SAPbased ERP system which will come into operation in
2012.
With the acquisition of part of the Işik Group in Turkey in autumn 2011, we took a major step towards
further strengthening the position of Soudal in the
Middle East where we expect strong growth in the
coming years. This major acquisition adds at least EUR
10 million to group turnover and comprises not only
an extensive commercial machine but also a production facility that makes quality products for the local
market.
Our Soudal South Africa PTY LTD joint venture also
became a 100% Soudal branch.
The high point of 2011 for Soudal was being named
“Company of the Year” in October. This award is a reward for all Soudal employees and a result of years of
sustained, steady growth marked not by spectacular
acquisitions but by hard work and permanent innovation.
For Soudal, this award is an incentive to continue
down the path along which we have started.
Belangrijke gebeurtenissen in 2011
De sterke groei van de omzet vertaalde zich echter niet
in even grote groei van de marge. Door de voorthollende grondstofprijzen, die niet volledig doorgerekend
konden worden en wisselkoersschommelingen, kwam
de operationele marge zwaar onder druk te staan en
kon het hoge niveau van 2010 niet aangehouden worden. Toch werd in 2011 een winst voor belastingen
van 13,4 miljoen ¤ gerealiseerd.
Desalniettemin werd in 2011 fors geïnvesteerd in zowel
machines als in medewerkers. Qua industriële investeringen was 2011 inderdaad een topjaar met investeringen ter hoogte van bijna 22 miljoen ¤ in nieuwe
geavanceerde productiecapaciteit en efficiëntie in de
productieplant voor mastieken in Turnhout, bijkomende capaciteit in de productie eenheden van Pionki
(Polen) en Taicang (China), de opstart van de bouw
van een gloednieuwe fabriek in Bawal (India) en verschillende belangrijke investeringen in de fabrieken in
Overpelt (B) en Weert (NL) waar in de toekomst de
productie van houtlijmen voor de groep gecentraliseerd wordt.
Het personeelsbestand groeide verder aan tot 1453
medewerkers die nu ongeveer gelijk verdeeld zijn over
de hoofdzetel in Turnhout en de verschillende filialen
wereldwijd. Daarnaast is in 2011 fors geïnvesteerd in
een nieuw SAP gebaseerd ERP systeem dat in 2012 in
gebruik genomen zal worden.
Met de acquisitie van een deel van de Işik Group in
Turkije in het najaar van 2011 werd een belangrijke stap
gezet in het verder versterken van de aanwezigheid
van Soudal in het Midden Oosten waar sterke groei
verwacht wordt in de komende jaren. Deze belangrijke
overname voegt een goede 10 miljoen ¤ omzet toe
aan de groepsomzet en omvat naast een uitgebreid
commercieel apparaat tevens een productievestiging
die kwaliteiten voor de lokale markt fabriceert.

Als kroon op het werk werd Soudal in oktober verkozen tot “Onderneming van het Jaar”. Deze titel is een
beloning voor alle Soudal medewerkers en een gevolg
van de jarenlange duurzame, gestage groei, zonder
spectaculaire overnames maar met hard werken en
permanent innoveren.
Deze prijs is voor Soudal een aansporing om verder te
gaan op de ingeslagen weg.

Ook in 2011 zette Soudal zijn weg op het uitgestippelde groeipad verder met een nieuw geconsolideerd
omzetrecord van iets meer dan 400 miljoen ¤, een
groei van meer dan 13% t.o.v. 2010. Dit mooie operationele resultaat werd gerealiseerd in nagenoeg alle
gebieden waar Soudal actief is met uitzondering van
het zuiden van Europa waar de algemene economische
malaise uiteraard ook z’n invloed heeft op de markten waar Soudal aanwezig is. Deze mindere resultaten
werden sterk gecompenseerd door schitterende resultaten in gebieden waar Soudal al lang actief is maar
ook in nieuwe landen als China en India waar Soudal
nog maar recent een eigen filiaal geopend heeft.

dans pratiquement toutes les régions où Soudal est
présent, à l’exception du sud de l’Europe où le malaise
économique généralisé s’est naturellement fait ressentir. Cette moins bonne performance a été largement
compensée par les excellents résultats obtenus dans
les régions où Soudal est actif depuis longtemps, mais
aussi dans de nouveaux pays comme la Chine et l’Inde
où le groupe a récemment ouvert une succursale.

La forte croissance du chiffre d’affaires ne s’est néanmoins pas traduite par une croissance équivalente des
marges. La flambée des prix des matières premières,
qui n’a pas pu être intégralement répercutée, et les
fluctuations négative des taux de change ont considérablement pesé sur la marge opérationnelle. Nous
n’avons donc pas été en mesure de réitérer la performance de 2010. Nous sommes toutefois parvenus à
enregistrer un bénéfice avant impôts de 13,4 millions
d’euros en 2011.
D’importants investissements ont par ailleurs été
réalisés en 2011, tant au niveau des machines qu’au
niveau de la main-d’œuvre. En ce qui concerne les investissements industriels, 2011 est en effet une année
à marquer d’une pierre blanche. Environ 22 millions
d’euros ont ainsi été investis pour une nouvelle capacité de production sophistiquée et des gains d’efficacité
à l’usine de production de mastics à Turnhout, un renforcement de la capacité dans les unités de production
de Pionki (Pologne) et Taicang (Chine), le démarrage de
la construction d’une usine flambant neuve à Bawal
(Inde) et d’autres investissements importants dans les
usines d’Overpelt (Belgique) et Weert (Pays-Bas), où
la production de colles à bois du groupe devrait être
centralisée à l’avenir.
Le groupe a encore augmenté ses effectifs et emploie
désormais 1453 collaborateurs, lesquels sont équitablement répartis entre le siège social à Turnhout et les
différentes succursales à travers le monde. D’importants investissements ont également été réalisés dans
un nouveau système ERP basé sur SAP, qui sera mis en
service en 2012.
Avec l’acquisition d’une partie du groupe Işik en Turquie durant l’automne 2011, Soudal a franchi une étape
importante dans le renforcement de sa position au
Moyen-Orient, marché sur lequel on s’attend à une
forte croissance dans les prochaines années. Cette
opération a permis au groupe d’accroître son chiffre
d’affaires de 10 millions d’euros et de s’approprier,
en plus d’un vaste réseau commercial, une unité de
production fabriquant des produits de qualité pour le
marché local.
Signalons, par ailleurs, que Soudal South Africa PTY
LTD est devenue une filiale à 100 % du groupe.
Enfin, cerise sur le gâteau, Soudal a été élu « entreprise de l’année » en octobre. Ce prix constitue une
reconnaissance pour tous les collaborateurs de Soudal et récompense des années de croissance durable
et constante au cours desquelles nous n’avons jamais
relâché nos efforts et avons sans cesse innové, sans
avoir réalisé d’acquisitions spectaculaires.
Ce prix doit inciter le groupe à poursuivre sur la voie
dans laquelle il s’est engagé.

die nicht vollständig weitergegeben werden konnten
sowie durch die negativen Wechselkursdifferenzen
kam die operationelle Marge stark unter Druck. Daher
konnte das hohe Niveau von 2010 nicht beibehalten
werden. Dennoch wurde im Jahr 2011 ein Gewinn vor
Steuern in Höhe von 13,4 Millionen Euro realisiert.
Dessen ungeachtet wurde 2011 sowohl in Maschinen
als auch in die Mitarbeiter kräftig investiert. Was die
industriellen Investitionen anbetrifft, war 2011 mit
einer Investitionssumme von annähernd 22 Millionen Euro zweifellos ein Spitzenjahr. Investiert wurde
in moderne Produktionskapazität und Effizienz in der
Produktionsstätte für Dichtmassen in Turnhout, in zusätzliche Kapazität für die Produktionsstätten in Pionki
(Polen) und Taicang (China) sowie den Bau und die Inbetriebnahme einer neuen Fabrik in Bawal (Indien). Darüber hinaus fanden bedeutende Investitionen in die
Fabriken in Overpelt (Belgien) und Weert (Niederlande)
statt; dort soll künftig die Produktion von Holzleimen
für die Gruppe weiter zentralisiert werden.
Der Personalbestand vergrößerte sich auf 1.453 Mitarbeiter, die jetzt etwa gleichmäßig auf den Hauptsitz in Turnhout und die verschieden Filialen weltweit
verteilt sind. Daneben wurde 2011 auch massiv in ein
neues ERP-System auf SAP-Basis investiert, das 2012
in Betrieb genommen werden soll.
Mit der Akquisition eines Teils der Işik-Gruppe in der
Türkei im Herbst 2011 wurde ein weiterer wichtiger
Schritt für die verstärkte Präsenz von Soudal im Mittleren Osten gesetzt. In dieser Region wird für die kommenden Jahre ein starkes Wachstum erwartet. Diese
wichtige Übernahme erhöht den Konzernumsatz um
gut 10 Millionen Euro. Neben einer Produktionsstätte,
die Qualitätsprodukte für den lokalen Markt herstellt,
gehört dazu auch ein breit angelegter kommerzieller
Apparat.
Die Filiale Soudal South Africa PTY LTD wurde zu einer
100%igen Soudal-Filiale umgewandelt.
Den Höhepunkt bildete im Oktober die Wahl der Firma
Soudal zum „Unternehmen des Jahres“. Dieser Titel ist
eine Auszeichnung für alle Soudal-Mitarbeiter und Ergebnis des jahrelangen stetigen Wachstums, das nicht
durch spektakuläre Übernahmen, sondern durch harte
Arbeit und ständige Innovation erzielt wurde.
Diese Auszeichnung ist für Soudal ein Ansporn, den
eingeschlagenen Weg weiter zu verfolgen.

Auch im Jahr 2011 verfolgte Soudal seinen vorgezeichneten Wachstumspfad weiter: Der neue Konzernumsatz mit etwas mehr als 400 Millionen Euro
war ein Rekord und bedeutet im Vergleich zu 2010
einen Zuwachs von mehr als 13 %. Dieses schöne Betriebsergebnis wurde in nahezu allen Bereichen erzielt,
in denen Soudal tätig ist. Eine Ausnahme bildet dabei
der Süden Europas, in dem die allgemeine Wirtschaftskrise zwangsläufig auch die Märkte beeinflusst, in denen Soudal aktiv ist. Diese weniger guten Ergebnisse
wurden jedoch durch die glänzenden Ergebnisse in
den Ländern stark kompensiert, in denen Soudal schon
lange aktiv ist, aber auch in neuen Länder wie China
und Indien, wo Soudal erst kürzlich eigene Niederlassungen eröffnet hat.

further exponential growth in the Chinese building materials
market in 2011.
Not only were sealants added to the product range but, driven
by a local R&D department, new PU foams were developed
that perfectly meet local needs. These new qualities, further
streamlining of commercial policy and improved efficiency in
production, led to an excellent result in terms of both turnover
and profitability.

Na de overname in 2010 betekende 2011 voor de vestiging van Soudal in China een verdere exponentiële
groei op de Chinese markt van bouwmaterialen.
Niet alleen werd het assortiment uitgebreid met mastieken, maar tevens werden onder impuls van een lokale R&D afdeling, nieuwe PU schuimen ontwikkeld die

In the first full financial year of the 50/50 joint venture between
Soudal and McCoy, not only were the distribution network and
product range further expanded, but construction also began
on a production facility for sealants so as to serve the local
market faster and more efficiently.
This completely new factory on a 2 hectare site should, with
the aid of engineers from Turnhout, gradually allow the fastgrowing local demand for sealants to be met with effect from
April 2012.

of products, channels and distribution policy, existing activities
in the Turkish market were integrated in a minimum of time.

The exponential growth over the last few years has turned
Soudal from a single-plant company to a group with 11 factories on 5 continents in the space of just a few years.
2011 saw the largest investment ever made in the sealants
factory in Turnhout, but the plant in Manassas (United States)
was also further optimised, preparations were made to start
construction of the factory in Bawal (India) and investments
were made to expand both Aerotrim in Overpelt (Belgium) and
Frencken in Weert (the Netherlands).

of our products. In 2011, the global Soudal yellow line assortment was re-launched making the consumer’s choice much
clearer. Also, a brand-new super universal sealant was launched
in several countries: Soudal Multikit.

As presented, the financial statements are consolidated at the level of Soudal Holding nv. It includes the companies associated with
the public limited company Soudal nv, producer of silicones, polyurethane foams, adhesives and various other chemical construction

The consolidated financial statements for 2011 closed with a balance sheet total of ¤ 196.440.080, compared with ¤ 172.386.131
on 31.12.2010, an increase of the balance total with ¤ 24.053.949.
The consolidated profit for 2011 reached ¤ 10.699.115.
The group’s average workforce increased from 1.326 to 1.453.
Investments of almost ¤ 22 mio were recorded.

Soudal, producent van siliconen, polyurethaanschuimen, lijmen en diverse andere chemische bouwspecialiteiten en autoproducten.
De geconsolideerde jaarrekening over 2011, sluit af met een balanstotaal van ¤ 196.440.080, tegenover een balanstotaal van ¤ 172.386.131
per 31.12.2010, een stijging van het balanstotaal met ¤ 24.053.949.
De geconsolideerde winst over het boekjaar 2011 bedraagt ¤ 10.699.115.
Het gemiddelde personeelsbestand van de groep groeide van 1.326 naar 1.453 personen.
Er werd voor een bedrag van bijna 22 miljoen euro aan investeringen geboekt.
Het geconsolideerde omzetcijfer evolueerde van ¤ 332.638.463 naar ¤ 380.151.807, een stijging met 14,28%.

ontwikkeling. Hiervoor heeft de vennootschap een aantal hooggekwalificeerde onderzoekers in dienst. De belangrijkste opdracht is de ontwikkeling van kwalitatief betere producten, die aan de hoogste normen en technische specificaties voldoen. Daarnaast worden tevens belangrijke
inspanningen gedaan om de productiemethoden en de logistieke processen te verbeteren.
5. Inlichtingen met betrekking tot het gebruik van financiële instrumenten
Voor de indekking van intrest- en valutarisico’s maakt de groep gebruik van een aantal specifieke financiële instrumenten. Het gebruik van deze
instrumenten heeft evenwel geen belangrijke invloed op de financiële positie van de groep.

Le groupe, et particulièrement la société de droit belge la sa Soudal, fournit des efforts considérables en matière de recherche et de développement. La société emploie à cet effet de nombreux chercheurs hautement qualifiés. Leur mission la plus importante consiste à développer des
produits qui soient de meilleure qualité en répondant aux normes et aux spécifications techniques les plus élevées. Des efforts ont également
été fournis pour améliorer les méthodes de production et les processus logistiques.
5. Informations relatives à l’utilisation d’instruments financiers
Le groupe a recours à un certain nombre d’instruments financiers spécifiques pour couvrir les risques de change et de taux.
L’utilisation de ces instruments n’a cependant aucune influence significative particulière sur la position financière du groupe.

Les membres du Conseil d’Administration et le management sont parfaitement consciente qu’entreprendre implique également une prise de
