tessi STREGTHENS ITS CHEQUE
PROCESSING ACTIVITY WITH THE
ACQUISITION OF TGD, SUBSIDIARY OF
SODIFRANCE
On 13th December 2001, tessi signed an acquisition protocol for 100% of the
capital of the company TGD (subsidiary of the SODIFRANCE group, listed on the
Euronext Paris Second Marché).
TGD, which is specialised in cheque processing and data acquisition, counts 200
employees and 4 sites, located in Nantes, Rennes, La Roche/Yon and Bordeaux.
The final signature of the TGD takeover deal will take place on 20th December
2001.
Over the 2000/2001 financial year (end 30th June), TGD achieved a turnover of
9.4 M€.
This acquisition, funded by cash, will be immediately relutive.
The company TGD will be consolidated in the tessi accounts as of 1st January
2002.
This will allow strong synergies to be developed rapidly in both the technological
and the commercial sectors.
The acquisition of TGD represents an important step in tessi’s development
strategy and enables it to:
⇒ Increase its presence in the south-west of France and to expand into the
west, where the group had no presence to date,
⇒ Supplement its customer portfolio with references such as Crédit Mutuel
Loire Atlantique Centre Ouest, the CIO and the BRO (CIC group), Crédit
Agricole de Vendée, the BNP, the BPSO, the BPO, Crédit Mutuel de
l’Ouest, the ASSEDIC (Atlantic, Anjou, Brittany), …
This operation significantly consolidates tessi’s position as France’s N°2 in cheque
processing.

Prospects
This new acquisition backs tessi in the attainment of its mid-term objectives. For
the 2002 financial year, tessi forecasts sales, after external growth operations, of
85.7 m€, an increase of over 30% compared with fiscal 2001.
