Le Client s’engage à faire respecter cette obligation par tout son personnel et plus généralement à toute personne qu’il a mise en contact avec IFP Training. Plus précisément, IFP Training remettra aux participants des documents pédagogiques sur tous supports matériels (de manière non limitative : support papier, audio, audiovisuel, informatique ou multimédia). Toute reproduction, adaptation, modification, représentation ou diffusion, directe ou indirecte, par le Client, sous quelque forme que ce soit, de tout ou partie des documents pédagogiques réalisés par IFP Training et/ou des informations y contenues, à destination de son personnel non participant à la session ou à des tiers, sera soumise à l’autorisation écrite préalable d’IFP Training. Le Client s’engage à n’effectuer aucune reproduction, adaptation, modification, représentation ou diffusion, sous quelque forme que ce soit, dans le but de commercialiser, d’organiser et réaliser des actions de formation. 9 - Travail dissimulé – Sous-traitance En rapport à la Loi n° 91-1406 en date du 31 décembre 1991 complétée par le Décret du 11 juin 1992, IFP Training garantit que tous les salariés sont employés régulièrement au regard des dispositions du Code du travail. IFP Training garantit qu’il respecte l’ensemble des obligations fiscales et sociales concernant le personnel de formation et qu’il a satisfait aux obligations légales et réglementaires relatives au travail dissimulé et à l’emploi de la main d’œuvre étrangère. IFP Training peut confier la réalisation d’une partie des prestations à des partenaires qualifiés auquel il imposera les mêmes obligations que celles qui lui incombent au titre des présentes, ainsi que l’obligation de confidentialité. La sous-traitance ne relève en aucun cas IFP Training de ses obligations Dans le cas où le Client ne se conformerait pas aux obligations des présentes CGV, IFP Training le mettra en demeure par courrier recommandé avec accusé de réception, d’y satisfaire dans le délai de trente (30) jours suivant sa date d’envoi. Passé ce délai, si le Client n’a pas satisfait à sa mise en demeure, IFP Training pourra résilier la commande, sans préjudice pour IFP Training de se prévaloir d’éventuels dommages et intérêts. 12 - Assurances - Responsabilité Le Client s’engage à souscrire et à maintenir en état de validité pendant toute la durée de la session, à ses frais toutes les polices d’assurances nécessaires à la couverture des risques, des responsabilités, préjudices directs ou indirects et maladies susceptibles de survenir au(x) Participant(s), auprès des compagnies d’assurance notoirement solvables. IFP Training s’engage à souscrire à ses frais et à maintenir en état de validité les assurances nécessaires à la couverture des risques susceptibles de survenir à l’occasion de l’exécution des formations. Chacune des Parties demeure responsable des dommages survenant à ses biens et du préjudice subi à son personnel, quel qu’en soit l’auteur et à l’occasion des Prestations, sauf faute lourde ou manquement délibéré commis par cette Partie ou son personnel au cours de la session. Par ailleurs, en aucun cas, IFP Training ne pourra être déclaré responsable d’un préjudice financier, commercial ou de tout autre nature, causé directement ou indirectement par l’utilisation des informations dispensées dans le cadre des sessions de formation. 13 - Dispositions diverses - Litiges Le Client est réputé avoir pris connaissance de l’ensemble des documents constitutifs de la commande, y compris des présentes CGV. À l’issue de la session de formation et/ou en cas de résiliation, les dispositions des articles 8, 11, 12 et 13 resteront en vigueur. Les présentes CGV sont soumises à la loi française. Tout différend, non résolu à l’amiable entre les Parties dans le délai d’un (1) mois, et relatif à la validité, l’exécution ou l’interprétation des présentes CGV sera soumis à la compétence du Tribunal de Commerce de Nanterre. et responsabilités au titre des présentes CGV. 10 - Force majeure La Partie empêchée d’exécuter des obligations du fait de la survenance d’un évènement de Force Majeure tel que défini par le Code civil, en avisera sans délai l’autre Partie par tout écrit avec accusé de réception en produisant toutes justifications utiles, et réduira autant que possible les effets dommageables de cette situation. Sont exclus les grèves exclusivement internes à l’une des Parties, les capacités ou moyens de financement de chaque Partie. Les obligations d’une Partie qui seraient affectées par une cause de Force Majeure seront suspendues, sans pénalité, jusqu’à la cessation des effets de cette cause. Chaque Partie supportera la charge de tous les frais qui lui incomberont et qui résulteront de la survenance du cas de force majeure. En cas de force majeure de plus de trente (30) jours consécutifs, la Partie à laquelle le cas de force majeure est opposé pourra résilier immédiatement et de plein droit la commande sans indemnités.
