A Luxembourg, le conseil en investissement effectué au profit d' “OPC, y compris de SICAR, de fonds d'investissement spécialisés et de fonds de pension soumis à la surveillance de la CSSF ou du CAA ainsi que d'organisme de titrisation situés au Luxembourg” (article 44 §1 d) LTVA) a toujours été considéré comme exonéré de TVA, en tant que composante indissociable de la gestion du fonds. Une question préjudicielle posée par le Bundesfinanzhof (BFH, Beschl. V.5.5. 2011 - VR 51/10) à la Cour de Justice pourrait changer la donne. Dans cette affaire, une société de gestion de fonds allemande avait délégué, suivant une convention de 1999, à une société tierce la charge de la conseiller dans la gestion du fonds, en lui indiquant les opportunités d'investissement ou de désinvestissement pour le fonds, tout en respectant les principes de répartition des risques et la politique d'investissement du véhicule. La société de conseil, non réglementée, était rémunérée par un pourcentage des actifs du fonds, comme c'est fréquemment le cas en la matière. Dans ses questions posées à la Cour, le Bundesfinanzhof examine en détails la nature des services fournis par un conseiller en investissement dans sa mission auprès d'un fonds d'investissement, et cherche à déterminer si ces prestations peuvent être considérées comme "spécifiques et essentielles" à la gestion du fonds (CJCE, Abbey National C-169/04 du 4 mai 2006). Si la juridiction allemande semble avoir peu de doute sur le caractère "essentiel" du conseil en investissement pour les besoins de la gestion du fonds, la question de la "spécificité" de la prestation de conseil par rapport à d'autres types de conseils en investissement, par exemple au profit d'investisseurs privés, en principe taxable, pose plus de difficultés. Si la Cour de Justice venait à considérer que les prestations de conseil en investissement ne remplissent pas les conditions posées pour être qualifiées de "spécifiques et essentielles" à la gestion d'un fonds, et être ainsi exonérées de TVA, de nombreuses structures de fonds d'investissement devraient être revues à Luxembourg, du fait de la charge de TVA non récupérable qu'engendrerait une telle position. Comparée aux autres Etats membres de l'Union européenne, cette charge resterait au niveau le plus bas possible en Europe, du fait du taux de TVA standard de 15% applicable au Luxembourg. Néanmoins, ce revirement pourrait amener un réaménagement des méthodes de rémunération des différents acteurs de l'industrie des fonds, et favoriser les structures intégrées, ou l'émergence de nouvelles formes de rémunération, sous forme de produits financiers par exemple. Et qu’en est-il de la gestion de portefeuille ? Les questions préjudicielles actuellement posées par les tribunaux allemands sont décidément susceptibles d’avoir de nombreux impacts à Luxembourg. Dans une affaire C-44/11 Finanzamt Frankfurt am Main V-Höchst v. Deutsche Bank AG, le tribunal demande à la Cour de se prononcer sur l’exonération de la gestion de portefeuille (le gérant détermine les opérations de vente ou d’achat à réaliser, et met en œuvre ces décisions, en achetant et vendant les titres pour le compte de son client), notamment en comparant la situation de la gestion de portefeuille au profit de fonds d’investissement, exonérée au titre de l’article 135 §1 (g) de la directive TVA 2006/112 à l’exonération éventuellement applicable à la gestion de portefeuille au profit d’investisseurs privés, au titre de l’article 135 §1 (f) de la même directive (opérations sur titres ainsi que la négociation de telles opérations). Rappelons qu’à Luxembourg, la gestion de portefeuille de clientèle, autre que les fonds d’investissement visés par l’article 44 §1 d) LTVA, est soumise à TVA. TVA et droits d'enregistrement sur les baux d'immeubles - remboursement ? On l'oublie parfois, la loi prévoit l'enregistrement obligatoire des baux, dans les trois mois de leur date. A cette occasion, l'Administration de l'Enregistrement perçoit un droit proportionnel s'élevant à 0,6% du montant des loyers cumulés, sur toute la durée du bail. Pour certains immeubles, ceci peut engendrer des montants considérables de droits d'enregistrement. Cependant, lorsque le bail fait 2 NEWS NEWSLETTER SEPTEMBRE 2011 www.bdo.lu l’objet d’une option à la TVA comme le permet l’article 45 LTVA sous certaines conditions, le droit d’enregistrement perçu n’est plus que le droit fixe de 12 €. Que se passe-t-il lorsqu’un bail initialement enregistré au droit proportionnel fait l’objet d’une option à la TVA ultérieure? Dans ce cas, l’Administration rembourse sur demande le droit prélevé initialement, à compter de la période à partir de laquelle l’option TVA produit ses effets. Rappelons toutefois qu’en matière de droits d’enregistrement, la prescription pour la demande de restitution de l’impôt est de deux années. le double droit prévu à titre de pénalité en cas d’enregistrement tardif d’un contrat de bail. Ces éléments justifient certainement pour les bailleurs comme leurs locataires, une revue de leur situation en matière de TVA comme de droits d’enregistrements! In Luxembourg, investment advisory services supplied to “UCITS, including SICAR, specialized investment funds and pension funds under supervision of the CSSF or of the CAA, as well as securitization vehicles established in Luxembourg” (article 44 §1 d) LTVA) have always been considered as exempt from VAT. They were seen as an intrinsic component of the management of the fund. A question referred to the European Court of Justice by the German Bundesfinanzhof (BFH, Beschl. V.5.5. 2011 - VR 51/10) could endanger this position. In this case, a German based management company delegated to a non-related investment advisory company, under an agreement concluded in 1999, the function of advising on the management of the fund, in pointing out the opportunities of investment or disinvestment for the fund, under the principles of risk-spreading and the investment policy of the fund. The remuneration of this non-regulated investment advisor was based on a percentage of the assets of the fund, as it is usually the case in this area. In its questions to the European Court of Justice, the German Court thoroughly examines the nature of the services provided to the fund and questions whether they meet the requirement laid down by the ECJ in Abbey National (ECJ, Abbey National C-169/04 of 4th May 2006), ie whether the services are “specific to and essential for” the management of an investment fund. The German court seems to have very little doubts on the “essential” character of the investment advisory services. The specificity of the services is more problematic in its view, especially when compared to portfolio advisory services rendered to any other person than a fund, which are usually subject to VAT. If the European Court of Justice were to consider that such investment advisory services do not meet the test and are not “specific to and essential for” the management of the fund, and so be exempt from VAT, many investment funds structure would be worth revisiting in Luxembourg, due to the costs of irrecoverable VAT that this position would create. When compared to other European Member States, this cost would remain at the lowest possible level, due to the 15% standard rate applicable in Luxembourg. However, such a change in the current position would probably lead to a review of the ways the different operators are usually remunerated, and could favour the integrated structures, or innovative methodologies to compensate for the services, in the form of financial products for instance. And what about the management of securities-based assets (portfolio management) ? The cases currently referred to the European Court of Justice by German tribunal have definitely some potential consequences in Luxembourg. In a case C-44/11 Finanzamt Frankfurt am Main V-Höchst v. Deutsche Bank AG, the German Court asks the European Court of Justice to take a decision on the VAT exemption applicable to porfolio management services (the manager determines the sale and purchase transactions in securities, and implements those decisions by purchasing and selling transactions for the account of its client). The Court is more specifically asked to compare the portfolio management activities for an investment fund, exempted under article 135 §1 (g) of the directive 2006/112 to the exemption potentially applicable to the portfolio management of securities for private investors, if considered to fall under article 135 §1 (f) of the same directive (transactions in securities as well as the negotiation of such transactions). In Luxembourg, the portfolio management services are currently subject to VAT, except the case of such services being rendered to investment vehicles as defined in article 44§1 d) LTVA. VAT and registration duties on the lease of real estate - is a refund possible? Rental agreements for Luxembourg based real estate are to be registered within a 3 months delay after their signature. At the time the contract is submitted to them, tax authorities levy proportional registration duties of 0,6% on the full amount of the rental installments, for the duration of the lease. For some buildings, this might represent quite high amounts of duties. However, when the agreement is subject to VAT by virtue of an option, as provided for under some conditions by article 45 of the Luxembourg 4 NEWS NEWSLETTER SEPTEMBER 2011 www.bdo.lu VAT law, the registration duty is capped at a fixed amount of 12 €. What happens when a rental agreement initially registered under the standard regime is subsequently subject to VAT by virtue of an option? In this case, the tax authorities refund part of the duties initially levied, from the period on which the option to VAT takes effect. One shall however keep in mind that in the area of registration duties, the statutes of limitations and the possibility to get a refund elapse after 2 years. Also to keep in mind: the tax authorities now systematically impose a penalty of twice the registration duties in case of late registration of a rental agreement. Certainly the right time for the lessors and their tenants to review their position in terms of VAT and registration duties!
