Amended and Restated Final Terms dated 15 March 2016 amending and restating the Final Terms dated 18 February 2016 to reflect the publication of the Citigroup Global Markets Holdings Inc. (CGMHI) Underlying Linked Notes Base Prospectus Supplement (No.1) dated 15 March 20161 Citigroup Global Markets Holdings Inc. Issue of up to EUR30,000,000 Mutual Fund Linked Notes due April 2026 Guaranteed by Citigroup Inc. Under the Citi U.S.$30,000,000,000 Global Medium Term Note Programme Any person making or intending to make an offer of the Notes in any Member State of the European Economic Area which has implemented the Prospectus Directive may only do so: (a) in those Public Offer Jurisdictions mentioned in item 8 of Part B below, provided such person is one of the persons mentioned in item 9 of Part B below and that such offer is made during the Offer Period specified for such purpose therein; or (b) otherwise in circumstances in which no obligation arises for the Issuer or any Dealer to publish a prospectus pursuant to Article 3 of the Prospectus Directive or supplement a prospectus pursuant to Article 16 of the Prospectus Directive, in each case, in relation to such offer. The Notes and the CGMHI Deed of Guarantee have not been and will not be registered under the United States Securities Act of 1933, as amended (the Securities Act) or any state securities law. The Notes and the CGMHI Deed of Guarantee are being offered and sold outside the United States to nonU.S. persons in reliance on Regulation S under the Securities Act (Regulation S) and may not be offered or sold within the United States or to, or for the account or benefit of, any U.S. person (as defined in Regulation S). Each purchaser of the Notes or any beneficial interest therein will be deemed to have represented and agreed that it is outside the United States and is not a U.S. person and will not sell, pledge or otherwise transfer the Notes or any beneficial interest therein at any time within the United States or to, or for the account or benefit of, a U.S. person, other than the Issuer or any affiliate thereof. This document constitutes the Final Terms of the Notes described herein for the purposes of Article 5.4 of the Prospectus Directive and must be read in conjunction with the Base Prospectus. Events of default The terms of the Notes will contain, amongst others, the following events of default: (a) default in payment of any principal or interest due in respect of the Notes, continuing for a period of 30 days in the case of interest or 10 days in the case of principal, in each case after the due date; (b) default in the performance, or breach, of any other covenant by the Issuer, and continuance for a period of 60 days after the date on which written notice is given by the holders of at least 25 per cent, in principal amount of the outstanding Notes specifying such default or breach and requiring it to be remedied; (c) events relating to the winding up or dissolution or similar procedure of the Issuer; and (d) the appointment of a receiver or other similar official or other similar arrangement of the Issuer. Taxation Payments in respect of all Notes will be made without withholding or deduction of taxes in (i) Luxembourg where the Issuer is CGMFL or GMTCH0017 0012230-0008276 ICM:23778086.3 27 the United Kingdom in the case of the Guarantor, or (ii) the United States where the Issuer is Citigroup Inc. or CGMHI, except as required by law and subject to certain categories of Notes which are not treated as debt for United States federal income purposes. In that event, additional interest will be payable in respect of such taxes, subject to specified exceptions. Meetings The terms of the Notes contain provisions for calling meetings of holders of such Notes to consider matters affecting their interests generally. These provisions permit defined majorities to bind all holders, including holders who did not attend and vote at the relevant meeting and holders who voted in a manner contrary to the majority. Rang De Notes zijn niet-achtergestelde en niet-gewaarborgde verbintenissen van de Emittent en staan nu en in de toekomst pari passu met alle andere niet-gewaarborgde en niet-achtergestelde verbintenissen van de Emittent behoudens voor de verbintenissen die uit hoofde van algemeen toepasselijke wettelijke verplichtingen bevoorrecht zijn. Negatieve verklaring en cross default De algemene voorwaarden van de Notes bevatten noch een negatieve zekerheidsbepaling noch een bepaling inzake cross default van de Emittent of de Garant. Gevallen van verzuim De algemene voorwaarden van de Notes bevatten onder andere de volgende gevallen van verzuim: (a) niet-betaling van enige hoofdsom of interest in verband met de Notes, gedurende een periode van 30 dagen in geval van interest en gedurende een periode van 10 dagen in geval van de hoofdsom, telkens te tellen vanaf de vervaldatum; (b) niet-nakoming van de uitvoering of schending van enige andere verplichting door de Emittent en voortduren van de schending gedurende een periode van 60 dagen, te tellen vanaf de datum waarop houders die minstens 25 percent van de hoofdsom van de uitstaande Notes vertegenwoordigen, een schriftelijke kennisgeving hebben gegeven waarin het gebrek of de schending wordt gespecificeerd en waarin gevorderd wordt dat er een einde wordt gesteld aan het gebrek of de schending; (c) gebeurtenissen in verband met de vereffening of 9 Samenvatting de ontbinding van de Emittent of een gelijkaardige procedure; en (d) het aanduiden van een curator of enige andere gelijkaardige mandataris of enige andere gelijkaardige regeling van de Emittent. Belastingheffing De betalingen voor alle Notes zullen uitgevoerd worden zonder inhouding of aftrek van belastingen in (i) Luxemburg (wanneer CGMFL de Emittent is) of in het Verenigd Koninkrijk (voor de Garant), of (ii) in de Verenigde Staten (wanneer Citigroup Inc. of CGMHI de Emittent is), behalve wanneer vereist door de wet en onder voorbehoud van bepaalde categorieën van Notes, die in de Verenigde Staten in het kader van de inkomstenbelasting niet als schulden worden behandeld. In dat geval zal een extra interest te betalen zijn ten aanzien van dergelijke belastingen, die onderhevig is aan specifieke uitzonderingen. Vergaderingen De algemene voorwaarden van de Notes bevatten bepalingen voor het bijeenroepen van vergaderingen van de houders van dergelijke Notes om over de aangelegenheden te beraadslagen die hun belangen in het algemeen betreffen. Die bepalingen bieden aan welbepaalde meerderheden de mogelijkheid om besluiten te nemen die bindend zijn voor alle houders van Notes, ook al hebben zij niet deelgenomen aan en gestemd op de betrokken vergadering of ook al hebben zij op de betrokken vergadering anders gestemd dan de meerderheid. C.15 Beschrijving van het effect van de onderliggend(e) instrument(en) op de waarde van de belegging Of er interest wordt betaald en het verschuldigde bedrag hangt af van hoe de relevante onderliggend(e) instrument(en) presteren. Wanneer het bedrag van de interesten wordt berekend op basis van de “tussentijdse interestprestatiebepalingen", de "twin win tussentijdse interestprestatiebepalingen" of de "omgekeerde tussentijdse interestprestatiebepalingen", wordt het bedrag van dergelijke interest bepaald op basis van de prestatie van de relevante onderliggend(e) instrumenten. Zie ook Element C.18 hieronder. C.16 Vervaldatum en laatste peildatum De vervaldatum is 31 maart 2026 (behoudens aanpassing voor nietwerkdagen). Zie de bepalingen betreffende waarderingsdata in Element C.18 hieronder voor wat betreft de laatste peildatum. Vervroegde aflossing Zie "Gevallen van verzuim" in Element C.8 hierboven en "Verstoorde Dagen, Gebeurtenissen van Marktontwrichting en Aanpassingen" hieronder voor informatie betreffende vervoegde aflossing in verband met de Notes. Bovendien (a) kunnen de Notes worden afgelost omwille van bepaalde fiscale redenen; en (b) indien de Emittent vaststelt dat de uitvoering van zijn verplichtingen in verband met een uitgifte van Notes of de Garant vaststelt dat de uitvoering van zijn verplichtingen krachtens de CGMHI Garantieovereenkomst in verband met dergelijke Notes om gelijk welke reden geheel of gedeeltelijk in strijd met de wet zijn geworden of zullen worden, mag de Emittent de Notes vervroegd aflossen en, voor zover dit binnen de perken van de toepasselijke wetgeving is, zal hij voor iedere Note een bedrag betalen dat gelijk is aan het vervroegd aflossingsbedrag. Het vervroegd aflossingsbedrag dat bij vervroegde aflossing van de 11 Samenvatting Notes verschuldigd is, is een bedrag dat de Berekeningsagent vaststelt als een bedrag gelijk aan de Hoofdsom vermeerderd met de waarde (indien van toepassing) van het optie component of de/het ingesloten deriva(a)t(en) van de Note op of rond de datum waarop de Emittent kennis van de vervroegde aflossing van dergelijke Notes geeft, zoals berekend door de Berekeningsagent met zijn commercieel redelijke appreciatiebevoegdheid, vermeerderd met de vervallen interest (indien er enige interest vervallen is) op die waarde (indien er dergelijke waarde is) van de optie component of de/het ingesloten deriva(a)t(en) tot aan, maar exclusief de vervaldatum, en dergelijke vervroegd aflossingbedrag zal betaalbaar op de vervaldatum zijn. C.17 Afwikkelingsprocedure voor derivaten De Notes zijn in contanten afgewikkelde Notes. C.18 Rendement op derivaten Het bedrag van de rente (indien van toepassing) verschuldigd op de rentebetalingsdatum wordt bepaald in overeenstemming met de volgende interestbepalingen. Het bedrag van de interest (indien van toepassing) in verband met elk berekeningsbedrag en een rentebetalingsdatum is het interestbedrag berekend op basis van de bepalingen betreffende het prestatiegerelateerde interestbedrag berekend op basis van de tussentijdse interestprestatiebepalingen, zoals hieronder nader bepaald. Definities Data Een rentebetalingsdatum is iedere datum die als dusdanig wordt vermeld in de onderstaande Tabel. Een rentebeoordelingsdatum is, met betrekking tot een rentebetalingsdatum, iedere datum of de data die voor dergelijke rentebetalingsdatum als dusdanig wordt/worden vermeld in de Tabel hieronder (onder voorbehoud van aanpassingen – zie "Verstoorde Dagen, Gebeurtenissen van Marktontwrichting en Aanpassingen" hieronder). Dergelijke bepalingen, indien van toepassing, kunnen toelaten aan de Emittent om ofwel te vereisen dat de berekeningsagent aanpassingen maakt ten gevolge van het zich voordoen van de relevante gebeurtenis (hetgeen kan inhouden uitstel van enige vereiste waardering of de vervanging van een onderliggende door een andere onderliggende en/of in het geval van een hogere kost inzake hedging, aanpassingen om dergelijke verhoogde kost ten laste van de houders van de Notes te leggen (met inbegrip van, maar niet beperkt tot, herleiden van enige bedragen die betaalbaar of leverbaar zijn me betrekking tot de Notes om dergelijke verhoogde kosten te weerspiegelen) en/of, in het geval van verstoring inzake realisatie, betaling in de relevante lokale munteenheid andere dan de bepaalde munteenheid, afhouding van of betaing door de houders van de Notes van bedragen met betrekking tot de toepasselijke belastingen, uitstel van betalingen of leveringen, bepaling van de wisselkoersen rekening houdend met alle beschikbare relevante informatie en/of (waar wettelijk togestaan) instaan voor een fysieke aflevering van enige onderliggende waarde(n) in plaats van afwikkeling in cash (of vice versa) en/of, in het geval van belangen met betrekking tot fondsen, aanpassingen om het belang met betrekking tot de fondsen die door de relevante gebeurtenis zijn aangetast te “monetiseren” en de bedragen die betaalbaar zijn met betrekking tot de Notes aan te passen om hiermee rekening te houden, of waar toepasselijk, te Notes op te zeggen en een bedrag te betalen gelijk aan het vervroegde aflossingsbedrag zoals bepaald in Element C.16 hierboven. CGMHI is een holdingvennootschap die niet deelneemt aan enig materiele hoeveelheid businessactiviteiten die inkomsten genereren. CGMHI komt haar verplichtingen primair na dankzij dividenden en voorschotten die ze van haar dochtervennootschappen ontvangt. Haar dochterondernemingen die actief zijn in de effectensector mogen alleen dividenden betalen indien ze in overeenstemming zijn met de toepasselijke wettelijke vereisten die hen opgelegd worden door de federale en nationale regelgevende instanties. Hun respectievelijke dochterondernemingen kunnen ook onderworpen zijn aan kredietovereenkomsten die ook hun vermogen om dividend uit te keren kunnen beperken. Indien dergelijke dochterondernemingen niet voldoende winst realiseren om te voldoen aan de toepasselijke wettelijke eisen, of indien dergelijke vereisten veranderd worden om het vermogen van deze dochterondernemingen om dividenden te betalen aan CGHMI verder te beperken, kan het vermogen van CGMHI, om aan haar verplichtingen voortvloeiend uit Notes door haar uitgegeven te voldoen, nadelig worden beïnvloed. Notes uitgegeven door CGMHI zullen het voordeel hebben van een garantie van Citigroup Inc. Niettegenstaande het voorgaande, dienen toekomstige beleggers er rekening mee te houden dat Gevallen van verzuim ten aanzien van de CGMHI Garant beperkt zijn tot de gebeurtenissen vermeld in Voorwaarden 9 (a) (i) en 9 (a) (ii) van de Algemene Voorwaarden van de Notes met betrekking tot verzuim van betaling van de hoofdsom of interest in verband met de Notes, maar niet slaan op de insolventie of het faillissement van de CGMHI Garant (of een soortgelijke gebeurtenis), andere verzuim van de CGMHI Garant of de CGMHI Garantieovereenkomst die in volle kracht is (of wordt beweerd niet te zijn). Daarom, hoewel de CGMHI Garant failliet kan verklaard zijn of een faillissementsprocedure aangegaan kan hebben of de CGMHI Garantieovereenkomst kan ontkend hebben, zullen de houders van Notes uitgegeven door CGMHI niet in staat zijn om een Geval van verzuim onder de Notes te veroorzaken en zullen dus niet in staat zijn om te veroorzaken dat de Notes onmiddellijk betaalbaar zijn, en de Notes zullen niet terugbetaald worden voor de vervaldag (tenzij er een Geval van verzuim opgekomen is, die te wijten is aan de niet-betaling van rente en hoofdsom of faillissement of ander verzuim van CGMHI in de tussentijd). Het is mogelijk dat de houders een lager rendement op de vervaldag kunnen krijgen dan wanneer ze in staat zouden geweest zijn om de Notes te versnellen voor onmiddellijke 17 Samenvatting terugbetaling in dergelijke omstandigheden. Er zijn bepaalde factoren die een negatieve weerslag kunnen hebben op de mogelijkheid van CGMHI om haar verplichtingen voortvloeiend uit de door haar uitgegeven Notes na te komen, met inbegrip van het feit dat die mogelijkheid ervan afhangt of de entiteiten van de groep aan wie CGMFL financiële middelen verstrekt die ze via de uitgifte van de Notes genereert, hun verplichtingen in verband met dergelijke financieringen tijdig naleven. Daarnaast zijn die mogelijkheid en de mogelijkheid van Citigroup Inc. om haar verplichtingen als garant voor de door CGMHI uitgegeven Notes na te komen, afhankelijk van de economische situatie, het krediet-, markt- en liquiditeitsrisico, de concurrentie, het landenrisico, operationele risico’s, het fiscale en monetaire beleid van betrokken regelgevende overheden, risico’s op het vlak van reputatie en wettelijke risico’s en bepaalde overwegingen van regelgevende instanties. D.3 Belangrijkste risico’s in verband met de Notes Beleggers moeten weten dat de Notes (met inbegrip van de Notes die tegen nominale waarde of aan een hoger bedrag zouden moeten worden afgelost) blootgesteld zijn aan het kredietrisico van CGMHI en Citigroup Inc.. Tevens kunnen de Notes worden verkocht, afgelost of vervoegd terugbetaald en, als dit gebeurt, kan de prijs waartegen een Note verkocht, afgelost of vervroegd terugbetaald wordt, lager uitvallen dan de aanvankelijke belegging. Er zijn andere zekere factoren die van essentieel belang zijn bij de beoordeling van de risico’s die gepaard gaan met het beleggen in Notes. Tot die risico’s behoren onder meer: (i) het risico op verstoring van de waardebeoordeling, (ii) aanpassing aan omstandigheden, substitutie van de relevante onderliggende waarde(n) en/of vervroegde terugbetaling ingevolge een aanpassing of een illegale situatie, (iii) uitstel van betaling van interest en/of minima en/of maxima die opgelegd worden voor de rentevoeten, (iv) het schrappen of afbouwen van openbare aanbiedingen of het uitstellen van de uitgiftedatum, (v) de hedgingactiviteiten van de Emittent en/of van één van zijn dochtervennootschappen, (vi) belangenconflicten tussen de Emittent en/of één van zijn dochtervennootschappen en houders van de Notes, (vii) wijziging van de algemene voorwaarden die op de Notes van toepassing zijn, door een meerderheid van de stemmen die bindend is voor alle houders, (viii) discretionaire beslissingen van de Emittent en van de Berekeningsagent, die zodanig worden uitgevoerd dat deze een negatieve weerslag hebben op de waarde van de Notes of in een vervroegde aflossing resulteren, (ix) wetswijzigingen, (x) de illiquiditeit van de coupures bestaande uit samengestelde integralen, (xi) betalingen die onderworpen worden aan bronbelasting of aan andere belastingen, (xii) vergoedingen en commissies die bij het bepalen van de prijs van de Notes op de secundaire markt niet in rekening werden gebracht, (xiii) de afwezigheid van een secundaire markt, (xiv) het valutarisico, (xv) de aantasting van de marktwaarde van de Notes door diverse factoren die los staan van de kredietwaardigheid van CGMHI en Citigroup Inc. zoals de marktomstandigheden, de rentevoeten, wisselkoersen en de macroeconomische en politieke omstandigheden en (xvi) kredietbeoordelingen die niet alle risico’s weerspiegelen. Zie ook Element D.6 hieronder D.6 Belangrijkste risico’s in verband met de Notes en BELEGGERS KUNNEN HUN BELEGGING EVENTUEEL GEHEEL OF GEDEELTELIJK VERLIEZEN. CGMHI GARANDEERT NIET DAT DE HIERONDER VERMELDE LIJST VOLLEDIG IS. POTENTIELE BELEGGERS MOETEN HET BASISPROSPECTUS IN ZIJN GEHEEL LEZEN EN HUN 18 Samenvatting waarschuwing EIGEN CONCLUSIES BETREFFENDE CGMHI TREKKEN. Een belegging in Notes kan belangrijke risico’s met zich meebrengen en risico’s die geen verband houden met een belegging in een schuldinstrument met een vaste hoofdsom, dat ofwel vastrentend is of met een variabele rentevoet, vastgesteld door verwijzing naar de gepubliceerde rentevoetverwijzingen. De risico’s van een specifiek Note zal afhankelijk van de voorwaarden van dergelijke Noten maar kunnen ook houden onder meer in: de mogelijkheid dat er zich belangrijke wijzigingen voordoen in de prijzen van de relevante onderliggende waarde(n) . Zulke risico’s hangen in het algemeen af van factoren waarover geen van de relevante Emittent en wanneer de relevante Emittent CGMHI is, de CGMHI Garant of wanneer de relevant Emittent CGMFL is, de CGMFL Garant geen controle heeft en die niet voorzienbaar zijn, zoals economische en politieke gebeurtenissen en vraag en aanbod met betrekking tot de relevante onderliggende waarde(n). In de voorbije jaren waren de wisselkoersen en prijzen voor verschillende onderliggende waarde(n) zeer volatiel, en deze volatiliteit wordt ook in de toekomst verwacht. Fluctuaties met betrekking tot zulke koersen of prijzen in het verleden wijzen niet noodzakelijk op eventuele fluctuaties tijdens de looptijd van Notes. Het risico van schade ten gevolge van de koppeling aan de desbetreffende onderliggende waarde(n) kan aanzienlijk zijn. Beleggers dienen er rekening mee te houden dat hun investering in Notes, hen zou kunnen blootstellen aan betalingen en / of leveringen die wordt / worden bepaald aan de hand van een of meer waarden van veiligheid indices, de inflatie-indices, grondstoffen indices, grondstoffen, aandelen, aandelencertificaten, op de beurs verhandelde fondsen , beleggingsfondsen, valuta, warrants, proprietary indices (die kunnen worden gelinkt of kunnen verwijzen naar een of meer activa klassen), dividend futures contracten, rentevoeten of andere referentiebasissen van de formules (de Onderliggende Waarde(n), hetzij op directe of omgekeerde wijze, en voor fysiek afgewikkelde Notes kan dit resulteren in de terugbetaling van Notes voor bepaalde activa. 19 Samenvatting DEEL E – AANBOD Element Titel E.2b Gebruik van de opbrengst De netto opbrengst van de uitgifte van de Notes door CGMHI zal gebruikt worden voor de algemene bedrijfsdoelstellingen, bestaande uit het maken van winst. E.3 Algemene voorwaarden van het aanbod De Notes maken het voorwerp uit van een Niet-vrijgesteld Aanbod, waarvan de algemene voorwaarden hieronder en in de toepasselijke Definitieve Voorwaarden zijn uiteengezet. Een Niet-vrijgesteld Aanbod voor Notes kan worden gedaan in België (het Belgische Aanbod) in een periode van (met inbegrip van) 22 februari 2016 tot (en met) 24 maart 2016. Die periode kan naar keuze van de Emittent ingekort worden. De Emittent behoudt zich het recht voor om het Belgische Aanbod in te trekken. De prijs van het aanbod bedraagt EUR 1.020 per berekeningsbedrag. Het minimumbedrag van de intekening is NOK 1.000 in hoofdsom van de Notes. De Emittent mag een aanvraag voor de aankoop van Notes uit hoofde van het Belgische Aanbod geheel of gedeeltelijk van de hand wijzen. E.4 Belangen van natuurlijke personen en rechtspersonen die betrokken zijn bij de uitgifte / het aanbod De Dealer en/of alle distributeurs zullen tot maximaal 6% van de hoofdsom van de Notes betaald worden ten titel van vergoeding voor de uitgifte van de Notes. Voor zover de Emittent weet, heeft geen enkele persoon die bij het aanbieden van de Notes betrokken is, een essentieel belang bij het Aanbod (de Aanbiedingen). E.7 Raming van de kosten die de Emittent of een Erkende Aanbieder aan de belegger zullen doorrekenen De Emittent zal aan de belegger geen kosten doorrekenen. 20
