Do you hold bearer securities in Luxembourg companies?
The new law of 28 July 2014 requires bearer securities in Luxembourg commercial companies,
whether outstanding or to be created, to be henceforth immobilised/registered with a professional
depositary designated by the company. The only bearer securities affected by this law are bearer
shares and units.
The law applies to the following types of Luxembourg commercial companies, whether listed or
unlisted:
 sociétés anonymes (public limited companies - SA), sociétés commandites par actions
(general partnerships limited by shares - SCA)
 les sociétés d’investissement à capital variable (open-ended investment companies - SICAV)
 les sociétés d’investissement à capital fixe (closed-ended investment companies - SICAF)
 les sociétés d’investissement en capital à risque (venture capital investment companies SICAR)
 les fonds d’investissements spécialisés (specialised investment funds - FIS)
If you hold bearer securities in such companies, you must have your physical securities immobilised
with the depositary designated by the issuing company. This immobilisation involves:
 the physical transfer of the bearer securities by the shareholder to the designated depository
 the registration of the bearer as shareholder in a company-specific register held by the
designated depository
If you own bearer securities in non-Luxembourg companies, you are not affected by this law.
If you do not immobilise your bearer securities:


From 19 February 2015, the rights attached to your securities (voting, dividends) will be
suspended until they are immobilised/registered with the depository.
From 19 February 2016, the issuing company will be obliged to cancel any non-immobilised
securities you hold. The funds corresponding to these cancelled securities or, failing that,
other assets of value equivalent to that of the cancelled securities, will be deposited with the
Caisse de Consignation until such time as a person who can duly establish their rights as
bearer requests their restitution.

securities for details of the designated depositary, or obtain this information by checking:

Do you hold Banque Générale du Luxembourg bearer securities?
These securities are covered by the new law.
We advise you to change your Banque Générale du Luxembourg bearer securities into
nominal securities.
In order to change your bearer securities into nominal securities, please:
- Contact one of the following BGL BNP Paribas branches or private banking offices: Royal
Monterey, Esch/Centre, Ettelbruck, Grevenmacher, Kirchberg, Strassen and d’Villa, or call

- Book an appointment with this branch or private banking office for handing over your bearer
securities, or to schedule their release if they are deposited with BGL BNP Paribas

In any event, you must hand over your physical Banque Générale du Luxembourg securities to have
them changed into nominal securities.

If the Banque Générale du Luxembourg bearer securities you hold are deposited with us, instruct
