The Group’s activity profile over the last twelve months matched that of the previous period, with seasonal contrasts marked this year by a longer winter. Consolidated total revenue amounted to 710 million euros i.e., a progression of 18% over the year. Evaluated on a comparable basis, this figure would come to 586 million euros, showing an erosion of -3% which nevertheless remains low; spread across all the specialties, it reflects the economic difficulties experienced. This is a purely theoretical evaluation but one which brings to light the strong impact of the new acquisitions, both in terms of level of activity, which was largely positive, and in terms of operating income, i.e., 46 million euros, up by 8%. 004 Strengthened by its business model, the Group has clearly retained all its dynamism. The choice of acquisitions, continued rationalization of its sites and strengthening of its governance have been decisive factors in this regard. I would like to emphasize that in terms of investment none of this would have been possible at the desired level without the raising of the appropriate funds by our financial partners, who are responsive to our rigorous management and ability to meet our business plan. So I would like to close with a message of hope in the Group’s future and confidence in those who sustain and nurture it. Thank you all. L’exercice 2012-2013 s’est déroulé dans un contexte de défaut de croissance particulièrement sensible en France et plus généralement en Europe, zone prépondérante de nos débouchés et de nos implantations. Le profil de l’activité du Groupe au cours des douze derniers mois épouse celui de la période précédente avec ses contrastes saisonniers, marqués cette année par un hiver plus long. Le Chiffre d’Affaires total consolidé s’élève à 710 millions d’euros soit, sur un an, une progression de 18%. Evalué à périmètre comparable, le chiffre s’établirait à 586 millions d’euros, montrant ainsi une érosion de -3% au demeurant faible ; répartie dans tous les types de spécialités, elle est l’expression des difficultés conjoncturelles ressenties. Il s’agit là d’une évaluation toute théorique mais qui fait ressortir l’impact fort des nouvelles acquisitions à l’origine, tant du niveau d’activité, largement positif, que du résultat opérationnel, 46 millions d’euros, en progression de 8%. Conforté par son « Business Model », le Groupe conserve donc à l’évidence tout son dynamisme. Le choix de ses opérations de croissance externe, la rationalisation permanente de ses sites et le renforcement de sa gouvernance ont été déterminants à cet égard. Je veux cependant souligner qu’en matière d’investissements, rien n’aurait été finalement possible au niveau souhaité, sans la réunion des fonds appropriés mis à notre disposition par nos partenaires financiers sensibles à la rigueur de notre gestion et au respect de notre business plan. C’est donc sur un message d’espoir en l’avenir du Groupe et de confiance dans ceux qui le font vivre que je terminerai mon propos. Merci à tous. Pierre Blondeau You have always wagered on international stakes as a source of development. The crisis is global and ongoing, but does its duration alter or accelerate this policy in any way ? The situation of crisis is not experienced by all countries, either at the same time or at the same level of intensity. And the internationalisation of the Group has never been driven merely by a search for new outlets for national products; it also reflects a will to see wide diversification among the external centres of production. I am therefore convinced that this is the wisest policy to cushion the blows of the economic situation and seize opportunities for external growth at the source. In Europe, accessible targets can still be found, which are generally modest in size or comparable to the size of our Group. Outside Europe, the interest undoubtedly lies in targeting large structures, but the distance factor multiplies the potential risks, both in regard to the operational control of such subsidiaries and, on some continents, the advent of unforeseeable local events, whether political, economic or social. 006 In the short term, my thinking is guided by the need to consolidate assets and remain vigilant in regard to opportunities, while prioritizing the rental-services division in the Group, which is open to a more diverse clientele and is less sensitive to the vagaries of a strictly market economy. You say the Group needs to consolidate its assets, which actually means its position as leader and its attractiveness, thus ensuring its competitiveness. With this aim in mind, and in terms of ongoing mobilization, do you see any new sources of savings that have not yet been explored ? Most of the classic internal sources have been under control for some time and this is an ongoing process. What is new is the potential to benefit from the multiplicity of subsidiaries, their international geographical distribution and the economic and social particularities of their locations. I recognize that the many acquisitions carried out in recent years have widened the scope of these sites. To give a fairly recent example, the concrete mixer division was reorganized and rationalized by comparing the different costs of production, both nationally and abroad. This can clearly be extrapolated to other products. The production and marketing centres could also be dissociated. With regard to the service com- panies, special attention is paid to the specific components of production costs, particularly for newly-arrived subsidiaries in the process of integration. Jalmat, an important unit in rental and services for the construction industry, which joined the Group in September 2012, underwent accelerated restructuring. This concerned not only commercial leases but also the fixed and variable components of remuneration. The internal system for reflection and discussion, the so-called PUs (Progress Units) was effectively applied in this instance, particularly the overheads PU, which is mobilized for all the subsidiaries. Finally, to come back to the spirit of your question, I’d like to emphasize that in regard to the Group’s policy of competitiveness, one of the merits of the PU mechanism is its ability to adapt to any new situation. Technical approaches combined with strategic orientations, as you have just mentioned, are one response to the issue of competitiveness. Isn’t another response the adherence of management and more generally of the community of men and women at all levels of responsibility? For some time now I have been emphasizing how important it is for men and women to adhere to an industrial or commercial policy that ultimately affects them. May I recall that the Group has a Altrad 2013 INTERVIEW+INTERVIEW flexible, adaptable management system whose original matrix structure excludes any traditional hierarchical relationship, relying instead on a transverse management system that is open to initiatives and infused with strong corporate values such as team spirit, the culture of change, a taste for performance and technological excellence. To strengthen Group cohesion, and this is very important, not a quarter goes by without a seminar or another type of communication event to involve and inform all the company managers. So when bad weather arrives, as sailors say, no one is caught off guard, everyone finds their own space of autonomy in their field of responsibility, and can react quickly. So how does this work today? The subsidiaries and their managers still benefit from a large degree of independence, with advantages that are threefold: - The workload in the holding company is lightened as the staff numbers increase over the years. - The second effect is the increase in local management responsibility, the managers being in the best position to judge the situation in their area of competence, take direct steps or suggest the most profitable measures for the Group. - Finally, from a more administrative point of view, the subsidiary has all the necessary elements to critically evaluate its results and gage the effectiveness of its reporting method, both for its own purposes and for the holding company. Pour prendre un exemple assez récent, la filière bétonnières a été réorganisée et rationalisée en comparant les différents coûts de productions, nationale et hors frontière. L’extrapolation à d’autres fabrications est bien sûr envisageable. Il peut aussi y avoir dissociation entre pôles de production et pôles de commercialisation. S’agissant des sociétés de service, une attention particulière est portée aux composants spécifiques des coûts de revient surtout pour les filiales récentes en cours d’intégration. Ainsi Jalmat, importante unité dans la location et le service aux entreprises du BTP, entrée en septembre 2012, a vu sa restructuration accélérée. The principles of good governance remain a priority in the steering and development of its activities. The legal restructuring of the two “operational” and “family” holding companies led to the merger-acquisition of the company Altrad SA by the company Altrad Investment Authority SAS, prompted by the desire to strengthen and secure governance. The functions of leadership and control of the Group have been combined under the same legal structure, the prime aim being to fully involve senior management, independent directors and financial investors in developing and conducting overall policy. The same concern to consolidate governance and ensure the continuity of Group management in all circumstances led to the creation of an ad hoc Board which was entrusted with appointing a new CEO in the event of the incapacity of the incumbent CEO, thus avoiding any obstruction within the AIA holding company. It reported a turnover of 43.9 million euros on 31 December 2011. Atika, a German group specialized in the production of equipment for construction, for the building trade and for gardens, with a staff of roughly 136 employees. The group reported a turnover of 30.6 million euros on 31 December 2011. Bragagnolo, an Italian company, specialized in the production of construction equipment, particularly concrete mixers and wheelbarrows, with a staff of 40 employees. Thus activity was 20% below the level of the previous year, with significant monthly variability. Altrad Etais (Dormans, France) The most technical range of products performed well in terms of sales throughout the year. Moreover, the installation of a laser tube in 2013 resolved two major issues on the site: the need for better responsiveness and for a process incorporating the specific requirements that are increasingly requested by customers. The company is also seeking to further develop its top of the range products with high added value. Moreover, the financial difficulties of one major customer forced the company to stop delivering during the year, to curb the possible risks of business failure, thus depriving it of significant recurrent turnover. Thus business was down by about 10% compared to the previous year. Nevertheless the short term outlook suggests an increase in activity. Altrad Plettac (Grossrächen, Germany) The high increase of manufactured volumes at the end of 2012 did not fail to affect production at the beginning of the year. Adjustments had to be made in response to sales levels, which proved to be lower than expected. The installation of a second laser tube at the beginning of 2013 not only led to cost reductions but also to improvements in the flexibility of the production tool and a review of site flows by separating the cutting and welding activities into 2 different buildings. Production capacity was not fully exploited. The margin may thus be allocated to the manufacture of scaffolding to supply the stock of equipment held by the rental and services subsidiaries. Altrad Mostostal (Siedlce, Poland) The setting up of a second deck production line had the effect of greatly increasing the site’s steel deck production capacity. The Group thereby doubled production (650,000 units) and considerably reduced its dependence on external suppliers, while controlling production costs. Thanks to the installation of a new laser tube, manufacturing flows have improved and production costs significantly reduced. Thus the Polish site remains flexible and can still meet the market demand, respect lead times and adjust rate of production. Altrad Cedria (Borj Cedria, Tunisia) The site was disrupted by the economic and social situation in Tunisia in early 2013. Nevertheless, as an example of investment continuity, the installation of a laser tube in 2013 led to the better phasing of manufacturing, which improved the output of items produced. In addition, the site was expanded with the acquisition of a property near the existing premises and new production of scaffolding components was launched, to take advantage of the low cost of direct labour. Altrad Alucon (Hodmezovasarhely, Hungary) This site, specialised in manufacturing aluminium products, experienced a positive trend in volumes, due to a growing demand for aluminium scaffolding. Production capacities were widely utilized and this will continue to be the case. OUTLOOK The level of activity is not likely to change significantly in 2013-2014. This year, the results at Samia Devianne rose significantly thanks to the measures taken 2 years ago: - Refocusing the sales network on its core business i.e. manufacturing and marketing grandstands. - Working in partnership with an external supplier to create a seating range for telescopic grandstands. - Selecting tender dossiers based on the strengths of the company. Bragagnolo (Rossano Venetto, Italy) In view of the very deteriorated situation of the local economy, it was necessary to reorganize operations in Italy. To keep production costs in line with the market, the Group’s lowcost sites were mobilized. The Bragnolo site is now devoted to painting and mounting activities close to its market. Belle (Sheen, United Kingdom) The year 2012-2013 was marked by the launch of new products (duplex roller, rammer). The integration of these products experienced some difficulty at the start but the commitment of the whole team allowed these problems to be overcome and the production lines are now up and running. OUTLOOK Along the lines of continuity, changes in the industrial process in 2013/2014 will revolve around improving site productivity through initiatives such as “lean manufacturing”, but also by transferring labour-intensive operations to low-cost countries. Altrad Poland (Bialystok, Poland) Altrad Poland continued to develop its range, with new high capacity machines for the Russian market. L’entrée de la Croatie dans l’Union européenne en juillet 2013 a permis de simplifier les échanges en Europe, du fait de la suppression des barrières douanières. Pour autant, les projets de cette filiale à bas coût n’en restent pas là. A la manière de Lescha, un transfert de production d’Atika vers Limex vient de démarrer avec un objectif de finalisation pour le printemps 2014. IRBAL (Nariz, Portugal) En début d’année 2013 IRBAL a entrepris la réalisation d’un projet d’amélioration de l’usine, en utilisant la démarche « lean manufacturing ». Ce projet, d’une durée prévisionnelle de 2 ans, permettra d’améliorer fortement la productivité du site, de réduire les niveaux de stocks et d’optimiser l’espace. Assez novateur pour le Groupe, il pourrait n’être qu’une première étape, puisque ce projet a vocation à être dupliqué dans d’autres filiales. 8 SITES INDUSTRIELS DANS 7 PAYS 137 M€ DE CA LESCHA (Burgau, Allemagne) Après le transfert de certaines opérations de découpage et emboutissage en Croatie en 2012, qui ont occasionné quelques difficultés de livraison au démarrage, l’implication des équipes de Lescha et Limex a permis de revenir à une situation satisfaisante. ATIKA (Ahlen, Allemagne) Suite à l’entrée d’Atika dans le groupe en fin d’année 2012, de nombreuses filiales ont commencé à commercialiser les produits de la marque. Cette nouvelle filiale a su développer une activité négoce très importante, grâce à une bonne maîtrise du sourcing en Asie et un service engineering de qualité. Un point clé de la réussite de l’intégration de ses produits dans les autres filiales réside dans le développement rapide du SAV associé. Altrad 2013 LIV (Rogasovci, Slovénie) L’année 2012-2013 a été marquée par l’intégration de la production de bétonnières pour Bragagnolo, afin de profiter des coûts de main d’œuvre particulièrement compétitifs. Les volumes, de l’ordre de 1.500 unités par an, redonnent un peu d’air à ce site qui manquait d’heures de production. D’autres projets d’intégration sont en cours. ALTRAD POLAND (Bialystok, Pologne) Altrad Poland a poursuivi l’évolution de ses gammes, en développant de nouvelles machines de grande capacité pour le marché russe. Ici encore, le Groupe utilise ses synergies industrielles puisque de nombreux composants existants seront utilisés pour le développement de cette nouvelle bétonnière. BRAGAGNOLO (Rossano Venetto, Italie) Compte tenu de la situation très dégradée de l’économie locale, une réorganisation des opérations en Italie s’imposait. Pour conserver des prix de revient en adéquation avec le marché, les sites à bas coûts du Groupe ont alors été mis à contribution. Le site est désormais consacré aux activités de peinture et montage proches de son marché. PERSPECTIVES Sous le signe de la continuité, l’évolution en 2013/2014 du dispositif industriel, s’appuiera sur l’amélioration de la productivité des sites via des initiatives du type « lean manufacturing », mais aussi en transférant dans les pays à bas coût des opérations fortement consommatrices de main d’œuvre. BELLE (Sheen, Royaume-Uni) L’année 2012-2013 aura été marquée par le lancement de nouveaux produits (rouleau duplex, pilonneuse). L’intégration de ces produits s’est faite non sans difficultés au démarrage, mais l’implication de l’ensemble des équipes a permis de les dépasser et les chaînes de production sont en ordre de marche. 037 WHEELBARROWS+LES BROUETTES WHEELBARROWS LES BROUETTES 4 INDUSTRIAL SITES IN 4 COUNTRIES 23 M€ TURNOVER WHEELBARROWS Consistent with its policy, the Group continued its external growth and the wheelbarrow division was no exception, with the acquisition of an Italian company, Officine Bragagnolo, based Rossano Veneto near Venice. The 160,000 wheelbarrows and 1,500 concrete mixers manufactured by the company have added to the capacities and positioning of the Group on the Italian market, which has always been a difficult one for foreign entities to penetrate. This business, taken over in the wake of the financial difficulties of its former owners, immediately caught the attention of the Group, which proceeded to implement a restructuring plan in the first weeks following acquisition. This involved transferring the wheelbarrow tray punching process to the company Altrad Hofmaninger, in Austria, transferring the manufacture of components to Altrad Limex, in Croatia, transferring the mixers to Altrad Liv, in Slovenia, adapting the direct and indirect employees, and dividing management between two Group managers: Altrad Italia for marketing and Altrad Liv for production. After several months of stationary operation the company has regained a balanced position. Other subsidiaries in the wheel- 038 barrow division were also affected by restructuring. Indeed, in an increasingly difficult economic environment the Group had to find solutions to restore oxygen to its French subsidiary, Altrad Richard Fraisse, whose margins were hindered by irreducible production costs and a market that was driving prices down. The Group therefore decided to transform it into an assembly, mounting and painting site. All the production operations were transferred to the subsidiaries Altrad Limex and Altrad Hofmaninger, which are more profitable in terms of production costs. To counter the arrival of low cost Chinese products on the European market, the Group initiated studies into creating a low cost wheelbarrow, whose design was enabled by internal synergies. This product, marketed for several months now, should ensure good sales prospects. LES BROUETTES Constant dans sa politique, le Groupe a poursuivi sa croissance externe, y compris dans le domaine de la brouette, avec l’acquisition d’une société italienne, Officine Bragagnolo, basée à Rossano Veneto près de Venise. Les quelques 160 000 brouettes et 1 500 bétonnières fabriquées par cette société sont venues accroître les capacités et le positionnement du Groupe sur le marché italien toujours difficile à pénétrer par les entités étrangères. Après plusieurs mois de régime stationnaire, la société a retrouvé une position équilibrée. Des opérations de restructuration ont également touché d’autres filiales de la branche brouette. En effet, dans un contexte économique toujours plus difficile, le Groupe a dû imaginer des solutions pour redonner de l’oxygène à sa filiale française Altrad Richard Fraisse, dont les coûts de production incompressibles sur un marché tirant les prix vers le bas empêchent toute marge significative. Le Groupe a donc décidé de la transformer en un site d’assemblage, montage et peinture. L’ensemble des opérations de production ont été transférées vers d’autres filiales, Altrad Limex et Altrad Hofmaninger, plus rentables en terme de coût de production. Pour contrer l’arrivée de produits chinois à bas coûts sur le marché européen, le Groupe a initié des études pour la création d’une brouette dite «low cost», dont la conception a été permise par les synergies internes. Cette dernière, commercialisée depuis quelques mois, devrait assurer de belles perspectives de ventes. Altrad 2013 4 SITES INDUSTRIELS DANS 4PAYS DE CA 23 ME ALTRAD RICHARD FRAISSE+FORT+LIMEX+HOFMANINGER+ Altrad 2013 039 RENTAL & SERVICES+LA LOCATION ET SERVICES RENTAL & SERVICES LA LOCATION ET SERVICES 3 500 EMPLOYES 6 COUNTRIES 344 M€ TURNOVER SCAFFOLD RENTAL & SERVICES The development of the Services division has been an essential part of Group strategy for several years. Previously limited to scaffolding rental activities with or with installation services, this business line was extended with the acquisition of the Jalmat group in September, an important player on the French market for props and formwork. This group made a turnover of 35 M€ through ten active subsidiaries mainly located in France. 2013, the first financial year within the Altrad group, saw the start of integration, the setting up of synergies and the acceleration of restructuring measures. This external growth operation helped to reinforce the services division. Thanks to the acquisitions made during the previous financial year, this division now weighs 350 million € in turnover, up by 26%, and representing 50 % of the overall business of the Group. It now has a stock of rental equipment of over 160,000 tons distributed throughout Europe, representing a considerable force of intervention. Profitability has also progressed significantly. Business performance varied consi- 040 derably depending on geographical area and the situation of the different markets. The subsidiaries located in the UK, a fairly buoyant market, performed well overall, with growth in turnover ranging from 8% to 35%. Among these, Generation and Beaver 84 experienced good growth in both sales and rental. Their efforts to develop the Altrad Plettac scaffolding brand in the local market were particularly successful. The Group, which was virtually absent from the service business in this region three years ago, now has a very significant market share, with over 120 million euros in turnover. It enjoys extensive geographic coverage, via approximately 40 depots and offers a comprehensive range of business, including sales, simple rental with installation and associated services in both Construction and Industry. The Spanish units, Altrad Rodisola and Servindustria still face a very difficult Iberian market. Mainly active in heavy industry (refineries, petrochemicals, etc.) they suffered from a marked drop in demand and competition that is fiercer than ever. In this tense context, Altrad Rodisola managed to maintain a level of business that was virtually on a par with last year. Servindustria, which is much smaller, is losing momentum and will have to merge with Altrad Rodisola. Both companies showed a profit. In Belgium, the subsidiaries in the Balliauw group achieved a turnover of more than 90 million euros, maintaining activity levels in construction and showing a slight drop in industry, in a more uncertain market. In Poland, the rental activities of the Mostostal group, faced with a sluggish market and very aggressive competition, experienced a slowing down in the formwork and scaffolding business. Restructuring is taking place, due to be completed in early 2014, the goal being to optimize operational organization and reduce fixed costs. In France, Comi, penalised by a lack of work in the Saint Nazaire shipyards, nevertheless succeeded in maintaining a turnover level similar to that of last year. Garonne, a small entity located in the Alpes Maritimes defended its interests well in a highly competitive environment. Poujaud, very present in heavy industry, particularly in the nuclear field, had an excellent year with net growth in business compared to the previous year and in relation to the target figures. The prospects appear satisfactory for 2013-2014. Plettac France, whose business is divided between the trade and simple scaffolding rental saw a slowdown in activity, the biggest customers having abruptly curtailed their investments. Soframat Etem managed to offset a significant drop in the trade Altrad 2013 CONSTRUCTIONINDUSTRY CHANTIER BTP BALLIAUW+POUJAUD ALTRAD+JALMAT+ALTRAD RODISOLA+ RENTAL & SERVICES LA LOCATION ET SERVICES +ALTRAD AND+ARNHOLDT+KONSKIE+PRYMAT+GARONNE RENTAL & SERVICES+LA LOCATION ET SERVICES sector with growth in rentals and work in scaffolding and formwork. Finally, Arnholdt, now under new management, underwent changes to improve productivity and profitability. Activity level ended slightly down compared to the previous year. The prospects for 2013/2014 are favourable on the whole. The Iberian, Polish and Benelux markets will continue to be difficult. In France, work in heavy industry will remain at a high level and activity in the construction industry should be bolstered by subsidy schemes for insulation and energy conservation and more generally by measures to promote the construction of social housing. Finally, the UK market will undoubtedly see further significant growth. LA LOCATION D’ÉCHAFAUDAGES ET SERVICES Le développement de l’activité de la branche Services a été une des composantes essentielles de la stratégie du Groupe depuis quelques années. Limité jusqu’à maintenant aux activités de location d’échafaudages avec ou sans prestation de montage, le périmètre de ce secteur d’activités s’est élargi avec Les performances commerciales ont été très contrastées selon les zones géographiques, en fonction de la situation des différents marchés. Les filiales situées au Royaume Uni, marché plutôt porteur, ont de façon générale réalisé de bonnes performances, avec des progressions de chiffres d’affaires allant de +8% à + 35%. Parmi celles-ci, Generation et Beaver 84, ont connu de belles progressions en vente comme en location. Leurs efforts pour développer les échafaudages de marque Altrad Plettac sur le marché local ont été particulièrement couronnés de succès. Le Groupe, qui était quasiment absent des activités de service sur ce territoire il y a encore trois ans, a aujourd’hui, avec plus de 120 millions d’euros de CA, une part de marché très appréciable. Il bénéficie d’une couverture géographique étendue au travers d’environ 40 dépôts, et il offre une palette complète d’activités, à savoir la vente, la location simple, et la location avec montage et services associés, tant dans le « Bâtiment » que dans l’ « Industrie ». Les unités espagnoles, Altrad Rodisola et Servindustria sont restées confrontées à un marché ibérique très difficile. Majoritairement actives dans l’industrie lourde (raffineries, 3 500 SALARIÉS 6 PAYS 344 M€ DE CA l’acquisition en septembre 2012 du groupe Jalmat, acteur important sur le marché français de l’étaiement et du coffrage. Ce groupe réalise un chiffre d’affaires de 35 Me au travers d’une dizaine de filiales actives situées essentiellement en France. Premier exercice au sein d’Altrad, 2013 a vu le début de l’intégration, la mise en place de synergies et l’accélération des mesures de restructuration. Cette opération de croissance externe a contribué au renforcement du pôle « service ». Grâce aux acquisitions conclues lors de l’exercice précédent, cette branche pèse maintenant 350 millions d’e de chiffre d’affaires, en progression de 26%, et représente près de 50% de l’activité globale du Groupe. Celui-ci dispose désormais d’un parc de matériels de location de plus de 160.000 tonnes répartis en Europe qui lui confère une force notable d’intervention. La rentabilité a également très nettement progressé. Altrad 2013 pétrochimie, etc..), elles ont souffert d’une forte baisse de la demande, et d’une concurrence plus que jamais exacerbée. Dans ce contexte tendu, Altrad Rodisola a réussi à conserver un niveau d’activité quasiment équivalent à celui de l’année précédente. Servindustria, de taille beaucoup plus petite est en perte de vitesse, et devrait être fusionnée avec Altrad Rodisola. Les deux filiales restent bénéficiaires. En Belgique, les filiales du groupe Balliauw ont atteint un chiffre d’affaires de plus de 90 millions d’euros, avec un maintien de l’activité bâtiment et une légère baisse dans les métiers de l’industrie, sur un marché plus incertain. En Pologne, les activités location du groupe Mostostal, confrontées à un marché en berne et à une concurrence très agressive, ont connu un ralentissement, dans les métiers du coffrage et de l’échafaudage. Une restructuration est en cours qui s’achèvera début 2014, l’objectif étant une optimisation de l’organisation opérationnelle et une réduction des coûts fixes. En France, Comi, pénalisé par l’absence de travail dans les chantiers navals de Saint Nazaire réussit toutefois à conserver un niveau de chiffre d’affaires proche de celui de l’exercice précédent. Garonne, petite entité située dans les Alpes Maritimes a bien tiré son épingle du jeu dans un environnement très concurrentiel. Poujaud, très présent dans l’industrie lourde et notamment le nucléaire, fait une excellente année, avec une nette progression d’activité par rapport à la fois à l’année précédente et à l’objectif. Les perspectives semblent satisfaisantes pour 2013-2014. Plettac France, dont l’activité est partagée entre le négoce et la location simple d’échafaudages, a vu son activité ralentir, les clients les plus importants ayant brutalement freiné leurs investissements. Soframat Etem a compensé une baisse sensible de sa branche négoce par une progression dans la location et travaux en échafaudages et en coffrages. Enfin, Arnholdt après un management renouvelé a subi des mutations destinées à améliorer productivité et rentabilité. Son niveau d’activité a fini en légère baisse par rapport à l’année précédente. Les perspectives pour 2013/2014 sont globalement favorables. Les marchés ibériques Polonais et Benelux resteront encore difficiles. En France, les travaux dans l’industrie lourde vont rester à un niveau élevé et l’activité liée au bâtiment devrait être soutenue par les plans de subventions pour l’isolation et l’économie d’énergie et plus généralement par les mesures prises en faveur de la construction de logements sociaux. Enfin, au Royaume Uni le marché assurera sans doute encore une croissance significative. 043 TRADE+LE COMMERCE TRADE LE TRADE Another complicated year in an economic context that it would be no exaggeration to describe as gloomy. The crisis is here, it has even set in. It must be reckoned with in order to avoid the harshest consequences. This is the stance that has been adopted. Hence the decision to minimize distribution costs and restructure the production sites to ensure the best level of competitiveness in the face of the competition, which is just as keen to avoid losing market share. At the end of the financial year 2012/2013 the essential question is whether the Group outperformed the market. Performance level is always difficult to self-assess. But it is a useful exercise and one that seems to yield a positive response. What indicators can be used to justify this? • In the BBB division, for example, the trade and DIY distributors announce downward trends of +/- 10% while the subsidiaries show a drop of only 5%. • For business related to Local Authorities, the turnover is stable even though it is public knowledge that local authority budgets in France are falling. However, the future trend in this sector shows no sign of improving. • Service activities decreased by 4% despite all conceivable human efforts to persevere, which in the context can be considered a decent performance. • Finally the “tubular” branch, with direct sales to companies (SME, large 044 COMMERCE companies, rental businesses…) is the one that suffered the most with a decrease of 8% compared to last year. Overall, Group performance decreased by 5% which is significantly better than the figures for the rest of the market. Nevertheless, there are small compensations in this gloomy context. Raw material prices generally remained low and at least below the forecast levels. This allowed margins to be maintained, thus moderating the impact on the companies’ EBIT. Like last year, Southern Europe remains the most affected region, with sagging economies as in the case of Italy, Portugal and Spain. Eastern Europe has also suffered a lot, with trade furthered hampered by a particularly long, cold winter. For its part, France is under pressure and while elsewhere in Europe, Germany remains fairly dynamic, as does Scandinavia moreover, the Benelux countries are beginning to be seriously affected. The prospects for 2013/2014 are not very optimistic and it is very likely that the same reflexes will need to be adopted as in the previous year. The Group continues to build on the confidence of a model that is both flexible and demanding and which, over time, has proven its ability to adapt to the most severe economic turmoil. LE COMMERCE Encore une année compliquée dans un contexte économique que l’on peut, sans exagération, qualifier de morose. La crise est là, elle s’est même installée. Il est donc essentiel d’en tenir compte pour éviter les conséquences les plus dures. C’est la posture adoptée. Ainsi, il a été décidé d’alléger au maximum les coûts de distribution et aussi de restructurer les sites de production, l’objectif poursuivi étant de se doter de la meilleure compétitivité face à la concurrence, tout aussi désireuse de ne pas perdre de parts de marchés. A l’issue de cet exercice 2012/2013, la question essentielle est de savoir si le Groupe a fait mieux que le marché ? Il est toujours délicat d’auto-apprécier un niveau de performance. Cependant, l’exercice est utile et autorise, semble t-il, une réponse positive. Quels sont les indicateurs qui la justifient : • Par exemple, pour la branche BBB, les distributeurs négoce et DIY annoncent des tendances baissières de +/- 10% quand les filiales de ce secteur n’accusent qu’un recul de 5%. • Pour l’activité auprès des Collectivités, le CA est stable alors que de notoriété publique les budgets des Collectivités françaises sont en baisse. Pourtant dans ce secteur, à l’avenir, la tendance n’est pas à l’amélioration. • Les activités Services reculent de 4% malgré tous les efforts persévérants humainement concevables, ce qui dans le contexte, peut être apprécié comme une performance honnête. • Enfin la branche « tubulaire », vente directe auprès des entreprises (PME, grandes entreprises, entreprise de location…) est celle qui souffre le plus avec un recul de 8% sur n-1. Globalement le Groupe recule de 5% soit sensiblement mieux que ce que propose le marché. Toutefois, il y a de petites compensations à ce contexte morose. Les cours de la matière première sont restés généralement bas et en tout cas inférieurs à la base des prévisions. Cela a permis la préservation de la marge, modérant ainsi l’impact sur l’Ebit des sociétés. Comme l’année passée, l’Europe du Sud est toujours la zone la plus affectée avec des économies quasi atones comme en Italie, au Portugal ou en Espagne. L’Europe de l’Est a également beaucoup souffert et un hiver particulièrement long et rigoureux a rendu les échanges encore plus difficiles. Pour sa part, la France connaît de fortes tensions et si dans le reste de l’Europe, l’Allemagne reste assez dynamique, comme la Scandinavie d’ailleurs, le Benelux commence à être sérieusement affecté. Les perspectives pour l’exercice 2013/2014 ne sont pas très optimistes et il y a fort à parier qu’il conviendra d’adopter les mêmes reflexes que ceux de cette année. Le Groupe poursuit en restant confiant dans un modèle à la fois souple et exigeant qui a prouvé au fil du temps qu’il était capable de s’adapter aux soubresauts économiques les plus sévères. Altrad 2013 MARKETS COMMERCER RAW MATERIALS ACTIVITIES ACTIVITIES+MARKETS+RAW MATERIALS+ LOGISTICS+LA LOGISTIQUE LOGISTICS LA LOGISTIQUE LOGISTICS The closing year was once again marked by a strained economic context and unfavourable weather conditions penalizing sales activities in the sector. However, on the whole, the logistics services in the Altrad Group subsidiaries managed to adapt to these economic and climatic fluctuations. In 2012 / 2013 the Altrad Group subsidiary Logistics & Transport again helped the sister companies to control costs, taking charge of flows that had previously been outsourced. The Group’s integrated strategy, operational for 10 years now, gives the sales subsidiaries a guarantee of logistics and distribution services. The Group’s international freight transport system continues to increase its flows from one year to the next, both in terms of organic growth and through the acquisition of new markets. As such, it prioritizes the most efficient means of transport. In keeping with its underlying principle, it ensures the right coordination of intersubsidiary operations to optimize the resources of its subcontractors. In the immediate future and in the months to come, the projects under consideration will focus on the following points: Management of the Progress Unit on Logistics & Transport focusing on cost optimisation and improving quality of service. Note the start 046 of the process to integrate the service companies in the Group, linked with the setting up of an analysis framework for the activities concerned. LA LOGISTIQUE L’exercice qui s’achève aura une nouvelle fois été marqué par un contexte économique tendu et des conditions climatiques peu favorables pénalisant les activités ventes du secteur. Toutefois, les services logistiques des filiales du Groupe Altrad ont généralement bien su s’adapter à ces fluctuations économiques et météorologiques. En 2012 / 2013, la filiale Logistique & Transport du Groupe Altrad a encore contribué à la maîtrise des coûts pour les sociétés sœurs, en prenant en charge les flux précédemment externalisés. l’acquisition de nouveaux marchés. A ce titre, elle privilégie les transports les plus performants. Fidèle à une ligne de conduite constante, elle veille à la bonne coordination des opérations inter-filiales, afin d’optimiser les moyens des sous traitants. Dans l’immédiat et pour les mois à venir, les projets en cours de réflexion portent principalement sur les points suivants ; Gestion de la Progress Unit Logistique & Transport en particulier l’optimisation des coûts et sur l’amélioration de la qualité du service. A noter le démarrage de l’intégration des sociétés de service du Groupe en liaison avec la création du référentiel d’analyse des activités concernées. Chine : Organisation des appels d’offres pour bénéficier du meilleur rapport prix / prestation. Soutien à la Direction Industrielle dans le cadre des opérations de rationalisation. La stratégie intégrée du Groupe, opérationnelle depuis 10 ans, permet d’assurer aux filiales commerciales une garantie de services en logistique et distribution. La centrale d’affrètement des transports internationaux Groupe continue de faire progresser ses flux d’un exercice à l’autre, tant par croissance organique que par Altrad 2013 DISTRIBUTION OPTIMISATION INTERNATIONAL EXCHANGE TRANSPORT SERVICE+LOGISTIQUE+DISTRIBUTION+ SOURCING+LES ACHATS SOURCING LES SOURCING Generally speaking, the past year was marked by the demands placed on the purchasing/procurement teams and the dynamism of the projects carried out. Indeed, the difficult economic situation called for general mobilisation to implement a number of projects and allow the subsidiaries to maintain competitiveness. In Europe, the initiative that began last year to redefine raw material purchasing policy has been successfully followed through in the case of steel. The steel market has a strong influence on the activity of the subsidiaries, both directly (purchase of tubes and coils) and indirectly through the supply of mechanical components, making this a strategic issue. What events marked the year ? Steel production has been subject to severe disruption for the last 3 years; the “principal” markets (automobile and construction) are in crisis. Overall demand has fallen sharply, lowering prices to levels close to those of 2010. Meanwhile the profession, which usually gets its supplies from Ilva, suffered disruptions at the Taranto site, the biggest production site in Europe (closure of the 2 blast furnaces and 1.7 Mt in receivership for almost a year …). This drop affected the financial health of suppliers but the latter were able to benefit from the general drop in the price of raw materials for steel production (iron ore, coal, 048 ACHATS scrap-iron). Extensive restructuring was carried out by the main European steel manufacturers during this period, and closures included tube production sites. However, this drop in potential did not suffice to rebalance the European market, which generally remains in a state of overcapacity. The purchasing strategy set up and the resulting organisation benefits all the entities in the Group. This has proven to be effective and has produced real savings. Before and after negotiation, savings of 350k€ were made throughout the year. These results led to strong support from both subsidiaries and strategic suppliers who also benefited from higher volumes linked to the policy of refocusing which has favoured producers. This approach was extended to other areas such as compliance with quality requirements, respect for deadlines, optimisation of logistics costs and the quarterly assessment of suppliers. Besides the economic aspect, longer term commitments enhance opportunities to optimise logistics. Thus, throughout the year, vigilance was required to take advantage of the drop in direct suppliers’ prices as well as those of the subcontractors who purchase raw materials themselves. To accompany subcontractors there are plans to include certain partners in grouped negotiations. Similar approaches were also applied to other products and services (aluminium, galvanising, painting). Several developmental projects were initiated to help the subsidiaries in each division meet their budgetary requirements. For the BBB division, a major project was carried out on mixer engines. The product range was segmented into sub-projects (standardisation of DIY engines, streamlining of the professional engine range etc). As well as addressing the technical aspects, work was undertaken to qualify new sources and thus secure supplies, while making savings as a result of increased volumes. This work highlighted other areas for improvement which can be dealt with in due course. The sourcing activity in the Altrad group in low cost countries (China, India) was reinforced during the year, with flow concentrated through the subsidiary Altrad Asia (turnover up by 19%) and the acquisition of Atika and Jalmat. This strong progression led to rethinking about the purchasing strategy for each of the customer subsidiaries concerned. Substantive work is in process to meet the requirements of competitiveness, lead time and product quality. The arrival of Atika also led to repositioning the existing methods and strengthening procedures. Relationships with the Chinese partners are structured by contracts and these were reviewed; each reference item is analysed to qualify criticality and define the level of security required (double sourcing). Each new supplier is now qualified and proposed to the customer subsidiaries. The growth of the Altrad group has led to a large increase in the size of the fleet (cars, trucks and forklifts). A special project was initiated to redefine the roles and functions related to fleet management. As the companies in the Group are very diverse in terms of activity and size, a suitable framework was proposed to conduct operations in the subsidiaries and provide a coherent, coordinated, effective system with better cost control, purchasing power and budget tracking. As in previous years, the Group made acquisitions during the course of the year. Projects were set up with the new entities Bragagnolo, Atika and Jalmat on joining the Group: raw material volumes were incorporated into those of the other Altrad entities in the case of Bragagnolo, and quality control operations were transferred to China in the case of Atika. Jalmat became a driving force behind a Temping PU for the Services division. The goal of this PU is to readapt the Group’s purchasing policy in this domain to the new entities and to control the growth of consumption. Beyond producing economies of scale, the subsidiaries are gratified to have sent out a strong message to their service providers. En effet, la conjoncture difficile a nécessité une implication de tous pour mettre en œuvre un grand nombre de projets afin de permettre aux filiales de conserver leur compétitivité. En Europe, l’initiative déjà engagée l’an passé visant à redéfinir la politique d’achat matières premières est maintenant en place pour l’acier. Le marché de l’acier conditionne fortement l’activité des filiales de manière directe (achat de tubes et bobines ) mais également indirectement par l’approvisionnement de composants mécaniques, c’est donc un enjeu stratégique. Quid des événements qui ont marqué cet exercice ? La production de l’acier subit de fortes perturbations depuis 3 ans ; ces marchés « directeurs » (automobile et construction) sont en crise, la demande générale a fortement chuté ce qui induit des prix bas, proches de ceux de 2010. Parallèlement, la profession, qui s’approvisionne habituellement auprès d’Ilva, a subi des ruptures d’approvisionnement du site de Taranto, le plus gros site de production en Europe (fermeture des 2 hauts fourneaux et 1,7 Mt mises sous séquestre pendant près d’un an…). Cette baisse a pesé sur la santé financière des fournisseurs mais ces derniers ont pu bénéficier également de la baisse générale des matières premières pour la production d’acier (minerai de fer, charbon, ferraille). De nombreuses restructurations ont été réalisées par les principaux aciéristes européens, des fermetures de sites notamment de tubistes ont encore eu lieu sur la période. Ainsi, tout au long de l’exercice, la vigilance a été de mise pour profiter des baisses de prix des fournisseurs directs mais également de la part des sous-traitants qui eux-mêmes s’approvisionnent en matières premières. Afin de les accompagner, il est envisagé d’intégrer certains partenaires lors des négociations groupées. Par ailleurs, des approches analogues ont été engagées sur d’autres produits ou services (aluminium, galvanisation à chaud, peinture) Plusieurs chantiers structurants ont été initiés afin de permettre aux filiales de chaque branche de répondre à leurs exigences budgétaires. Pour la branche BBB, un chantier important a été mené sur les moteurs de bétonnière. Les gammes des produits ont été segmentées en sous-projets (standardisation des moteurs DIY, rationalisation de la gamme moteur professionnel, etc). En complément de ces travaux techniques, l’action menée a permis de qualifier d’autres sources et ainsi sécuriser les approvisionnements tout en réalisant des économies liées à une augmentation des volumes. Ces travaux ont fait ressortir également des pistes d’amélioration qui pourront par la suite être mises en œuvre. d’Atika a également permis de repositionner les méthodes en place et renforcer les procédures. Les relations avec les partenaires chinois sont structurées par des contrats qui ont été revus ; chaque référence est analysée afin de qualifier sa criticité et ainsi définir le niveau de sécurisation à mettre en place (double sourcing). Chaque nouveau fournisseur est dorénavant qualifié et proposé aux filiales clientes. La croissance du groupe Altrad a amené un fort développement du parc roulant (auto, camions et chariots). Un projet spécifique a été initié induisant une redéfinition des rôles, des fonctions liées à la gestion du parc roulant. Les entreprises du Groupe étant très diversifiées aussi bien dans leurs activités que dans leur dimension, un cadre de travail adapté a été proposé afin de réaliser des opérations dans les filiales pour obtenir un ensemble cohérent, coordonné et efficace permettant une plus grande maîtrise des coûts, une puissance d’achat, et un suivi budgétaire paramétré. Comme les années passées, le Groupe a réalisé des acquisitions au cours de l’exercice. Dès leur entrée dans le Groupe, des chantiers ont été initiés avec les nouvelles entités Bragagnolo, Atika, et Jalmat : massification des volumes de matières premières avec les volumes des entités Altrad pour Bragagnolo, transfert d’opérations de contrôle qualité en Chine pour Atika. Jalmat a été moteur pour piloter une PU Intérim pour la branche Service. L’objectif de cette PU vise à réadapter la politique achat du Groupe dans ce domaine aux nouvelles entités et maîtriser la croissance des consommations. Au-delà des économies d’échelle qui en découleront, les filiales sont satisfaites d’avoir ainsi pu donner un signe fort auprès de leurs prestataires. L’activité sourcing du groupe Altrad dans les pays à bas coûts (Chine, Inde) s’est renforcée au cours de l’exercice, par une concentration des flux par la filiale Altrad Asia (CA en croissance de +19%) et par l’acquisition d’Atika et Jalmat. Cette forte progression a nécessité de repenser la stratégie d’achat pour chacune des filiales clientes concernées. Un travail de fond est en cours afin de répondre aux exigences de compétitivité, délais et qualité des produits. L’arrivée 051 INNOVATION SYNERGIES COMPLEMENTARITY MEASURES PROGRESS +AMÉLIORER+ENSEMBLE+DÉVELOPPER+MÉTHODE PROGRESS UNITS+LES CELLULES DE PROGRÈS PROGRESS UNITS LES CELLULES PROGRÈS PROGRESS UNITS DE For seven years now, the think tanks known as “Progress Units” or PUs have demonstrated their value as real management tools, fully integrated into the Altrad Group matrix system. Like the “company manager” or the “transversal holding team”, the PUs represent one of the pillars of the Altrad organization. These working groups are made up of representatives from the subsidiaries and the transversal team as well as external consultants, each an expert in his or her field. Their purpose is to work on set themes to exploit potential synergies and optimize the overall competitiveness of the Group but also to foster cohesion between the subsidiaries. the necessary period, the so-called “integration period”. The PU system once again proved its effectiveness, obtaining satisfactory results, whether in the context of trade, production, purchasing and sourcing, logistics, IT systems or controlling overheads. The year was marked by the progress of work already in hand and the creation of new PUs (temporary ones, in particular). Temporary PUs are designed to focus on a given project and to disappear once the project is brought to completion. Provisional PUs were set up to facilitate the incorporation of companies that had just joined the Group. This speeded up the integration process, laying down Group rules and procedures in the subsidiaries concerned and enabling the managers to quickly learn and assimilate these procedures. The work benefits from close collaboration between managers and members of the holding during During the financial year the Group also made a conscious effort to revive the original PU network. Stimulating the network entails better monitoring, closer attention to form and better coordination of all the work on the part of the holding. A manager has therefore been appointed to coordinate the PUs, with a mission to ensure that the measures taken are consistent with the target objectives and that all the recommendations contribute to optimizing the competitiveness of the Group. Altrad 2013 In the same spirit, provisional PUs were created, this time aimed at companies “in difficulty” whose results were not in line with objectives. The idea is that once the problem has been identified, a team of specialists is quickly mobilised to ascertain the causes and propose and implement appropriate action plans. The PUs dealt with aspects of production, purchasing or logistics. They provided an effective response to the difficulties that had been identified, and the rapid mobilization of this type of PU encouraged quick decision making and appropriate action. LES CELLULES DE PROGRÈS Depuis maintenant sept années, les groupes de réflexion appelés « Progress Units » ou encore PU’s démontrent qu’il s’agit d’un véritable outil de management, parfaitement intégré dans le système matriciel du Groupe Altrad. Au même titre que le « chef d’entreprise » ou encore l’ « équipe transversale holding », les PUs représentent un des piliers de l’organisation Altrad. Ces groupes de travail composés de représentants de filiales, de transversaux et de consultants externes, chacun expert dans son domaine. Ils ont pour objectif de travailler sur des thématiques déterminées, afin d’exploiter au mieux les synergies éventuelles, d’optimiser la compétitivité globale du groupe, mais également de favoriser la cohésion entre les filiales du groupe. Une fois de plus le système des Pus a prouvé son efficacité, et obtenu des résultats satisfaisants, que ce soit dans le domaine du commerce, de la production, des achats et du sourcing, de la logistique, des systèmes d’information ou encore de la maîtrise des frais généraux. L’exercice a été marqué par le développement des travaux en cours, mais également par la création de nouvelles Pus (temporaires notamment). Les Pus temporaires sont destinées à travailler sur un projet donné, et sont amenées à disparaitre une fois le projet mené à son terme. Ainsi des PUs provisoires ont été créées pour favoriser l’incorporation des sociétés venant de rejoindre le Groupe. Ceci a eu pour effet d’accélérer fortement le processus d’intégration, par la mise en place des règles et procédures Groupe au sein des filiales, et par l’apprentissage et l’appropriation rapide de celles-ci chez les directeurs des filiales concernées. Ces travaux bénéficient d’une étroite collaboration entre les managers et les membres de la holding pendant la période nécessaire, dite « période d’intégration ». Dans le même esprit, des PUs provisoires ont vu le jour, en direction cette fois des sociétés dites « en difficultés », dont les résultats ne sont pas conformes aux objectifs fixés. L’idée est qu’une fois le problème circonscrit, une équipe de spécialistes se mobilise rapidement afin d’en identifier les causes, puis de proposer et de mettre en place des plans d’actions adéquats. Ceux-ci peuvent concerner le commerce, la production, les achats ou encore la logistique. Ils ont permis de réagir de manière efficace sur certaines difficultés décelées, la mobilisation rapide d’une telle PU favorisant la prise de décisions rapide et la mise en place d’actions adaptées. Durant l’exercice, le Groupe a également eu la volonté de redynamiser ce dispositif original que représente le réseau des PUs. La stimulation du réseau passe, en effet, par un meilleur suivi, un meilleur formalisme, et une meilleure coordination de l’ensemble des travaux de la part de la holding. Ainsi, un manager est désormais en charge de l’animation des PUs, avec pour mission de s’assurer que les mesures mises en œuvre sont cohérentes avec les objectifs fixés, et que toutes les préconisations contribuent à l’optimisation de la compétitivité du Groupe. 053 INTERNAL AUDIT & RISK MANAGEMENT+L’AUDIT INTERNE ET LE MANAGEMENT DES RISQUES INTERNAL AUDIT MANAGEMENT L’ INTERNE ET LE MANAGEMENT AUDIT DES RISQUES & RISK INTERNAL AUDIT The turmoil in the economic environment in recent years has obliged the Altrad Group to further strengthen its internal control system, which has indeed always been an essential part of its culture. This control is multi-purpose in design: risk analysis, mastering growth, the critical examination of management methods… Thus, internal control, which consists of constantly adjusting to ensure that the most appropriate management styles are applied, provides reasonable assurance that the financial information is reliable, that legislation and internal rules are respected and that the main cycles articulate together efficiently and effectively. During the year 2012-2013 the Altrad group refined its methods of internal control. To do so, it equipped itself with a management charter, a new strategic guidance document and transversal management that is fully aware of the various aspects: risk, transparency and performance. The Group set up a series of new procedures throughout the year, but also ensured the standardization of its methods and modes of operation. At the same time the Group’s procedures were incorporated in the newly acquired entities. In parallel, and in the continuity of the savings plan launched last year, transversal management worked on strategic optimisation, 054 including the discussions initiated on the industrial restructuring of the Group, strengthening the Services Progress Unit and the strict monitoring of specific plans. Raising awareness of the internal auditing process remains a key objective in the proactive, structuring policy pursued by the Altrad Group. Organized around a dynamic system, it must continuously adapt to the internal or external influences of its environment. L’AUDIT INTERNE Les soubresauts connues ces dernières années par l’environnement économique du groupe Altrad ont obligé celui-ci à renforcer encore son dispositif de contrôle interne, d’ailleurs depuis toujours élément primordial de sa culture. Ce contrôle est à vocation multiple : analyse des risques, maîtrise de la croissance, examen critique des méthodes de management,… Ainsi, le contrôle interne, qui consiste notamment à ajuster en permanence les systèmes de management les plus appropriés permet de donner l’assurance raisonnable que l’information financière est fiable, que la législation et les règles internes sont respectées et que les principaux cycles s’articulent non seulement de manière efficace mais également efficiente. Le groupe Altrad a, sur l’exercice 2012-2013, affiné ses méthodes de contrôle interne. A cet effet, il a notamment été doté d’une charte de management, d’un nouveau document d’orientation stratégique et d’une direction transversale sensibilisée sur tous les sujets : risques, transparence et performance. Le Groupe a procédé tout au long de l’exercice à la mise en place des nouvelles procédures, mais surtout a veillé à l’homogénéisation des méthodes et des modes opératoires. Dans le même temps, les procédures Groupe ont été intégrées dans les entités nouvellement acquises. En parallèle, et dans la continuité du plan d’économies lancé l’exercice dernier, la direction transversale a pris en charge des travaux d’optimisation stratégique, avec notamment, la réflexion engagée sur la restructuration industrielle du Groupe, le renforcement de la Progress unit Services et enfin le suivi strict des plans spécifiques. Sensibiliser à la démarche de l’audit interne, reste un objectif clé de la politique volontariste et structurante poursuivie par le Groupe Altrad. HR management has to take account of this particular business context, with its international dimension, when ensuring the proper coordination between legislations that may differ from one country to another, requirements related to industrial constraints or service provision and the monitoring of budget lines that are ultimately defined by senior management. For its part, the Group voluntarily places trust in its employees, recognizing and measuring competence in ways that are not only tied to qualifications, in a context where Altrad 2013 there is scope for employees to negotiate their expertise and their place in the production process or the provision of quality service. The matrix organisation that has been set up, where responsibilities are decentralised, is conducive to a high level of responsiveness and creativity and the overall performance of the Group. The experience gained in this area is all the more valuable in view of the fact that 2013 was particularly rich in the publication of new laws, regulations and directives and that investment in human resources has increased from year to year with the entry of new subsidiaries. Thus, staff numbers that represented 428 people 20 years ago doubled to 900 employees ten years later, to reach over 6,000 on 31 August 2013, a third of whom are based in France. This development reflects the Group’s strong will to increase its growth policy. Communication, dialogue, cooperation and trust remain the key pillars of Human Resources Management and must accompany the integration of new companies into an established entity. To promote communication and find the best ways of involving employees in the collective spirit, the HR department has set up a new communication tool: the ID ‘ RH committee (Initiatives & Development of Human Resources). With the rapid development of the Group, the reporting and steering systems have had to be adapted accordingly. The reliability of information transmitted by the subsidiaries and the relevance of indicators provided to general management are seen as key success factors for the sustainability and growth of the Group. Management control was structured during the year and now covers all the Group’s activities. Competence building and management control studies concentrated on the service activities. Now a major division of strategic importance, it became the focus of attention during this period, with the development of new indicators (monitoring of rental stock, analysis of margins, productivity, etc.). A management controller is dedicated to monitoring and optimizing these activities, providing operational support for the subsidiaries and strategic support for general management. 060 FINANCE In a difficult economic environment it is crucial to control overheads in order to reach objectives. With this aim in mind, management control continued the work that had already begun, i.e. detailed four-monthly monitoring of all overhead costs, with a particular focus on certain items linked to operational projects (Car fleet, IT, etc.). This allows any excesses to be detected early and corrective action to be taken accordingly. More generally, management control decided to carry out special monitoring of the EBITDA of the subsidiaries and the Group. This indicator targets both operations and cash and has become a staple in our financial and economic environment. The concept of EBITDA was communicated to all the managers in the Group, and all the subsidiaries are now aware of the common goal of maximising global EBITDA. In terms of communication, management control has redesigned its monthly reporting format to make it easier to read and better adapted to the demands of its financial partners, in particular. FINANCIAL MANAGEMENT The previous year ended with the setting up of a new structured credit arrangement with an extended banking syndicate for the sum of 180 M€, integrating new financial establishments, both French and international. The Group was thus able to secure resources of 150 M€ dedicated to financing expansion, and to renew its financing requirements of 30 M€ to be allocated as operating capital. The external growth operations carried out this year and those whose negotiations were completed at the beginning of the financial year 2013/2014 took up the entire share of available syndicated financing, i.e. 100M€. In parallel, the Group has moved toward a new source of funding with the launch of a debenture loan, set up in October 2013. This has been a rewarding experience for both General Management and Financial Management. It has made it possible to raise funds of 100 million euros, with a repayment horizon of seven years, which is a relatively comfortable basis for financing the Group’s development. To take the new parameters into consideration, the 3-year business plan was largely modified to include forecasts for internal and external growth as well as the new financing arrangements. Special attention was also paid to the ratio levels defined with the financial partners. Finally, work on the financial monitoring matrix to update the net debt level and determine cash requirements has made the financial projections reliable. Thus, the reporting carried out by Management Control and Finance Management, by constantly adapting to changes in the Group’s scope of activities, is able to provide General Management with the refined elements it requires for decision-making, while providing the subsidiaries with tailored indicators. As growth prospects are always in the news in the Group, it applied for a new loan from its banking syndicate for the sum of 150 M€, to continue to secure its drawing capacities to fund the targets currently being studied. Le rapide développement du Groupe a nécessité une adaptation en conséquence du système de reporting et de pilotage. La fiabilité des informations remontées des filiales et la pertinence des indicateurs fournis à la direction générale apparaissent comme étant des facteurs clés de succès pour la pérénisation et la croissance du Groupe. Le contrôle de gestion s’est structuré durant l’exercice, et couvre désormais l’intégralité des activités du Groupe. Le développement des compétences et des études du contrôle de gestion s’est orienté vers les activités de services. Cette branche devenue majeure et stratégique, a fait l’objet d’un focus particulier sur la période écoulée, par le biais de l’élaboration de nouveaux indicateurs (suivi des parcs locatifs, analyses de marges, productivité, etc…). Un contrôleur de gestion est dédié au suivi et à l’optimisation de ces activités, en tant que support opérationnel des filiales, et support stratégique de la direction générale. axé exploitation et cash, est devenu un incontournable dans notre contexte financier et économique. Despite the recent, slightly more positive trends as in the case of Spain and to a greater extent Germany and the United Kingdom, degraded situations persist in the construction industry in Italy for example, as well as in France, where there has been little response to financial or tax incentives. The hint of recovery last spring proved short-lived. Nevertheless, the economic trend in France, however much concern this has caused since early autumn, only influences the Group’s figures by 39%. And while the current financial year has got off to a hesitant start, it will still be necessary to meet the needs for investment in equipment whose renewal had been deferred and to rebuild stock for a clientele that has been very hesitant up to now. Outside France, representing 61 % of the Group’s activity, there seem to be more indications of a return to normal in house building - new and renovated, while the encouraging signs of recovery in the UK and Germany appear to be continuing. Reality is reflected in the most positive way in another key area that is favourable to the Group, i.e., its clear orientation towards rental-service, whose share has increased year-on-year by 27% and now stands at 48% of total turnover. Indeed, this sector has been extended to all types of clientele: in construction – for new or rehabili 070 PRÉVISIONS tated, residential or non-residential purposes, in specialised industrial installations - port, nuclear, petrochemical, or in public amenities. Moreover, in difficult times, renting equipment is often a substitute for direct purchase, to cushion the impact of the crisis. Ultimately, forecasting in the Altrad Group primarily depends on a variable: the expected level of growth in France and outside France, which recently seems to be emerging from its lethargy (+0.5% estimate issued by the Bank of France for the fourth quarter of 2013). This growth still needs to spread significantly to the construction industry. It also depends on a set of constants: the Group’s widely-recognized responsiveness, its business intelligence and principles of development, constants that are well served by a strong financial position and dynamic, rigorous management. Under these conditions, the Altrad Group foresees, in the short term, an overall economic context that will remain fairly volatile but perhaps less contrasted in Europe where demand is expected to pick up. It can target a turnover of at least EUR 800 million, i.e., an increase of 12% based on the effect of economic conditions and the rise of the important new subsidiaries that are being integrated. LES PRÉVISIONS L’année écoulée a été confrontée à une atonie économique devenue chronique en Europe. Face à quelques tendances récentes légèrement plus positives comme en Espagne et plus marquées en Allemagne et au Royaume-Uni, persistent encore dans le BTP des situations toujours dégradées, en Italie par exemple, ainsi qu’en France peu sensible aux stimulations financières ou fiscales mises en place. Une velléité de reprise au printemps dernier s’est avérée sans lendemain. Cependant, l’évolution de la conjoncture en France pour préoccupante qu’elle soit depuis le début de l’automne, n’influe sur le Groupe qu’à hauteur de 39%. En outre, si les débuts du présent exercice paraissent hésitants, il faudra bien que soient satisfaits les besoins d’investissements en matériel dont le renouvellement avait été différé et les nécessaires reconstitutions de stocks d’une clientèle jusque là très prudente. Hors France, soit 61 % de l’activité du Groupe, la construction individuelle -neuf et rénovation- parait en meilleure voie de normalisation tandis que des signes encourageants de reprise en Grande-Bretagne et en Allemagne s’inscrivent semblet-il dans la durée. La réalité la plus positive réside dans un autre domaine essentiel favorable au Groupe, à savoir son orientation affirmée vers la location et les services dont la part a progressé de 27% d’une année à l’autre et qui représente maintenant 48% du chiffre d’affaires total. En effet, il s’agit d’un secteur élargi à tous types de clientèle : construction - neuf ou réhabilitation- résidentiel ou non, installations industrielles spécialisées - portuaires, nucléaires, pétrochimie - ou aménagements publics. Egalement, dans les périodes difficiles, la location de matériel représente souvent un substitut à l’achat direct, et constitue un amortisseur de crise efficace. En définitive, toute vision prospective du Groupe Altrad est d’abord fonction d’une variable : le niveau de la croissance prévue, France et hors France, qui depuis peu apparait sortir de sa léthargie (+0.5% estimation Banque de France 4ème trimestre 2013). Encore convientil que cette croissance se diffuse de façon significative au secteur du BTP. Elle est aussi fonction d’un ensemble de constantes : la rapidité de réaction du Groupe largement reconnue, sa veille économique, sa logique de développement, constantes bien servies par une solide situation financière et un management dynamique et rigoureux.Dans ces conditions, le Groupe Altrad envisage, pour le court terme, un contexte économique général encore assez volatil mais peut-être moins contrasté en Europe où la demande devrait se faire plus active. Il peut viser un chiffre d’affaires d’au moins 800 millions d’euros soit une progression de 12% justifiée par l’effet de conjoncture et par la montée en puissance des nouvelles et importantes filiales en cours d’intégration.
