An arbitration clause that designates two bodies of arbitration rules is not “manifestly inapplicable”: On June 4, 2009, the French Cour de cassation confirmed that an arbitration clause that designated two bodies of arbitration rules was not “manifestly inapplicable”. Therefore, pursuant to the principle of compétence-compétence, the lower courts lacked jurisdiction to rule on its validity. Un contrat conclu en 2000 entre les sociétés UOP et Naphtachimie contenait une clause qui prévoyait le règlement des différends conformément aux règles de l’Association Française d’Arbitrage (AFA) dans son premier paragraphe et qui visait les règles de la Chambre de Commerce International (CCI) dans le second. A 2000 contract between UOP and Naphtachimie contained a clause which designated arbitration under French Arbitration Association (AFA) rules in the first paragraph and Internationa Chamber of Commerce (ICC) rules in the second. This solution echoes the one adopted by a Court of Appeal of Singapore in Insigma v Alstom, which gave effect to a clause which stiplated SIAC arbitration under ICC rules. Doubts on the jurisdiction of administrative courts over international: The Conseil d’Etat (French administrative Supreme Court) recently decided to refer to the Tribunal des conflits the issue of jurisdiction to rule on an appeal against an international award involving a public institution. INSERM brought before the Conseil d’Etat an application for annulment of an arbitral award rendered in a dispute against the Saugstad Foundation, a Norwegian association. On November 13, 2008, the Court of Appeal of Paris had accepted jurisdiction but had dismissed the application for annulment of the award. L’INSERM avait saisi le Conseil d’Etat d’une demande d’annulation d’une sentence arbitrale rendue dans le cadre d’un litige qui l’opposait à la Fondation Saugstad, association de droit norvégien. Le 13 novembre 2008, la Cour d’appel de Paris s’était reconnue compétente mais avait rejeté la demande d’annulation de cette sentence arbitrale. INSERM subsequently appealed to the Conseil d’Etat on the grounds that the contract was administrative. But for the Conseil, “these issues raise serious difficulties (and) . . . must, therefore, be referred to the Tribunal des conflits. . .”. L’INSERM a par la suite saisi le Conseil d’Etat en invoquant le caractère administratif du contrat. Pour ce dernier, « ces questions soulèvent des difficultés sérieuses (et ) . . . il y a lieu, par suite, de renvoyer au Tribunal des conflits ». COURTS: EUROPEAN UNION MEMBERS TRIBUNAUX JUDICIAIRES : ETATS MEMBRES DE L’UNION EUROPEENNE PORTUGAL: The suspension of arbitral proceedings does not entail the suspension of the time limit for the issuance of an award: In this case, the chair of an arbitration panel had informed the parties of his withdrawal, due to health issues. Its replacement led to delays in proceedings and the award was rendered after the time limit set forth in the arbitration agreement. PORTUGAL : La suspension de la procédure arbitrale n’entraîne pas la suspension du délai de reddition d’une sentence : En l’espèce, le Président d’un tribunal arbitral avait informé les parties de sa démission pour raisons médicales et avait du être remplacé, ce qui avait entraîné des retards dans la procédure. The Supreme Court recently held that the deadline for an award is a substantive term, not a procedural term. Thus, the suspension of arbitral proceedings does not entail the suspension of the time limit for the issuance of the award, except in cases specified by law or if the parties agree to do so. UNITED KINGDOM: The phrase “final, conclusive and binding” in an arbitration clause should not be construed as a waiver of appeal against the award: On August 7, 2009, in Shell Egypt Manzala GmbH v Dana Gas Egypt Limited (formerly Centurion Petroleum Corp) [2009] EWHC 2097 (Comm), the High Court held that the phrase “final, conclusive and binding” in an arbitration clause should not be construed as an agreement to exclude an appeal against the award. These words simply illustrate the fact that the award is binding and creates a res judicata. Une sentence arbitrale rendue en mars 2009 avait mis fin à un différend entre deux filiales de Shell et une société gazière opérant en Egypte. Shell avait par la suite saisi les Cours anglaises conformément à l’article 69 de la Loi sur l’arbitrage, qui, s’il n’a pas été exclu expressément par les parties, prévoit une procédure d’appel. An award rendered in March 2009 ended a dispute between two Shell subsidiaries and a natural gas company operating in Egypt. Shell then brought an appeal before the British Courts, pursuant to s.69 of the Arbitration Act, which, if not waived by agreement, gives parties the right to appeal. Relying on the 2006 case, Essex County Council v Premier Recycling Ltd [2006] EWHC 3594 (TCC); [2007] B.L.R. 233, the High Court held that “If the parties wish to exclude the right of appeal or exercise any other ‘opt in’ or ‘opt out‘ provisions in the Arbitration Act, they should set out that agreement in clear and unambiguous language in the arbitration clause”. Le tribunal arbitral a alloué 1,9 milliards d’euros à Vivendi. UNITED KINGDOM: Regulation 1246/2000 and arbitration: The British High Court recently held that an LCIA tribunal was right to apply English law and to decide that arbitration between Vivendi and Elektrim should proceed after the latter went bankrupt. The arbitration tribunal awarded Vivendi e1.9 billion. L’administrateur judiciaire de la société polonaise Elektrim avait reproché aux arbitres de n’avoir pas appliqué la loi polonaise. The Bankruptcy administrator of the Polish company Elektrim had argued that arbitrators should have applied Polish law. © 2009 Thomson Reuters (Legal) Limited and Contributors 769 ARBITRAGE INTERNATIONAL ET AUTRES MODES DE REGLEMENT DES CONFLITS Article 4 of Regulation 1246/2000 on Bankrupcy in the European Union states that the law applicable to “insolvency proceedings and their effects”, specifically the effect on current contracts, is the law of the Member State where the proceedings were launched. Pursuant to art.15, the effect of insolvency proceedings on lawsuits pending is governed by the law of the state where the suit is taking place. L’article 4 du Règlement 1246/2000 sur la faillite dans l’Union européenne dispose que la loi applicable aux « procédures d’insolvabilité et à leurs effets », en particulier sur les contrats en cours, est la loi de l’Etat membre dans lequel la procédure a été initiée. L’article 15 soumet l’effet d’une procédure d’insolvabilité sur les instances en cours à la loi de l’Etat dans lequel la procédure se déroule. The Court held that each article has its own sphere of operation and that if a legal action has begun against the insolvent company, it is “natural and understandable” that that country’s law should govern the fate of the proceedings. Pour la Cour d’appel, chaque article possède son propre domaine d’application et dans l’hypothèse où une action en justice a débuté dans un Etat membre, il est « naturel et compréhensible » que le droit de ce pays régisse le sort de la procédure. It also dismissed an argument that the nature of « loi de police » of the Polish law, which invalidates all of a company’s arbitration agreements once it goes bankrupt, means that the law designated by art.4 should apply. La Cour a également rejeté l’argument selon lequel le caractère « de police » de la loi polonaise, qui invalide toutes les conventions d’arbitrage conclues par une société une fois la faillite déclarée, entraînerait l’application de la loi désignée par l’article 4. This décision contrasts with the ruling of the Swiss Federal Tribunal, which terminated an ICC arbitration in Geneva between Elektrim and Vivendi. Cet arrêt contraste avec celui rendu par le tribunal fédéral suisse, qui a mis fin à l’arbitrage CCI entre Elektrim et Vivendi. SWEDEN: Withdrawal of a claim and arbitration agreement: On June 9, 2009, the Svea Court of Appeal set aside an arbitral award in which the tribunal held that it lacked jurisdiction to hear a dispute between the Stockholm School of Economics and Mr Hederstierna, its former Director. After his contract was terminated in 2003, the latter initiated arbitration proceedings against the school asking for compensation, including additional pension benefits and termination compensation. Following a cocounsel, he dropped the requests related to the latter. SUEDE : Retrait d’une demande et survie de la clause compromissoire : Dans un arrêt du 9 juin 2009, la Cour d’appel de Svea a annulé une sentence par laquelle un tribunal arbitral se déclarait incompétent dans un litige opposant la Stockholm School of Economics à M. Hederstierna, son ancien directeur. However after the tribunal rendered its award, Mr Hederstierna started another arbitration, relying on claims that he had dropped before the first tribunal. The school objected that the arbitration agreement no longer existed and the tribunal agreed with this argument. The Svea Court of Appeal nevertheless held that the school should have applied for a final award relating to the dropped claims. In the absence of such an award, it fell to courts or arbitrators to decide whether the arbitration agreement was still valid. It concluded that the agreement was valid in this case. Après la reddition d’une première sentence, M. Hederstierna avait pourtant initié une nouvelle procédure arbitrale fondée sur les demandes précédemment abandonnées. L’école avait objecté que la convention d’arbitrage n’existait plus et le tribunal arbitral avait souscrit à cette argumentation. Or, selon la Cour d’appel de Svea, il appartenait à l’école de demander aux arbitres de rendre une sentence définitive relativement aux demandes abandonnées au cours de la procédure et en l’absence d’une telle sentence, il appartenait aux juges ou aux arbitres de déterminer si la clause compromissoire était toujours valable. La Cour a conclu qu’elle l’était en l’espèce. COURTS: FOREIGN STATES TRIBUNAUX JUDICIAIRES : ETATS TIERS UNITED STATES: Illinois: Section 1782 and arbitration proceedings: On June 15, 2009, the District Court of Illinois denied an application to force a lawyer to give a deposition in an LCIA arbitration. The application was grounded on under s.1782 of the US Code which allows US courts to order measures for use “in a proceeding in a foreign or international tribunal.” S’étant référée aux précédents en la matière, la Cour a considéré que les termes « tribunal étranger ou international » ne visent que les organismes d’arbitrage financés par les Etats, et non les « arbitrages purement privés ». Relying on previous rulings, the Court held that the words “foreign or international tribunal” only includes state-sponsored arbitral bodies and not “purely private arbitrations.” Ils reste que la jurisprudence américaine est divisée sur la question : dans les affaires Roz, Babcock et Intel Corporation v Advanced Micro Devices, la Cour suprême avait ordonné la production de documents. La même solution avait été adoptée dans l’affaire Oxus Gold. Case law on this issue remains however unclear : in the Roz, Babcock, Intel Corp v Advanced Micro Devices and the Oxus Gold cases courts had granted application for disclosure. Or, pour la District Court, dans les deux dernières affaires, les mesures de soutien avaient été accordées car la procédure arbitrale obéissait aux règles de la Commission des Nations Unies pour le droit commercial international (CNUDCI). Par un raisonnement discutable, elle a considéré que l’arbitrage n’était donc pas véritablement privé. According to the District Court, in the two last cases the motion was granted because arbitral proceedings were under the United Nations commission in trade law (UNCITRAL) rules. Using a questionnable reasoning, it said that such arbitration were not purely private. ETATS-UNIS : New York : Suites de l’affaire Yukos : La société luxembourgeoise Yukos Capital a saisi la District Court du district sud de New York dans le but de faire exécuter quatre sentences condamnant la société publique russe Rosneft à lui verser 419 millions de dollars US. UNITED STATES: New York: Yukos dispute continues: Yukos Capital, based in Luxembourg, filed a petition at the US District Court Southern District of New York to enforce four arbitral awards which awarded it US$419 million in the dispute with Russian stateowned oil company Rosneft. La demande s’articule en deux branches. Yukos souhaite que soient reconnues les sentences en question, annulées en 2007 par les tribunaux russes du siège, mais également un jugement de la Cour d’appel Amsterdam qui, ayant refusé la reconnaissance du jugement d’annulation russe, avait accepté de reconnaître les sentences. The company is seeking recognition either of the awards, despite their annulment in Russia in 2007, as well as a judgment rendered by the Amsterdam Court of Appeal, which refuse to recognise the judgments vacating the award, and therefore, accepted to enforce the award. La Cour de New York devrait donc se référer à la fois à l’ Uniform Foreign Money Judgments Recognition Act de 1962 et à la Convention de New York sur la reconnaissance et l’exécution des sentences arbitrales. Dans le cadre de cette dernière, le jugement est attendu car la jurisprudence américaine est divisée quant au point de savoir s’il est possible de reconnaître une sentence arbitrale annulée au siège, l’article V1e de la Convention pouvant être interprété dans les deux sens (en faveur d’une reconnaissance affaire Chromaloy. contra, affaire Baker Marine). The New York court should then apply either the 1962 Uniform Foreign Money Judgments Recognition Act and the New York Convention for enforcement of the arbitral awards. Relating to the second, the Court’s decision is awaited because case law remains unclear on whether an award that has since been set aside in the seat of arbitration can be enforced, as art.V1(e) can be interpreted in both meanings (in favour of enforcement see the Chromolloy case, contra the Baker Marine case). UNITED STATES: New York: Definition of a refusal to arbitrate: On August 2009, the District Court for the Southern District of New York, rejected Chilean company AES Gener’s petition to compel arbitration against Colombian firm Compania Carbones del César. © 2009 Thomson Reuters (Legal) Limited and Contributors 771 ARBITRAGE INTERNATIONAL ET AUTRES MODES DE REGLEMENT DES CONFLITS The Court said that it had been shown no proof that the second refused to arbitrate, and that the willingness to amicably resolve the dispute and a challenge to arbitrability does not constitute a refusal to arbitrate. La Cour a considéré qu’il n’avait pas été démontré que cette dernière s’était opposé à l’arbitrage et a noté que la volonté de régler le différend à l’amiable et ainsi qu’une action visant à contester l’arbitrabilité du litige ne constituait pas un refus d’arbitrer. It then stated that a party has refused arbitration only if it manifests an intent not to arbitrate, or if it commences litigation, or is ordered by a relevant authority to arbitrate the dispute and fails to do so. Elle a alors précisé que le refus d’arbitrer est constitué lorsqu’une partie manifeste une intention de ne pas arbitrer, ou saisit un tribunal étatique en violation de la clause, ou refuse de se conformer à une injonction. UNITED STATES: Texas: Capacity argument belongs in court: On July 3, 2009, Texas’s Supreme Court ruled that judges, not arbitrators, should decide questions of mental capacity. ETATS-UNIS : Texas : La capacité des parties relève de la compétence des tribunaux étatiques : Le 3 juillet 2009, la Cour suprême du Texas a considéré qu’il appartenait aux juges et non aux arbitres de trancher les questions relatives à la capacité mentale. In 1999, Mrs Taylor was diagnosed with dementia and, the same year, she transferred a number of accounts to the investment bank Morgan Stanley, through agreements that also contained arbitration clauses. En 1999, Mme Taylor avait reçu un diagnostic de démence et, la même année, elle avait transféré plusieurs comptes bancaires à la banque d’investissements Morgan Stanley, par des contrats qui contenaient des clauses d’arbitrage. According to the Court, the separability is irrelevant in such matter where the underlying question is one side’s mental capacity to enter into an agreement in the first place. The court’s decision stands at odds with a Fifth Circuit ruling in Primerica Life Insurance Co v Brown, in which the Court relied on the principle of compétence-compétence. UNITED STATES: An arbitration clause that could deprive the individual of a US statutory right is contrary to public policy: On July 1, 2009, in Puliyurumpil Mathew Thomas v Carnival Corporation, a US Federal Court of Appeal (11th circuit) held that an arbitration clause in a contract between a seaman and a cruise ship couldn’t be applied because its would deprive the individual of a US statutory right. After slipping, Puliyurumpil Mathew Thomas, the head waiter on the cruise ship Imagination, suffered from several injuries. He thus brought a claim against his employer, the cruise company Carnival Corporation before Miami courts. A la suite d’une chute, Puliyurumpil Mathew Thomas, maître d’hôtel sur le navire de croisière Imagination, avait souffert de diverses blessures. Il a alors poursuivi son employeur, la compagnie de croisières Carnival Corporation, devant les tribunaux de Miami. The most recent contract signed by Thomas contained a clause providing for arbitration in the Philippines under Panamanian law. However, the initial contract contained no reference to arbitration. The court decided that, as as an arbitration clause cannot be backdated, Thomas’s contract at the time of his injury contained no arbitration clause. Le contrat de travail le plus récent de M. Thomas contenait une clause compromissoire prévoyant la constitution d’un tribunal siégeant aux Philippines, et jugeant en vertu du droit panaméen. The wage issue was however covered by the clause, although a federal statute, the Seaman’s Wage Act, gives seamen the right to resolve wage disputes in federal courts. Après examen de la jurisprudence de la Cour suprême dans Mitsubishi and Vimar Seguros y Reaseguros v M/V Sky Reefer, la Cour a considéré que la désignation d’un siège à l’étranger et le choix d’une loi étrangère empêchaient M. Thomas de bénéficier d’une action spécialement prévue par la loi américaine. After reviewing Supreme Court precedents such as Mitsubishi and Vimar Seguros Y Reaseguros v M/V Sky Reefer the court said that in Thomas’s case, the foreign seat and foreign law choosen by the clause barred him from relying on any US statutorily-created causes of action. However, the court simultaneously dismissed the US government’s petition to cancel the award, saying that none of the FAA requirements for vacation were satisfied. It thus denied its jurisdiction for granting interim relief. Pursuant to it, capacity should be determined in application of the law of the place of incorporation of a legal entity. Polish law was therefore applicable.
