Commentaires L'objet du contrat est de faire assurer la promotion et, le cas échéant, la vente des produits du mandant par l'agent commercial. La Cour de cassation a considéré que l'agent commercial doit avoir une mission de négociation au nom et pour le compte de son mandant (Com. 15 janvier 2008). - L'agent constitue une entreprise indépendante de représentation au service du mandant et, souvent, d'autres mandants. Il convient de souligner cette indépendance de l'agent pour éviter toute application du droit social, s'il est une personne physique. En prenant en compte que, si l'indépendance de l'agent le conduit à supporter les risques liés à l'exécution de la mission confiée par le mandant, le droit européen de la concurrence peut s'appliquer à leur relation. - Il faut préciser, le cas échéant, si la représentation est exclusive. L'exclusivité de représentation peut concerner le territoire, les produits, la clientèle confiée à l’agent. L'objet de l'exclusivité doit être défini de manière claire et précise. Toute formulation douteuse soulèvera des difficultés dans l'appréciation de la portée de la convention, notamment au regard des engagements de non-concurrence et d'exclusivité. En droit français, le principe est que les stipulations ambiguës ou floues s'interprètent en faveur du débiteur de l'obligation concernée (art. 1162 C. civ.). Une telle exclusivité étant susceptible d'avoir des implications anticoncurrentielles, il faudra alors tenir compte des dispositions du droit de la concurrence (voir Introduction). Cet accord inclut l'hypothèse d'une exclusivité relative au territoire et aux produits. L'expression "agent exclusif" est habituellement adoptée pour exprimer que l'agent est le seul représentant du mandant ; ce dernier conservant la possibilité de commercialiser, lui-même, directement les produits. L'expression "agent exclusif" ne sera pas utilisée dans cet accord car elle présente une ambiguïté dans la mesure où elle peut également signifier que l'agent 4:6 PACTA® - 1 novembre 2008 AGENCE COMMERCIALE Contrat d'agence commerciale intervient uniquement pour le mandant à l'exclusion de tout autre mandant ou mandant concurrent. L'exclusivité de représentation peut, en effet, être supportée par l'agent. L'indépendance de l'agent qui exerce son activité au seul profit du mandant pourra alors être discutée. 2. Proposition initiale du mandant (commercialisation directe par le mandant possible) Article # - Opération juridique Le Mandant accorde à l'Agent le droit [exclusif] de promouvoir et de négocier [et conclure] la vente des produits énumérés dans l'Annexe # [ainsi que de tous les accessoires et les pièces de rechange] (ci-après désignés "les Produits") dans le territoire visé en Annexe # (ci-après désigné "le Territoire"). Toutefois, le Mandant se réserve la possibilité de commercialiser et de vendre les Produits directement aux clients à l'intérieur du Territoire. Le Mandant n'aura aucune commission, ni indemnité à payer à l'Agent pour ces ventes directes. L'Agent exercera son activité en qualité de mandataire indépendant, sans aucun lien de subordination direct ou indirect envers le Mandant qui n'est pas son employeur et n'en assumera pas les obligations ainsi que le reconnaît expressément l'Agent. 3. Comments The aim of the agreement is to ensure the promotion and, if applicable, the sale of the principal's products by the commercial agent. The Supreme Court has ruled that the commercial agent must have a remit to negotiate for and on th behalf of its principal (Comm. 15 January 2008). - The agent is an independent representative enterprise acting for the principal and often other principals. It is advisable to emphasise this independence, in order to avoid any application of employment law if the agent is an individual. By taking account of the fact that, if the independence of the agent leaves it assuming the risks related to performance of the transaction entrusted by the principal, EC competition law may apply to their relationship. - If applicable, the exclusive nature of the agency should be made clear. The agent's exclusivity may involve a territory, certain products or a group of clients entrusted to it. The subject matter of the exclusivity must be clearly and precisely defined. Any doubtful expressions will cause problems when evaluating the scope of the agreement, especially with respect to the undertakings regarding competing activities and exclusivity. As a rule, under French law ambiguous or vague stipulations are interpreted to the benefit of the party bound by the obligation in question (art. 1162 C. civ.). This type of exclusivity is likely to have anti-competitive effects, it will be necessary to take into account the provisions of competition law (see Introduction). This agreement includes the possibility of territorial and product exclusivity. The term "exclusive agent" is customarily used to express the fact that the agent's exclusivity regarding representation excludes all other dealers with the exception of the principal who retains the option of marketing the products directly in the territory. The term "exclusive agent" will not be used in this agreement since it is ambiguous in the sense that it may mean that the agent only acts for the principal to the exclusion of all other principals or competing principals. 4:6 PACTA® - 1 November 2008 COMMERCIAL AGENCY Commercial Agency Agreement The agent can in fact also bear the exclusive representation itself. The independence of an agent which carries on business for the sole benefit of the principal can then be discussed. 2. The principal's initial proposal (direct marketing and sales by the principal possible) Article # - Purpose of the Agreement The Principal grants the Agent the [exclusive] right to promote and negotiate [and conclude] sales of the products listed in Schedule # [as well as all accessories and spare parts] (hereinafter the "Products") in the territory defined in Schedule # (hereinafter the "Territory"). Nevertheless, the Principal reserves the right to market and sell the Products directly to clients within the Territory. The Principal shall not be required to pay commission or compensation to the Agent for such direct sales. The Agent shall perform such activity as an independent representative, with no direct or indirect subordination with respect to the Principal, who is not the Agent's employer and will not assume any obligations in this respect, this being expressly accepted by the Agent. 3. The agent's proposal (exclusivity vis-à-vis the principal) Article # - Purpose of the Agreement The Principal grants the Agent the [exclusive] right to promote and negotiate [and conclude] sales of the products listed in Schedule # [as well as all accessories and spare parts] (hereinafter the "Products") in the territory defined in Schedule # (hereinafter the "Territory"). Consequently, the Principal shall not in any way market or sell the Products directly within the Territory. The Agent shall perform such activity as an independent representative, with no direct or indirect subordination with respect to the Principal, who is not the Agent's employer and will not assume any obligations in this respect, this being expressly accepted by the Agent. Nevertheless, the Principal shall have the right to market and sell the Products (the Products referred to in Appendix #) to the clients [category of clients] listed in Schedule #.
