La question se pose de savoir comment se présente aujourd'hui la situation dans ce pays et quel bilan tirer de 2011. A year has passed since the advent of Arab Spring, for which Tunisia was the precursor. The question arising is how the situation stands today in Tunisia and what conclusions can be drawn from 2011. Les opinions sont diverses et nuancées. Views and opinions expressed are numerous and nuanced. Les uns évoquent les difficultés de la conjoncture intérieure et extérieure pour expliquer le marasme de la machine économique et la gravité des résultats enregistrés. Les bombes à retardement héritées de la période du président déchu – chômage des diplômés, déséquilibre régional, inadéquation de la formation et de l'enseignement avec les besoins du marché du travail - sont toujours d'actualité inquiétante. Some explain the economic slump and the declining results recorded by the severe external conditions and depressed domestic situation. The time bombs inherited from the ousted President's era – i.e. graduate unemployment, regional imbalances, inadequate training and education with the labor market needs - are still hot topics. Le pays a déjà réussi la moitié du chemin sur la voie de la démocratie mais la coalition au pouvoir est vacillante pour faire l'autre moitié. Son programme économique pour 2012 est beaucoup plus le reflet d'un désarroi qu'une solution crédible et convaincante à la situation. Ces appréciations ont une connotation électorale et sont à mettre aux registres des discours pour les prochaines échéances législative et peut-être présidentielle. La Tunisie a fait jaillir la première étincelle du printemps arabe. Elle a opté pour la sérénité dans son processus de démocratisation. 8 ABC Bank - Tunisie | Rapport Annuel 2011 | Annual Report 2011 For other observers, present time should be dedicated to resolving problems so to facilitate a smooth transition to a democratic process and not for settling scores. The country has already succeeded halfway on the path to democracy but the ruling coalition is too weak to ensure the other half. Its economic program for 2012 is much more a reflection of distress then a credible and convincing solution to the situation. These assessments bear an electoral purpose and are good for the speech registers for the upcoming legislative and perhaps presidential elections. Tunisia has brought forth the first spark of the Arab spring. The country opted for serenity in its democratization process. Debates in Tunisia are mostly focused on the future with reforms and programs to engage even if one occasionally hears discordant notes recalling a time cast away. La volonté de réussir la transition démocratique anime toutes les parties au pouvoir ou dans l'opposition qui œuvrent pour le développement économique et social. All parties, whether in power or in the opposition, are yearning for a successful democratic transition, and working for the economic and social development. Les indicateurs macro-économiques ont relativement résisté aux pressions et le déficit de confiance de la part des investisseurs locaux et étrangers reste gérable. The macroeconomic indicators are relatively resilient and the deficit of trust of local and foreign investors remains manageable. Globalement, on peut dire que les prémices d'une perspective d'amélioration de la situation existent. Overall, we can say that the first signs of an improving situation are emerging. Le secteur bancaire, sous réserve de la stabilisation du climat social, est appelé à apporter sa contribution incitative à la promotion de l'investissement privé créateur d'emplois. ABC Tunisie prendra part à ce programme. Elle dispose de ressources humaines et financières adéquates. Son bilan 2011 s'inscrit dans la continuité de sa croissance et de sa bonne gestion. La démocratie commençait à bourgeonner dans un climat de liberté anarchique. L'espoir du lendemain meilleur était conforté par le courant de sympathie que rencontrait la révolution auprès de la communauté internationale et des institutions financières. Un tel climat euphorique occultait une conjoncture internationale délicate et une situation nationale perturbée. Some observers consider year 2011 for Tunisia as "the year of paradox." Democracy began to blossom in a frenzied atmosphere of freedom. The hope for a better future was reinforced by the wave of sympathy that the revolution met with the international community and financial institutions. Such a euphoric climate concealed the deteriorating world conjuncture and the delicate internal situation. La campagne pour l'élection de l'Assemblée nationale constituante avait aiguisé la surenchère. L'égoïsme politique prenait le pas sur l'objectif réel de l'élection. Certains partis faisaient rêver l'électorat avec des promesses ambitieuses incompatibles avec les règles de bonne gestion. De telles largesses verbales avaient alimenté des revendications sociales démesurées et pressantes avec des mouvements de contestation handicapant la machine économique. The campaign for the election of the Constituent Assembly has seen a sharp escalation. Political selfishness preceded the real objective of the election. Some parties offered pipe dreams to the electorate, promising ambitious measures incompatible with rules of good management. Such verbal largesse fueled excessive labor demands and led to social unrest and protests which crippled the country's economy. La Banque Centrale de Tunisie est intervenue à plusieurs reprises sur le marché avec des mesures reflétant la volonté du Gouvernement à encourager l'investissement, relancer l'activité économique et soutenir l'effort des banques de la place dans ce domaine (baisse du niveau de la réserve obligatoire, injection de liquidités, réduction du taux d'intérêt directeur). The Central Bank of Tunisia intervened repeatedly in the market with measures reflecting the Government's desire to encourage investment, stimulate economic activity and support the efforts of local banks in this field (lower level the reserve requirement, liquidity injection, reduction of the interest rate). Ainsi les résultats macro-économiques de la première année post-révolution ont été sévères : chute des recettes touristiques, forte diminution de l'investissement, baisse des transferts des migrants, augmentation du chômage, réduction de la demande intérieure, croissance négative du PIB et baisse des réserves de change. Hence the macroeconomic performances of the first postrevolution year were severe: tourism revenues dropped, investment declined sharply, foreign currency remittances from Tunisians working abroad fell, unemployment increased, domestic demand reduced, GDP evolution was negative and foreign exchange reserves shrank. Some argue that the imbalances recorded and the debt, remain sustainable at least in the short term. There are signs of resumption in 2012, in the tourism and economic activity with a good agricultural season in perspective. Il porte également la marque de la prudence et de la retenue face à tout risque. The 2011 performance of ABC-Tunisie reflects the situation experienced by the country. It also bears the mark of prudence and restraint in front of any risk. Tous les postes du bilan sont pratiquement positifs et en progression par rapport à 2010. Les perspectives pour 2012 seront dans la même ligne. All items of the balance sheet are positive and progressing compared to 2010. The outlook for 2012 will be following the same trend. Fidèle à sa politique d'engagement dans le strict respect des règles prudentielles, ABC n'a pas hésité à apporter sa contribution à l'effort des Autorités financières et monétaires pour répondre aux impératifs de la situation. Tunis, Mai / May 2012 Nour Nahawi Ali Kooli 17 La Conjoncture Economique et Financière Nationale National Economic and Financial Outlook Interrogés sur l'état de la Tunisie, 100 jours après la formation du Gouvernement issu des élections du 23 octobre 2011, les chefs de parti de la Troïka - aux idéologies diverses - ont eu des appréciations concordantes qu'on pourrait résumer comme suit : When inquired about the state of Tunisia, 100 days after the formation of the new government which followed the elections on October 23rd, 2011, leaders of the Troika - wich hold various ideologies - have had concordant assessments which may be summarized as follows : La démocratisation est en bonne voie et les institutions sont légitimes. Le pays reste confronté aux mêmes défis et dégâts hérités. La machine économique reprend son souffle et des prémices d'amélioration de certains indicateurs (échanges commerciaux, tourisme) ont été enregistrées. Les revendications sociales sont légion. La Tunisie est sur la bonne voie. Democratization is on its way and institutions are legitimate. The country still faces the same challenges and past damages. The economic machine recovers and the first signs of improvement in some indicators (trade, tourism) are recorded. The labor claims are widespread. Tunisia is on the right track. Il est a rappelé qu'au lendemain de la chute de la dictature de Zine El Abidine Ben Ali, la Tunisie a connu un fort courant de sympathie qui a favorisé l'éclosion d'un multipartisme pléthorique, un syndicalisme fractionné, une presse déchainée, une inflation d'associations citoyennes. Ceci a engendré une succession de gouvernements transitoires ou provisoires dont la caractéristique commune est la faiblesse. After the fall of the dictatorship of Zine El Abidine Ben Ali, Tunisia has experienced a wellspring of sympathy which has fostered the outbreak of an excessive multipartism, a fragmented trade union, an unleashed press, a wave of civic associations. This has spawned a series of interim or transitional governments whose weakness is a common feature. Ces gouvernements ont eu néanmoins le mérite de maintenir la Tunisie à l'avant-garde du printemps arabe et son économie à flot dans une conjoncture nationale et internationale difficile. These governments have had the merit of maintaining Tunisia at the forefront of the Arab Spring and its economy afloat despite the fragility of the national and international conjuncture. Partagés entre l'espoir et la déception, la stabilité et l'effervescence, la quiétude et l'insécurité face aux flux et reflux de mouvements de grève, sit-in et marches revendicatives de toute nature, des observateurs ont fait l'éloge du désordre créateur en précisant que les révolutions ne suivent jamais une voie droite. Torn between hope and disappointment, stability and excitement, tranquility and uncertainty following repetitive strikes, sit-ins and various requests, observers have praised the creative disorder stating that revolutions never follow a straight path. The results of the year are broadly considered critical. GDP growth was negative. Unemployment rose as inflation. The slump persists. Néanmoins, la dette reste soutenable, la situation économique gérable et les agences de notation ont gratifié une légère amélioration à la Tunisie qui passe de BBB- à BBB, reflet d'une discrète reprise. These deposits are mainly composed of the following: 189.732 KDT de dépôts à vue (contre un volume de 142.340 KDT en 2010), représentant 81% de l'ensemble des dépôts (contre 76% en 2010). At sight deposits which reached TND189,732th i.e. representing 81% of total customer deposits (compared to TND142,340th and 76% in 2010). 6.626 KDT sous forme de dépôts d'épargne (contre 3.662 KDT en 2010), représentant près de 3% des dépôts. Savings deposits which reached TND6,626th (compared to TND3,662th in 2010), representing circa 3% of Customer deposits. 29.377 KDT de dépôts à terme (contre 42.073 KDT en 2010) représentant près de 13% de l'ensemble des dépôts de la clientèle (contre 22% en 2010) Term deposits which reached TND29,377th (vs. TND42,073th in 2010) thus representing almost 13% of total Customer deposits (compared to 22% in 2010). Dépôts à vue / At sight deposits (81%) Dépôts d’épargne / Savings deposits (3%) Dépôts à terme / Term deposits (13%) Autres / Other (3%) Concernant les dépôts d'épargne, 6.483 KDT (contre 3.508 KDT en 2010) correspondent à des Comptes d'Epargne sur Livret et 143 KDT (contre 154 KDT en 2010) représentent des Comptes Proprio, à savoir des comptes spéciaux d'épargne ouverts dans le cadre d'un plan d'épargne logement afin de bénéficier du CrédiProprio, le crédit conçu par ABC pour l'acquisition d'un logement. With regards to savings deposits, TND6,483th (versus TND3,508th in 2010) represent Booklet Savings accounts and TND143th (versus TND154th in 2010) correspond to ABC's Proprio Accounts – a special savings account specifically designed for clients interested in ABC's mortgage (i.e. CrédiProprio). Concernant les dépôts à terme, 10.634 KDT (contre 21.478 KDT en 2010) correspondent à des dépôts en dinars, et un total de 18.743 KDT (contre 20.595 KDT en 2010) représente des dépôts en devises. Specific certificate of deposits locally referred to as “Bons de caisse” which amounted to TND190th (versus TND11th in 2010), Time deposits for a volume of TND27,687th compared to TND27,879th in 2010, and Certificates of deposit for a total of TND1,500th (compared to TND11,000th in 2010). 1.Les Crédits à la Clientèle 1.Customers' Loans Au cours de son dixième Exercice, ABC-Tunisie a poursuivi sa politique de financement de l'économie par des crédits destinés essentiellement à faciliter l'activité courante des Entreprises. During its tenth year of activity, ABC-Tunisie has continued to finance the Tunisian economy through loans essentially designed to facilitate trade finance operations. Au terme de l'année 2011, le volume des crédits en capitaux s'est situé à la somme de 44.320KDT (contre 41.043KDT en 2010). Ces crédits se répartissent comme suit : On 31st December 2011, total gross volume of loans reached TND44,320th (compared to TND41,043th in 2010). The ongoing sovereign crisis faced in the Euro zone has led the major Central Banks (ECB, FED, BOE and BOJ) to keep their respectively effective rate toward zero while ensuring abundant liquidity in the Interbank market. To overcome this situation ABCT managed to improve its margin on its Foreign currency excess liquidity by investing in 1 year FCY government bonds with a high rate of return as well as improve its placement with ABC units especially ABC Brazil with a good margin above the 3-month Libor. ABC-Tunisie: A bank of competences : Evaluation of Performances (MAP) The Human Resources team of ABC-Tunisie has played a key role in the successful implementation of ePAM 2011 – an online application program designed for carrying the performance appraisal of employees. This new tool is meant to provide a transparent and efficient evaluation of staff performance. More to this, ePAM wil make it easier to define objectives, carry self assessments and biannual and end of year performance appraisals. It is worth noting that year 2011 recorded a 100% rate of appraisal. 2. Le Système d'Information 1.The Information Systems Les réalisations de la Direction des Systèmes d'Information durant l'année 2011 sont détaillées comme suit : The main IT achievement during 2011 are listed hereafter: Au niveau du système d'information : Stabilisation du progiciel global de banque : plus que les deux tiers des incidents systèmes ont été résolu. Interfaçage entre le progiciel global de banque et le système de gestion de la paie. Migration réussite et dans les délais vers le nouveau système national de télé-compensation 24h. Optimisation, amélioration et refonte des applications de télécompensation (chèques et lettres de change normalisées). Stabilisation de l'infrastructure SharePoint et déploiement de nouvelles applications : gestion des réclamations clients, registre des chèques impayés, rapports de télé-compensation. Automatisation de la génération des rapports et des déclarations en relation avec les unités de contrôle financier, virements internationaux et crédit & risque. Au niveau de l'infrastructure informatique : Mise à niveau de l'architecture WAN de la banque et déploiement de nouvelles connexions avec le groupe ABC et le réseau d'agences via la technologie IP-MPLS à base de fibre optique. Veille technologique sur le plan sécurité informatique par le remplacement des firewalls centraux en mode haute disponibilité et une nouvelle plateforme de monitoring sécurité. Déploiement de la téléphonie sous IP avec le groupe ABC et les nouvelles agences. Applications services : Stabilization of the Global Banking system: more than 50% of raised SIR's have been fixed. Interfacing Global Banking system with Payroll system. Adherence to the national clearing project (Clearing 24h) and successful swapping on the new system within the deadline. Opinion on the financial statements We have audited the accompanying financial statements of ABC Tunisie as at December 31st, 2011. These financial statements are the responsibility of the company's management and its Board of Directors. We conducted our audit in accordance with Tunisian Standards on Auditing. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditor's judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the entity's preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity's internal control. Nous estimons que les éléments probants que nous avons recueillis sont suffisants et appropriés pour fonder notre opinion. 3)Opinion sur les états financiers A notre avis, les états financiers sont réguliers et sincères et donnent, pour tout aspect significatif, une image fidèle de la situation financière de ABC Tunisie, ainsi que des résultats de ses opérations et de ses flux de trésorerie pour l'exercice clos le 31 décembre 2011, conformément aux principes comptables généralement admis en Tunisie. Sans remettre en cause notre opinion exprimée ci-dessus, nous attirons votre attention sur le fait que la banque est défenderesse dans deux procès l'opposant à deux de ses anciennes relations et se voit réclamer le paiement de dédommagements portant sur des montants significatifs (Cf. note aux états financiers 4.25). L'issue finale de ces procès ne peut actuellement être anticipée et, de ce fait, aucune provision au titre d'un passif éventuel pouvant résulter de cette action en justice n'a été constituée dans les états financiers. II. Rapport sur les vérifications spécifiques Nous avons également procédé aux vérifications spécifiques prévues par la loi et les normes professionnelles. Sur la base de ces vérifications, nous n'avons pas d'observations à formuler sur la sincérité et la concordance avec les états financiers des informations d'ordre comptable données dans le rapport du conseil d'administration sur la gestion de l'exercice. Nous avons également, dans le cadre de notre audit, procédé à l'examen des procédures de contrôle interne relatives au traitement de l'information comptable et à la préparation des états financiers. Nous signalons, conformément à ce qui est requis par l'article 3 de la loi 94117 du 14 novembre 1994 tel que modifié par la loi 200596 du 18 octobre 2005, que nous n'avons pas relevé, sur la base de notre examen, d'insuffisances majeures susceptibles d'impacter notre opinion sur les états financiers. We have nothing to report on with respect to the consistency of the financial information included in the Board of Directors' report with the financial statements. Au 31/12/2011, la valeur de cette garantie s'élève à 7 000 KDT. L'accord portant sur la garantie en question prévoit une rémunération annuelle fixe de 250 USD en faveur d'ABC Tunis Branch. II. OPERATIONS CARRIED OUT RELATED TO FORMER CONVENTIONS : The execution of the following conventions, concluded during the former exercises, continued during the exercise closed as of December 31st, 2011 of which here the principal volumes carried out : 1.ABC Tunisie received from ABC Tunis (Offshore Banking Unit) a TND7mio Letter of Guarantee to cover the exposure over a loan granted in favor of Tunisie Leasing. The Guarantee issuance agreement indicates an annual fixed fee of US$ 250 flat in favor of ABC-Tunis. 2.ABC Tunisie a donné en faveur de ABC Tunis Branch une garantie en couverture de l'engagement donné par cette dernière à la relation MEDEX Petroleum pour un montant de 2 404 KDT. L'accord portant sur la garantie en question ne prévoit pas de rémunération en faveur d'ABC Tunisie. 3.ABC Tunisie a conclu en 2008 avec ABC Tunis Branch, un contrat de bail annuel prenant effet le 1er avril 2008, portant sur la sous location du siège social en plus d'un parking de 86 places. Le montant du loyer payé au titre de l'exercice 2011 est de 250 KDT (hors taxes). 4.ABC Tunisie et ABC Tunis Branch ont conclu une convention, de répartition des charges communes, qui considère le critère du temps de travail "Time Sheet" comme base de détermination des clés de répartition de ces charges. 38 ABC Bank - Tunisie | Rapport Annuel 2011 | Annual Report 2011 2.ABC Tunisie issued a guarantee in favor of ABC Tunis (OBU) to cover the exposure of the off shore unit on MEDEX PETROLEUM. The LG amount is for TND 2 404 thousands. The agreement does not specify any commission payable to ABC-Tunisie. 3.In the course of year 2008, ABC-Tunisie has signed a contract with ABC Tunis related to the rent of the HeadOffice premises along with the related parking lot available for 86 vehicles. The full amount, net of taxes, paid by ABC Tunisie for the year 2011 totaled TND 250 thousands. 4.ABC Tunisie and ABC Tunis have signed a convention related to the allocation of the common charges of the two banks. The allocation criteria are the working hours based on an annual "Timesheet". Le montant des charges supportées par ABC Tunisie au titre de l'exercice 2011 s'élèvent à 934 KDT (hors taxes). Pour la même période ABC Tunis Branch a supporté 1 508 KDT (hors taxes). La convention précitée a été autorisée par le Conseil d'Administration du 18 avril 2008. 5.Durant 2011, ABC Tunisie a reçu 744 KDT comme commission d'intermédiation et 30 KDT au titre d'assistance technique auprès d’ABC (BSC). III. OBLIGATIONS ET ENGAGEMENTS DE LA SOCIETE ENVERS SES DIRIGEANTS 1.Les obligations et engagements envers les dirigeants tels que visés à l'article 200 (nouveau) II § 5 du Code des Sociétés Commerciales se détaillent comme suit : Les rémunérations et avantages octroyés au nouveau Directeur Général sont composés d'une rémunération brute de 512 290 dinars et d'avantages en nature d'une valeur de 5 584 dinars. Consequently, the common charges of the two banks have been re-invoiced in both senses as follows: ABC-Tunisie has re-invoiced to ABC-Tunis (OBU) 32% and 29% respectively for personnel charges and other expenses. ABC-Tunis (OBU) has re-invoiced 68% and 71% respectively for personnel expenses and other charges. The amount of the common charges incurred by ABC-Tunisie during 2011 reached TND 934 thousands (net of taxes). For the same period, ABC Tunis incurred TND 1 508 thousands (net of taxes). The above mentioned convention was authorized by the Board of Directors of April 18th, 2008. 5.During 2011, ABC Tunisie received TND 744 thousands as a brokerage commission and TND 30 thousands as technical assistance in favor of ABC (BSC). Basis of preparation of financial statements Les Etats Financiers de l'Arab Banking Corporation Tunisie arrêtés au 31 décembre 2011 sont établis conformément aux dispositions prévues par la Loi n°96 112 du 30 décembre 1996 relative au système comptable des Entreprises et aux dispositions prévues par l'Arrêté du Ministre des Finances du 25 mars 1999 portant approbation des normes comptables sectorielles relatives aux établissements bancaires. The Financial Statements of ABC-Tunisie as of December 31st, 2011 are prepared in accordance with the principles and policies established in Law n°96-112 dated December 30th, 1996 related to the companies' accounting system. They are also preparedin accordance with the Finance Ministerial Order dated March 25th, 1999 relating to the Accounting Standards (AS 21 to 25) for Banking Companies. The Financial Statements are established in conformity with the format provided under the Accounting Standards AS 21 relating to the presentation of the Financial statements of Banking institutions. 2. Accounting policies Les Etats Financiers l'ABC-Tunisie sont elabores sur la base de la mesure des elements du patrimoine au cout historique. Les principes comptables les plus significatifs se resument comme suit : The Financial Statements of ABC-Tunisie are established on the basis of the historical cost. The accounting principles, policies, and practices applied are summarized hereafter. 3.1- Comptabilisation des engagements et des revenus y afférents 3.1 - Loans and related Income Comptabilisation des engagements hors bilan Off balance sheet exposure The letters of credit and letters of guarantee are recorded within the off-balance sheet items when corresponding contracts are signed, and are transferred for the amount of disbursement to the balance sheet when the funds are released. Les lettres de crédit et de garantie sont portées en hors bilan à mesure qu'elles sont contractées et sont transférées au bilan au fur et à mesure des déblocages de fonds pour le montant du décaissement. Comptabilisation des prêts auprès de la clientèle Les credits d'escompte sont presentes au bilan pour leur valeur nominale deduction faite des interets decomptes d'avance et non encore courus. Les credits decaisses et les comptes courants debiteurs sont presentes deduction faite des interets et agios reserves et des provisions y afferentes. Comptabilisation des revenus sur prêts auprès de la clientèle Les intérêts et produits assimilés ainsi que les commissions sont pris en compte en Résultat de l'Exercice clos au 31 décembre 2011 pour leurs montants rattachés audit Exercice. Les intérêts sur crédits nets d'escompte sont comptabilisés dans les comptes d'intérêts constatés d'avance au moment du déblocage de ces crédits et sont comptabilisés en produits au fur et à mesure qu'ils sont courus. 44 ABC Bank - Tunisie | Rapport Annuel 2011 | Annual Report 2011 Customer loans The discounted loans are disclosed in the balance sheet at their nominal value. The interests related to these loans and received in advance are deduced from the nominal value. The reserved interests and commissions in addition to the provisions on loans and overdrafts are deduced from these items. Revenues recognition Interest on loans and commissions are recognised as revenues of the financial period closed at December 31st 2011 for the amounts occurred during the period then ended. Interests on discounted loans are booked as interests received in advance. They are recognised as revenues on a time proportion basis. Ces intérêts sont pris en compte en Résultat lors de leur encaissement effectif Les intérêts courus et non échus relatifs aux prêts classés parmi les "Actifs courants" (classe A) ou parmi les "Actifs nécessitant un suivi particulier" (classe B1), au sens de la Circulaire BCT n°91-24, sont portés en Résultat au fur et à mesure qu'ils sont courus. Les agios sur les comptes courants gelés sont réservés et présentés en fin d'Exercice en déduction des comptes courants débiteurs. (class B1), according to the CBT memorandum N°91-24 dated December 17th, 1991, are recognised as revenues of the period during whichthey are accrued. The unpaid accrued interest on loans classified as "substandard assets" (class B2), or as "doubtful assets" (class B3) or as "loss/write off assets" (classified B4), according to the CBT memorandum N°91-24 dated on December 17th, 1991, are recorded as "reserved interests" and deduced from the “Loans and advances to customers” item. These interests are recorded as income when actually collected. The interests on frozen accounts are recorded as “reserved interests” and deducted from the “loans and advances to customers” items. Provisions on loans An assessment of the loan portfolio granted by the Bank is made at the year-end in order to estimate whether provisions should be made to cover potential risks on doubtful loans. This assessment is carried out according to the CBT prudential guidelines (Memorandum N°91-24 dated 17th, December 1991 and Memorandum N°99-04 dated March 19th, 1999) concerning risk division, risk coverage and follow up of the assets, which defines risk categories and related minimum provision rates as follows: A Satisfactory 0% B1 Special mention 0% B2 Substandard 20% B3 Doubtful 50% B4 Loss/write off 100% The provision rates are applied on the customers' net exposure. In other words, on the commitment of wich are deducted : Reserved interests, Financial guarantees, Real estate guarantees, Government guarantees, Banks and insurance companies guarantees. 3.2 - Comptabilisation des intérêts encourus et charges assimilées 3.2 - Interests and similar expenses Les interets encourus et charges assimilees sont pris en compte en Resultat au fur et a mesure qu'ils sont courus. En revanche, les charges decaissees et relatives a des Exercices futurs ne sont pas comptabilisees en tant que charges de l'Exercice et sont portees au bilan de la Banque en compte de regularisation. Interests and similar expenses are recognised as charges of the period when incurred. However, interests paid in advance are not taken into account among the period expenses and they are disclosed as other assets in the balance sheet. 3.3 - Conversion des opérations en monnaies étrangères 3.3 - Conversion of foreign currencies balances Les comptes de bilan et hors bilan libellés en monnaies étrangères font l'objet d'une réévaluation aux cours de change en vigueur à la date de clôture de l'Exercice. Le total des charges communes payées par ABC Tunisie a atteint au 31 décembre 2011, 934KDT HT. En contre partie la banque a refacturé de sa part total 1 508 KDT HT au titre de la même période. 3.Durant 2011, ABC Tunisie a reçu 59 KTD comme rémunération de ses dépôts auprès d'ABC Tunis et a payé 149 KTD en tant qu'intérêts encourus en rémunération des dépôts de cette même banque chez ABC Tunisie. 4.Durant 2011, ABC Tunisie a reçu 1 741KTD comme rémunération de ses placements auprès d'ABC Tunis et 13 KDT comme intérêts sur comptes débiteurs de cette dernière. 5.Durant 2011, ABC Tunisie a reçu 744KTD comme commission d'intermédiation et 30KDT au titre d'assistance technique auprès d'ABC (BSC). 6.Durant 2011, ABC Tunisie a reçu une garantie de la part de ABC Tunis et ce en couverture du crédit accordé à TUNISIE LEASING. Au 31/12/2011, l'encours des cette garantie s'élève à 7 000KTD. 1.In accordance to the contract signed with ABC Tunis related to the rental of the Head-Office, the full amount paid by ABC-Tunisie for the year 2010 totalled TND 213 thousand. 2.ABC-Tunisie has signed during 2008 a convention with ABC Tunis Branch related to the repartition of the common charges of the two banks. The related repartition keys are based on annual "Timesheet" criteria. Consequently, during 2011, the common charges of the two banks have been re-invoiced in both senses as following: 68% and 71% for ABC-Tunisie. 32% and 29% for ABC-Tunis. The total common charges paid by ABC-Tunisie reached TND 934 thousand (VAT excluded) as of December 31st, 2011. Note 4.25 - Affaires en contentieux Il est a signalé les faits juridiques suivants : Note 4.25- Legal affairs We would like to draw your attention on the following litigating actions: Affaire 1 Une relation a intenté une action en référé contre la Banque pour transferts illégaux entre ABC Tunis Branch et ABC Tunisie en réclamant la somme de 3.000.000 DT objet des dis transferts. Il a intenté une action en référé réclamant le paiement immédiat de 50% de la somme demandée et la banque a obtenu gain de cause en première instance et en appel. Par ailleurs, le client a intenté une affaire de fond pour le même objet et il n'a pas eu gain de cause en première instance ainsi qu'en appel. En date du 09 février 2011, la même relation a intenté un pourvoi en cassation pour la même affaire. En date du 14 Juin 2011, la cour de cassation a instauré le renvoi de l'affaire à la cour d'appel avec une nouvelle composition. En ce sens, la Banque a reçu une convocation pour se présenter à la cour d'appel le 09 Février 2012. Case 1 A business relationship has sued the bank for illegal transfers carried between ABC-Tunis (OBU) and ABCTunisia, claiming the sum of 3,000,000 DT which represents the amount of these transfers. The relationship filed the case against the bank, claiming an immediate 50% compensation. The bank won the first trial and the appeal. The client equally attempted a fundamental action against the bank but didn't win the case. Affaire 2 Une deuxième relation a intenté une action en référé contre la Banque pour transferts illégaux entre ABC Tunis (branche offshore) et ABC Tunisie et réclame la somme de 4.500.000 USD. Il a été débouté en première instance ainsi qu'en appel. En Mars 2011, le client s'est pourvu en cassation. En Septembre 2011, la cour de cassation a instruit le renvoi de l'affaire devant la cour d'appel avec une nouvelle composition. En ce sens, la Banque a reçu une convocation pour se présenter à la cour d'appel le 14 Mars 2012. Case 2 A second business relationship has taken legal action against the Bank for illegal transfers between ABC-Tunis branch and ABC-Tunisie, and thereby claiming the sum of US$ 4,500,000. The relationship lost the trial as well as the appeal. In March 2011, the client lodged an appeal with the Court of Cassation. In September 2011, the Court of Cassation directed the case the Court of Appeal with a new composition. Hence, the Bank was summoned to the Court of Appeal on March 14, 2012. Note 4.26 – Événements postérieurs à la clôture L'audience d'appel relative à la première affaire prévue pour le 09 février 2012 à été ajournée pour le 15 Mars 2012. On February 9th, 2011, the relationship filed a cassation appeal for the same case. On 14th June 2011, the Court of Cassation referred the case to the Court of Justice with a new composition. Hence, the bank was summoned to appear in front of the Court on 09th February 2012.
