(l'"Offre de Rachat") portant sur tout ou partie des obligations décrites ci-dessous:

titres super subordonnés à durée indéterminée d'un montant de 750.000.000 EUR, portant intérêt à
taux fixe puis variable, code ISIN FR0010945188, émises par SUEZ ENVIRONNEMENT COMPANY
en date du 21/09/2010, admised aux négociations sur EURONEXT PARIS (dont le montant en
circulation est de 450.000.000 EUR).
Euronext précise que l'Offre de Rachat s'adresse aux "Porteurs Qualifiés" (tels que définis dans le Tender
Offer Memorandum en date du 23/03/2015).

SUEZ ENVIRONNEMENT COMPANY (the "Company") launched on 23/03/2015 a tender offer (the
"Tender Offer") for cash on any and all of the outstanding notes described below:
•
750.000.000 EUR undated deeply subordinated fixed to floating rate notes (ISIN FR0010945188)
issued by the company on 21/09/2010 and listed on EURONEXT PARIS (of which 450.000.000
EUR are currently outstanding).
Euronext specifies that the Tender Offer is limited to “Qualifying Holders” (as defined in the Tender Offer
Memorandum relating to the Tender Offer dated 23/03/2015).
