Im alltäglichen Sprachgebrauch werden oftmals die technischen Begriffe
'rund um’s Rad' falsch angewendet.
So ist vielfach festzustellen, dass die
Begriffe 'Felge' und 'Rad' miteinander
verwechselt werden. Sie ersparen
sich zeitraubende Rückfragen und
vermeiden Falschlieferungen, wenn
Sie auf eine einwandfreie Bezeichnung achten.
The technical terms around a wheel
are frequently misused, and 'rim' and
'wheel' are often confused. You can
save valuable time and avoid faulty
deliveries if you always use a precise
description when ordering.
En langage parlé, les notions
techniques se rapportant à la ´roue´
sont souvent employées improprement. On constate souvent que les
notions de 'jante' et de 'roue' sont
confondues. Vous éviterez pertes de

Die Felge dient zur Aufnahme des
Reifens, die Radschüssel verbindet
die Felge mit der Achsnabe und das
Rad stellt den gesamten Körper dar,
bestehend aus Felge und Schüssel.
Die Gestaltung der Radschüssel
(oder: Radscheibe) ist sehr vielfältig,
da neben konstruktiven Forderungen
bezüglich der Optimierung (hohe Belastbarkeit bei niedrigem Radgewicht)
und des Achsanschlusses auch Wünsche hinsichtlich der Bremstrommel
u.ä. berücksichtigt werden müssen.
Für die betriebssichere Befestigung
des Rades an der Achsnabe ist die
maßliche Übereinstimmung von
Achs- und Radanschluss sowie die
Verwendung der richtigen Befestigungsteile bei vorgeschriebenem
Anziehdrehmoment entscheidend.
Die Radanschlussmaße sind in diesem Katalog in den entsprechenden
Tabellen angeführt. Die jeweiligen
technischen Bezeichnungen und deren Sinngehalt sind in nachfolgender
Zeichnung dargestellt:
Die Ausführung der Bolzenlöcher ist
für die Radbefestigung von erheblicher Bedeutung.
The rim serves as seat of the tyre,
the wheel disc connects the rim with
the wheel hub, and the wheel is the
entire body, consisting of rim and
disc. There is a great variety in wheel
discs as we have to take into
consideration not only design
requirements regarding optimization
(high loading capacity along with low
wheel weight) and axle connection,
but also requests concerning the
brake drum etc.
The accurate correspondence of axle
and wheel connection as well as
utilization of the correct attachment
parts at the torque prescribed are
decisive for fault-free and secure
fastening of the wheel disc to the axle
hub. The fitting sizes are listed in the
relevant fable columns in this
catalogue. Indications and their
meanings are shown in the following
drawing:
The types of stud holes are highly
significant to the wheel connection.

voile d'une roue relie la jante au
moyeu. La roue représente l'objet
entier se composant de la jante et du

possible surface finish. In a nine-step

werden Mefro-Scheibenräder nach der Vorbehandlung kathodisch tauchgrundiert (KTL). Abschließend
werden unsere Räder in
brillantsilber (Standard) decklackiert. Neben der exzellenten Vorbehandlung führt dieser zweischichtige Farbaufbau zu einem hervorragenden 'Finish'.
Im Sinne der Schonung unserer Umwelt verwenden wir nur Grundierbzw. Decklacke, die frei von Blei, Kadmium oder sonstigen Schwermetallen sind.
Ihren Wünschen nach Sonderfarbtönen kommen wir gerne nach; kalkulatorische Voraussetzung hierfür ist
jedoch eine entsprechende Abnahmemenge.

treatment, our disc wheels are
cathodic dipped to guard against
corrosion, thereby also protecting
parts not easily accessible.
Finally, our wheels are standard top
coated in brilliant silver. This dual
coating, together with the basic
treatment guarantees excellent top
finish and durability.
In accordance with our environmental
protection policy we only use such
primer and top paints not containing
lead, cadmium, or other heavy metals.
Requests for special colour shades can
be processed, provided appropriate
purchasing quantities are involved.

sind entsprechend den internationalen Gegebenheiten einer bestimmten
Felgengröße nicht nur die Reifengröße, sondern auch jeweils mehrere Reifenunter- und -übergrößen zugeordnet. Diese Zuordnungen betreffen nur die Montagemöglichkeiten der
genannten Reifen auf die zugeordneten Felgen. Da jedoch die Gestaltfestigkeit jedes Rades für eine bestimmte Tragfähigkeit und auf spezifische Einsatzzwecke bemessen ist,
birgt die Verwendung von
Reifen höherer Auslastbarkeit die Gefahr von
Felgen- und Radbrüchen
in sich.
Sind Sie nicht sicher, dass
das von Ihnen vorgesehene Rad allen Anforderungen genügt, so fragen Sie
uns wegen der Radtragfähigkeit in Ihrem Einsatzfall.

directives not only the normal tyre
size, but also - due to international
requirements - several under- and
oversizes are allocated to each rim
size.
Hinsichtlich der Felgen- und Reifenzuordnung schreibt die Technische Organisation der Europäischen Reifenund Felgenhersteller in ihrem ETRTOData-Book: "Bitten Sie die Reifen- und
Felgen-/Räderhersteller um Bestätigung der Eignung der Reifen-/Rad-Einheit für den vorgesehenen Einsatz."
Das Jahrbuch '89 der US-Tire & Rim
Ass. beinhaltet diesbezüglich sinngemäß folgendes:
Die Felgenabmessungen sind genormt bezüglich ihrer Größe und

I. Angebot und Vertragsabschluss
1. Angebote erfolgen stets freibleibend und
unter Ausschluss etwaiger Einkaufsbedingungen des Käufers. Grundlage aller
Angebote sind die Allgemeinen Geschäftsbedingungen von Mefro.
I. Offer and Conclusion of Contract
1. Offers are always subject lo alteration and
exclude any purchasing condition of the
buyer. Basis of all offers are always the
Mefro 'General Business Conditions'.
2. Aufträge bedürfen zur Rechtsgültigkeit der
schriftlichen Bestätigung, deren Inhalt für
das Vertragsverhältnis maßgebend ist. Abweichende Bedingungen der Bestellformulare des Käufers werden hierdurch
aufgehoben. Nebenabreden bedürfen zu
ihrer Rechtsgültigkeit der Schriftform und
müssen durch Mefro schriftlich bestätigt
werden. Katalogdarstellungen sind mit
Rücksicht auf etwaige technische Fortentwicklungen unverbindlich.

Any conditions in the buyer's order forms
which differ are hereby cancelled.
Ancillary provisions must be in writing and
confirmed in writing by Mefro in order to
be legally valid; catalogue descriptions are

3. Angebotsunterlagen bleiben Eigentum des
Verkäufers und dürfen an Dritte nicht weitergegeben werden.

II. Geltung der Lieferbedingungen
1. Diese Allgemeinen Geschäftsbedingungen
gelten spätestens mit dem Empfang der
Lieferung oder Leistung (Vorschläge, anwendungstechnische Beratung) als vom
Käufer angenommen.
2. Diese Allgemeinen Geschäftsbedingungen
gelten auch für alle Bestellungen, die dem
Verkäufer in Zukunft erteilt werden, ohne
Rücksicht darauf, ob der Verkäufer in
jedem Einzelfall ausdrücklich auf sie
Bezug nimmt.
III. Preise und Zahlungen
1. Die Preise verstehen sich ab Werk und in
€ ohne Mehrwertsteuer. Preisangaben
in Angeboten und Auftragsbestätigungen
des Verkäufers erfolgen stets freibleibend:
Maßgebend sind die am Tage der Lieferung jeweils gültigen Preise. Voranschläge für Instandsetzungs- und Einbauarbeiten werden so genau wie möglich
erstellt, sind aber unverbindlich und werden nach dem tatsächlich entstandenen
Aufwand abgerechnet.
2. Die Kosten für Fracht, Verpackung, Verladung, Versand und sonstige Nebenkosten
sind im Preis nicht eingeschlossen. Erhöhen sich die für die Preisbildung maßgebenden Kostenfaktoren (z.B. die Preise für
Material, Betriebsstoffe, Löhne, Frachten
oder sonstige für den Verkäufer verbindliche Regelungen nationalen oder supranationalen Rechtes), ist der Verkäufer berechtigt, die Preise entsprechend anzupas-

II. Application of Conditions of Delivery
1. These General Business Conditions are
deemed to have been accepted by the
buyer al the latest of receipt of the goods
delivered by the seller.
2. These General Business Conditions also
apply to all orders given to the seller in
future, regardless of whether the seller
expressly refers to them in each case.
III. Prices and Payment
1. Prices are ex works in €, VAT excluded.
Particulars of prices in offers and order
confirmations by the seller are always
subject to change; the relevant prices are
those applying on the date of delivery.
Estimates for repair and installation work
are drawn up as accurately as possible,
but are not binding.
2. Costs of freight, packing, loading,
despatch and other incidental expenses
ore not included in the price. If the cost
factors (e.g. prices of materials, fuels,
wages, freights or other regulations of
national or supranational law binding on
the seller) which determine the formation
of prices rise, the seller is entitled to adjust
prices accordingly. Packing will be
invoiced lo the buyer at cost price.
3. Unless otherwise agreed, the invoice
amount is to be paid within 10 days of
date of invoice with 2% discount or
without deduction 30 days net; same
applies for invoices of part-deliveries.

transmis à des tiers.
II. Validité des conditions de livraison
1. Les présentes conditions générales de
vente sont considérées comme étant
acceptées par l'acheteur au plus tard à la
réception des marchandises ou des
services (propositions, conseils techniques
d'application) .
2. Les présentes conditions générales de
vente sont également valables pour toutes
commandes futures qui seront passées au
vendeur, sans que le vendeur soit obligé de
les citer expressément lors de chaque
commande.
III. Prix et paiement
1. Les prix s'entendent ex usine et en € sans
TVA. Les prix indiqués sur les offres et les
confirmations de commande du vendeur
sont toujours sans engagement: ce sont les
prix en vigueur le jour de la livraison qui
sont décisifs. Les devis pour des travaux
de réparation et de montage sont établis
avec la plus grande précision tout en étant
sans engagement. Ils seront facturés en
fonction des efforts réellement fournis.
2. Les coûts pour fret, emballage, chargement,
expédition et frais accessoires ne sont pas
compris dans le prix de vente. Lors d'une
augmentation des facteurs responsables de
la formation des prix (p.ex. les prix des
matières, des moyens d'exploitation, des
salaires, du fret ou d'autres règlements du
droit national ou supranational qui engagent
le vendeur), le vendeur aura le droit d'ajuster les prix en fonction. L'emballage est
facturé à l'acheteur au prix de revient.

zu, auch dann nicht, wenn er den Liefergegenstand beanstandet.
4. Nimmt der Verkäufer Zahlungsanweisungen, Schecks oder Wechsel an, wird
die Schuld erst durch deren Einlösung getilgt. Zahlungsanweisungen und Wechsel
werden nur nach besonderer schriftlicher
Vereinbarung angenommen. Diskontspesen und alle mit der Einziehung der Wechsel- oder Scheckbeträge in Zusammenhang stehenden gerichtlichen und außergerichtlichen Kosten trägt der Käufer.
5. Ein vom Verkäufer gewährter Skonto entfällt, wenn sich der Käufer mit der Bezahlung früherer Lieferungen und Leistungen
im Verzug befindet. Bei Zielüberschreitungen werden Zinsen und Provisionen
gemäß den Banksätzen für kurzfristige
Kredite berechnet, ohne dass es einer
Mahnung des Verkäufers bedarf.
Zahlungsverzug hat Lieferverzug zur
Folge. Zurückhaltung der Zahlung oder
Aufrechnung wegen irgendwelcher
Ansprüche des Käufers gegen den Verkäufer sind ausgeschlossen.
6. Der Verkäufer ist berechtigt, für seine
Forderungen jederzeit Sicherheit zu verlangen. Gerät der Käufer mit einer Zahlung in
Verzug oder verstößt er gegen die vertraglichen Vereinbarungen einschließlich dieser
Bedingungen, so werden alle etwaigen
sonstigen Forderungen des Verkäufers gegen den Käufer sofort fällig. Falls der Käufer
mit ihm obliegenden Verpflichtungen in
Verzug gerät, ist der Verkäufer - unbeschadet aller anderen Rechte - berechtigt, ohne
Setzung einer Nachfrist vom Vertrag zurückzutreten. Im Übrigen gelten grundsätzlich
die Bestimmungen der §§ 355 ff. HGB.
IV. Lieferungen und Lieferfrist
1. Wenn nicht anders vereinbart, erfolgen alle
Lieferungen ab Werk des Verkäufers. Alle
Sendungen gehen auf Gefahr des Käufers;
eine Versicherung erfolgt nur auf ausdrückliches Verlangen und auf Kosten des Käufers.
Under no circumstances shall the buyer
have a right of retention, not even if he
complains of the goods delivered.
4. If the seller accepts giro transfer orders,
cheques or bills the debt will only be
discharged when they are collected. Giro
transfer orders and bills shall only be
accepted when confirmed in writing. The
buyer shall meet all discount expenses
and all court and extra-judicial expenses
in connection with collecting the amounts
of bills or cheques.
5. Any discount granted by the seller will not
be given if the buyer is in default with
payment for previous goods and services.
If payment dates are exceeded interest
and commissions will be charged in
accordance with bank rates for short-term
credits, and no reminder from the seller
shall be necessary. Default in payment will
result in goods not being supplied.
Payment shall not be withheld or set off
against claims of any kind by the buyer.
6. The seller is entitled to demand security
at any time for his claims. If the buyer is
in default with a payment or contravenes
the stipulations of the contract including
these Conditions, all other claims by the
seller against the buyer shall fall due
immediately. If the buyer is in default with
performance of his obligations the seller
will be entitled, without prejudice to all
other rights, to withdraw from the contract
without granting a period of grace. In all
other respects the provisions of sections
355 et seq. of the Commercial Code apply.
IV. Deliveries and Deadlines
1. Unless otherwise agreed, all consignments are delivered ex work seller. All
consignments are at the risk of the buyer;
insurance will be taken out only at the
buyer's express wish and at his cost.
2. The seller is entitled to make partdeliveries.
3. In principle delivery dates given by the
seller are not binding. If a firm delivery
period is agreed it shall begin on the date
when the seller posts the written order
confirmation provided that all details of the
order are clear. The delivery period is
adhered to when the goods are taken for
dispatch or, if the buyer has to call for or
collect them when notice of readiness for

paiement de livraisons ou de services
antérieurs. En cas d'échéance dépassée, les
intérêts et les commissions selon taux
bancaires pour les crédits à court terme
seront facturés sans nécessité d'une lettre
de rappel de la part du vendeur. Un retard
de paiement entraînera un retard de
livraison.
Sont exclues: la rétention du paiement ou

6. Le vendeur a le droit de réclamer à tout
moment des garanties de ses créances. Au
cas oú l'acheteur serait en retard de
paiement ou offenserait les stipulations du
contrat, y compris les présentes, la totalité
de toutes les autres créances éventuelles
du vendeur vis-à-vis de i'acheteur viendra
immédiatement à échéance. Au cas où
l'acheteur manquerait à ses engagements,
le vendeur, sans préjudice de tous ses
autres droits, est en droit de résilier le
contrat sans nécessité de délai
supplémentaire. En général, les articles 355
et suivants HGB (Handelsgesetzbuch =
pourrait être comparé au Code du
Commerce français) font loi.
IV. Livraisons et délais de livraison
I.
Sauf stipulation contraire, les livraisons
sont effectuées départ usine du vendeur.
Tous les envois voyagent aux risques et
périls de l'acheteur; une assurance est
conclue seulement à la demande expresse
et aux frais de l'acheteur.

eine feste Lieferfrist vereinbart, beginnt sie
am Tage der Absendung der schriftlichen
Auftragsbestätigung seitens des Verkäufers, sofern über alle Auftragseinzelheiten
Klarheit besteht. Die Frist gilt als eingehalten, wenn der Liefergegenstand bei
Fristablauf zum Versand gebracht oder die
Versandbereitschaft mitgeteilt ist, sofern
der Käufer abzurufen oder abzuholen hat.
4. Mefro is entitled to postpone or cancel all
or part of her delivery obligations in the
event of occurences of force majeure,
operating breakdowns of any kind,
shortage of labour, raw materials or fuels,
strikes and lockouts. In such cases the
buyer shall not claim damages or default.
If a fixed delivery date which has been
agreed is exceeded, the provisions of
section 361 of the Civil Code shall be
excluded and the buyer shall have a right
of withdrawal if he allows a period of grace
of at least one month and the goods are
not delivered within that period. All further claims are excluded. The seller shall
not answer for the above mentioned
circumstances even if they arise during
an existing delay in delivery. The buyer
shall have no claim to compensation if a
delivery deadline is exceeded in the
manner described above.
3. Les délais de livraison indiqués par le
vendeur sont par principe sans
engagement. Lorsqu'un délai de livraison
fixe est convenu, celui-ci commence à
courir le jour de l'envoi de la confirmation
de commande écrite par le vendeur, à
condition que tous les détails de la
commande soient clarifiés. Le délai passe
pour respecté losque l'objet de la livraison
a été expédié à l'expiration du délai ou
lorsque sa disponibilité à l'expédition a été
notifiée au cas où l'acheteur devrait demander livraison des marchandises ou les
enlever.
4. Der Verkäufer ist berechtigt, bei Ereignissen höherer Gewalt, bei Betriebsstörungen jeglicher Art, bei Mangel an Arbeitskräften, Rohmaterial bzw. Brennstoffen,
bei Streiks und Aussperrungen eingegangene Lieferverpflichtungen ganz oder
teilweise zu verschieben oder aufzuheben.
Ein Verzugsschaden kann in solchen Fällen vom Käufer nicht geltend gemacht
werden. Ist ein fest vereinbarter Liefertermin überschritten, so steht dem Käufer
unter Ausschluss der Bestimmungen des
§ 361 BGB ein Rücktrittsrecht nur dann
zu, wenn er eine Nachfrist von mindestens
einem Monat gesetzt hat und innerhalb
dieser Nachfrist die Lieferung nicht erfolgte. Weitergehende Ansprüche sind ausgeschlossen. Die vorbezeichneten Umstände sind auch dann nicht vom Verkäufer zu vertreten, wenn sie während eines
bereits vorhandenen Lieferverzugs eintreten. Ein Anspruch des Käufers auf Entschädigung bei einer Lieferzeitüberschreitung der vorgenannten Art besteht nicht.
5. Wegen Änderungen an der Konstruktion
und Ausführung, die der Verkäufer vor der
Auslieferung eines Auftrages an dem betreffenden Liefergegenstand ganz allgemein vornimmt und die den Gebrauchswert in keiner Weise einschränken, kann
eine Beanstandung nicht erfolgen.
6. Für Sonderanfertigungen besteht seitens
des Käufers in jedem Falle Abnahmepflicht. Der Verkäufer ist aus Fertigungsgründen berechtigt, diese Aufträge (Sonderanfertigungen) zu unter- oder überliefern. Was als Sonderanfertigung gilt, kann
im Zweifelsfall der Verkäufer bestimmen.
7. Eine vom Käufer verlangte oder eine ausdrücklich vereinbarte Prüfung und Abnahme hat rechtzeitig vor dem Versand im Betrieb des Verkäufers zu erfolgen. Die Kosten hierfür trägt der Käufer.

5. No complaints can be made in respect of
alterations in design and construction
which the seller makes generally to the
article supplied before an order is delivered
and which in no way limit the practical
value of the article supplied.
6. For specially produced articles the buyer
has an obligation of acceptance in every
case. For production reasons these
specially produced articles may be over/
under supplied by the seller! In case of
doubt the seller may determine what
constitutes a specially produced article.
7. Any test and acceptance required by the
buyer or expressly agreed must take place
in the seller's work in good time before
despatch. The costs shall be met by the
buyer.
V. Despatch and Passing of Risk
1. In case of delivery ex work goods ready
for despatch have to be called for or to be
collected immediately by the buyer. If the
goods notified as being ready for despatch
are not collected within one week of
notification, the seller is entitled to have
these goods delivered by a transportation
of his choice at the costs of the buyer.
2. The risk shall pass to the buyer when the
goods are handed over to him or to the
forwarding agent, carrier or other person

prétentions dépassant le cadre prévu. Les
circonstances citées ci-dessus ne sont pas
non plus de la responsabilité du vendeur
lorsqu'elles interviennent pendant un retard
de livraison déjà existant. L'acheteur n'est
pas en droit de réclamer une indemnité lors
d'un dépassement du délai de livraison de
la manière citée ci-dessus.
5. Des modifications très générales de la
construction ou de la fabrication de l'objet
de la livraison entreprises par le vendeur
avant la délivrance d'une commande, et qui
ne limitent nullement sa valeur d'usage, ne
donnent pas droit à une réclamation.
6. Des fabrications hors-série entraînent en
tout cas l'obligation de la part de l'acheteur
de prendre livraison. Pour des raisons de
fabrication le vendeur a le droit de livrer des
quantités supérieures ou inférieures à la
commande (fabrications hors-série). En cas
de doute, le vendeur décidera de la
définition de fabrication hors-série.
7. Un examen demandé par l'acheteur ou une
homologation convenue expressément doit

works. Despatch, choice of means of
transport and route as well as packing, if
any, will be effected by the seller with the
care of an ordinary businessman but
without accepting any liability. If despatch
is delayed by circumstances for which the
buyer is responsible, the seller is entitled
to store the goods within his discretion at
the buyer's cost and risk and demand
immediate payment of the price or, in the
case of delivery on credit, to charge the
storage period to the term of credit.
1. Versandfertig gemeldete Aufträge mit Lieferung ab Werk sind unverzüglich abzurufen oder abzuholen. Werden die versandfertig gemeldeten Liefergegenstände nicht
innerhalb einer Woche abgeholt, so ist der
Verkäufer berechtigt, den Versand mit einem Transportmittel eigener Wahl auf Kosten des Käufers vorzunehmen.
2. Mit der Übergabe an den Käufer, Spediteur, Frachtführer oder die sonst zur Ausübung des Transports bestimmte Person
oder Anstalt, spätestens jedoch beim Verlassen des Werkes, geht die Gefahr auf
den Käufer über. Versand, Auswahl der
Transportmittel und des Transportweges
sowie evtl. Verpackung werden vom Verkäufer mit der Sorgfalt eines ordentlichen
Kaufmanns, jedoch ohne Übernahme einer Haftung, bewirkt. Verzögert sich der
Versand durch Umstände, die der Käufer
zu vertreten hat, ist der Verkäufer berechtigt, den Liefergegenstand auf Kosten und
auf Gefahr des Käufers nach seinem Ermessen zu lagern und sofortige Zahlung
des Preises zu verlangen oder bei Lieferung auf Kredit die Lagerzeit auf die Laufzeit des Kredites anzurechnen.
VI. Sicherungen (Eigentumsvorbehalt und
Vorausabtretungsklausel)
1. Die Lieferungen des Verkäufers erfolgen
unter Eigentumsvorbehalt gemäß § 455
BGB mit den nachstehenden Erweiterungen.
2. Die gelieferten Gegenstände bleiben bis
zur Erfüllung aller gegenwärtigen und zukünftigen Ansprüche des Verkäufers gegen den Käufer aus der Geschäftsverbindung - gleichgültig, auf welchem Rechtsgrund sie beruhen - Eigentum des Verkäufers (Vorbehaltsware); dies gilt auch dann,
wenn Zahlungen für besonders bezeichnete Forderungen erfolgen.
3.
a) Ein Eigentumserwerb des Käufers an der
Vorbehaltsware gemäß § 950 BGB im Falle
von deren Verarbeitung oder Umbildung
zu einer neuen Sache oder neuem Bestand
ist ausgeschlossen. Etwaige Verarbeitung
oder Umbildung der Vorbehaltsware erfolgen für den Verkäufer als Hersteller im Sinne des § 950 BGB, ohne diesen zu verpflichten.
b) Bei Verarbeitung oder Umbildung mit anderen, dem Verkäufer nicht gehörenden
Waren durch den Käufer steht dem Ver-
VI. Securities (Retention of Title and Prior
Assignment)
1. Goods are supplied by the seller subject
to retention of title in accordance with
section 455 of the Civil Code with the
following extensions.
2. The goods shall remain the seller's
property (goods subject to retention of
title) until satisfaction of all present and
future claims by the seller against the
buyer arising from the business
relationship, irrespective of their legal
basis; this applies even if payments are
made for specified claims.
3.
a) Acquisition of ownership by the buyer
pursuant to section 950 of the Civil Code
in respect of the goods subject to retention
of title is excluded if the goods are
processed or reconstructed to form a new
article or new stock. Any processing or
reconstruction of the goods subject to
retention of title shall take place on the
seller's behalf as manufacturer within the
meaning of section 950 of the Civil Code
without creating any obligation on his part.
b) If the goods are processed or
reconstructed by the buyer with other
goods not belonging to the seller, the seller
shall be entitled to joint ownership of the
article produced in the proportion existing
between the invoice value of the goods
subject to retention of title used in the
article produced and the total of all invoice
values of all the goods used to produce it.
c) If the goods subject to retention of title
are mixed or combined with other articles
and the seller's ownership of the goods

V. Expédition et transfert des risques
1. Des marchandises notifiées prêtes à quitter
l'usine et qui sont à livrer ex usine, doivent
être prises en livraison ou enlevées sans
tarder. Si les objets livrables notifiés prêts
à l'envoi ne sont pas enlevés au cours d'une
semaine, le vendeur est autorisé à effectuer
la livraison par un moyen de transport de
son choix et aux frais de l'acheteur.
2. Au moment de la remise matérielle à
l'acheteur, au transporteur, au voiturier au
à toute autre personne ou institution
destinée à effectuer l'envoi, cependant au
plus tard au moment de la sortie des usines,
les risques passent à l'acheteur. Le vendeur
organise l'envoi, le choix des moyens et de
la voie de transport ainsi que l'emballage
éventuel en tant que commerçant prudent
et avisé, mais sans en assumer la responsabilité; Lors d'un retard de livraison
de la responsabilité de l'acheteur, le vendeur
est autorisé à entreposer comme bon lui
semble le matériel de la livraison aux
risques et périls et à la charge de l'acheteur
et à exiger le paiement immédiat du prix
de vente ou, en cas de livraison sur crédit,
à imputer la durée d'entrepôt à la durée du
crédit.
VI. Garanties (Réserve de propriété et
clause de cession anticipée)
1. Les livraisons du vendeur sont effectuées
sous réserve de propriété selon l'article 455
BGB et en tenant compte des stipulations
suivantes.
2. Le matériel livré reste la propriété du
vendeur (marchandise sous réserve de
propriété) jusqu'à l'accomplissement de
toutes les obligations actuelles et futures
de l'acheteur vis-à-vis du vendeur - quel
que soit leur motif juridique - résultant de
relations commerciales; ceci étant
également valable en cas de paiements
pour des créances spécialement désignées.
3.
a) L'acquisition de la propriété de la
marchandise sous réserve de propriété
selon l'article 950 BGB par l'acheteur dans
le cas de son usinage ou de sa transformation en une nouvelle chose ou quantité
est exclue. L'usinage ou la transformation
éventuels de la marchandise sous réserve
de propriété interviennent pour le vendeur
en tant que fabricant selon l'article 950
BGB, sans engager celui-ci.

und erlischt hierdurch das Eigentum des
Verkäufers an der Vorbehaltsware (§§
947, 948 BGB), so wird bereits jetzt vereinbart, daß die Eigentums- bzw.
Miteigentumsrechte des Käufers an dem
vermischten Bestand oder den einheitlichen Sachen im Umfang des Rechnungswertes der Vorbehaltsware des Verkäufers
auf diesen übergehen und der Käufer diese für den Verkäufer unentgeltlich verwahrt.
d) Für die aus der Verarbeitung, Umbildung,
Verbindung oder Vermischung entstehenden Sachen oder Bestände gilt im Übrigen das Gleiche wie für die Vorbehaltsware; auch diese Sachen oder Bestände
gelten als Vorbehaltsware im Sinne dieser Allgemeinen Geschäftsbedingungen.
e) Der Käufer darf die Vorbehaltsware nur im
gewöhnlichen Geschäftsverkehr zu seinen
normalen Geschäftsbedingungen und solange er nicht im Verzuge ist veräußern.
Er ist zur Weiterveräußerung der Vorbehaltsware nur mit der Maßgabe berechtigt und ermächtigt, daß die Forderungen aus der Weiterveräußerung gemäß
den nachfolgenden Ziffern 4 bis 7 auf den
Verkäufer übergehen. Zu anderen Verfügungen über die Vorbehaltsware ist der
Käufer nicht berechtigt.
4. Die Forderungen des Käufers aus dem
Weiterverkauf der Vorbehaltsware werden
bereits jetzt an den Verkäufer abgetreten,
und zwar einerlei, ob die Vorbehaltsware
ohne oder nach Verarbeitung, Umbildung,
Verbindung oder Vermischung und ob sie
an einen oder mehrere Abnehmer veräußert wird.
5. Für den Fall, dass die Vorbehaltsware vom
Käufer zusammen mit anderen, nicht dem
Verkäufer gehörenden Waren veräußert
wird, gilt die Abtretung der Forderung aus
der Weiterveräußerung nur in Höhe des
Rechnungswertes der jeweils veräußerten Vorbehaltsware.
6. Wird die Vorbehaltsware nach Verarbeitung, insbesondere mit nicht dem Verkäufer gehörenden Waren oder nach Verbin-

the mixed stocks or the undivided articles
shall pass to the seller to the extent of the

seller's .behalf without payment.
d) The articles or stocks resulting from
processing, reconstruction, combination
or mixing are in other respects covered
by the same stipulations as those for the
goods subject to retention of title; these
articles or stocks are also deemed to be
goods subject to retention of title within
the meaning of these General Business
Conditions.
e) The buyer may only sell the goods subject
to retention of title in the ordinary course
of business on his normal business
conditions and as long as he is not in
default. He is entitled and authorised to
resell the goods subject to retention of title
only with the proviso that the claims
arising from the resale shall pass to the
seller in accordance with paragraphs 4 to
7 below. The buyer is not entitled to make
any other dispositions in respect of the
goods subject to retention of title.
4. The buyer's claims arising from the resale
of the goods subject to retention of title
are hereby assigned to the seller,
regardless whether the goods are sold
without or after processing reconstruction, combination or mixing and whether
they are sold to one or more purchasers.
5. If the goods subject to retention of title
are sold by the buyer together with other
goods not belonging to the seller, the
assignment of the claim arising from the
resale shall apply only in relation to the
invoice value of the goods subject to
retention of title which are sold.

propriété est mêlée ou associée à d'autres
objets, ce qui entraîne l'annulation de la
propriété du vendeur à la marchandise sous
réserve de propriété (articles 947, 948
BGB|, il est convenu dès ce jour que les
droits de propriété ou de copropriété de
l'acheteur en matière du matériel composite
ou des choses homogènes sont transférés
au vendeur proportionnellement à la valeur
facturée de sa marchandise sous réserve
de propriété et que l'acheteur les garde
gratuitement pour le vendeur.
d) Les choses ou unités résultant de l'usinage,
de la transformation, de l'association ou du
mélange sont régies par les mêmes
conventions que la marchandise sous
réserve de propriété puisqu'elles passent
également comme marchandise sous
réserve de propriété selon les présentes
conditions générales de vente.
e) L'acheteur n'a le droit de vendre la
marchandise sous réserve de propriété que
dans le cadre des échanges commerciaux
habituels, à ses conditions générales de
vente ordinaires et s'il n'est pas en demeure. ll est autorisé et habilité à revendre
la marchandise sous réserve de propriété
à la seule condition que les créances
résultant de la revente soient transférées
au vendeur selon les points suivants 4 à 7.
L'acheteur n'a pas le droit de disposer d'une
autre manière de la marchandise sous
réserve de propriété.
4. Les créances de l'acheteur résultant de la
revente de la marchandise sous réserve de
propriété sont cédées dès maintenant au
vendeur, indépendamment du fait que la
marchandise soit vendue sans ou après
usinage, transformation, association ou
mélange, ou qu'elle soit vendue à un ou à
plusieurs sous-acquéreurs.
5. Au cas où la marchandise sous réserve de
propriété serait vendue par l'acheteur en
commun avec d'autres marchandises
n'appartenant pas au vendeur, la cession
de la créance résultant de la revente vaut
seulement pour le montant de la valeur
facturée de la marchandise sous réserve
dung/Vermischung/Umbildung weiterveräußert, so gilt die Abtretung nur in Höhe
des Miteigentumsanteils des Verkäufers
an der veräußerten Sache oder dem veräußerten Bestand.
7. Wird die Vorbehaltsware vom Käufer zur
Erfüllung eines Werk- oder Werklieferungsvertrages verwandt, so wird die Forderung hieraus im gleichen Umfang im
Voraus an den Verkäufer abgetreten, wie
es in den vorstehenden Absätzen bestimmt ist.
8. Der Käufer ist berechtigt, Forderungen aus
der Weiterveräußerung einzuziehen, solange er seinen Zahlungspflichten gegenüber
dem Vorbehaltsverkäufer nachkommt. Zur
Abtretung der Forderung ist der Käufer in
keinem Fall befugt. Er ist auf Verlangen des
Verkäufers verpflichtet, seine Abnehmer
von der Abtretung zu unterrichten und die
zur Einziehung erforderlichen Auskünfte
und Unterlagen zu geben.
9. Übersteigt der Wert der für den Verkäufer
bestehenden Sicherheiten dessen Forderungen um insgesamt mehr als 10%, ist
der Verkäufer auf Verlangen des Käufers
insoweit zur Freigabe von Sicherungen
nach Wahl des Verkäufers verpflichtet.
10. Von einer Pfändung oder anderen Beeinträchtigungen durch Dritte oder durch sonstige Ereignisse hat der Käufer den Verkäufer unverzüglich zu benachrichtigen.
11. Der Verkäufer ist berechtigt, jederzeit Herausgabe der in seinem Eigentum oder Miteigentum stehenden Gegenstände zu verlangen, wenn ihm die Erfüllung seiner Forderungen durch den Käufer gefährdet erscheint oder der Käufer oder seine Abnehmer gegen die ihnen obliegenden Verpflichtungen verstoßen. Gegen diesen Herausgabeanspruch kann ein Zurückbehaltungsrecht nicht geltend gemacht werden.
Die Geltendmachung des Herausgabeanspruchs und die Pfändung eines im Eigentum oder Miteigentum des Verkäufers stehenden Gegenstandes durch diesen gelten nicht als Rücktritt vom Vertrag.
VII. Gewährleistungsbestimmungen
Der Käufer hat die gelieferte Ware unverzüglich nach Eingang zu prüfen und alle
Mängel oder unvollständige Lieferung spätestens 8 Tage nach Empfang der Ware
schriftlich anzuzeigen, widrigenfalls die
Lieferungen und Leistungen als einwandfrei genehmigt gelten, unter Vorbehalt folgender Gewährleistungspflichten:

8. The buyer is entitled to recover claims
arising from the resale as long as he
performs his payment obligations to the

he undertakes to inform his purchasers of
the assignment and to provide the
information and documents necessary for
recovery.
9. If the total value of the securities existing
on the seller's behalf exceeds his claims
by more then 10% the seller undertakes,
on demand by the buyer, to release
securities to that extent as the seller may
choose.
10 The buyer must inform the seller
immediately of seizure or encroachments
by third parties or by other occurrences.
11. The seller is entitled at any time to demand
delivery of articles in his ownership or joint
ownership if satisfaction of his claims by
the buyer appears to him at risk or if the
buyer or his purchasers do not fulfill their
obligations. A right of retention cannot be
invoked against his claim to delivery. Assertion of the claim to delivery and the
seizure by the seller of any article in his
ownership or joint ownership is not to be
deemed cancellation of the contract.
VII. Guarantee Provisions
The buyer must check the goods delivered
immediately after he receives them and
must give written notice of all defects or
incomplete delivery to the latest eight days
after receipt of the goods, otherwise the
goods and services are deemed to have
been approved without objection, subject
to the following guarantee obligations:
Claims about incomplete delivery and
external visible defects are taken into
consideration by the seller only in regard
to sections 377, 378 Commercial Code.
The deadline starts with the day the buyer
gains possession of the goods. Imperfect
goods are not to be processed.

7. Si la marchandise sous réserve de propriété
est employée par l'acheteur à l'accomplissement d'un contrat de louage
d'ouvrage ou d'un contrat mixte d'entreprise
et de vente, la créance résultante est cédée
à l'avance au vendeur dans la mesure
stipulée dans les paragraphes précédents.
8. L'acheteur est en droit de réaliser des
créances résultant de la revente, tant qu'il
s'acquitte de ses obligations de paiement
vis-à-vis du vendeur sous réserve de
propriété. Dans aucun cas, l'acheteur nà
le droit de céder la créance. Il est obligé, à
la demande du vendeur, dínformer ses
sous-acquéreurs de la cession et de fournir
les informations et documents nécessaires
au recouvrement.
9. Lorsque la valeur des garanties en faveur
du vendeur dépasse ses créances de plus
de 10% au total, le vendeur est, à la
demande de l'acheteur, obligé au déblocage
correspondant de garanties du choix du
vendeur.
10. L'acheteur est tenu à renseigner le vendeur
immédiatement d'une saisie ou d'autres
atteintes par des tiers ou par des
circonstances quelconques.
11. Le vendeur est en droit de réclamer à tout
moment la restitution des objets dont il est
propriétaire ou copropriétaire, si
l'accomplissement de ses créances par
l'acheteur lui semble compromis ou si
l'acheteur ou ses sous-acquéreurs ne
respectent pas leurs engagements. Ce droit
de restitution ne peut pas être entamé en
faisant valoir un droit de rétention.
L'exercice du droit de restitution et la saisie
de matériel en propriété ou copropriété du
vendeur par ce dernier ne sont pas
considérés comme une dénonciation du
contrat.
VII.Clauses de garantie
L'acheteur est tenu à examiner la
marchandise sans tarder dès sa réception
et à notifier par écrit tout vice ou toute
livraison incomplète au plus tard dans les
8 jours suivant la réception des
marchandises. A défaut, les livraisons et

Lieferung und äußerlich erkennbarer Mängel berücksichtigen wir nur nach Maßgabe der §§ 377, 378 HGB. Die Frist beginnt
mit dem Tag, an welchem der Kunde den
Besitz der Ware erlangt. Fehlerhafte Ware
darf nicht weiterverarbeitet werden.
Der Verkäufer übernimmt für seine Liefergegenstände von der Anzeige ihrer Fertigstellung und vom Tage des Versandes
ab Gewähr für eine dem jeweiligen Stand
der Technik entsprechende Fehlerfreiheit
in Werkstoff und Werkarbeit, auch dann,
wenn solche Fehler nach Übergabe der
Gefahr auf den Käufer auftreten. Die
Gewährleistungspflicht und Verjährungsfrist beträgt für diese Fehler 12 Monate
vom Gefahrenübergang an. Der Verkäufer
leistet für mit Bearbeitungs- und äußeren
Materialfehlern (also nicht auch mit inneren) nachweislich behaftete Liefergegenstände gegen deren Rückgabe kostenlosen Ersatz.
Normale Abnutzung fällt nicht unter die
Gewährleistung, desgleichen nicht Schäden infolge unsachgemäßer Behandlung,
z.B. Überlastung über die festgesetzten
Tragfähigkeiten oder bei Verwendung von
nicht der DIN-Norm entsprechenden Reifen, wobei die Beweislast der Käufer hat.
Ersatz für Folgeschäden, insbesondere
Ersatz etwaiger Bearbeitungskosten, Aufwendungen oder Verwendungen seitens
des Käufers sind ausdrücklich ausgeschlossen.
Im Rahmen der Gewährleistungspflicht gehen Fracht und Verpackung sowie etwaige Kosten für den Aus- und Einbau der
Liefergegenstände des Verkäufers zu Lasten des Käufers.Die Gewährleistungspflicht setzt voraus, dass während der
Garantiezeit keinerlei Ersatzteile fremder
Herkunft verwendet und keine Eingriffe
von dritter Hand vorgenommen werden
und dass sofort bei Erteilung des Auftrages ausdrücklich und schriftlich kostenlose Instandsetzung verlangt wird.
Weitergehende Ansprüche auf Minderung,
Ersatzlieferung oder Schadenersatz sind
auch bei rechtzeitiger Mängelrüge ausgeschlossen. Für Schwierigkeiten, die sich
aus Vorschriften des gewerblichen
Rechtsschutzes bei dem Weiterverkauf
oder der Verwendung der Liefergegenstände ergeben, ist jede Haftung des Verkäufers ausgeschlossen. Wird die Ware
in vom Kunden besonders vorgeschriebe-

In respect of goods supplied by him the
seller guarantees, from the date or notice
of completion and from the date of
despatch, that they are free of defects in
materials and workmanship in conformity
with the latest technological
developments, even if such defects
appear after the risk has passed to the
buyer. For such defects the guarantee
period and limitation period is twelve
months from the date when the risk
passes. The seller will supply
replacements free of charge for articles
which are proved to have defects in workand external material defects (i.e. not
internal defects also) on return of the
defective articles.
Normal wear and tear is not covered by
the guarantee, nor damage caused by
improper handling, e.g. overloading over
the capacities specified or using tyres not
conforming to the German Industrial Standard (DIN), and in this connection the
buyer has the burden of proof.
Compensation for consequential damage,
particularly reimbursement of any
machining costs, disbursements or
expenditure by the buyer is expressly
excluded.
In the framework of the guarantee
obligation the buyer will be responsible for
freight and packing and any expenses for
dismantling and fitting the goods supplied
by the seller. It is a condition of the
guarantee that during the guarantee period
no spare parts of any kind originating from
elsewhere are used, that no measures are
taken by outsiders and that free repairs
are expressly demanded in writing as soon
as the order is placed.
Any further claims to a reduction in price,
supply of a replacement or damages are
excluded even if notice of a defect is given
in good time. The seller accepts no liability
for difficulties arising from provisions
relating to the protection of industrial
property rights on the resale or use of
goods supplied by the seller. If the goods
are manufactured and delivered to the
buyer's specifications the seller is liable
only for such defects based on the nonobservance of the buyer's instructions. In
this case the buyer guarantees that the
rights of third parties are not violated and
exempts the seller of any further
services passent comme étant acceptés et

Nous tenons compte de réclamations en

qu'après le transfert des risques à
l'acheteur. L'obligation de garantie ainsi que
le délai de prescription s'élèvent pour ces
défauts à 12 mois à compter du transfert
des risques. Le vendeur remplace
gratuitement et contre remise des objets
dont le matériel présente indubitablement
des défauts d'usinage ou des vices de
matière extérieurs (vices intérieurs non
compris).
La garantie ne comprend ni la dégradation
normale ni des dommages résultant
d'utilisation incorrecte, p.ex. surcharge qui
dépasse les charges admissibles fixées ou
en cas d'utilisation de pneus qui ne sont
pas conformes à la norme DIN, la charge
de la preuve étant du côté de l'acheteur.
Sont expressément exclues: des
indemnisations pour des dommages consécutifs, en particulier la compensation
d'éventuels coûts d'usinage, de charges ou
d'emplois de la part de l'acheteur. Dans le
cadre de l'obligation de garantie, le fret et
l'emballage ainsi que d'éventuels coûts pour
le démontage ou le montage du matériel
du vendeur sont à la charge de l'acheteur.
L'obligation de garantie exige qu'au cours
de la période de garantie aucune pièce de
rechange d'origine extérieure ne soit
employée, qu'aucune intervention de tierce
personne ne se soit passée et qu'une
réparation gratuite soit demandée par écrit
et explicitement dès la passation de la
commande.
Sont exclues: des prétentions dépassant le
cadre prévu, en matière de restitution d'une
partie du prix, de livraison de remplacement
ou de dommages-intérets, nonobstant un
recours en garantie en temps utile. Le
vendeur décline toute responsabilité pour
des difficultés résultant de la réglemen-

insbesondere auch für alle Formen unserer anwendungstechnischen Beratung. Die
Eignung der von uns vorgeschlagenen Problemlösung hat der Auftraggeber in jedem
Falle auch selbst zu überprüfen.
VIII. Haftungsausschluß
Soweit in diesen Bedingungen nicht anders vereinbart, sind alle weiteren Schadenersatzansprüche des Käufers, gleich
aus welchem Rechtsgrund, ausgeschlossen. Dies gilt insbesondere für Folgeschäden und solche Schäden, die nicht am
Liefergegenstand selbst entstanden sind.
IX. Herstellungswerkzeuge und
Werkzeugkosten
Die vereinbarten Werkzeugkosten verstehen sich grundsätzlich als anteilige
Werkzeugkosten und sind unabhängig
vom Warenwert zu sehen. Werkzeugkosten sind ohne Abzug zahlbar 2/3 bei
Auftragserteilung netto und 1/3 bei Übersendung des Ausfallmusters netto.
Durch die Vergütung von anteiligen Kosten
an Werkzeugen erwirbt der Käufer keinen
Anspruch auf die Werkzeuge selbst; sie
verbleiben vielmehr Eigentum und Besitz
des Verkäufers.
Der Verkäufer verpflichtet sich, die Werkzeuge für den Käufer ein Jahr nach der letzten Lieferung daraus entstehender Produktionsteile aufzubewahren. Nach Ablauf
dieses Zeltraums kann der Verkäufer frei
über das Werkzeug verfügen.
Für Werkzeugaufträge, die im Entwicklungsstadium (z.B. durch Schwierigkeiten
in der Formgebung oder der Umformung)
oder in der Anlaufzeit zur Annullierung
kommen, behält sich der Verkäufer die Abrechnung der entstandenen Kosten vor.
Hierbei werden bei einer Annullierung vor
Freigabe der Muster die angefallenen Kosten für den ganzen Erstwerkzeugsatz, bei
Annullierung nach Musterfreigabe je nach
Höhe des vorgesehenen Bedarfes die angefallenen Kosten für den gesamten Um-
guarantee claims. The mentioned liability

VIII. Exemption from Liability
Unless otherwise agreed upon, all further
damage claims by the buyer are excluded.

damages and for such damages not
immediately emerging from the goods
delivered.
IX. Production Tools and Costs
The agreed costs of tools are to be seen
as a portion of the costs of these tools
and are independent of the value of the
merchandise. The costs of tools are
payable net without deduction 2/3 when
ordering and 1/3 by delivery of the first
sample. The buyer does not obtain a claim
to the tools themself by paying part of the
costs thereof; the tools remain the
property of the seller. The seller agrees to
keep the tools at the buyer's disposal at
least one year after the last delivery of
parts produced on these. After this time
the seller can dispose freely of the tools.
Should an order for production tools be
cancelled during development or
construction, the seller reserves the right
to charge the buyer for all costs occurred
up to that date. In the event of an order
cancellation before release of the sample
all costs for the initial set of tools will be
charged to the buyer. If the order is
cancelled after release of the sample the
costs charged to the buyer will be
calculated according to the order volume,
taking all costs for regular production
tools, special constructions, moulds,
materials etc. into consideration.
The developed tools charged to the buyer
remain to be viewed for a period of 4
weeks at the seller's, after which they will
be scrapped or used otherwise. In order
to protect his development techniques, the
seller is not obliged to present any
construction and development plans and/
or drawings.
X. Special Conditions
All parts sent in as samples, parts which

Ceci vaut en particulier pour des dommages
consécutifs et pour des dommages qui
n'apparaissent pas sur le matériel même.
IX. Outils de fabrication et coûts de
l'outillage
Principalement, les coûts d'outillage
stipulés se comprennent comme des coûts
d'outillage au prorata et sont indépendants
de la valeur de la marchandise. Les coûts
d'outillage sont payables nets sans aucune
déduction à 2/3 lors de la passation de la
commande et à 1/3 lors de l'envoi de
l'échantillon.
Le remboursement de coûts d'outillage
proportionnels ne confère aucun droit sur
ces outils à l'acheteur, ils restent cependant
la propriété et la possession du vendeur.
Le vendeur s'engage à garder les outils pour
l'acheteur pendant un an suivant la dernière
livraison de pièces fabriquées à l'aide de
ceux-ci. Après l'expiration de cette période,
le vendeur pourra disposer librement de
l'outil.
Le vendeur se réserve le droit de facturer
les frais encourus pour des commandes
d'outils qui sont annulées au cours de la
phase de développement (p.ex. en raison
de difficultés de modelage ou de
transformation) ou au cours de la phase de
démarrage. En cas d'annulation avant
l'homologation des échantillons, les coûts
encourus pour le lot complet d'outillage
prototype seront facturés. En cas
d'annulation après l'homologation des

Rechnung gestellten Werkzeuge bleiben
vier Wochen zur Einsichtnahme beim Verkäufer stehen und werden nach Ablauf dieser Frist verschrottet oder anderweitig
verwendet. Fertiggestellte Stadienpläne
und Konstruktionszeichnungen unterliegen
zum Schutz der angewandten Verfahren
nicht der Vorweispflicht.
X. Sonderbedingungen
Als Muster eingesandte sowie durch Instandsetzung oder Umänderung unbrauchbar gewordene oder durch neue ersetzte
Teile werden verschrottet, sofern die Rücklieferung bei Bestellung nicht ausbedungen ist.
Der Käufer darf die Liefergegenstände nur
mit den Warenzeichen und den sonstigen
auf den Hersteller hinweisenden Kennzeichen verwenden und veräußern, mit denen die Gegenstände vom Verkäufer geliefert wurden. Der Käufer ist für die Lauterkeit seiner Werbung verantwortlich. Der
Verkäufer ist berechtigt, die Art der Werbung zu bestimmen.
XI. Allgemeine Bestimmungen
Für alle Vereinbarungen und Rechtshandlungen gilt sowohl für den Verkäufer
als auch für den Käufer ausschließlich
deutsches Recht. Im Falle der Unwirksamkeit einzelner Vertragsbedingungen bleiben die übrigen Bedingungen verbindlich.
Soweit infolge der einschlägigen Rechtsprechung des BGH eine Lieferbedingung
in ihrem Rechtsbestand zweifelhaft sein
sollte, so ist diese im Rahmen der Leitsätze des BGH auszulegen und als derart vereinbart anzusehen.
Als Erfüllungsort für Lieferungen und Zahlungen gilt D-07580 Ronneburg/Thür.
Ausschließlicher Gerichtsstand ist das
Amtsgericht Gera/Thür. einschließlich der
Wechsel- und Scheckprozesse, oder nach
Wahl des Verkäufers jedes andere Amtsgericht.

XI. General Provisions
All agreements and legal transactions shall
be governed exclusively by German law
both for seller and buyer.
If certain conditions of the contract are
invalid the others shall remain binding. If
the legal validity of a delivery condition is
doubtful as a result of the relevant case of
the Federal Supreme Court, the provision
must be interpreted on the basis of the
guiding principles of the Federal Supreme
Court and must be regarded as having
been agreed in that way.
D-07580 Ronneburg/Thür. is the place of
performance for deliveries and payments.
The District Court of Gera/Thür. shall have
exclusive jurisdiction, extending to actions
on bills and cheques or, at the seller's
election, any other District Court.
X. Conditions spéciales

XI. Généralités

Le tribunal d'instance de Gera/Thür. sera
seul compétent, également en cas de
procédures en matière de lettre de change
et de chèques ou tout autre tribunal
d'instance du choix du vendeur.
