EFCO creative emotions ist die Dachmarke für Produkte aus unserer Firmengruppe. Starke Marken wie Plaid, Art Clay, UHU, Ralf's Balloons, SpellbindersTM, 3L, Nice Papers, Photo Pearls®und Uhlig runden unser vielseitiges Lieferprogramm mit excellenten Produkten ab. Zu unserer Firmengruppe gehört die EFCO Produkte GmbH als Produktionsunternehmen in den Bereichen Kreativ- und Hobbyfarben, Emailzubehör und Stanzteilen aus Metall. Die
hobbygross Erler GmbH ist als Distributionsunternehmen, Importeur und Exporteur der europaweite Ansprechpartner für den Fachhandel. Unter der
Marke EFCO creative emotions bieten wir heute mit mehr als 15.000 Artikeln auf über 11.000 m² das große Bastelsortiment für den Fachhandel an. In
unsere Firmengruppe beschäftigen wir derzeit rund 100 Mitarbeiter und arbeiten mit 24 Handelsagenturen im In- und Ausland zusammen.
Mit neuen, innovativen Ideen und günstigen Preisen haben wir es uns zur Aufgabe gemacht, den Fachhandel kompetent und schnell, mit qualitativ hochwertigen Hobbyprodukten, zu beliefern. Als Beispiel haben wir als zweites Unternehmen in Europa Sunshine Window Color produziert und angeboten.
Mit dem Flechtsystem Mobidai für die Kumihimotechnik und Color Dekor 180 °C konnte unser Unternehmen mehrfach Innovationspreise der Messe Frankfurt gewinnen.

pièces estampées à Hobbygross Erler GmbH , société de distribution, d’import-export au service de ses clients européens. Nous regroupons sous le
sigle «EFCO Produits Loisirs Créatifs» plus de 15.000 articles dédiés aux professionnels du loisir créatif sur plus de 11.000m². Plus de 24 représentants établis en Allemagne et en Europe et quelques 100 collaborateurs sont à votre service pour répondre à tous vos besoins.
Efco Hobbygross s’est fixé pour objectif de gagner la confiance de ses clients en proposant des idées, des articles innovateurs ayant un très bon rapport qualité/prix, un service compétent-accueillant-polyglotte, et des délais de livraison rapides. Nous avons été, à titre d’exemple, la seconde entreprise en Europe à fabriquer et à commercialiser la peinture Window Color Sunshine. Nous avons gagné successivement le grand prix de l’innovation au
salon de Francfort avec nos produits.

Allgemeines
Für den Geschäftsverkehr zwischen hobbygross Erler GmbH und dem Besteller gelten nachstehende Verkaufs-, Liefer- und
Zahlungsbedingungen. Einkaufs- und Lieferbedingungen des Bestellers verpflichten uns nicht, auch wenn diesen nicht ausdrücklich widersprochen wird. Sie gelten nur, wenn wir sie schriftlich anerkennen.
Unsere Ware ist zum Wiederverkauf bestimmt.
Im Rahmen der Kundenbetreuung und Auftragsabwicklung werden Kundendaten mittels EDV bearbeitet und gespeichert; mit Auftragserteilung erklärt der Kunde dafür sein Einverständnis.
Preise
Unsere Preise sind freibleibende Nettopreise und verstehen sich zuzüglich der gesetzlichen Mehrwertsteuer.
Für unsere Lieferungen gelten die am Tage der Lieferung gültigen Verkaufspreise und Konditionen. Preisänderungen aufgrund
aktueller Marktsituation behalten wir uns vor.

Lieferung
Der Versand erfolgt ab Lager Rohrbach auf Gefahr und Risiko des Empfängers auf dem günstigsten Versandweg. Dies gilt auch bei
Franko Lieferungen. Die Lieferung ist mit der Übergabe des Gutes an den Transporteur erfüllt. Schäden an der Sendung sind dem
Transporteur unverzüglich mitzuteilen.
III.2 Der Mindestauftragswert für Stammkunden aus Deutschland und Österreich beträgt 80,00 EUR. Bei Bestellungen unter dem Mindestauftragswert berechnen wir einen Mindermengenzuschlag von 6,00 EUR zuzüglich 7,00 EUR Versandkostenpauschale.
Ab einem Warenwert (netto) von 80,00 EUR zuzüglich 7,00 EUR Versandkostenpauschale.
Ab einem Warenwert (netto) von 200,00 EUR frei Haus (Deutschland und Österreich).
Schweiz: Ab einem Warenwert (netto) bis 260,00 EUR ab Werk, ab 260,01 EUR bis 769,99 EUR frei deutsche Grenze, ab
770,00 EUR frei Haus unverzollt.
III.3 Der Export-Mindestauftragswert beträgt 260,00 EUR.
III.4 Erstauftragswert von Neukunden: 260,00 EUR.
III.5 Elektro-Brennöfen, Steuerungen und Fixiergeräte sowie Ton werden grundsätzlich ab Werk geliefert.
III.6 Großabnahmen zu Nettopreisen erfolgen ab Werk.
III.7 Besondere Versandwünsche gehen zu Lasten des Empfängers.
III.8 Wir sind bemüht Lieferzeiten und Termine einzuhalten; Streiks, höhere Gewalt, Krankheit oder vorübergehender Ausverkauf von
Artikeln entbinden uns von der Lieferpflicht. Diese erlischt auch, wenn Auskünfte negativ sind oder überfällige Rechnungen offenstehen. Lieferverzögerungen berechtigen nicht, vom Auftrag zurückzutreten oder Schadensersatz zu fordern.
III.9 Teillieferungen werden vom Käufer gestattet und gelten als gesondertes Geschäft.
III.10 Wir beteiligen uns bei der Entsorgung der von uns gelieferten Transportverpackung mit 0,1 % vom Nettowarenwert. Jede Rechnung
wird um den sich ergebenden Betrag automatisch gekürzt. Eine Rücksendung der Transportverpackungen ist ökonomisch nicht
sinnvoll, daher setzen wir auf eine Entsorgung vor Ort.
III.11 Liegt der Wert eines verfügbaren Rückstands über 30,00 EUR so wird dieser separat ausgeliefert. In allen anderen Fällen erfolgt
die Auslieferung zusammen mit der nächsten Bestellung. Diese Regelung gilt für Kunden aus Deutschland und Österreich.

Zahlung
Unsere Rechnungen sind wie folgt zur Zahlung fällig:
Innerhalb 30 Tagen nach Rechnungs- oder Valutadatum rein netto ohne Abzug. Bei Bezahlung innerhalb 10 Tagen mit 2 % Skonto.
Bei Nachnahme, Bankeinzug (innerhalb von 10 Tagen) und Vorkasse gewähren wir 3 % Skonto.
Bei Bezahlung mit Scheck und Wechsel gilt erst die Gutschrift auf einem unserer Bankkonten als Rechnungsausgleich. Wechselspesen gehen zu Lasten des Käufers und sind sofort fällig. Bei Zielüberschreitungen behalten wir uns die Berechnung von
Verzugszinsen in Höhe von 8 Prozentpunkten über dem jeweiligen Basiszinssatz der EZB vor.
Grundlage für jede Lieferung ist die Kreditwürdigkeit des Käufers. Wird während der Vertragsdauer Negatives über die Kreditwürdigkeit des Käufers bekannt, oder befindet sich dieser mit einer Zahlung in Verzug, so werden die gesamten Außenstände des
Käufers sofort zur Zahlung fällig. Dem Lieferanten steht das Recht zu, Vorauszahlungen zu verlangen.
Zahlungen an Vertreter ohne schriftliche Inkassovollmacht sind unzulässig.
Mängelrügen, Reklamationen, Retouren
Mängel müssen unverzüglich, spätestens jedoch 8 Tage nach Warenerhalt schriftlich erfolgen. Gleiches gilt für die Beanstandung
unvollständiger oder falscher Lieferungen.
Geringe Abweichungen in Maßen und Farben berechtigen den Käufer nicht zur Reklamation.
Bei berechtigten Reklamationen besteht die Wahl zwischen Gutschrift oder Ersatzlieferung. Retouren müssen stets franko erfolgen und bedürfen ausdrücklich der vorherigen Zustimmung. Unfreie Sendungen werden nicht angenommen. Bei berechtigten
Reklamationen erfolgt eine Portovergütung.
Eigentumsvorbehalt, erweiterter Eigentumsvorbehalt
Die geliefereten Waren bleiben bis zur vollständigen Bezahlung aller aus der Geschäftsbeziehung herrührender Forderungen
Eigentum des Lieferanten. Ferner erkennt der Käufer einen erweiterten Eigentumsvorbehalt des Lieferanten bei Weiterveräußerung
und/oder Weiterverarbeitung der gelieferten Waren bis zur vollständigen Bezahlung aller Forderungen an.
Sämtliche Forderungen, die dem Käufer aus Weiterlieferung von Vorbehaltswaren erwachsen, werden hiermit in Höhe der jeweiligen Forderung aus der gesamten Geschäftsverbindung an den Lieferanten abgetreten. Bis zur vollständigen Bezahlung aller aus
der Geschäftsverbindung herrührender Forderungen darf der Käufer gelieferte Waren nicht an Dritte verpfänden oder zur Sicherung
übereignen.
Erfüllungsort, Gerichtstand und anzuwendendes Recht
Erfüllungsort für Lieferung und Zahlung ist 76865 Rohrbach/Pfalz.
Gerichtsstand für Rechtsstreitigkeiten ist Landau/Pfalz.
Den abgeschlossenen Kauf- und Lieferungsverträgen liegt ausschließlich deutsches Recht zugrunde.

paiement énoncées ci-après. Les conditions d´achat et de livraison de l’acheteur, ne nous engagent d´aucu ne façon, même si nous
ne signifions pas expressément notre opposition. Elles ne alent

Notre marchandise est destinée à la re

Dans le cadre de l´enregistrement et du traitement de la commande, les informations nécessairesconcernant nos clients, sont fichées
et traitées par informatique. Par le fait de sa commande le client nous en donne son accord.

Les prix
Nos prix s’entendent nets et hors taxes. Nos ventes se font au tarif et conditions du jour de la livraison. En raison des fluctuations sur
le marché, ils peuvent faire l´objet de variations.

La livraison
L’expédition se fait au départ de notre dépôt à Rohrbach par le moyen de transport le moins coûteux, le voyage se fait aux risques et
périls du destinataire. Celà vaut également pour les livraisons franco-domicile. La livraison est considérée comme réalisée, dès la
remise des biens au transpor
teur.
En cas d´avaries, veuillez immédiatement faire des réserves auprès du transporteur et nous en aviser.
La valeur marchande minimum de la commande doit s´élever à 150,00 EUR. Toute commande inférieure à cette valeur est majorée
d’un supplément de 6,00 EUR en sus des frais de port et d’emballage.
A partir d’une valeur nette de 300,00 EUR, nos clients français bénéficient d’une livraison franco à domicile de port et d’emballage.
La valeur marchande minimum lors de la première commande doit att
eindre 300,00 EUR.
Les fours à céramique sont par principe livrés départ usine.
Les achats en gros conditionnement à des prix nets sont livrés départ usine.
Lorsque le client émet des demandes particulières, l’expédition sera à sa charge.
Nous nous efforçons de respecter nos délais de livraison. Cependant d’éventuelles grèves, des cas de force majeure, de maladie ou
de non-disponibilité momentanée des articles, nous déchargent de l’obligation de livrer. Celle-ci est caduque lorsque les
renseignements pris s’avèrent négatifs ou en cas de défaut de paiement. Un retard dans la livraison ne justifie ni une résiliation du
contrat ni une demande d’indemnisation.
Les livraisons échelonnées sont acceptées par l’acheteur et constituent un échange commercial à part entière.

Le paiement
Les conditions de paiement accordées par notre société lors de l'ouverture d'un compte sont fonction des informations relatives à la
solvabilité du client: le règlement de la facture s'effectue d'une façon générale 30 jours fin de mois par chèque ou par traite.
Le règlement par chèque ou par traite ne devient effectif qu’à son enregistrement sur no
tre compte.
De façon générale, les traites signées et acceptées doivent nous être retournées dès réception et au plus tard sous 10 jours. Au-delà,
la traite ne sera plus valable et le paiement devra s'effectuer par chèque.
Le défaut de paiement entrainera dès la seconde relance un paiement avant livraison des commandes à venir jusqu'à régularisation
des comptes. Ce mode de paiement pourra être maintenu si les informations relatives à la solvabilité le justifient. En cas de retard de
paiement, nous nous réservons le droit de faire valoir des intérêts de retard de 8 points au dessus du taux d’intérêts de base de la
Banque Centrale Européenne.
La solvabilité du client constitue la base de chaque contrat. Lorsque les informations relatives à la solvabilité de l’acheteur s’avèrent
négatives ou encore lorsque ce dernier est en retard de paiement, toutes les sommes dûes non échues deviennent exigibles. E fonction
des circonstances, le vendeur se réserve la possibilité d´exiger un paiement comptant, ou de modifier les conditions de paieme
nt.

Réception de la marchandise
Les avaries constatées sur la marchandise doivent être immédiatement signalées par écrit au plus tard 15 jours après réception de la
marchandise. Ceci vaut également pour les contestations en cas de livraisonausse

De légères nuances dans la couleur ou les dimensions ne peuv
ent constituer un motif de réclamation.
Cependant lorsqu´une réclamation est justifiée, la réparation se fera au choix de l´acheteur par une facture d’avoir ou un échange de
la marchandise. Le renvoi de marchandise se fera après information et accord préalable de notre part, en port payé. Les retours en
port-dû ne sont pas acceptés. Lor
sque cela se justifie les frais de port sont intégralement remboursés.

Clause de réserve de propriété et réserve de propriété étendue
Toutes nos ventes sont conclues avec la réserve de propriété . En conséquence le vendeur conservera la propriété des biens vendus
jusqu’au paiement effectif de l´intégralité du prix en principal et accessoires.L’acheteur reconnaît une extension de la réserve de
propriété du fournisseur en cas de revente ou de réemploi, jusqu’au règlement intégral de toutes les créances. Les créances émanants
de la revente de marchandise avec une réserve de propriété, sont endossables par le fournisseur à hauteur du montant total des
impayés. Jusqu’au paiement intégral de toutes les créances émanants des échanges commerciaux, l’acheteur ne peut en aucun cas
mettre la marchandise en gage ou la léguer à titre de garantie.

General
All goods are supplied subject to these General Terms and conditions, unless confirmed otherwise in writing by Hobbygross Erler GmbH, "the vendor".
The purchaser's conditions of purchase will not apply unless agreed in writing by the vendor.
These terms and conditions will remain in force on further transactions until notified otherwise by the vendor.
All goods are supplied on the vendor's understanding that they are sold to trade users, for re-sale in retail outlets, for use in manufacturing, or for
sale educational and similar outlets.

Offer and formation of contract
Offers made by the vendor are subject to confirmation and not binding. If purchase orders of the vendor are not confirmed separately, the invoice
shall be deemed confirmation of the order.

Prices & Carriage
Unless agreed otherwise by the vendor in writing goods will be invoiced in pounds sterling at the price stated in the vendor's current price list.
All prices are shown exclusive of VAT.
If the purchaser is unable to supply a valid VAT number, VAT will be charged at the current German rate.
A minimum initial order of 300,00 EUR or 200,00 GBP will be required. Thereafter the minimum carriage paid order value is 300,00 EUR or
200,00 GBP ex VAT, except steamers, kilns and other heavy items where carriage is charged at cost. An estimate of the carriage charge will be given on re
quest.
The vendor will choose the method of shipment. If another method of shipping, or express service is requested by the purchaser, the vendor may
charge carriage at cost.
UK Mainland only. For orders below the carriage paid minimum the vendor reserves the right to charge carriage at the rate stated on the current price list.
For deliveries to areas other than the UK mainland, the vendor reserves the right to charge carriage at cost. An estimate of the carriage charge will be given
on request.
The vendor reserves the right to decline to supply orders less than 150.00 euro or 100.00GBP goods value. If an order is supplied below this
minimum value, the vendor reserves the right to charge carriage and a small order surcharge.
If the goods are not delivered within four months of formation of the contract, the vendor shall be entitled to effect a reasonable price increase in
accordance with the costing mechanisms usual in business.

IV. Delivery
IV.1 The vendor shall be entitled to make excess or short deliveries of up to 10% in respect of ordered articles provided that this is justified by the product
range, packing units or on other material grounds. The price shall depend on the quantity actually delivered.
IV.2 Delivery shall be made to the customer's address, or to a delivery address shown on the purchase order. Failure to deliver to the correct address will not
be the vendor's responsibility unless the delivery address has been given in writing at the time of placing the order. Please note that we are unable to
deliver goods to PO Box numbers; a full postal address must be provided. The purchaser must indicate special shipping conditions in the purchase order
and again for each new order. Any additional costs incurred thereby shall be borne by the purchaser and will be invoiced separately.
IV.3 Binding delivery periods must be agreed expressly and in writing. The use of words such as "approximately", "about" etc. shall not designate binding periods
but shall instead indicate only the provisional delivery date. The vendor shall not be held responsible for delays in delivery and services due to force majeure
and resulting from events which the vendor could not reasonably have foreseen and averted, even if periods and dates were agreed with binding effect. In this
case the delivery period shall be extended by the duration of the delay and a reasonable start-up time. The purchaser shall be informed as soon as possible
of the delay in delivery. Should the adverse circumstances last longer than two months, each party to the contract shall be entitled to withdraw from the contract.
IV.4 Binding delivery periods can be revoked on grounds of non payment, or concern by the vendor over the financial position of the purchaser.
IV.5 If display stands are provided, these remain the vendor's property and may be removed at the purchaser's expense if used to display products that
have not been supplied by the vendor, unless agreed otherwise in writing by the vendor.
IV.6 Backorders will not normally be retained, unless requested and confirmed by the vendor in writing.

Risk
Risk will remain with the vendor until such time as the goods have been delivered to the purchaser's premises or delivery address, or have been
received by the purchaser or his agent.

Claims
Claims for faulty goods must be raised within 7 days of receipt of the goods. The vendor, or his agent, must be notified in writing.
The delivery will be deemed as approved unless the claim is received within the time allowed.
Return of unwanted goods may be accepted at the vendor's discretion.
No claim may be raised for minor variations in quality, execution or colour.
The vendor will not accept claims for goods once they have been cut, painted or processed in any way.
Claims for compensation for goods received damaged in transit will only be considered if the delivery has been signed for as being received damaged. Any
damaged items or packaging should be retained for inspection by the vendor or the shipping company.
VI.7 The vendor will issue a credit note for faulty goods.
VII. Liability
VII.1 The vendor's liability is limited to the lesser of the cost of replacing or repairing goods supplied by the vendor.
VII.2 It is the purchaser's responsibility to ensure that goods are tested and fit for the required purpose.
VIII. Retention of Title
VIII.1 Goods remain the property of the vendor until such time as payment for these goods, or for any other amount owing to the vendor, by the purchaser
has been paid in full.
VIII.2 In the event of non payment the vendor, or his agents, is entitled acess to the purchaser's premises to reclaim his property.
VIII.3 In the event of the removal of the reserved goods by third parties, the purchaser shall indicate the ownership of the vendor and shall inform the latter immediately.
VIII.4 In the event that the purchaser behaves in breach of contract, in particular in case of default in payment, the vendor shall be entitled to withdraw from the contract.
IX. Data protection
IX.1 The purchaser declares his consent that all data arising from the business relationship may recorded on data carriers. This data will not be passed
on to third parties. Need to check that this complies with UK data protection.

Final clauses
The legal relations between the vendor and the purchaser shall be governed by the laws of the Federal Republic of Germany, with the exception of
the pro visions of the Law on the International Sale of Goods of 01.01.1991, which are expressly excluded.
Should provisions of contracts with purchasers abroad be ineffective on the basis of mandatory provisions of local law, they shall be deemed to be
replaced by such effective regulations coming closest to the meaning and purpose of the ineffective provisions. The parties to the contract undertake to
take all measures necessary to achieve effective provisions. Should individual provisions of these general terms and conditions be ineffective,this
shall not affect the validity of the remaining provisions and those of the legal transaction as a whole.
If the purchaser is a merchant within the meaning of the German Commercial Code, a legal person under public law or a federal special asset, the
court competent for 76829 Landau / Pfalz is agreed as having jurisdiction for all disputes arising directly or indirectly from the contractual relationship.
Terms of payment:
Payment due 30 days from end of month of invoice unless other terms have been agreed and confirmed by the vendor in writing. The vendor reserves the
right to put customers who exceed terms of payment on credit stop and refuse to supply goods until the overdue account has been paid in full. The vendor
may require payment in advance on future orders. Interest at 2% per month may be charged on overdue accounts.
The vendor reserves the right to request trade or bank references and to carry out credit checks before supplying a customer.
The vendor may carry out credit checks on a customer at any time, request immediate payment of all amounts owing and cancel any contracts if he has
concern about the financial position of the purchaser.
The vendor may instruct 3rd parties to recover amounts due to the vendor. Any charges or costs incurred in collection will be invoiced to the purchaser.
Credit and a trade account can be refused at any time with no reason given.

Le commissioni assunte dagli Agenti della Marketing Division verranno inviate, dopo attento esame, alla hobbygross Erler GmbH che

FORNITURE
L'importo minimo è fissato in 200,00 EUR
Per importi inferiori ad 200,00 EUR saranno addebitate 15 EUR per spese di trasporto e 15 EUR per spese amministrative.
Per importi da 200 a 400 EUR, l’addebito complessivo e’ di 15 EUR per spese di trasporto.
Per importi superiori ad 400 EUR non vi saranno addebiti di spese.
La mancata spedizione di una parte o di tutta la commissione non può dar luogo ad alcun reclamo del Committente né esonerarlo dal
pagamento della fattura alla sua scadenza per la merce fornita.
PORTO
Da 400 EUR franco domicilio, per ordini inferiori a 400 EUR supplemento di 15 EUR per spese di spedizione e imballaggio.
TRASPORTO
La merce viaggia a rischio e pericolo del committente.
Eventuali danni dovuti al trasporto devono essere notificati al Trasportatore, responsabile dei danni, indicando all'atto della firma del DDT
"con riserva di presa visione della merce".
Nessuna responsabilità potrà essere imputata alla hobbygross Erler GmbH per tali danni.
PAGAMENTI
Per ritardati pagamenti o insoluti di Ricevute Bancarie verranno addebitate spese amministrative, spese di ritorno ed interessi bancari al
tasso corrente.
RECLAMI
Eventuali resi merce devono essere preventivamente concordati ed autorizzati dalla Marketing Division sas. Se autorizzati, dovranno
pervenire in Porto Franco attraverso il Corriere abituale, accompagnati da regolare documento di trasporto indicante la motivazione del reso
ed il numero della relativa fattura.
VARIAZIONI
La hobbygross Erler GmbH si riserva il diritto di apportare in qualsiasi momento, senza obbligo di preavviso, variazioni ai prezzi di vendita
o alle condizioni di vendita o all'assortimento dei prodotti commercializzati.
CONTROVERSIE
Per ogni controversia, il Foro competente è quello di Rohrbach (D)
Chiarimenti commerciali, amministrativi o particolari richieste dovranno pervenire all'Agente Generale, Marketing Division sas.
ATTENZIONE
Le condizioni di cui sopra si riferiscono a vendite con spedizione e fatturazione diretta EFCO.
Anche gli eventuali sconti o riduzioni di prezzo ed i prezzi relativi ai forni vengono applicati solo con spedizione e fatturazione diretta EFCO.

Las presentes condiciones generales de venta o suministro serán de aplicación exclusiva a las compraventas de productos hobbygross que se realicen entre hobby
gross
Erler GmbH (en lo sucesivo, el vendedor) y el Minorista ( en lo sucesivo, el comprador) en lo que respecta a compra, entrega y pago de dichos productos. Las
condiciones generales del comprador no obligarán al vendedor aun cuando éstas no hayan sido expresamente excluidas. Únicamente tendrán efectos frente
al vendedor cuando éste hubiese aceptado dichas condiciones por escrito. Las presentes condiciones sólo son válidas frente a comerciantes.
La mercancía del vendedor está destinada a su reventa.

Precios
Los precios son netos y a los mismos se les añadirá, en su caso, el IVA.
A las entregas del Vendedor les son de aplicación los precios de venta y condiciones contractuales vigentes el día de la entrega. El vendedor podrá modificar
dichos precio según la evolución del mercado.

Entrega
Las entregas se realizarán ex works o ex fábrica del vendedor, desde el almacén en Rohrbach (Alemania) por el medio de transporte más económico, por cuenta
y riesgo del comprador. Esto último también regirá para los envíos realizados a portes pagados. La entrega se entiende perfeccionada por la entrega de los
bienes al transportista. Cualesquiera daños causados por el transporte, deberán ser comunicados de inmediato al transportista.
El importe mínimo por pedido para un cliente fijo se fija en 350,00 EUR. A aquellos pedidos por importe inferior a dicho mínimo les será cargado un suplemento
de 10,00 EUR, además de 13,00 EUR por eventuales gastos de envío.
A los pedidos a partir de un importe (neto) de 350,00 EUR se añadirán 13,00 EUR por eventuales gastos de envío.
A partir de un importe (neto) conjunto de mercancía de 350,00 EUR, no se aplicará gasto alguno para transportes dentro de Alemania y Austria.
El importe mínimo de pedido para su importación deberá ascender a 350,00 EUR, sin coste desde la frontera alemana.
Los pedidos realizados por nuevos clientes deberán tener un importe mínimo de 350,00 EUR.
Los clientes nuevos únicamente serán suministrados bajo condición de pago contra reembolso, domiciliación bancaria o pago por adelantado. El consentimiento
para el envío contra reembolso se presume sin necesidad de acuerdo expreso. Los gastos del contra reembolso irán a cuenta del comprador.
Los hornos eléctricos y mandos de control, así como las pinturas, se entregan generalmente ex fábrica.
Los pedidos de gran volumen se entregan generalmente ex fábrica.
Cualesquiera condiciones especiales de entrega que exija el comprador, serán de cargo de éste.
El vendedor respetará las fechas de envío y los plazos de entrega a los que se obligue por escrito; en caso contrario, se entenderán que los mismos son orientativos
y no vinculantes. No serán causas de incumplimiento del plazo de entrega por parte del vendedor: el incumplimiento del comprador de sus pagos y/o garantías
convenidas; el empeoramiento de la situación patrimonial del mismo; así como en caso de fuerza mayor, huelga, falta de stock u otros impedimentos no imputables
al vendedor. El retraso en la entrega no faculta al cliente a la cancelación del pedido y/o a reclamar indemnización de daños y perjuicios.
Las entregas parciales serán admitidas por el comprador y valdrán cada una como negocios independientes.
El Vendedor se hará cargo de la gestión de los residuos producidos por los embalajes de sus envíos mediante el pago de un 0,1 % del valor neto de la mercancía,
importe que se aplicará en cada factura; las partes aceptan expresamente este sistema, descartando cualquier otro, inclusive la devolución de embalajes.

Pago
El vencimiento de las facturas se producirá a tenor de lo siguiente:
El vencimiento es a 30 días fecha factura. Se aplicarán descuentos por pronto pago, del 2 % en caso de pago en 10 días, y del 3% en caso de envío contra
reembolso, domiciliación bancaria (dentro de 10 días) o pago por adelantado.
Cuando el pago se realice mediante cheque o título cambiario, se considerará abonada la factura a partir del momento en que conste el pago en una de las
cuentas bancarias del Vendedor.
Los gastos por descuento que se produzcan irán a cargo del comprador y se considerarán de vencimiento inmediato. En caso de mora en el pago, el Vendedor
se reserva el derecho a aplicar los intereses de demora por un importe del 5 % superior al correspondiente interés legal del Banco Central Europeo (BCE).
Condición necesaria para todas las entregas es la solvencia del comprador. En caso de tener el Vendedor conocimiento del empeoramiento de la solvencia
del comprador durante la vigencia de la relación contractual, o de encontrarse el comprador en retraso en el pago, deberá proceder al pago inmediato de todos
los pagos vencidos y pendientes que tenga a favor del Vendedor. El Vendedor está facultado a poder exigir, en todo caso, el pago por adelantado.
No se admitirá realizar pagos al representante y/o agente salvo que estuviere facultado expresamente y por escrito para ello.
Saneamiento, garantías y responsabilidad
El vendedor deberá entregar la mercancía conforme con el contrato y transmitir la propiedad de la misma. No obstante, el producto se entenderá conforme
aún en caso de pequeñas variaciones en las medidas y colores, excluyéndose reclamaciones por parte del comprador por dicha causa. El comprador será
responsable de la exactitud del pedido.
El comprador viene obligado a la aceptación de la mercancía y a cumplir con todas las obligaciones que se derivan del contrato o del Derecho aplicable, todo
ello sin perjuicio del derecho de repetición que pueda asistir al comprador en razón de haber respondido frente al consumidor o comprador final por una no
conformidad no imputable a él, en virtud de sus obligaciones derivadas de la legislación sobre garantías en la venta de bienes de consumo o aquella que
resulte aplicable.
El vendedor responde frente al comprador de todos los errores, defectos o daños de los productos servidos, siempre y cuando el error, defecto o daño haya
sido manifestado por escrito en el CMR u otro documento de transporte, con la firma del transportista y notificado al vendedor inmediatamente después de
la entrega de la mercancía. Lo cual es también válido en caso de discrepancias cuantitativas y/o daños en los embalajes. En caso de vicios ocultos, se
excluye cualquier reclamación transcurridos treinta (30) días desde la entrega de la mercancía. De no efectuarse dichas notificaciones dentro de los reseñados
plazos, perderá el comprador toda acción y derecho a repetir por las expresadas causas contra el vendedor.
En caso de reclamación con base legítima, el comprador podrá optar entre la devolución y abono de los bienes y la restitución de los mimos. Las devoluciones
deberán realizarse siempre a portes pagados, cuyo coste podrá ser abonado de existir causa justa, y requieren autorización previa y expresa del Vendedor. No
se aceptarán a portes debidos.
Se excluye cualquier responsabilidad e indemnización por parte del vendedor en caso de que el comprador no haya realizado correctamente y de acuerdo con
las instrucciones del vendedor el almacenaje, transporte y/o tratamiento de la mercancía en su poder.
El vendedor está obligado a indemnizar por daños y perjuicios, solamente en aquellos supuestos establecidos en el contrato, siempre y cuando, con respecto a
estas obligaciones, sea responsable de la infracción concurriendo dolo o negligencia grave, o bien lo sea de un incumplimiento contractual esencial, sin perjuicio
de la eventual responsabilidad por daños corporales o que pongan en peligro la vida de las personas.
En caso de responsabilidad contractual, la obligación de compensar del vendedor comprenderá aquellos daños y perjuicios que fueren previsibles para el vendedor
a la fecha de contratación.
Reserva de dominio, extensión de la reserva de dominio
La mercancía entregada será propiedad del Vendedor hasta el pago íntegro de todos los créditos derivados de las relaciones comerciales. Además, el comprador
reconoce la ampliación de la reserva de dominio del Vendedor en aquellos casos de enajenación a terceros y/o posterior elaboración por parte de terceros
de la mercancía entregada por el Vendedor y hasta el pago íntegro de todos los créditos.
Los diversos créditos que se originen a favor del comprador por la posterior entrega de mercancía con reserva de dominio, serán cedidos al Vendedor en virtud de
las presentes condiciones generales de contratación, por importe de los respectivos créditos derivados del conjunto de la relación comercial. Hasta el pago
íntegro de todos los créditos derivados del conjunto de la relación comercial, no se le permite al comprador el constituir un derecho de prenda a favor de terceros
sobre la mercancía entregada o cederla con garantía.
Protección de datos personales
El vendedor observará en todo momento las disposiciones españolas vigentes sobre protección de datos. El vendedor recaba datos de naturaleza personal
de sus clientes y los incluye en un fichero del que es titular y que contiene datos de carácter personal cuyo tratamiento está exclusivamente destinado al
mantenimiento y ejecución de las normales relaciones comerciales y la prestación de sus servicios.
El comprador consiente que el vendedor utilice tales datos para el envío al comprador de información acerca de sus productos, así como que comunique
dichos datos a los prestadores de servicios necesarios para la gestión del cobro o la entrega de los productos, así como otras comunicaciones de datos previstas
en la ley.
Los datos recabados podrán ser tratados y almacenados en Alemania o cualquier otro país donde el vendedor tenga instalaciones. Mediante petición dirigida
al vendedor por correo electrónico, correo dinario o telefax, el comprador tendrá derecho a acceder, rectificar, cancelar y oponerse a los datos almacenados.
Lugar de cumplimiento de las obligaciones, fuero y ley aplicable
El lugar de cumplimiento de todas las obligaciones, a no ser que se indique lo contrario, será D-76865 Rohrbach/Pfalz.
Corresponderá a los tribunales de Landau/Pfalz la competencia judicial en los conflictos jurídicos que surjan por razón de la interpretación y ejecución de este contrato.
La ley aplicable a los contratos de compraventa y de suministro celebrados será, con carácter exclusivo, la alemana.
