Eröffnung Bericht des Vorstands für das Geschäftsjahr 2012 Feststellung der Jahresabschlüsse für das Geschäftsjahr 2012 (Beschlussfassung) Entlastung der Mitglieder des Vorstands (Beschlussfassung) Entlastung der Mitglieder des Aufsichtsrates (Beschlussfassung) Besprechung der Rücklagenbildungs- und Dividendenpolitik Bestellung des Abschlussprüfers für das Geschäftsjahr 2013 (Beschlussfassung) Ernennung von Clemens Joos als Director A bis zur SMARTRAC Hauptversammlung 2016 (Beschlussfassung) Ernennung von Robert Harmzen als Director A bis zur SMARTRAC Hauptversammlung 2015 (Beschlussfassung) Wiederernennung von Prof. Dr. Bernd Fahrholz zum Mitglied des Aufsichtsrates bis zur SMARTRAC Hauptversammlung 2017 (Beschlussfassung) Verschiedenes Abschluss Die Jahresabschlüsse 2012, der Geschäftsbericht 2012, die Tagesordnung nebst Erläuterungen (Explanatory Notes) sowie alle weiteren Dokumente zur Hauptversammlung (alle Unterlagen in englischer Sprache) können ab heute bis zum Tag der Hauptversammlung in den Geschäftsräumen der Gesellschaft, WTC Amsterdam, Tower C, 8th Floor (C-8), Strawinskylaan 851, 1077 XX Amsterdam, Niederlande, sowie bei der Deutsche Bank AG, TSS/GES, Post IPO Services, 60262 Frankfurt am Main, oder auf der Internetseite der Gesellschaft unter www.smartrac-group.com eingesehen werden. Kopien der genannten Unterlagen sind bei den vorgenannten Stellen kostenlos erhältlich. Aktionäre, die an der Hauptversammlung teilnehmen möchten oder sich dort vertreten lassen wollen, können ihre Aktien bis spätestens Freitag, den 14. Juni 2013, bei der Deutsche Bank AG in Frankfurt am Main gegen Bestätigung ihres Aktienbesitzes per Ablauf des 21. Mai 2013 (Stichtag) gegen Empfangsbescheinigung registrieren. Bei Anmeldung vor dem Stichtag werden die Aktien bis zum Ablauf des Stichtags gesperrt gehalten. Die Registrierung ist auch in der Weise zulässig, dass die Aktien mit Zustimmung der Hinterlegungsstelle bei einer anderen Bank bis zum Ablauf des Stichtags gesperrt gehalten werden. Aktionäre, die sich auf der Hauptversammlung durch einen Bevollmächtigten vertreten lassen wollen, müssen dem Bevollmächtigten eine schriftliche Vollmacht erteilen. Die Mitteilung über eine Bevollmächtigung muss der Gesellschaft, WTC Amsterdam, Tower C, 8th Floor (C-8), Strawinskylaan 851, 1077 XX Amsterdam, Niederlande, brieflich, per Telefax +31-20 30 50 155 oder E-Mail [email protected] bis spätestens Freitag, den 14. Juni 2013, vorliegen. Auf diesem Weg können der Gesellschaft für registrierte Aktien auch schriftliche Stimmrechtsweisungen übermittelt werden. Ein entsprechendes Vollmachtsformular kann bei der Gesellschaft unter den vorgenannten Kontaktdaten angefordert werden. Die ausgestellte Empfangsbescheinigung (Hinterlegungsbescheinigung) gilt als Eintrittskarte zur Hauptversammlung. Bevollmächtigte müssen ferner eine Kopie der ausgestellten Vollmacht vorweisen. Für den Zutritt zur Hauptversammlung ist die Legitimation durch ein geeignetes Dokument (z. B. Führerschein oder Personalausweis) erforderlich. Jede Aktie gewährt eine Stimme. Alle Tagesordnungspunkte können mit einer einfachen Mehrheit der auf der Hauptversammlung gültig abgegebenen Stimmen beschlossen werden, sofern mindestens fünfzehn Prozent (15%) der ausstehenden Aktien vertreten sind. Zurzeit sind insgesamt 19.847.974 Aktien der Gesellschaft ausstehend und 19.847.974 Aktien stimmberechtigt. SMARTRAC N.V. Explanatory notes to the agenda for the SMARTRAC 2013 Annual General Meeting of Shareholders (SMARTRAC N.V. hereinafter referred to as “Company”) Item 2 – Report of the Management Board for the year 2012 The Management Board will present the Company’s annual accounts for the financial year ended on December 31, 2012, together with the annual report. Item 3 – Adoption of the 2012 annual accounts (resolution) It is proposed to adopt the annual accounts 2012 as prepared by the Management Board and audited by KPMG. Item 4 and 5 – Discharge of the Management Board for its management and the Supervisory Board for its supervision (resolutions) It is proposed to discharge the Management Board for its activities in 2012 and the Supervisory Board for its activities in 2012. Item 6 – Discussion of reserve and dividend policy The Management Board will discuss the reserve and dividend policy of the Company. Item 7 – Appointment of auditor for 2013 (resolution) It is proposed to appoint KPMG as auditor for the financial year 2013. In line with the corporate governance code the Supervisory Board proposes to the annual meeting of shareholders to appoint KPMG as auditor of the Company for the financial year 2013. Item 8 – Appointment of Clemens Joos as Director A of the Company (resolution) It is proposed to appoint Mr. Clemens Joos as Director A of the Company as from the date of the meeting until the annual general meeting of SMARTRAC in 2016. It is the intention that Clemens Joos becomes Chief Executive Officer and Chairman of the Management Board of the Company. Curriculum Vitae of Mr. Clemens Joos: Name: Clemens J. Joos Age: 54 years (born 1958) German nationality Clemens Joos is Co-Founder and Managing Director of Mobilization Group, Munich, a company developing and deploying change initiatives in medium and large scale organizations since September 2009. He is lecturing Technology and Innovation Management at the Private University Seeburg in Seekirchen-Salzburg, Austria, since 2008. In addition, he is Founder and Managing Director of “Leadership 2oX” Management Consultancy since 2008. Clemens Joos started his international career in sales and marketing in the process automation industry. He has a profound resume in the industry equipment, healthcare and consumer electronics areas, having served in international executive and senior-level roles in Asia, Europe, and the United States. He holds a diploma in business administration from the University of Applied Science in Offenburg and a master in organizational psychology from the University of Applied Science Erding, Germany. The 54 year’s old business man is domiciled in Munich, Germany. Clemens Joos currently holds no shares in SMARTRAC. The Supervisory Board recommends to appoint Mr. Clemens Joos as Director A of the Company. Item 9 – Re-appointment of Robert Harmzen as Director A of the Company (resolution) It is proposed to re-appoint Mr. Robert Harmzen as Director A of the Company as from the date of the meeting until the annual general meeting of SMARTRAC in 2015. Robert Harmzen was appointed Director B of the Company at the SMARTRAC annual general meeting in 2011 until the annual general meeting of SMARTRAC in 2013. It is proposed to appoint him for another 2 years until the annual general meeting in 2015. Curriculum Vitae of Mr. Robert Harmzen: Name: Robert Harmzen Age: 60 years (born 1952) Dutch nationality Robert Harmzen is director and owner of Harmzen Accountants & Consultants since 1993. He holds the position as director of the Dutch entities of One Equity Partners since 2010. Robert Harmzen is a Dutch registered accountant (RA). He started his career in the Internal Audit Department at Akzo Nobel. Robert Harmzen currently holds no shares in SMARTRAC. The Supervisory Board recommends to appoint Mr. Robert Harmzen as Director A of the Company. Item 10 – Re-appointment of Prof. Dr. Bernd Fahrholz as Member of the Supervisory Board (resolution) It is proposed to re-appoint Prof. Dr. Bernd Fahrholz as Member of the Supervisory Board of the Company as from the date of the meeting until the annual general meeting of SMARTRAC in 2017. Prof. Dr. Bernd Fahrholz was appointed Member of the Supervisory Board effective with the date of the admission resolution by the FSE. He was re-elected at the SMARTRAC Annual General Meeting in 2009. It is proposed to appoint him for another 4 years until the annual general meeting in 2017. Curriculum Vitae of Prof. Dr. Bernd Fahrholz: Name: Bernd D. Fahrholz Age: 65 years (born 1947) German nationality Prof. Dr. Bernd Fahrholz is a Lawyer and a German citizen. His home domicile is Berlin, Germany. He is former CEO of Dresdner Bank AG and former Deputy Chairman of the Management Board of Allianz AG. Prof. Dr. Bernd Fahrholz is member of the Supervisory Board of Fresenius Medical Care AG. Prof. Dr. Bernd Fahrholz currently holds no shares in SMARTRAC. Amsterdam, im Mai 2013 Der Vorstand
