We get all sorts of brochures and gift guides inserted in the newspapers. This issue also includes articles about consumer goods and when you do your shopping, please consider our much appreciated advertisers and supporters. You will also find a separate and updated directory of our loyal members that are supportive to our cause. Our Chamber of Commerce has been very active over the last months. When looking at this directory, you will certainly notice that many Swiss and Swiss related firms are not (yet) members of our SCCC. We will make a big effort again in the coming months to approach these firms to help us support the Swiss businesses in this country. We are rethinking our efforts and strive for a more business-oriented organization. Many hours of negotiations and planning have already been spent on our increased efforts to help in- and outbound Swiss related businesses and we are stretching our capacity as a volunteer organization. Please also note our cooperation with the cantons in Switzerland (see canton of Aargau as an example). These efforts are made without neglecting our traditional networking events, golf tournament and Dinner & Dance. The well-known Swiss business school “International Institute for Management Development”, IMD, in Lausanne, i.e. their Alumni Club of Canada, has entered a cooperation agreement with us and this will open both parties doors for networking opportunities and shared events (see article on this new alliance). Early November 2013 a team was touring the eastern part between Toronto and Montreal for the third time. Together with the Swiss Business Hub Canada a number of companies have been visited, to promote Aargau. Canada and Switzerland share similarities: both countries 4 INFO SUISSE are multilingual with people from different cultural backgrounds. Both have a large neighbor, who is also their main trading partner. As a Canadian entrepreneur put it: “We in Canada are probably the Swiss of North America, like you are probably the Canadians in Europe”. A business first has to make a profit. This means a company needs to look at various location and cost factors – including the business’s productivity and capacity to innovate. Both of these can only be achieved with good, skilled workers. That’s why Aargau, Switzerland’s high-tech canton, focuses on promoting innovation. Switzerland is one of the most competitive countries in the world. In the World Economic Forum’s Global Competitiveness Reports 2012–2013 it ranks number one in the overall ratings. The country’s outstanding performance is due to its concentration of high-quality research institutions, its nationwide investments in research and development, and the close cooperation between industry and universities. Another reason for Switzerland’s strong competitiveness is its above-average labor productivity, which results from a number of factors: The labor force participation rate is 68.2% (2011). Additionally Swiss employees are very well trained and highly motivated. Furthermore, the labor law is very liberal. The country benefits from low regulation and social stability. In the ranking of labor market deregulation, Switzerland takes second place (IMD World Competitiveness Online 2011). STRENGTH IN INNOVATION INCREASES COMPETITIVENESS AND RAISES PROFIT MARGINS Strength in innovation is an important driver of a country’s productivity and competitiveness. Businesses that work together with scientific institutions are according to various studies much more successful. They produce more efficiently and more cost-effectively, are much more export-driven and offer outstandingly innovative products. Knowledge transfer is also of key importance in the canton of Aargau. As the home to many renowned research institutions such as the Paul Scherrer Institute (PSI), the Plastics Training and Technology Center (KATZ) and the University of Applied Sciences Northwestern Switzerland (FHNW), Aargau is in an excellent position from the outset: The PSI is the largest natural sciences and engineering research center in Switzerland, and it is a strong advocate of applying research results to developing new products, procedures and processes in industry. KATZ is Switzerland’s leading plastics technology platform. The association advises businesses and universities on innovative projects and provides the infrastructure for research and development. The FHNW’s School of Engineering has been involved in research, innovation and technology transfer for over 30 years. Over 200 projects are conducted every year with SMEs. SAVE ON THE COSTS OF INNOVATION BY MINIMIZING THE RISK Aargau supports the transfer of scientific discoveries and future-oriented technology throughout the Aargau economy. In December 2012 the Aargau Hightech Center was founded. The Hightech Center facilitates the access for SMEs to know-how, technology and knowledge partners in universities and the industry. It analyses innovations and searches for solutions, appropriate innovation partners and financial support. Hence SMEs profit in a number of ways. They: - reduce risks in the innovation process and thereby save costs - take advantage of an active network of the Hightech Center - have faster access to public R&D funding (cantonal / national / EU) due to the support during the application process provided Overall, with the support of the Hightech Center, time to market can be shortened substantially and products are developed with state of the art technology. The Hightech Center’s services are equally available to all businesses that are in the process of innovating. Support is given to businesses of any size and irrespective of their technological background in the fields of engineering, life sciences, medical technology, information and communication technology, micro- and nanotechnology, and energy and environmental technology. The Christmas season will soon be here again... In Switzerland, Christmas markets are as much a part of the holiday tradition as holiday chocolates, butter cookies, and the Zurich «Fairy Tale Tram» that hauls children up and down the Bahnhofstrasse with St. Nick on board. Markets vary in scope from the monthlong indoor «Christkindli Markt» in Zurich’s main railroad station to weekend events in smaller towns. Yet all share the same basic themes: Christmas ornaments, gifts, tasty baked goods, things like Bratwurst and spiced hot mulled wine, and plenty of traditional Swiss atmosphere. There’s also a good chance of having a «white Christmas Market experience» when you visit a Christmas Market in Switzerland. Montreux is home to Switzerland’s largest Christmas Market; it extends from the GrandRue to the Lakeside Promenade via the Markthalle. For romantics, we recommend the Christmas market in the pastoral town of Huttwil in Emmental (Bernese Oberland) or the one in Bremgarten in the Canton Aargau. A secret tip is the Christmas market in Einsiedeln (Canton Schwyz), which is set up on the square in front of the charmingly lit monastery. BASEL CHRISTMAS MARKET (November 28 – December 23, 2013). EUREKA With Canada’s recent associate membership in EUREKA, a new door opens to Canada and Switzerland to partner on leading-edge R&D projects a EUREKA innovation event in combination with the Swiss Innovation Forum on the 19 and 20 of November, 2014, in Basel. This event will target companies from the entire EUREKA network to meet potential project partners, learn about EUREKA support mechanisms and gain a better appreciation of Made-in-Switzerland innovation (more info to come on the Switzerland EUREKA Office website below). EUREKA in Switzerland is implemented by the State Secretariat for Education, Research and Innovation SERI. The Swiss Office at SERI manages the funds for EUREKA’s Eurostars programme and has established close contacts with the Swiss Innovation Promotion agency CTI and with various other Federal Offices and organisations, which provide funds for innovation projects. Bi-lateral calls for EUREKA projects have been launched in collaboration with the offices in Denmark, Israel, the Netherlands, Sweden, Slovenia, and Turkey. There has been increased scrutiny by international tax agencies, including the Canada Revenue Agency (the “CRA”), with respect to bank accounts and other financial holdings in offshore jurisdictions. Efforts by the US IRS have increased awareness of the tax situation and the demand for an effective resolution. The US IRS managed to force UBS AG, an international bank headquartered in Switzerland, to release the name of more than 4,400 account holders living in the USA, and it is estimated that there is at least $100 billion sitting in Canadian offshore accounts. Canadian taxpayers (individual, corporations or trusts) have at times failed to report all income, whether from Canadian or foreign sources, or neglected to file the requisite income tax or information returns in compliance with their Canadian tax obligations If you are losing sleep because of underreported income from offshore accounts, tax evasion or unfiled income tax and information returns, you should take comfort to know that there is something you can do to rectify any prior omissions or errors. The CRA’s policy is to promote voluntary compliance with its tax laws. Canadians may under certain circumstances come forward and voluntarily disclose past omissions or errors by making an application under the Voluntary Disclosure Program (VDP). The VDP is CRA’s policy to encourage voluntary tax compliance with the Canadian tax obligations in a manageable way and to provide relief to Canadian taxpayers. Where a valid disclosure is made under the VDP, the taxpayer will be required to pay all outstanding taxes and, in most circumstances, the interest applicable to the taxes, however, the incentive to participate in the VDP arises from the promised relief from penalties as well as the removed risk of prosecution under the Income Tax Act. Based on current legislation, the ability to grant relief may be limited to the 10 taxation years before the calendar year in which the voluntary disclosure application is submitted. As I explain below, the policy in this respect seems to be evolving in a favourable way. A disclosure must meet four conditions in order to be a valid disclosure under the VDP, regardless of whether the disclosure is for failure to file a tax or information return or for the under-reporting of income: (I) the disclosure must be voluntary in that the CRA has not initiated an audit, investigation, or other enforcement action against the taxpayer or the taxpayer has no knowledge of such action; (II) it must be substantially complete and the taxpayer must submit all material omissions concerning information that was previously incomplete, inaccurate or incomplete; (III) it must involve the application of at least one penalty, such latefiling penalty, a failure to file or to remit, or the potential application of discretionary penalty of negligence; and, (IV) is at least one year past due. How far back the CRA may go in terms of the number of years reviewed and assessed is determined by the facts presented in each case. Under the VDP process, taxpayers can approach the CRA on an initial no-name basis, through a legal representative. This allows the taxpayer to obtain preliminary feedback about their eligibility under the VDP and to understand and attempt to negotiate the relief offered such as the number of years the request will relate to and details of interest relief. The taxpayer can take the final decision to proceed with their voluntary disclosure with some degree of comfort that the CRA will approve it and waive penalties. A taxpayer has up to 90 days, from the effective disclosure date, to identify itself as well as submit all supporting documentation and required completed returns, or the disclosure will be closed without further contact from the CRA. FEDERAL POLICY Income taxes in Canada are levied at both the Federal and provincial level. During the voluntary disclosure process, the federal level is usually settled first. At the provincial level, most provinces outside Québec, take a percentage of the federal portion. However, the province of Québec takes a more complex taxation approach. Since March 2013, the Canadian government has been attempting to streamline the VDP. It appears to the Canadian tax community that federal tax officials are beginning to take a more lenient approach toward taxpayers who want to bring back fortunes from countries like Switzerland and Liechtenstein. The CRA general policy is that the net income and net capital gains are taxed each year for which bank statements are available (essentially 10 years for Swiss banks and 7 years for Caribbean and Hong Kong banks). The opening capital will in many cases not be subject to tax. Interest is applied to the overdue tax payable with 4% interest relief for statute-barred years. If taxable income or net capital gains can be determined for periods beyond 10-years, tax payable will be subject to full interest rates and penalties. The adjusted cost base of stocks is nil unless there is evidence of the cost base. QUÉBEC POLICY The Québec policy is slightly different in the following respects: the net income and capital gains are generally taxed for six (6) years but the opening capital is taxed in year six in its entirety unless it is proven to have tax-exempt or tax-paid origins (such as an inheritance). This can result in significantly higher amount of taxes owed to the Québec authorities compared to the CRA. EXCHANGE OF TAX INFORMATION In its continued effort to combat international tax evasion, Canada has signed Tax Information Exchange Agreements (TIEA) with numerous tax haven countries, most recently with Liechtenstein. The scope of TIEAs is consistent with the efforts of the Organisation for Economic Co-operation and Development (OECD) to combat international tax evasion. It is a bilateral agreement pursuant to which two countries undertake to exchange tax information relevant to the administration and enforcement of their domestic tax laws. This would enable Canadian tax authorities to obtain information relevant for the enforcement and administration of Canadian tax laws, while protecting rights of taxpayers. In cooperation with the OECD, Switzerland became the 58th country to sign the Multilateral Convention on Mutual Administrative Assistance in Tax Matters on October 15, 2013. The Convention sends the clear signal that Switzerland views international tax co-operation as a necessity. There has been significant pressure on Swiss banks in particular. All G20 countries, including Canada, are signatories to this Convention. The objective is to have the majority of countries sign this Convention, and implement generalized automatic information exchange, by 2015. SUCCESS OF THE VDP IN CANADA The VDP has been operating reasonably well in some circumstances and less well in others. Where multiple taxpayers and/ or multiple jurisdictions are involved, the process can become complex and uncertain. As the CRA’s vigilance increases, there will be increases in VDP requests. Taxpayers will require professional assistance to walk them through the VDP process. It is important to understand that the application is not always successful. The VDP process is not completely over until the CRA has accepted the taxpayer’s submissions. There can be many practical problems such as meeting the 90-day deadline, gathering all relevant prior years’ tax records from multiple sources where documents may have been destroyed to make a full and complete disclosure. The VDP provides Canadian taxpayers with the opportunity to rectify tax deficiencies in a manner that does not expose the taxpayer to the application of potential penalties. However, care must be taken to ensure that the taxpayer’s circumstances do not preclude a valid voluntary disclosure and that it satisfies all the conditions under the VDP. Guldimann, LLD Julius Caesar’s treaty on the war that the Roman Empire fought against the Gauls famously starts with the words: “Gallia est omnis divisa in partes tres” or in English: All Gaul is divided into three parts. The same is true for the United States of America but while Caesar’s division of what is today known as France went along ethnic lines (Belgians, Celts and Gauls), America’s division is between disjointed politics in Washington, the real economy on Main Street and the rise to old glory on Wall Street. Let us explore. TROUBLE IN WASHINGTON The dysfunction on the inside of the Washington Beltway by now has gone from the disturbing to the absurd. Elected federal politicians that get paid with taxpayers’ dollars continue to ignore the business of governing while nobody holds them to account for anything. This fall’s government shutdown is the prime example of how politics in the United States has been reduced to the battle of one party winning over the other rather than finding solutions that are serving the people’s interest. It is close to a miracle that the same Congress that shut down the federal administration on October 1st managed to agree to an increase of the debt ceiling a couple of weeks later, even if they simply kicked the can down the sidewalk until the next showdown. HBO has a show on cable called “The Newsroom”. In there, the anchor of a national newscast is branding the Tea Party movement as “the American Taliban”. This may well go too far, but Will MacAvoy (the anchor played by Jeff Daniels) does make a point. The political establishment on either side of the isle looks on as the renegade Tea Party holds any form of normal political process hostage to their obsession of less government and more bigotries. Nobody makes deals to find progress because everybody wants to win. President Obama’s White House meanwhile is stumbling from one scandal to the next. Admissions of excessive NSA surveillance of U.S. citizens and foreign leaders are chased by the disastrous launch of “Obamacare”. Mr. Obama’s approval rating in year five of his presidency is now below 40% and at the same level as George W. Bush’s was at the same marker. Zurich® is a registered trademark of Zurich Insurance Company Ltd. 16 INFO SUISSE SLOW RECOVERY AND A NATION OF TENANTS As Washington is stuck in a high stakes poker game between elephants and donkeys, the real U.S. economy displays difficulties of its own. The Wall Street-induced Great Recession has been statistically over for four years but the economy remains stuck. This most sluggish of recoveries also comes with a labour participation rate in America that sits at less than 63%, the lowest level since 1978. More than a third of the U.S. population is not working; they either dropped out of the workforce permanently, or they haven’t started entering it because there are no jobs or they are still in school. The drop in labour market participation marks the flip side of the relatively stable official unemployment rate of 7.3%. As the participation rate shows us, the unemployment rate dropping from the records of 2009 is not an indication of more jobs, but of more folks staying out of the workforce. Job creation in America is not just slower than expected; the jobs that are being created often come with fewer hours and a lesser wage. The recovery is agonizingly slow both quantitatively and qualitatively. Today, people with poorer quality jobs are spending their hard earned money to reduce their credit card balances which is good for their credit rating but bad for an economy where consumer spending accounts for over 70% of output. Less-easily available credit is also one of the root causes why America is slowly turning from a society where the majority of families own their homes to one where the majority are tenants. At near record-low prices for single and multi-family residences, this situation benefits a new generation of landlords that are picking up deals of the century to rent cheap apartments at rates dictated by limited supply and growing demand. WALL STREET IS BACK! The contrast to a broken political system and a struggling real economy can be found on Wall Street these days. Mega IPOs and mergers are back and with them the bonuses for those investment bankers that survived the recession purge. American corporations have cleaned up their balance sheets and used the recovery to improve corporate earnings. This is the stuff that markets like. While the economy overall is still struggling with job creation and solid growth, the Federal Reserve’s generous quantitative easing and asset purchasing program made sure that there is enough liquidity around to make sure Wall Street could enjoy an almost magical recovery before anybody else. The idea was that a fast recovery on Wall Street would eventually trickle down into the real economy, create new jobs and get GDP growth back to the 3-4% that everybody wants to see. The reality is that the few with the means to invest in the markets are enjoying incremental wealth from the Dow Jones Index at record levels while the many stuck in their daily struggles of getting by are still waiting for better jobs and more opportunity. It is difficult to see how America will fix their broken political system anytime soon even though the mid-term elections in 2014 will show us to what extent fresh ideas might make it to Capitol Hill. We will also likely see a continuation of the erosion of the American middle class. The silver lining for those that still have money left in their 401k plans will be that the bulls keep roaming on Wall Street and whatever their retirement plans are invested in will help growing the nest egg. However, holiday parties that get out of control or are not reflective of your workforce’s ethnic diversity can create unforeseen liabilities, particularly where alcohol is involved. As a “best practice”, the following suggestions will assist your organization in planning and holding a safe and inclusive holiday event: • Hold an alcohol-free event. This is the lowest-risk option for employers. • If you decide to provide alcohol at the event, speak to employees before the event about the risks of over-drinking. • Holding a morning (brunch) event rather than an evening event where alcohol is served may reduce the consumption of alcohol. • Provide non-alcoholic drinks as an option. • Avoid serving alcohol if your event includes physical activities, or serve the alcohol after the physical event is completed. • Have food available throughout the party, and accommodate diverse palates. • Provide alternative transportation for employees (i.e. taxi chits). Encourage employees before the event to leave their vehicles at home and take advantage of the alternative transportation you are providing to get to and from the event. • Arrange for a nearby hotel to have rooms available for employees who are unable to get home. • Stop serving alcoholic beverages at least an hour before the party is over. • Be respectful of the different cultural 18 INFO SUISSE • • • • and belief systems among your employees when planning your event. Make sure the date of your event, your menu and activities reflect your workforce’s religious and ethnic diversity. Where your workforce is culturally diverse, consider creating a holiday planning committee of representative employees to plan your event, and plan your event around the many religious holidays being celebrated around this time. Consider inviting your employees’ family to accommodate those who may be unable to leave young children at home. Allow employees to opt out of your holiday event without a consequence or negative connotation. Make sure the venue is accessible to those attending your event. THE LAW ON SOCIAL HOST LIABILITY In 2006 the Supreme Court of Canada weighed in and confirmed that a social host of a party, unlike a commercial host such as a bar or restaurant, does not owe a duty of care to guests or third parties such that they would be required to prevent a guest from driving in an intoxicated state. In Childs v. Desormeaux (“Childs”), the defendants hosted a New Year’s Eve party. After consuming alcohol at the party, a guest was involved in a head-on collision that killed one passenger in another vehicle and seriously injured three others, including the plaintiff. The plaintiff sued the driver, the hosts of the party and their home insurer. The Supreme Court found that the party hosts could not reasonably foresee the accident and the plaintiff’s injury and in any case had no duty to act. Social hosts do not have such a duty, unless they are in a situation where they can foresee harm to guests. Although in Childs the Supreme Court did not address the potential obligations on employers when providing alcohol to employees at work functions, the decision suggests that employers are likely to be held to a higher standard than social hosts when alcohol is served at company-sponsored events. This marks the fifth consecutive year the Swiss have held the #1 spot, which measures competitiveness as “the set of institutions, policies, and factors that determine the level of productivity of a country.” Switzerland excels due to the high level of innovation, education, research institutions, infrastructure, administration transparency, and functioning finance and job markets, WEF said. WINS AND UPDATES Regus – the world’s largest provider of flexible workplaces – has expanded in Switzerland through a new location in Old Town Lucerne. Other locations are in Basel, Bern, Carouge, Geneva, Lausanne, Lucerne, Nyon, Winterthur, Zug and Zurich. Founded in 1989, Regus has more than 1500 business centers across some 600 cities in nearly 100 countries. Richardson International, a subsidiary of James Richardson & Sons of Winnipeg Canada, established a new merchandising subsidiary in Geneva to enhance the firm’s ability to serve existing customers and develop relationships with new customers in Europe. Richardson International is a merchandiser of grains and oilseeds. REVERSE INVESTMENTS & PARTNERSHIPS Basle-based Roche will invest $286 million at its plants in Vacaville and Oceanside Calif., creating around 250 new jobs. The company is also expanding in Germany and Switzerland to support the development pipeline of new cancer drugs. UBS will invest $36.5 million and create 1,000 new jobs over the next five years in establishing a shared service center in Nashville, Tenn. The company currently provides operations support in Nashville through more than 200 employees in addition to its full service Wealth Management office. Clariant Corp., a wholly owned subsidiary of Muttenz-based Clariant International, is expanding operations of its catalysts unit in Louisville Ky, adding 34 jobs and investing more than $65M to build a new manufacturing facility which is expected to be operational in 2015. ABB Ltd’s Mexican arm ABB Mexico has opened a new office in Monterrey to provide services to the growing number of industrial activities in the automotive, chemical, mining, and aerospace sectors. FROM THE FOREIGN DESK Germany-based grocery retail firm Lidl continues to grow in Switzerland by investing CHF 100M into its existing distribution centre in Weinfelden, canton Thurgau, and a new distribution center in Sevaz, canton Fribourg. Allfunds Bank, jointly owned by Spanish bank Santander and the Italian Intesa Sanpaolo Group, has opened Allfunds International Schweiz AG in Zurich. Asset management company Assenagon, which operates as a subsidiary of German-based Bayerische Beamten Lebensversicherung, opened an office in Zurich to increase its presence in Switzerland. This report supports the case that wellbeing is a critical component of how the world measures its economic and social development. ■ NON-RESIDENTS CARRYING ON BUSINESS IN CANADA By Cunningham LLP More and more non-resident companies are expanding into Canada. Often these non-resident companies do not realize that by carrying on a business in Canada, even if they do not incorporate a Canadian corporation, they assume domestic tax obligations and responsibilities. It is important that nonresidents recognize these obligations and responsibilities and seek Canadian tax and legal advice prior to selling their goods or services in Canada. This paper summarizes some of the more significant Canadian tax issues that non-resident companies must consider when carrying on business in Canada directly. A NON-RESIDENT’S INCOME TAX OBLIGATION IN CANADA The Income Tax Act (Canada) (the “Act”) sets out the liability for income taxes payable by non-residents, including individuals and corporations, in paragraph 2(3)(b): “Where a person who ... carried on a business in Canada at any time in the year ... an income tax shall be paid as required by this Act, on the person’s taxable income earned in Canada...” The term “business” includes a profession, calling, trade, manufacture or undertaking of any kind whatsoever. It also includes an adventure or concern in the nature of trade. Selling goods or services into Canada D E C E M B E R 2 0 1 3 /J A N U A R Y 2014 19 Business and Other News Actualités économiques et d’affaires from a foreign location would typically not cause a non-resident to be considered to be carrying on business in Canada, however, the sale of goods or services through an agent or employee in Canada, soliciting sales at a trade show, sending employees to perform services while physically in Canada or renting a warehouse or other physical location in Canada would all likely constitute carrying on business in Canada. CANADA’S INCOME TAX TREATIES AND THE DEFINITION OF A “PERMANENT ESTABLISHMENT” Canada has tax treaties with several countries in an effort to prevent taxpayers from being subject to double taxation on certain types of income. These tax treaties take priority over domestic tax law. In each of Canada’s tax treaties, the general rule is that business profits of a non-resident will not be taxable in Canada unless the non-resident carries on busi- ness in Canada through a “permanent establishment”. A “permanent establishment” is a fixed place of business through which the business of the taxpayer is wholly or partly carried on. A “permanent establishment” includes: a place of management, a branch, an office, a factory, a workshop, a mine, an oil/gas well, a quarry or a building site, construction or installation project lasting longer than 12 months. There are some exclusions from the definition of a “permanent establishment” in Canada’s tax treaties. For example, a fixed place of business in Canada used solely for the maintenance of a stock of goods or merchandise belonging to the non-resident for the purpose of storage, display or delivery will not be considered a “permanent establishment”. In addition, a non-resident shall not be deemed to have a “permanent establishment” in Canada merely because the non-resident carries on business in Canada through a broker, general commission agent or any other agent of an independent status, provided that such persons are acting in the ordinary course of their business. Conversely, there are provisions in each of Canada’s tax treaties which will deem a non-resident to have a “permanent establishment” in Canada. For example, a person acting in Canada on behalf of a non-resident, other than an agent of independent status, shall create a “permanent establishment” in Canada for the non-resident if such person has and habitually exercises an authority to conclude contracts. C’est en 1946, dans une Varsovie en ruine, dévastée par la guerre, qu’il commence sa brillante carrière consulaire. Après quelques années passées à Berne, ses fonctions l’amènent à Montevideo en Uruguay, une époque où le voyage se faisait encore en transatlantique et durait près de trois semaines. Après sept premières années d’Amérique du Sud, il revient dans la capitale helvétique comme vice-directeur du service de l’information du département fédéral des affaires étrangères. En 1961, après l’événement de la Baie des Cochons, il se rend à Cuba où il y reste trois mois pour reprendre les intérêts américains à Cuba. Par la suite, il passe quelques années à Ankara puis à Barcelone. C’est à cette époque qu’il perd sa première épouse. Il reste seul, père d’un petit garçon, André. Quelques temps plus tard, il rencontre Judith qui devient sa seconde épouse et dont il adopte la fille, Nina. De nouvelles affectations l’amènent avec sa petite famille recomposée au San Salvador puis en Équateur, comme chargé d’affaires, dans les ambassades suisses. Ils resteront en Amérique centrale plus de onze années. Pour son dernier poste, il est nommé, en 1984, Consul Général de Suisse à Montréal jusqu’à sa retraite en 1989. Très actif au sein de la Chambre de Commerce Canado-Suisse, il a veillé à offrir son soutien et d’en faire activement la promotion. Il a aussi contribué à créer l’école suisse du Consulat. Peu après son retrait de la vie diplomatique, il œuvre comme consultant auprès Peu avant de nous quitter, il a eu l’occasion de connaitre sa troisième petite fille. Il s’est éteint à l’hôpital de Genève entouré de ses enfants et de sa fidèle complice, Judith. Nous gardons en mémoire, sa vivacité d’esprit, sa grande culture et son amour pour la vie, sa famille et ses nombreux amis. Adieu et merci Monsieur le Consul Général, vous nous manquez. Le Programme canadien des divulgations volontaires Ces dernières années, une attention particulière a été portée aux questions de conformité en matière de fiscalité internationale et plus particulièrement en ce qui concerne l'évasion fiscale. Les organismes fiscaux internationaux, incluant l'Agence du revenu du Canada (l’« ARC »), ont davantage examiné les comptes de banque et les autres biens financiers détenus dans des juridictions extraterritoriales. Les efforts de l'IRS américain ont augmenté la sensibilisation à la situation fiscale et à la demande d’une résolution efficace. Il est parvenu à forcer UBS AG, une banque internationale dont le siège social est situé en Suisse, à divulguer le nom de plus de 4 400 titulaires de comptes vivant aux États-Unis. On estime qu'au moins 100 milliards de dollars se trouvent sur des comptes canadiens offshore. Certains contribuables canadiens (individus, sociétés ou fiducies) peuvent avoir omis de déclarer tous leurs revenus, de sources canadiennes ou étrangères, ou négligé de produire leurs déclarations d’impôts sur le revenu ou leurs déclarations personnelles pour rencontrer leurs obligations fiscales. Si vous perdez le sommeil car vous avez sous-déclaré des revenus provenant de comptes offshore ou négligé de produire vos déclarations d’impôts, sachez que vous pouvez faire quelque chose. L'ARC a pour politique de promouvoir l'observation volontaire de ses lois fiscales. Les canadiens peuvent, dans certaines circonstances, s'avancer et divulguer, volontairement, des omissions ou des erreurs passées, en faisant une demande en vertu du Programme des divulgations volontaires (« PDV »). Le PDV est une politique de l’ARC visant à encourager le respect volontaire des obligations fiscales vis-à-vis de l'impôt canadien, de manière à rendre le problème « gérable » pour le contribuable. Si une divulgation valide est faite en vertu du PDV, le contribuable sera tenu de payer tous les impôts en souffrance et, dans la plupart des cas, l'intérêt applicable sur ces derniers. Toutefois, l'incitatif à participer au PDV découle de la promesse de l’ARC d’alléger les pénalités ainsi que le risque de poursuites en vertu de la Loi de l'impôt sur le revenu. Dans certaines situations, grâce au PDV, un contribuable peut obtenir une dispense de pénalités et de poursuites, ainsi qu’une exonération partielle des intérêts. Actuellement, la législation permet un allégement limité aux 10 ans précédant l'année civile au cours de laquelle la demande de divulgation volontaire est soumise. Comme je l'explique plus bas, la politique en la matière semble évoluer favorablement. Pour être valide en vertu du PDV, la divulgation doit satisfaire à quatre conditions, indépendamment de la question de savoir si elle résulte d’un défaut de production d’une déclaration d’impôts ou d’une déclaration personnelle ou d’une sous-déclaration de revenus: (I) La divulgation doit être volontaire. Le contribuable ne doit pas avoir connaissance d’une vérification, d’une enquête ou d’autres mesures d’exécution que devait entreprendre l’ARC ou tout autre autorité ou administration en ce qui concerne les renseignements divulgués à l’ARC; (II) Elle doit être substantiellement complète. Le contribuable doit présenter des faits et des documents complets et exacts pour toutes les années d’imposition ou les périodes de déclaration au cours desquelles il y a eu des renseignements inexacts, incomplets ou non déclarés concernant tous les comptes fiscaux liés au contribuable; (III) Elle doit comprendre l’imposition d’une pénalité ou cette possibilité. Il peut s’agir d’une pénalité pour production tardive, d’une pénalité pour défaut de verser, d’une pénalité relative aux acomptes provisionnels ou d’une pénalité discrétionnaire, telle qu’une pénalité pour omission ou une pénalité pour faute lourde; et, (IV) le contribuable doit fournir des renseignements dont la production est en retard d’au moins un an. Le processus du PDV permet au contribuable, dans un premier temps, de contacter l'ARC de façon anonyme, par l'intermédiaire d'un représentant légal. Il peut ainsi obtenir les commentaires préliminaires de l’ARC sur son admissibilité en vertu du PDV, comprendre et tenter de négocier l'allégement offert, à savoir le nombre d'années sur lequel la demande portera et les détails du montant des intérêts. Le contribuable peut finalement décider de procéder à une divulgation volontaire en étant confiant que l'ARC l’approuvera et renoncera aux pénalités. Un contribuable a jusqu'à 90 jours, à compter de la date effective de la divulgation, pour s'identifier et pour soumettre tous documents requis au soutien de sa demande afin de compléter ses déclarations, à défaut de quoi, la divulgation sera fermée sans autre communication de l'ARC. Politique fédérale Au Canada, les impôts sur le revenu sont prélevés aux niveaux fédéral et provincial. Au cours du PDV, le gouvernement fédéral est généralement le premier à régler le dossier. Au provincial, la plupart des provinces autres que le Québec, prennent un pourcentage sur ce qui a été perçu par le fédéral. Toutefois, le Québec a une approche fiscale plus complexe. Depuis mars 2013, le gouvernement du Canada a tenté de rationaliser le PDV. Son objectif a été de le rendre plus attrayant et transparent pour les canadiens qui voulaient rapatrier leurs comptes étrangers au Canada mais qui avaient été effrayés par les pénalités élevées. D’après la majorité des fiscalistes, il appert que les fonctionnaires fédéraux en fiscalité commencent à avoir une approche plus indulgente vis-à-vis des contribuables qui souhaitent rapatrier leur fortune de pays comme la Suisse et le Liechtenstein. La politique générale de l'ARC est que le revenu net et les gains en capital nets sont imposés chaque année pour laquelle des relevés bancaires sont disponibles (essentiellement 10 ans pour les banques suisses et 7 ans pour celles des Caraïbes et de Hong Kong). Dans de nombreux cas, le capital d'ouverture ne sera pas assujetti à l'impôt. L’intérêt est appliqué sur l'impôt dû avec un allégement d’intérêt de 4% pour les années prescrites. Si le revenu imposable ou les gains en capital nets peuvent être déterminés pour des périodes au-delà de 10 ans, l’impôt payable sera assujetti au plein taux d'intérêt et aux pénalités. Le prix de base rajusté des actions est nul à moins qu’il n’existe des preuves du coût de base. Politique québécoise La politique du Québec est légèrement différente sur les points suivants: le revenu net et les gains en capital sont généralement imposés pour une période de six (6) ans mais le capital d’ouverture est imposé l’année six dans son intégralité à moins qu’il ne soit prouvé qu'il y ait une exonération d'impôts ou des taxes d’origine payées (comme un héritage). Cela peut conduire à une nette augmentation de la somme d'impôts et de taxes due aux autorités québécoises comparativement à l'ARC. Échange d’informations fiscales Dans ses efforts constants pour lutter contre l’évasion fiscale internationale, le Canada a signé des Accords d'échange de renseignements fiscaux (AERF) avec de nombreux pays qui sont des paradis fiscaux, et plus récemment, avec le Liechtenstein. La portée des AERF est cohérente avec les efforts de l'Organisation de coopération et de développement économiques (OCDE) pour combattre l’évasion fiscale internationale. Il s'agit d'un accord bilatéral en vertu duquel les deux pays s'engagent à échanger des renseignements fiscaux pertinents pour l'administration et l'application de leurs lois fiscales nationales. Le 31 octobre 2013, le Canada et la Suisse ont renforcé leur attachement à un échange automatique d'informations fiscales et ont signé l’Accord relatif à l’interprétation de l’article 25 de la Convention Fiscale entre le Canada et la Suisse, qui porte sur l'échange d'informations, afin de s'assurer qu'il est pleinement compatible avec la norme développée par l'OCDE. Cela permettrait aux autorités fiscales canadiennes d’obtenir des informations pertinentes pour l'application et l'administration des lois fiscales canadiennes, tout en protégeant les droits des contribuables. En coopération avec l'OCDE, la Suisse est devenue le 58e pays à signer, le 15 octobre 2013, la Convention multilatérale concernant l'assistance administrative mutuelle en matière fiscale. La Convention envoie un signal clair à l’effet que la Suisse considère la coopération fiscale internationale nécessaire. Une pression significative existe sur les banques suisses en particulier. Tous les pays du G20, y compris le Canada, sont signataires de cette Convention. L'objectif est que, d’ici 2015, la majorité des pays la signe et mette en place un échange automatique d’informations généralisé. Tenant compte de l'accès aux renseignements fiscaux de l'étranger, l'ARC aura plus de pouvoirs pour vérifier les contribuables et pour faire appliquer ses lois fiscales. Succès du PDV au Canada Le PDV a assez bien fonctionné dans certaines circonstances et moins bien dans d'autres. Lorsque plusieurs contribuables et/ou plusieurs juridictions sont concernés, le processus peut devenir complexe et incertain. Comme la vigilance de l'ARC s’accentue, il y aura une augmentation des demandes de PDV. Les contribuables vont avoir besoin de l’aide de professionnels pour passer au travers du PDV. Il est important de comprendre qu’une demande n'est pas toujours couronnée de succès. Le PDV n'est pas complété tant et aussi longtemps que l'ARC n’a pas accepté les soumissions du contribuable. Il peut y avoir de nombreux problèmes pratiques pour produire une déclaration complète, comme rencontrer le délai des 90 jours, rassembler toutes les années antérieures des dossiers de l'impôt provenant de sources multiples où des documents peuvent avoir été détruits. Le PDV donne aux contribuables canadiens, la possibilité de rectifier des lacunes fiscales de manière à ne pas les exposer à l'application de sanctions éventuelles. Cependant, des précautions doivent être prises pour s’assurer que les conditions d’une divulgation volontaire valide soient satisfaites.
