New monthly and quarterly reporting obligation Statistical collection from group financing companies The Banque Centrale du Luxembourg issued on 29 April 2011 a regulation concerning statistical collection from companies which contract loans or issue debt securities or derivative instruments to finance its affiliated companies. Practically, such companies often may be “sociétés de participations financières” (SOPARFI). We draw your attention to the new reporting obligations imposed by this regulation. Within the framework of its responsibilities, the BCL has to transmit complete and reliable statistics on the balance of payments and the international investment position to the ECB. In order to be able to fulfil this task, the BCL issued a new regulation 2011/8, which introduces the obligation for any company, which issues or plans to issue debt securities, to inform the BCL within one month after the publication of the regulation or after its incorporation date. Furthermore, the regulation imposes a new monthly and quarterly reporting including: (1) report S 2.16 “Quarterly statistical balance sheet of issuing companies” (2) report S 2.17 “Quarterly information on transactions of issuing companies” (3) monthly security by security reporting of issuing companies. The first reporting concerning the period of September 2011 (report S 2.16 and monthly security by security reporting) is due by 21 October 2011. The first report S 2.17 relating to the fourth quarter of 2011 will have to be transmitted by 20 January 2012. Data are to be transmitted electronically in an XML file using channels of transmission Sofie (Cetrel) or Finesti (Bourse de Luxembourg). As a result, it remains at each reporting entity’s discretion to contact either the above-mentioned companies or to propose any other means of electronic transmission. Nevertheless, the BCL encourages a pragmatic approach. As a temporary solution, data may be transmitted by means of an Excel file, of which a template can be provided on demand by the BCL. The companies in the scope of the regulation are Luxembourg private companies (as a result entities governed by public law are out of scope), non-regulated (which are consequently not covered by any direct data collection scheme), whose principal activity is to contract loans or issue debt securities or derivative instruments that are sold either by public offer, or by private placement, in order to finance the activities of its affiliated companies. Any such company whose total balance sheet does not exceed 500 million euros or currency equivalent are exempt from this reporting requirement. It should be noted that this threshold, which may be modified in future, is currently higher than in other European countries subject to the same kind of scheme. Moreover, the BCL may exempt, entirely or partially, one or several companies from their reporting obligations by a motivated decision. In order to obtain such exemptions, the BCL invites companies to contact them at [email protected] with the following information: • Name of the company • Contact person • N° RCS • Last annual accounts On the basis on this information, the BCL will inform as soon as possible the company of its possible obligation to transmit statistical data. The BCL already has available information relating to financing by equity contribution of affiliated companies of issuing entities. As a result, the regulation aims at allowing the BCL to collect information related to financing by another mean than through equity contribution. So far, such information was not tracked by the BCL. The fact that group financing companies are financed by a Luxembourg bank or by any other regulated entity (specialized investment fund, insurance company,…) that are already reporting to a supervisory body, does not exempt such companies from the obligations imposed by the new regulation. Besides, all forms of financing obtained with a view to financing affiliated companies fall within the scope of the regulation, including shareholders loans, which one could have considered as not being covered by the definition of private placement. The BCL has already identified some group financing companies which are in the scope of the regulation on the basis of various official sources (Bourse du Luxembourg, Mémorial C, Registre du Commerce et des Sociétés) and sent them a letter summarizing the new obligation in terms of statistical collection. It should be noted that the first reporting date of 21 October 2011 applies to these companies. Nevertheless, the BCL invites each company with activities targeted by the regulation to contact the BCL spontaneously. They will benefit from a 2 to 3 months period in order to set up the necessary procedures to comply with the new reporting requirements. The present regulation is supplemented by ten annexes regularly updated and published on the BCL website. The BCL also published in August 2011 an FAQ which is available on its website. A table summarizing the transmission dates for which statistical reports are due is also regularly published on the BCL website. How can Deloitte help? Nouvelle obligation de reporting mensuel et trimestriel Collecte statistique auprès des sociétés émettrices La Banque Centrale du L uxembourg a publié le 29 avril 2011 un r èglement concernant la collecte statistique auprès de sociétés contractant des prêts ou émettant des titres de créance ou des produits financiers dérivés pour le compte de sociétés liées. Il s’agit en pratique souvent de sociétés de participations financières (SOPARFI). Nous attirons votre attention sur les nouvelles obligations de reporting introduites par ce règlement. Dans le cadre de ses missions, la BCL doit transmettre à la BCE des statistiques exhaustives et fiables de la balance des paiements et de la position extérieure globale. Afin de pouvoir remplir cette mission, la BCL a publié le règlement 2011/8 qui introduit l’obligation pour toute société émettrice qui émet ou envisage d’émettre des titres de créance d’en informer la BCL dans un délai d’un mois à compter de la date de publication du règlement ou de la date de sa constitution. Le règlement impose en outre un nouveau reporting mensuel et trimestriel comprenant : (1) le rapport S 2.16 «Bilan statistique trimestriel des sociétés émettrices» (2) le rapport S 2.17 «Informations trimestrielles sur les transactions des sociétés émettrices» (3) le reporting mensuel titre par titre des sociétés émettrices. La première transmission des informations se rapportant à la période de septembre 2011 (rapport s 2.16 et reporting mensuel titre par titre) est due pour le 21 octobre 2011. Le premier rapport S 2.17 sera à remettre pour la période de référence du quatrième trimestre 2011 pour le 20 janvier 2012. Les données peuvent être transmises par voie électronique sous format XML via les canaux Sofie (Cetrel) ou Finesti (Bourse de Luxembourg). Par conséquent il appartient aux déclarants de contacter ces deux sociétés ou de proposer un autre moyen de transmission télématique. Toutefois, la BCL privilégie une approche pragmatique. Ainsi, à titre provisoire, les données pourront être transmises sous un fichier Excel, dont un modèle peut être fourni sur demande par la BCL. Les sociétés visées sont les sociétés luxembourgeoises de droit privé (sont donc exclues les personnes morales de droit public), non réglementées (par conséquent non couvertes par des collectes directes), dont l’activité principale est de contracter des prêts ou d’émettre des titres de créance ou des produits financiers dérivés qui sont vendus soit par offre publique, soit par placement privé en vue de financer les activités des sociétés faisant partie du même groupe que la société émettrice. Les sociétés concernées dont le total du bilan n’excède pas 500 millions d’euros ou l’équivalent en devise sont exemptées des obligations de déclaration. Il est à noter que ce seuil qui pourra être modifié dans le futur est pour l’instant plus élevé que dans certains autres pays de l’Union Européenne, soumis au même type de dispositif. Par ailleurs, la Banque centrale du Luxembourg peut exempter, intégralement ou partiellement, un ou plusieurs déclarants des obligations de déclaration par une décision motivée. Pour obtenir une telle exemption, la BCL invite les sociétés à la contacter en lui transmettant à l’adresse [email protected] : • Le nom de la société • La personne de contact • Le n° RCS • Les derniers comptes annuels Sur base de ces informations, la BCL informera dans les meilleurs délais la société de son obligation éventuelle de transmettre les données statistiques. La BCL dispose déjà des informations concernant le financement par contribution au capital de sociétés faisant partie du même groupe que les sociétés émettrices. Par conséquent, l’objectif du règlement est de permettre à la BCL de collecter l’information relative au financement par un moyen autre que par contribution au capital, information qui échappait jusqu’alors à la BCL. Le fait que des sociétés se financent auprès d’une banque luxembourgeoise ou de toute autre entité régulée (fonds spécialisés, compagnies d’assurance, …) reportant déjà à une autorité de contrôle n’exonère en aucun cas les sociétés en question des obligations imposées par le nouveau règlement. En outre, sont visées toutes les formes de financement obtenues en vue de financer les activités de sociétés liées, y compris les prêts d’actionnaire, dont on aurait pu penser qu’ils échappaient à la notion de placement privé. La BCL a déjà identifié un certain nombre de sociétés émettrices concernées par le règlement sur base de sources officielles (Bourse du Luxembourg, Mémorial C, Registre du Commerce et des Sociétés) et leur a adressé un courrier présentant les nouvelles obligations en matière de collecte statistique. Il est à noter que la première date de reporting du 21 octobre 2011 s’applique à ces sociétés. Toutefois, la BCL invite toute société ayant les activités visées par le règlement à contacter la BCL spontanément. Celles-ci bénéficieront d’une période de 2 à 3 mois afin de mettre en place les procédures nécessaires pour répondre aux nouvelles obligations de reporting. Le règlement est complété par dix annexes, régulièrement mises à jour et publiées sur le site Internet de la BCL. Cette dernière a également publié en août une FAQ qui peut être consultée sur son site Internet. Un tableau reprenant les dates précises pour lesquelles sont dus les rapports statistiques à transmettre est également publié régulièrement sur le site Internet de la BCL.
