Bertrand Dumon counselled DCI's controlling shareholder and its managers
during an LBO which led to LBO France and Capzanine becoming the
majority shareholders
Paris, March 31st 2011 - LBO France and Capzanine invested in Groupe Data Concept
Informatique (DCI) as partners with the management team in its rapid growth strategy. MBL
Avocats (Bertrand Dumon aided by Bastien Moraga) were advisers to the controlling
shareholder and the DCI management team.
DCI (www.dci.fr) has been a specialist in integrating IT and telecommunications infrastructure
solutions for almost 20 years. Its current offer is based on a range of services and solutions
dedicated to security, network, system, IP telephone and hosting infrastructures for SMEs and
large firms.
DCI has become one of the biggest independent infrastructure integrators in France,
especially in the security field. It has opened 4 new agencies outside Paris and grown its sales
income by over 20% during the last 3 years.
This Management Buy Out (MBO) of Groupe DCI allowed LBO France and Capzanine to join
several members of the past management team in a pool financing round - including DCI's
ex-General Manager and new Managing Director, Nicolas Ippolito, who has increased his
investment. This round also allowed EPF Partners to exit the minority holding that it took in May
2007.
The financial support from its new partners provides DCI with the resources required to
implement its ambitious growth plans, which include increasing the number of new provincial
agencies, strengthening sales teams and making targeted acquisitions to obtain new
technical expertise.
LBO France structured this MBO and invested 13.5 million EUR via Fonds Hexagone III. It was
accompanied by Capzanine, which invested 4.5 million EUR as equity and covered the
mezzanine debt.
