Si ce projet de texte est définitivement voté par le Parlement, il pourra avoir un impact significatif sur la déductibilité fiscale des intérêts afférents aux prêts bancaires. In the course of the debates on the Finance Bill for 2011, the French Senate has just adopted a new provision modifying French thin-capitalization rules, which limit the tax deductibility of interest incurred by French borrowers. If this provision is definitely voted by the French Parliament, it may have a significant impact on the tax deductibility of interest on bank loans. Presentation of the new provision Les règles de sous-capitalisation limitent le montant des intérêts des prêts consentis par des entreprises liées qu'un emprunteur peut déduire fiscalement. French thin-capitalization rules limit the amount that a French borrower can claim as a tax deduction in respect of interest paid on loans granted by related parties (entreprises liées). Selon les règles actuellement en vigueur, les prêts accordés par des tiers indépendants, comme par exemple les banques, sont exclus du champ d'application de ces limitations. Under current rules, loans made available by independent third parties such as financial institutions are outside the scope of these tax limitations. Le projet de texte qui vient d'être adopté par le Sénat prévoit que les prêts accordés par des entreprises non liées entreraient également dans le champ d'application des règles de sous-capitalisation si ces prêts sont garantis : The new provision that has just been adopted by the French Senate provides that loans granted by unrelated lenders would fall within the scope of French thincapitalization rules if the reimbursement of such loans is guaranteed by: (i) par une entreprise liée à l'emprunteur, ou (i) a party who is related to the borrower, or (ii) par une autre entreprise dont l'engagement est garanti par une sûreté accordée par une entreprise liée à l'emprunteur. (ii) another person, the commitment of which is itself guaranteed by a party related to the borrower. Une entreprise liée pour l'application de ces règles est définie comme une personne qui (i) détient directement ou indirectement la majorité du capital social de l'emprunteur ou exerce un contrôle de fait sur l'emprunteur, (ii) ou est détenue par l'emprunteur dans les mêmes conditions ou (iii) est détenue dans les mêmes conditions par la même tierce personne que l'emprunteur. Les garanties et suretés visées aboutissant à considérer qu'un prêt relèverait du champ d'application des règles de sous-capitalisation sont très larges. En effet, elles incluraient, le cas échéant, les cautions, les garanties à première demande, les lettres de confort, gages, hypothèques, etc. accordés par une entreprise liée à l'emprunteur. Le projet de texte adopté par le Sénat exclut du champ d'application de cette nouvelle règle les emprunts suivants qui peuvent être garantis par une société liée à l'emprunteur dans les conditions précitées : Emprunt obligataire réalisé dans le cadre d'une offre publique ; Emprunt garanti par le nantissement des titres de la société débitrice ; Emprunt contracté pour le remboursement d'une dette existante rendu obligatoire par la prise de contrôle de la société débitrice, dans la limite du capital remboursé. © Clifford Chance Europe LLP novembre / November 2010 A related party for the purposes of the above rules is a person who (i) holds directly or indirectly the majority of the share capital of the borrower or exercises de facto the control over the borrower, or (ii) is held by the borrower under the same conditions or (iii) is held under the same conditions by the same third person than the borrower. The guarantees which would lead to consider that a bank loan falls within the scope of the French thincapitalization rules are very broad. Indeed, they would include personal guarantees, first demand guarantees, comfort letters, mortgages, etc. granted by an entity which is related to the borrower. The new provision adopted by the French Senate excludes from the scope of this new rule the following loans that can be guaranteed by a company related to the borrower under the above mentioned conditions: bonds issued within the frame of a public offer; loans guaranteed by a pledge over the shares in the borrowing company; loans contracted with a view to repay an existing debt, which became repayable due to the takeover of the borrower, up to the amount of capital reimbursed. Si ce projet de texte est définitivement adopté par le Parlement, le champ d'application des règles de souscapitalisation sera très étendu par rapport à la situation actuelle. Le financement bancaire (i) des groupes français, (ii) des filiales françaises de groupes étrangers, (iii) des structures de LBO, (iv) des sociétés d'investissement, etc. risquerait d'être impacté par l'introduction de ces nouvelles règles. A ce stade, le projet de texte ne prévoit pas de clause de "grand-père". Les nouvelles règles qu'il prévoit s'appliqueraient donc aux prêts existants. Les nouvelles règles s'appliqueraient pour la détermination des résultats des exercices clos à er compter du 1 janvier 2011, c'est-à-dire dès l'année prochaine pour les sociétés ayant un exercice aligné sur l'année civile. 3 If this new provision is definitely voted by the French Parliament, the scope of the thin-capitalization rules will be very broad compared to the current situation. The bank financing of (i) French groups, (ii) French subsidiaries of foreign groups, (iii) LBO structures, (iv) investment companies, etc. may be impacted by the introduction of these new rules. The new provision does not provide for any "grandfather" provision at this stage. The new rules would therefore apply to existing loans. The new rules would apply to fiscal years ending as from 1 January 2011, which means as from next year for companies having their fiscal year lined up with the civil year. 2. Calendrier d'adoption 2. Timing Le projet de loi adopté par le Sénat est issu de réflexions des services de la législation fiscale et a fait l'objet d'un accord du gouvernement. Il parait donc probable qu'il soit définitivement adopté. Néanmoins son texte peut encore faire l'objet de modifications lors de son examen en commission mixte paritaire réunissant des représentants des deux assemblées du Parlement et son adoption définitive. Le vote final ne devrait avoir lieu que vers la fin de l'année 2010. The new provision adopted by the French Senate has been initiated by the French tax authorities and has been approved by the Government. It is therefore likely that it will be definitely voted by the French Parliament. Nevertheless, it may still be modified when it is considered by the parliamentary committee which gathers representatives of both the Senate and the National Assembly and at the time of its definitive adoption.
