As a result, our growth and long-term success cannot be envisaged without sharing a common heritage of values and a corporate culture that must inspire and guide the action of all the men and women in the Group on a daily basis. This is one of the essential foundations of the success of an integrated Company like ours and the reason for this Ethics Charter. Four main Values, among those that make up the Corporate Culture and our Management Principles, form the basis of our ethical commitment: TEAM SPIRIT: Loyalty – Solidarity – Transparency together ensure the internal and external credibility of our actions. For these ethical values to have any meaning, they must take the form of a certain number of principles for action that apply to our sphere of activity: respect for Human Rights, a permanent concern for safety and the protection of the environment, each person's respect for those he is contact with; integrity towards the company in our business relations, non-interference in political life, not forgetting a necessary solidarity, whether it is expressed internally or towards the communities and companies associated with our activities. The dissemination of these ethical values and respect for the principles arising out of them are naturally a matter for the Management of all the entities of the Company. The Ethics Committee, independent, is at your disposal for any questions relating to the application of this Charter, in particular to help you take sensitive decisions in the exercising of your duties. It is on these fundamentals that we can base our ambition for healthy, lasting growth and satisfy in a fair way the five stakeholders in the company: clients, employees, shareholders, partners and the community. This Charter is a Company directive and its violation may lead to disciplinary action, including the termination of the contract of employment and dismissal. The existence and maintenance of that trust supposes that, at every level, some rules of behaviour be respected in sometimes complex situations in a risky activity. It is not a matter of foreseeing every eventuality or codifying everything. However, a few clear, precise principles, combined with Employees' common sense, constitute useful references for everyone in the Company, whatever his or her activity. 1: Ethics Committee: In order to guarantee coherence with the Ethics Charter for all the Company's employees, Ethics Committee has been set up. It deals with and advises on ethical issues within the Company, it listens to all the employees and managers. For this purpose, appropriate communications channels have been set up. 2: Health – Safety – Environment: Each employee is responsible for ensuring that the activities or FM LOGISTIC partnerships1 that depend on him/her, as regards health, safety and the environment, are exercised in accordance with the agreements, local and international regulations2 and the rules existing in the Company. FM LOGISTIC expects of its partner and suppliers that they undertake to comply with these agreements, regulations and rules. Thus, the personal use, sale or possession of alcoholic beverages or drugs is strictly forbidden inside FM Logistic's premises. However, under the responsibility of the Site Manager and in accordance with local rules of conduct, on special occasions drinks may be organised to celebrate a birth, retirement, etc…Similarly, it is strictly forbidden to smoke inside FM Logistic sites (warehouses, offices, outdoor areas, …) except in the places specially set aside to this effect. 1 2 FM LOGISTIC understands by partnership: subcontractors, suppliers and clients International Regulations: Human Rights, Children's Rights, ….. RCS Metz TI 452 228 596 – Siret 452 228 596 00014 – Code APE 7010Z 3 : Relations between employees: 3.1: Discrimination: Each employee must show loyalty, take pains to be on good terms with his/her colleagues and refrain from any discrimination or comments relating to ethnic origin, sex, nationality, religion, age, physical or mental condition, sexual orientation or family situation…All forms of forced working, threats, acts of violence or physical intimidation are strictly forbidden. FM Logistic undertakes to protect the personal information of its employees, in all countries. 3.2: Bullying and sexual harassment: Bully3 and sexual harassment4 are unacceptable, whether verbal, physical or visual, and this includes, but is not limited to disagreeable remarks based on ethnic characteristics, religious beliefs or sexual orientation. FM Logistic encourages all employees to report any situation of this nature. 3.3: Family relations: Employees are not allowed to work5 in positions of direct or indirect subordination with persons with whom they have sentimental or family relations. The employee has a duty to inform his/her line manager and the Human Resources Department when such a situation arises so that appropriate measures can be taken without harming FM Logistic and its employees. 4 : Recruitment FM Logistic recruits its employees solely on the basis of the Company's needs and the qualities of each candidate. Recommendation by an employee is only allowed if it is done in a transparent way (the employee must tell his line manager and the Human Resources Department). The participation of this employee in the recruitment decision-making process is formally forbidden. FM Logistic applies the principle of equal opportunities at work to enable the growth and personal development of each person in the company, in accordance with the law and local labour regulations. FM Logistic does not allow the employment of children in its own activities or those of its subcontractors. 3 . Bullying: the exposing of an employee to humiliating or embarrassing situations by a person in a higher hierarchical position. 4 . Sexual harassment: annoying or shocking remarks concerning sex, physical contact, etc. in order to obtain advantages or sexual favours, by a hierarchical superior or person in a position of power. 5 Husband, wife, fiancé, mother, father, son, daughter, brother, sister, cousin. Reasonable use for private purposes may be accepted, in compliance with the law and the regulations of the Company's IT charter, which moreover, points out that the use of the Internet is subject to recording and that statistics are monitored. It is also pointed out that access to forbidden websites (illegal downloading, ..) or prohibited sites (pornography, discrimination, …) is formally forbidden and may lead to dismissal for serious misconduct. 6 : Relations with clients and suppliers Each employee must have loyal and honest relations with clients and suppliers, in strict compliance with the contracts in place and the law and regulations applicable in the countries concerned. The process of choosing suppliers is based exclusively on clear and objective pre-selection and selection criteria, with invitations to tender being the preferred method. Invitations offered or received must remain within acceptable limits, both with respect to custom and anti-corruption legislation and with a view to remaining professional. In case of doubt, the employee must refer to his/her line manager. In no case, an employee may solicit a gift or an invitation. For gifts, this rule also applies to those which may be sent to the employees' home or given by a client/supplier to a member of the employee's direct family. When it is not possible to refuse or return a gift, the employee must hand it over immediately, totally openly, to the Management of the site, which, with the “Comité d’établissement” (or equivalent) will be responsible for sharing it fairly at an internal company event (Company Evening, …). Regarding business lunches and events sponsored by suppliers, the employee must comply with the “life rules” in the country concerned. His participation must have been clearly authorised by his/line manager, and be connected to the Company's interests. The employee will take care to keep information he holds confidential. Samples received for testing, if they are not returned to suppliers, must be used in the Company's activities, destroyed (with proper destruction report) or treated as a gift. Each employee must take the measures necessary to protect the confidentiality of the information he/she holds as a result of his/her professional activity and of which he/she is simply the depositary. He/she must respect the obligation not to divulge verbally, in writing or by electronic means any professional information of a confidential nature6, unless expressly delegated or authorised to do so in writing by his/her superiors. He must comply with the rules of intellectual and industrial property. Furthermore, FM Logistic strongly recommends to all its employees that they avoid making comments on professional subjects in public places (restaurants, trains, planes et) and that they remain prudent in their use of computer equipment in these same places. These obligations subsist even after an employee has left the Company. 8: Company property Each employee has the responsibility and the duty to protect the property of FM Logistic 7 against loss, damage, misappropriation and theft. This property must only be used for professional purposes, and any other use must be compliant with the Company's procedures and regulations. 9: Politics It is possible for employees to have a political or public life (politics, associations, ….), subject to the latter being clearly separate from their professional life and clearly unconnected to the Company's activities. On no account may the Company be used, directly or indirectly, for political purposes. When a Company employee can be considered as a representative of the latter, he/she will refrain from intervening in politics in countries where he/she does not have civic rights, where the Company has operations. He/she must take care, furthermore, not to undermine the traditions or culture of these countries. 10: Relations with the media: All enquiries coming from the media will be centralised and passed on to the Corporate Communication Department. It is forbidden to any FM Logistic employee to transmit commercial information without the formal agreement of this department. 6 . Confidential information, including but not limited to: business plans and strategies, marketing plans, financial and sales data, management operations and reports, commercial secrets and agreements, organisation charts, employees' personal data, as well as information belonging to suppliers, third parties, developers and partners. 7 All the property, installations, equipment, computers, products, information, vehicles …belonging to FM Logistic or under its responsibility (rental, leasing, …). RCS Metz TI 452 228 596 – Siret 452 228 596 00014 – Code APE 7010Z 11: Conflicts of interests : Any employee is liable to find him/herself confronted with situations in which his personal interests, or those of the physical persons or legal entities with which he/she is connected or to which he/she is close, may conflict with the interests of the Company. The interests of FM Logistic must always prevail, and in case of doubt the employee should consult his/her line manager or the Ethics Committee. So as not to find themselves in a situation of conflict of interest with the Company, all employees must avoid: - taking an interest in a competitor, supplier or client except with the prior written agreement of the management, any professional activity outside the Company, except with the prior written agreement of the management. It is strictly forbidden to any employee to receive or propose any remuneration, commission, gratuities or other sorts of payments or illegal income in his/her relations with suppliers, clients and commercial partners, public authorities, etc. 12/ Responsibilities: Each of us is responsible for acting in accordance with the rules set out in this Ethics Charter. As employees, we must: - understand and adhere to the content of this Charter; clarify any doubts with our direct line manager or through the appropriate channels; report any situations that might represent a conflict of interest, now, potentially or imminently; watch over FM Logistic's image both inside and outside the place of work; report any behaviour that might not be compliant with this Charter. As suppliers, you must: - understand and adhere to the content of this Charter; present the content of this Charter to your employees; clarify your doubts with your contact within FM Logistic; report any behaviour that might not be compliant with this Charter. In order to support the Company's ethical environment, FM Logistic has set up different communication channels, accessible to FM Logistic employees and our partners: The aim is to help all employees and suppliers to clarify their doubts and take decisions ethically, also to enable them to pass on information on possible violations of this Ethics Charter. RCS Metz TI 452 228 596 – Siret 452 228 596 00014 – Code APE 7010Z - Ethics Committee: In order to guarantee coherence with the Ethics Charter for all the Company's employees, Ethics Committee has been setup. 1/ Composition and appointment of the Ethics Committee: The Ethics Committee consists of three FM employees, appointed by the Board with the agreement of the people concerned All the members of the Ethics Committee must be members of the Corporate Management Team, with good collective knowledge of its activities and specialities and whose career situation guarantees the necessary independence of judgment and mind. They may not be represented by others. Each member of the Ethics Committee is appointed for a period of 2 years, unless special measures are taken to allow the regular renewal of membership of the Committee. 2/ Missions: The Ethics Committee is charged of monitoring issues concerning ethics in the Company, and in particular: presenting any recommendations in ethical matters to the Co-CEOs, either on subjects on which the Committee has carried an study, or following questions that have been put to it; drawing the departments' attention to any risk of behaviour being called into question, as far as the major ethical principles are concerned; ensuring that the Ethics Charter is disseminated in the Company and proposing any amendments; ensuring that procedures are in place to enable good knowledge, comprehension and compliance with this Charter by all the Company's employees; participating in the review of any specific versions of this Charter, which may be found to be necessary for a given subsidiary, and making the necessary comments; recommending the necessary procedures or, at its discretion, providing an opinion on any question that a Company employee may ask regarding the application or compliance with the Ethics Charter when faced with a specific situation, whilst guaranteeing the utmost confidentiality; if necessary, examining, together with the entity or entities concerned, the answer to any correspondence challenging ethics in the Company or in one of its subsidiaries. The Ethics Committee may be called in directly by the General Managers of the Company or by any employee, on any question relating to an ethical problem and more particularly on any difficulty in practically applying the Ethics Charter. It may, at its discretion, reply only to the authors of the question(s) asked. Its members are bound by a duty of confidentiality on the identity of the authors of questions and must keep secret any information allowing the identification of these authors. It may also intervene of its own accord to consider any question relating to ethics in the Company. The Ethics Committee works with the Corporate Security Director in its search for information. The Internal audit department may also be called upon to help. The Ethics Committee shall meet at least once per year, on convening and agenda. Its decisions are taken by majority voting. During this meeting security group management will be report synthetic actions and issues dealt with in relationship direct or close with the Ethics Charter.
