REQUEST FOR THE COMPANIES AND PERSONAL PROPERTY SECURITY
BRANCH TO CANCEL INVALID CERTIFICATES (BUSINESS CORPORATIONS)
COMPANIES AND PERSONAL PROPERTY SECURITY BRANCH REQUIREMENTS
A request to cancel invalid Certificate(s) must be in writing, addressed to the Director of the
Companies and Personal Property Security Branch and must include the following:
1.
Reasons why invalid Certificate(s) should be cancelled;
2.
Documentation to support reasons why the Certificate(s) should be cancelled;
3.
Consent to the Order and Waiver of Hearing by the corporation, if the request is made by
the corporation. Please note: an officer or director must sign the Consent and Waiver
on behalf of the corporation.
OR
If the request is made by someone other than an officer or director of the corporation, a Consent for
the Companies and Personal Property Security Branch to send a copy of the cancellation request to
the corporation for its written response.
PLEASE NOTE:
While some errors in corporate Articles make the documents invalid, other
errors may be corrected by filing a Corrected Certificate. For further information, please refer to
the Information Sheet “Corrected Certificate (Business Corporations)”.
The above procedures should not be confused with Voluntary Dissolution of a corporation. To
voluntarily dissolve a corporation, please see the Information Sheet “Voluntary Dissolution
(Business Corporations)”.
