Il est ici précisé que le règlement général du Salon est celui qui a été adopté par la Fédération Française des Salons spécialisés, qui a été approuvé par le ministère du Commerce, et du règlement particulier qui ressort des dispositions suivantes. ARTICLE II : DUREE Le présent règlement ne vaut que pour le Salon dont les dates figurent sur la demande d’admission jointe, étant entendu que l’EXPOSANT admis à cette session ne saurait se prévaloir d’aucun titre ni d’aucun droit pour des sessions ultérieures. ARTICLE III : CONDITIONS D’ADMISSION En ce qui concerne les risques de vol, incendie, dommages divers, dégâts des eaux, l’ORGANISATEUR a souscrit une assurance exposition à hauteur de 763 E par m2 loué, étant entendu que ne seront assurées que les marchandises ayant fait l’objet d’un bon de livraison conforme, signé en double exemplaire, l’un étant signé en preuve de conformité par le représentant de l’ORGANISATEUR, l’autre étant conservé par ce dernier. Tout EXPOSANT qui le désirerait peut souscrire une assurance complémentaire, conformément aux totalités prévues au bon de réservation annexé au guide de l’EXPOSANT. Article 11-2 : L’ORGANISATEUR ne pourra être tenu pour responsable des pertes et dommages qui pourront être occasionnés aux échantilllons et matériels d’exposition et ce, qu’elle qu’en soit la cause. ARTICLE XII : NORMES DE SECURITE L’EXPOSANT devra, en tous points, se conformer aux règles de sécurité imposées par les Pouvoirs Publics, conformément à l’arrêté du 25 Juin 1980 et du 18 Novembre 1987 régissant la matière. Article 3 : La surface d’exposition mise à la disposition de l’organisateur par le parc des expositions étant limitée, la société candidate déclare être parfaitement informée et accepte d’ores et déjà le fait que l’organisateur pourra être amené à refuser une demande de participation faute d’espace disponible, les demandes de participation étant traitées chronologiquement en fonction de leur date d’arrivée chez l’organisateur, étant précisé que les exposants participant aux deux sessions du Salon PARIS SUR MODE TUILERIES auront une priorité sur les autres participants. L’inscription d’un exposant ne sera définitive qu’après confirmation écrite de la part de l’organisateur et paiement du solde des sommes dues. En conséquence, la société candidate s’interdit de former toute demande en réparation à l’encontre de l’organisateur qui refuserait une candidature notamment pour manque de place, défaut d’inscription aux deux sessions consécutives la même année, précédent impayé ou toute autre cause légitime et justifiée. Article 3-1 : L’admission au Salon PARIS SUR MODE TUILERIES est réservée aux entreprises aptes à faire preuve d’une forte image créative sur leur marché respectif. Article 3-2 : L’EXPOSANT devra mettre à la disposition de l’ORGANISATEUR tous les éléments d’informations qu’il pourra solliciter, de telle sorte qu’il puisse apprécier en toute connaissance de cause, l’identité et le caractère créatif de l’EXPOSANT qui sollicite son agrément. Article 3-3 : L’EXPOSANT s’engage envers l’ORGANISATEUR à ne présenter au Salon que les produits spécifiques de sa marque, excluant ainsi tous ceux qui seraient habituellement commercialisés sous une marque différente, et ce même s’il s’agit de sociétés, filiales de l’EXPOSANT. Article 3-4 : L’EXPOSANT prend ici l’engagement de présenter des collections nouvelles ou récentes : l’ORGANISATEUR se réservant le droit de procéder à toutes vérifications qu’il jugera opportunes avant et pendant la durée du Salon. Article 3-5 : Les demandes d’admission doivent être adressées directement à l’ORGANISATEUR, avant la date limite figurant sur celle-ci. ARTICLE XIII : INTERDICTIONS ARTICLE IV : ORGANISATION DES STANDS ARTICLE XIV : COMPETENCE Article 4-1 : La superficie des stands est définie par l’ORGANISATEUR en fonction des surfaces disponibles. Article 4-2 : L’installation et la décoration des stands incombent à l’ORGANISATEUR et devront comme telles être scrupuleusement respectées par l’EXPOSANT. Il est ainsi expressément interdit à l’EXPOSANT : - d’altérer les décorations et aménagements existant par adjonction de décors, photos, croquis... - de modifier les limites ou contours du stand qui lui a été attribué, ainsi que d’empiéter sur les allées de circulation ou stands voisins. - de modifier sans l’accord préalable de l’ORGANISATEUR, les éléments standards composant chacun des stands, tels que les enseignes, les éclairages. - de laisser les collections recouvertes pendant les heures d’ouverture. Article 4-3 : Tous dommages ou détériorations occasionnés par l’EXPOSANT ou l’un de ses préposés aux locaux, stands ou matériels, seront, après évaluation de l’ORGANISATEUR, mis à la charge exclusive de l’EXPOSANT. Article 4-4 : L’EXPOSANT ne pourra retirer aucun produit, marchandise ou décor garnissant son stand, avant l’heure de fermeture. Article 4-5 : Dans tous les cas, l’EXPOSANT, s’engage à présenter son stand de manière à ce qu’il soit le plus attractif possible. ARTICLE V : CHOIX DES STANDS Dans la mesure du possible, l’ORGANISATEUR s’efforcera de répondre favorablement au choix manifesté par l’EXPOSANT; toutefois, l’ORGANISATEUR conserve une totale liberté de choix dans l’affectation et la réservation des stands, à condition d’en avoir avisé au préalable l’EXPOSANT. ARTICLE VI : PRIX Les tarifs sont fixés par l’ORGANISATEUR pour chaque session et ne pourront faire l’objet d’aucun rabais ni d’aucune ristourne. ARTICLE VII : ADMISSION Article 7-1 : Le renvoi de la demande d’admission dûment signée par l’EXPOSANT implique l’acceptation sans réserve ni restriction des clauses du présent règlement. Article 7-2 : L’ORGANISATEUR se réserve le droit de changer de lieu d’exposition si le site prévu initialement doit être changé pour quelque raison que ce soit. Article 7-3 : Lors du renvoi de sa demande d’admission, l’EXPOSANT doit adresser à titre d’acompte une somme dont le montant est fixé par l’ORGANISATEUR étant entendu qu’en cas de désistement, cet acompte restera définitivement acquis à l’ORGANISATEUR. Article 7-4 : En cas de refus de la demande d’admission par l’ORGANISATEUR, le montant de cet acompte sera retourné sans délai au candidat EXPOSANT. Article 7-5 : Toute réservation par l’EXPOSANT d’un stand d’une superficie supérieure à 81 m2 (QUATRE VINGT UN METRES CARRES) sera due à l’ORGANISATEUR immédiatement et dans son intégralité. Article 7-6 : Toute demande de modification de surface pourra entrainer le déplacement du stand précedemment attribué. Dans le cas d’une réduction de surface demandée par l’EXPOSANT, les conditions de dédit prévues en cas de résiliation s’appliquent en ce qui concerne la partie de la facture ou de l’acompte correspondant à la surface abandonnée par l’EXPOSANT. En dernière minute, pour des raisons techniques, l’ORGANISATEUR peut être amené à effectuer des changements concernant l’environnement du stand, ceci sans en avertir l’EXPOSANT concerné. ARTICLE VIII : MODALITÉS DE PAIEMENT L’inscription d’un exposant ne sera définitive qu’après confirmation écrite de la part de l’organisateur et paiement du solde des sommes dues. Article 8-1 : Outre l’acompte versé à l’ORGANISATEUR lors du renvoi de la demande d’admission, le montant du solde de la participation est dû à la date d’échéance indiquée sur la facture du solde. Article 8-2 : L’EXPOSANT qui n’aurait pas acquitté la totalité de sa participation 15 (quinze) jours avant la date d’ouverture du salon se verra refuser l’usage de son stand lors de la manifestation. Article 8-3 : Les règlements doivent être adressés à l’ORGANISATEUR par chèque, par virement bancaire ou par carte bancaire. Article 8-4 : Toute facture non réglée un mois avant l’ouverture du Salon sera majorée de 10%. Article 8-5 : Conformément à l’application des articles L. 441-3 et L. 441-6 du code de commerce, nous appliquerons une indemnité forfaitaire de 40€, à partir du 1er jour de retard de règlement. Cette indemnité sera due pour chaque facture non payée. Article 13-1 : L’EXPOSANT s’engage à n’utiliser sur son stand aucun micro, appareil d’enregistrement ou appareil sonore, et ce qu’elle qu’en soit la forme ou la destination. Toute violation de cette disposition sera sanctionée par la fermeture immédiate du stand sans que l’EXPOSANT puisse prétendre au moindre remboursement, étant entendu que l’ORGANISATEUR se réserve le droit de poursuivre l’EXPOSANT en contravention avec ladite règle. Article 13-2 : L’EXPOSANT s’interdit de distribuer directement ou indirectement des échantillons, gadgets et prospectus en dehors des stands. Article 13-3 : L’EXPOSANT s’interdit également de procéder à la promotion de son stand aux moyens de bandes sonores préenregistrées ou de porte-voix. Article 13-4 : L’EXPOSANT s’engage à présenter ses collections à l’intérieur de son stand, de façon à n’occasionner aucune gêne aux autres EXPOSANTS et à ne perturber en aucun cas le déroulement général du Salon. Article 13-5 : L’EXPOSANT s’engage formellement à respecter la propriété de la création de chacun des autres EXPOSANTS et par conséquent, à n’effectuer directement ou indirectement aucune copie, croquis ou photographie des productions exposées. Toute violation de cette disposition serait sanctionnée par la fermeture immédiate du stand sans que l’EXPOSANT fautif puisse prétendre au moindre remboursement et ce, nonobstant toute demande de dommagesintérêts qui pourrait être ultérieurement formulée. Article 13-6 : Seuls sont habilités à effectuer des photographies dans l’enceinte du Salon, les photographes professionnels accrédités après y avoir été expressément autorisés par l’ORGANISATEUR. Article 13-7 : Nul ne peut être admis dans l’enceinte du Salon, sans présenter un titre d’admission visé par l’ORGANISATEUR, étant entendu que celui-ci se réserve le droit de refuser l’entrée du Salon à qui que ce soit sans avoir à en justifier. Le présent règlement est régi par le Droit Français. Tout différend découlant de l’exécution ou de l’interprétation du présent règlement sera, de convention expresse, soumis au Tribunal de Commerce de Paris. ARTICLE XV : DISPOSITIONS DIVERSES Article 15-1 : L’organisateur peut annuler ou reporter la manifestation s’il constate un nombre notoirement insuffisant d’inscrits. L’exposant inscrit se voit alors restituer le montant de son acompte ou de sa participation. Jusqu’au jour de la clôture des inscriptions, l’exposant assume la totalité des risques liés à la non-réalisation éventuelle de la manifestation et notamment la charge exclusive des frais qu’il aura cru devoir engager en prévision de la manifestation. Article 15-2 : L’organisateur peut également annuler ou reporter la manifestation en cas de force majeure. Constituent des cas de force majeure justifiant, à tout moment, l’annulation ou le report de la manifestation, toutes situations nouvelles, sanitaires, économiques, politiques ou sociales, à l’échelon local, national, ou international, non raisonnablement prévisibles au moment de la communication de la manifestation auprès des exposants, indépendantes de la volonté de l’organisateur, qui rendent impossible l’exécution de la manifestation ou qui emportent des risques de troubles ou désordres susceptibles d’affecter gravement l’organisation et le bon déroulement de la manifestation ou la sécurité des biens et des personnes. Article 15-3 : Toute infraction aux dispositions du présent règlement, au règlement particulier le complétant, ou aux spécifications du “ guide ” ou “ manuel de l’exposant ” édicté par l’organisateur, peut, sans préjudice de toutes autres poursuites, entraîner, au besoin avec l’assistance de la force publique, la fermeture du stand de l’exposant contrevenant. Article 15-4 : Il en est particulièrement ainsi pour le défaut d’assurance, la non-conformité de l’agencement, le non-respect des règles de sécurité, la non occupation du stand, la présentation de produits non conformes à ceux énumérés dans la demande d’admission, etc… Article 15-5 : Dans une telle situation, le montant payé au titre de la participation de l’exposant est conservé par l’organisateur, sans préjudice du paiement du solde du prix, de toute somme restant due, de tout autre frais engagé pour fermer le stand. L’organisateur se réserve le droit de poursuivre l’exposant contrevenant en réparation du préjudice subi. Article 15-6 : Quel qu’en soit le bien-fondé, les doléances d’un exposant à l’égard d’un autre exposant, ou de l’organisateur, sont débattues à l’écart de la manifestation et ne doivent, en aucune façon, en troubler la tranquillité ou l’image. Article 15-7 : L’exposant s’interdit expressément de saisir les Tribunaux avant d’avoir, au préalable, mis en œuvre un recours amiable auprès de l’organisateur. Article 15-8 : En cas de contestation, en principe, les tribunaux du lieu de la manifestation commerciale sont seuls compétents. Exceptionnellement, si la manifestation commerciale organisée par une entreprise ayant son siège en France se déroule à l’étranger, le tribunal compétent sera celui où demeure le siège social de l’organisateur. Article 15-9 : Les éventuelles difficultés d’interprétation du présent Règlement Général dans sa version anglaise, allemande, espagnole ou italienne sont résolues par référence au sens du Règlement Général dans sa version française Article 15-1 : Les titres donnés aux divers articles et paragraphes de ce règlement n’ont aucune valeur indicative et n’ont été insérés que pour faciliter la référence des articles et paragraphes. Article 15-10 : Les titres cognés aux divers articles et paragraphes de ce règlement n’ont aucune valeur indicative et n’ont été insérés que pour faciliter la référence des articles et paragraphes. Article 15-11 : Le fait par l’une quelconque des parties de ne pas exercer en une ou plusieurs occasions, les droits, options, réclamations ou actions que lui réserve le présent règlement, ne pourra être interprété comme un abandon ou un refus de se prévaloir dudit droit, d’exercer ladite option, de formuler ladite réclamation ou d’exercer ladite action. Article 15-12 : Au cas où l’une quelconque des dispositions du présent règlement et de ses avenants éventuels serait en condition avec tout autre document quel qu’il soit, c’est la disposition de contrat et/ou de ses avenants, concerne, qui primera et qui s’imposera à l’EXPOSANT. Article 15-13 : Pour être opposables aux deux parties, les modifications éventuelles apportées au présent règlement ainsi que ses avenants devront être établies dans un écrit signé des 2 parties. Article 15-14 : Au cas où l’une quelconque des clauses du présent contrat serait reconnue ou déclarée nulle ou en violation d’une disposition légale d’ordre public, ladite clause sera réputée non écrite et toutes les autres dispositions du présent contrat resteront en vigueur et conserveront leur plein effet. ARTICLE IX : OBLIGATIONS DE L’EXPOSANT Il est interdit à l’EXPOSANT de céder ou sous-louer une partie du stand qui lui a été attribué par l’ORGANISATEUR. ARTICLE X : RESILIATION Article 10-1 : Tout engagement signé est irrévocable. Article 10-2 : L’intégralité de règlement du stand sera due à l’ORGANISATEUR si l’EXPOSANT résilie sa réservation moins de 45 jours avant l’ouverture du Salon. Article 10-3 : Tout emplacement inoccupé par un EXPOSANT à l’ouverture du Salon sera dû en totalité, étant entendu que l’ORGANISATEUR se réserve le droit d’en disposer sans remboursement ni indemnité. ARTICLE XI : ASSURANCES Article 11-1 : L’EXPOSANT affirme ici être assuré auprès d’une compagnie notoirement solvable pour sa responsabilité civile. Salon agréé international par arrêté ministériel du 19 juillet 2001. TRADE SHOW RULES ARTICLE I: GENERAL RULES The purpose of the PARIS SUR MODE TUILERIES trade show is to develop clothing and accessory lines and promote them to professional buyers and the national and international press. It is stipulated herein that the general rules of the trade show are those adopted by the Fédération Française des Salons Spécialisés (the French federation of specialized trade shows), whose rules have been approved by the Ministry of Commerce, and the specific rules resulting from the following provisions. ARTICLE II: DURATION The present rules apply only to the trade show whose dates appear on the attached application form, with the understanding that the EXHIBITOR admitted to this session may not avail itself of any entitlement or right for subsequent sessions. ARTICLE III: CONDITIONS OF ADMISSION Article 3 : The exhibiting surface made available to the Organizer by the Parc des Expositions being limited, the applying company herewith declares being perfectly aware of this fact and already accepts the fact that the Organizer may refuse an application in case of insufficient space, the applications being processed chronologically in their order of reception by the Organizer. The exhibitors present at both PARIS SUR MODE TUILERIES’s annual trade shows will be given the priority over other potential exhibitors.An application is final once the Organizer has sent a written confirmation and payment of full registration fees has been made.Consequently, the applying company will not seek compensation if the Organizer refuses an application for one of the following reasons: insufficient exhibiting space, subscription to only one of the two annual sessions, unpaid debts or any other legitimate and justified cause. Article 3-1: Admission to the PARIS SUR MODE TUILERIES trade show is restricted to companies capable of demonstrating their strong creative image within their respective markets. Article 3-2: The EXHIBITOR shall provide the ORGANIZER with any information the latter may request so that it may knowledgeably assess the identity and creative character of the EXHIBITOR seeking admission. Article 3-3: The EXHIBITOR undertakes, vis-à-vis the ORGANIZER, to exhibit at the trade show only specific products under its brand name, at the exclusion of all products that may be customarily marketed under a different brand name, even by the EXHIBITOR’s subsidiaries. Article 3-4: The EXHIBITOR hereby agrees to exhibit only new or recent collections, and the ORGANIZER reserves the right to conduct any inspections it deems appropriate prior to and during the trade show. Article 3-5: Application forms shall be sent directly to the ORGANIZER prior to the deadline specified on the application. ARTICLE IV: ORGANIZATION OF THE STANDS Article 4-1: The surface area of the stands is defined by the ORGANIZER based on available surface space. Article 4-2: The installation and decoration of the stands is the responsibility of the ORGANIZER and shall therefore be strictly complied with by the EXHIBITOR. The EXHIBITOR is expressly prohibited from: - Altering the existing decorations and facilities by adding ornaments, photos, sketches, etc., - Modifying the boundaries or outlines of the stand assigned to it or encroaching upon passageways or neighbouring stands, - Modifying, without the prior consent of the ORGANIZER, the standard items provided on each stand, such as signs and lighting fixtures, - Leaving collections covered during exhibit hours. Article 4-3: Any damage or wear-and-tear caused by the EXHIBITOR or any of its employees to the premises, stands or materials shall, following evaluation by the ORGANIZER, be charged exclusively to the EXHIBITOR. Article 4-4: The EXHIBITOR may not remove any product, merchandise or ornament used to decorate its stand prior to closing time. Article 4-5: In all cases, the EXHIBITOR undertakes to present its stand in such a way as to make it as attractive as possible. ARTICLE V: STAND SELECTION As far as possible, the ORGANIZER shall attempt to honour the choice expressed by the EXHIBITOR. Nevertheless, the ORGANIZER has full freedom of choice in assigning and reserving the stands, subject to prior notification of the EXHIBITOR. ARTICLE VI: PRICING Prices are determined by the ORGANIZER for each session and are not subject to any reduction or discount. ARTICLE VII: ADMISSION Article 7-1: Submission of the application form, duly signed by the EXHIBITOR, implies unconditional, unrestricted acceptance of the clauses of the present rules. Article 7-2: The ORGANIZER reserves the right to change the location of the exhibition if the site originally planned on must be changed for any reason. Article 7-3: When returning its application form, the EXHIBITOR shall submit a deposit, the amount of which is fixed by the ORGANIZER with the understanding that, in case of cancellation, said deposit shall remain the property of the ORGANIZER. Article 7-4: In the event that the application is rejected by the ORGANIZER, the total amount of said deposit shall be returned to the applicant immediately. Article 7-5: Any reservation made by the EXHIBITOR for a stand whose area exceeds 81 sq.m (EIGHTY-ONE SQUARE METRES) shall be payable to the ORGANIZER immediately and in full. Article 7-6: Any request for a change in exhibition space may result in the relocation of the previously assigned stand. If the EXHIBITOR requests a smaller exhibition space, the penalty conditions stipulated with regard to cancellation shall apply to the portion of the invoice or deposit pertaining to the space relinquished by the EXHIBITOR. The ORGANIZER may, for technical reasons, be forced to make last-minute changes that affect the environment of the stand, without advising the EXHIBITOR in question thereof. ARTICLE VIII: PAYMENT METHODS The registration of an exhibitor will be validated only with a written confirmation from the organizer and payment of the balance of the due amounts. Article 8-1: Aside from the deposit paid to the ORGANIZER at the time of application, the balance of the registration fee shall be due by the date indicated on the invoice for said balance. Article 8-2: The EXHIBITOR who has not paid the total amount of the booth 15 (fifteen) days before the opening of the tradeshow will not be able to get access to its booth during the tradeshow. Article 8-3: Payments shall be made to the ORGANIZER by check, bank transfer or by credit card. Article 8-4: Any invoice not paid one month prior to the opening of the trade show shall be subject to a 10% surcharge. Article 8-5: According to art. L.441-3 and L. 441-6, of the commercial code, from the 1st day of late payment, we apply a fixed compensation of €40.This compensation will be due for each unpaid invoice. ARTICLE XII: SAFETY RULES The EXHIBITOR shall, in all areas, comply with the safety rules imposed by the public authorities, in accordance with the ministerial orders of 25 June 1980 and 18 November 1987 governing the matter. ARTICLE XIII: PROHIBITIONS Article 13-1: The EXHIBITOR undertakes to refrain from using microphones, recording devices or audio devices, regardless of the form or destination thereof, at its stand. Any violation of this provision shall be punishable by the immediate closing of the stand without the EXHIBITOR having a right to any reimbursement of any kind, with the understanding that the ORGANIZER reserves the right to bring legal action against any EXHIBITOR in violation of said rule. Article 13-2: The EXHIBITOR is prohibited from distributing, either directly or indirectly, any samples, gadgets or fliers outside the stand area. Article 13-3: The EXHIBITOR is also prohibited from promoting its stand using pre-recorded audiotapes or loudspeakers. Article 13-4: The EXHIBITOR undertakes to exhibit its collections within its stand, in such as way as to avoid disturbing other EXHIBITORS or disrupting, in any way, the overall progress of the trade show. Article 13-5: The EXHIBITOR formally undertakes to respect the ownership of each of the other EXHIBITORS’ creations and, therefore, to refrain from making, either directly or indirectly, any copies, sketches or photographs of the products exhibited. Any violation of this provision shall be punishable by the immediate closure of the stand occupied by the EXHIBITOR that is at fault, without the latter having a right to any reimbursement of any kind, and notwithstanding any claim for damages that may be filed at a later date. Article 13-6: Photographs may be taken on the grounds of the trade show only by certified professional photographers expressly authorized by the ORGANIZER to do so. Article 13-7: Entry to the trade show grounds is restricted to persons displaying an admission ticket approved by the ORGANIZER, with the understanding that the latter reserves the right to refuse admission to the trade show to any person without needing to give reasons for same. ARTICLE XIV: JURISDICTION The present rules are governed by French law. Any dispute arising from the enforcement or interpretation of said rules shall, by express agreement, be submitted to the Commercial Courts of Paris. ARTICLE XV: MISCELLANEOUS PROVISIONS Article 15-1: The Organizer can cancel or postpone the event if there is insufficient registration. The registered Exhibitor will then be refunded his deposit or payment. Until the day when registrations are closed, the Exhibitor assumes all risks associated with possible cancellation of the event. This specifically includes all the costs that he might have incurred in anticipation of the event. Article 15-2: The Organizer can also cancel or postpone the event in case of force majeure. The following are cases of force majeure which may justify at any time the cancellation or postponement of the event: all new situations, including health, economic, political or social, local, national, or international, which are not reasonably foreseeable at the time of the communication of the event to Exhibitors, which are beyond the control of the Organizer, which render impossible the execution of the event or carry the risk of disturbances or disorders that may seriously affect the organization and smooth running of the event or the safety of property and people. Article 15-3: Any breach of the terms of this Regulation, or of specific regulations which arise from it or regulations in the «Guide» or «Exhibitor’s Manual» issued by the Organizer may bring about the closure of the stand of the offending Exhibitor, if necessary with assistance from the police and without prejudice to any other actions that may be taken. Article 15-4: This is especially and specifically true for the following: lack of insurance, noncompliance of the equipment, noncompliance with safety rules, failure to maintain attendance of the stand, display of goods that do not conform to those listed in the Exhibitor’s application of admission, etc. Article 15-5: In such a situation, the amount paid for participation of the Exhibitor shall be retained by the organizer, without prejudice to claims for payment of the balance of the charges or any amount still due or any other costs incurred to close the stand. The Organizer reserves the right to sue the offending Exhibitor for damages. Article 15-6: Whatever their merits, grievances of an Exhibitor with respect to another Exhibitor or the Organizer must be discussed outside of the event and should not in any way disturb the peace or public reputation of the event. Article 15-7: The Exhibitor is expressly prohibited from initiating any legal action before having previously filed an amicable claim to the Organizer. Article 15-8: As a general rule, in case of any legal dispute, the Courts of the location of the trade event have sole jurisdiction. The exception to this rule is that if the trade event that is organized by a company based in France takes place outside of France, the competent court will be that of the location of the corporate headquarters of the Organizer. Article 15-9: Any possible questions of interpretation of this document of General Regulations in English, German, Spanish or Italian shall be decided by reference to the meaning of the General Regulations in French. Article 15-1: The titles given to the various articles and paragraphs of these rules have no informational value and have been inserted simply to facilitate reference to the articles and paragraphs. Article 15-10: Any possible questions of interpretation of this document of General Regulations in English, German, Spanish or Italian shall be decided by reference to the meaning of the General Regulations in French. Article 15-11: Either party’s failure to exercise, on one or more occasions, the rights, options, claims or actions granted to it by the present rules shall not be interpreted as a waiver or refusal to exercise said right or option, to file said claim, or to take said action. Article 15-12: In the event that any of the provisions of the present rules and additional clauses thereof, if any, are contrary to any document whatsoever, the provisions of the contract and/or additional clauses thereof shall prevail and shall be imposed on the EXHIBITOR. Article 15-13: In order to be evidenced against both parties, any changes made to the present rules and additional clauses thereof shall be formulated in a document signed by both parties. Article 15-14: In the event that any clause of the present contract is recognized as or declared null and void, or is in violation of a statutory provision of public order, said clause shall be considered not formulated and all other provisions of the present contract shall remain in full force and effect. ARTICLE IX: OBLIGATIONS OF THE EXHIBITOR The EXHIBITOR is prohibited from assigning or subletting any part of the stand assigned to it by the ORGANIZER. ARTICLE X: CANCELLATION Article 10-1: Any signed commitment is final. Article 10-2: Full payment for the stand shall be owed to the ORGANIZER if the EXHIBITOR cancels its reservation less than 45 days prior to the opening of the trade show. Article 10-3: Any exhibition space not occupied by an EXHIBITOR upon the opening of the trade show shall be payable in full, with the understanding that the ORGANIZER reserves the right to dispose of it without reimbursement or indemnity. ARTICLE XI: INSURANCE Article 11-1: The EXHIBITOR hereby states that it maintains civil liability insurance with a company that is known to be solvent. With regard to risk of theft, fire, water and other damage, the ORGANIZER has obtained exhibition risk insurance in the amount of E763 per sq.m leased, with the understanding that only merchandise included on a standard delivery slip signed in two copies shall be insured, one copy of which is signed by the representative of the ORGANIZER as proof of compliance and the other copy of which is retained by the latter. Any EXHIBITOR who so wishes may obtain additional insurance, based on the total amounts specified on the reservation form attached to the EXHIBITOR’s handbook. Article 11-2: The ORGANIZER shall not be held liable for loss of or damage to the exhibited samples and materials, regardless of the cause. Trade show approved by a ministerial decree of July 19, 2001
