APPLICATION OF FLIGHTPATH CHARTER AIRWAYS INC.
FOR A FOREIGN AIR CARRIER PERMIT
AND AN EXEMPTION
Pursuant to 49 U.S.C. 9 41301, Part 211 of the Department's Economic
Regulations, and the August 26, 2005 "Streamlining" Notice in Docket OST2005-22228, Flightpath Charter Airways Inc. requests that the Department
issue a foreign air carrier permit to enable Flightpath Charter Airways,
consistent with the open skies, U.S. - Canada Air Transport Agreement,
Flightpath Charter Airways requests that the Department issue it a foreign
air carrier permit, consistent witli the open-skies, U.S.- Canada Air Transport
AgJ:eement, to operate, with small aircraft:
1)
charter foreign air transportation of persons, property and mail
between any point or points in Canada and any point or points in the
United States, and between any point or points in the United States
and any point or points in a third country or countries, provided that,
except with respect to Cal'gocharters., such service constitutes part of a
continuous operation, with or without a change of aircraft, that
includes service to Canada for the purpose of carrying local traffic
between Canada and the United States; and

Pursuant to 49 U.S.C. ~ 40109, Flightpath Charter Airways also requests: (1)
exemption authority, to the extent necessary and for an initial period of two
years or until the requested permit is issued, to enable it to hold out and
provide the service described above; and (2) such additional or other relief as
the Department may deem necessary or appropriate. In support of this
application, Flightpath Charter Airways provides the information requil-ed by
14 C.F.R. ~ 211.20 in the .Exhibits attached to this application and states as
foHows:
1. Flightpath Charter Airways Inc. is a privately held Corporation,
headquartered at The Region of Waterloo International Airport. Substantial
ownership and effective control of Flightpath Charter Airways rests with
Canadian nationals, meeting the Department's nationality requirement for
foreign carriers.
2. Flightpath Charter Airways has been registered as a Canadian Air
Taxi Operator ("CATO")under 14 C.F.R. Part 294 (registration 485.B) since
2007. It is fit, wi11ing,and able to provide charter foreign air transportation
contemplated by this application with small aircraft that nonetheless exceed
the weight or payload limitations of Part 294. Its key personnel possess
substantial business and aviation experience, and it has the financial
resources necessary to serve the United States safely and without undue risk ..

3. Flightpath Charter Airways' application satisfies the relevant standards for
the requested authority. Under 49 U.S.C. !i40109(c), the Department may grant
or renew an exemption ifit finds that such action is consistent with the public
interest. Under 49 U.S.C.:!i41302, the Department may issue a foreign ail'
carrier permit ifit finds that: (a) the applicant is fit, willing, and able to perfol'm
the transportation at issue and to comply with relevant U.S. laws; and (b) either
the applicant is qualified and designated by the government of its home country
pursuant to the relevant air transport agreement, or the transportation is in the
public interest. Here, the authority Flightpath Charter Airways seeks is
contemp.lated by Annex I of the 2007 U.S. -Canada Open Skies Agreement and
is cOnsistent with the policies of the North American Free Trade Agreement to
foster closer economic ties between Canada, the United States, and Mexico.
Flightpath Charter Airways' existing CATOoperations to and from the U.S.
have provided significant public benefits, and Flightpath Charter Airways
desires the flexibility to expand them to larger aircraft .. 1'
It therefore is
appropriate for the Department to employ the streamlined licensing procedures
outlined in its Notice dated August 23, 2005 in Docket OST-200522228 and issue a single order granting the requested exemption and

Flightpath Charter Airways estimates that its forecast U.S. operations would not
result in a net change in fuel consumption of 10,000,000 gallons of fuel or more annually.
Accordingly, issuance of the requested authority will not constitute n "major federal
action significantly affecting the quality of the human environment" within the meaning
of section 102(2)(c) of the National Environmental Policy Act or a "major regulatory
action" under the Energy Policy and Conservation Act, as implemented in Part 313 of the
Department's Regulations.

proposing to grant the foreign air carrier pemlit, which then could become effective
once other statutory prerequisites 'are met.

Flightpath Charter Airways has operated to and from the U.S. as a
Canadian Air Taxi Operator ("CATO")under 14 C.F.R Part 294 with aircraft

including air charter, aircraft management and maintenance.

Organi7.ation" (AMO)at the same address in Breslau Ontario, for aircraft
maintenance; it is l'ecognized by Transport Canada as an "Approved
Maintenance Organization." Flightpath Charter Airways' maintenance
program complies with annexes 1, 6 (part 1), and 7 to the Convention on
International Civil Aviation (Chicago Convention), to which Canada is a
contracting paTty. The FAA has rated Canada "Category 1" under the IASA
program.

AGREEMENT
of Transportation
The undersigned
carriers (hereinafter
referred to as "the Carriers") hereby agree as follows:
1. Each of the Carriers shall. effective May 16. 1966. include the following in its conditions
embodying conditions or carriage filed by it with any government
of carriage,
including tariffs
'"The Carrier shall avail itself of the limitation of liability provided in the Convention for the Unification of Certain Rules Relating
to International Carriage by Air signed at Warsaw October 12th, 1929. or provided in the said Convention as amended by the
Protocol signed at The Hague September 28th, 1955. However, In accordance with Article 22(1) of said Convention. or said
Convention as amended by said Protocol, the Carrier agrees that, as to all international transportation by the Carrier as defined in
the said Convention or said Convention as amended by said Protocol, which, according to the contract of Carriage. includes a
point In the United States of America as a point of origin, point of destination, or agreed stopping place

The limit of liability for each passenger for death, wounding, or other bodily injury shall be the sum of US S75.000
inclusive of legal fees and costs, except that, in case of a claim brought In a State where provision is made for separate
award of legal fees and costs, the limit shall be the sum of US $58,000 exclusive of legal fees and costs.
(2)
The Carrier shall not, with respect to any claim arising out of the death, wounding, or other bodily Injury of a passenger,
avail Itself of any defense under Article 20(1) of said Convention or said Convention as amended by said Protocol.
Nothing herein shall be deemed to affect the rights and liabilities of the Carrier with regard 10 any claim brought by. on behalf
of, or in respect of any person who has willfully caused damage which resulted in death, wounding. or other bodily injury of a
passenger.~
2. Each Carrier shall. al the time of delivery of the ticket, fumish to each passenger whose transportalion is governed by the
Convention, or the Convention as amended by the Hague Protocol, and by the special contract described in paragraph 1, the foHowing
notice. which shall be printed in type at least as large as 10 point modem type and in Ink contrasting wilh the slack on (i) each ticket: (ii)
a piece of paper elther placed In the ticket envelope with the ticket or attached to the ticket: or (iii) on the ticket envelope:

TO INTERNATIONAL
PASSENGER
ON LIMITATION
OF LIABILITY
Passengers on a journey involving an ultimate destination or a stop in a country other than the country of origin are advised
that the provisions of a treaty known as1he Warsaw Convention may be applicable to the entire journey, induding any portion
entirely within the country of origin or destination.
For such passengers on a journey to, from, or with an agreed stopping place in
the United States of America, the Convention and special contracts of carriage embodied in applicable tariffs provide that the
liability of

[(name of carrier) and certain ather] carriers parties to such special contracts for death of or personal injury to passengers is
limited in most cases to proven damages not to exceed US $75,000 per passenger, and that this liability up to such limit shall not
depend on negligence on the part of the carrier. For such passengers traveling by a carrier not a party to such special contracts or
on a journey not (0, from, or having an agreed stopping place In the UnIted States of America. liability of the carrier for death or
personal injury to passengers is Iimiled in most cases 10 approximately US $10,000 or US $20.000.
The names of Carriers parties to such special contracts are available at all ticket offices of such carners and may be examined
on request.
Additional protection can usually be obtained by purchasing Insurance frem a private company. Such Insurance is not anected
by any limitation of the carrier's liability under the Warsaw Convention or such special contracts of carriage. For further
information please consult your airline or insurance company representative:

4. This Agreement may be signed in any number of counterparts. all of which shall constitute
may become a party to this Agreement by signing a counterpart hereof and dep~siting it wlth DOT.
5. Any Carrier party hereto may withdraw from this Agreement
DOT and the other Carriers parties to the Agreement.
