CONTRAT DE LOCATION D’ESPACE D’EXPOSITION ET DE PUBLICITÉ
EXHIBITION SPACE RENTAL AND ADVERTISING CONTRACT
L’entreprise soussignée, ci-après appelée l’« Entreprise », s’engage à louer un espace d’exposition et/ou une publicité pour Le Congrès de
l’Association québécoise des pharmaciens propriétaires 2015, ci-après appelé le « Congrès AQPP 2015 » qui se tiendra au Centre Sheraton
Montréal les 12 et 13 novembre 2015 conformément aux conditions et aux considérations énoncées ci-après.
The undersigned company, hereinafter referred to as the “Company”, undertakes to rent exhibition space and/or an advertising from Le Congrès
de l’Association québécoise des pharmaciens propriétaires 2015, hereinafter referred to as the “Congrès AQPP 2015” which will be held
on November 12-13, 2015 at the Centre Sheraton Montreal on the terms and conditions and for the consideration set out hereunder.

Conditions de validité : Le présent contrat ne saura être valide et exécutoire tant qu’il n’aura pas été signé par les deux parties. Aucun amendement au dit contrat ne sera valide
à moins d’être signifié par écrit et signé par les parties aux présentes. L’AQPP se réserve le droit de refuser toute réservation d’espace. Les conditions générales stipulées au
présent contrat et dans le Manuel de l’exposant font partie intégrante dudit contrat. L’Entreprise garantit que sa participation au présent contrat a été dûment autorisée et que,
à sa signature, le présent contrat constitue une obligation irrévocable pour l’Entreprise.
Conditions of validity: This contract shall not be valid or binding unless signed by both parties. No amendment to this contract shall be valid unless made by written notice
executed by the parties hereto. The AQPP reserves the right to decline any application for space. The general conditions set out in this contract form and in to the Exhibitor
manual are an integral part hereof. The Company warrants and represents that the conclusion of this contract has been duly authorized and, when executed, this contract shall
constitute an irrevocable obligation of the Company.

1. L’Entreprise convient que l’Association québécoise des pharmaciens propriétaires, ci-après appelée l’’Association’’ a le droit de modifier
la disposition des lieux et de déplacer un kiosque, quel qu’il soit. Un avis de déplacement doit être signifié à l’Entreprise.
2. L’Entreprise convient que le déplacement éventuel du kiosque décrit aux présentes ne lui donne aucunement le droit d’annuler sa
participation au Congrès AQPP 2015 ou de réclamer des dommages à l’Association.
3. L’Entreprise ne peut sous-louer, céder ou partager en tout ou en partie l’espace loué, ni représenter, faire de la publicité ou distribuer du
matériel publicitaire pour les produits ou les services offerts par d’autres firmes ou personnes, à moins qu’une autorisation écrite ne soit
accordée par l’Association.
4. L’Entreprise convient de tenir à couvert et de relever l’Association de toute obligation à l’égard de dommages, de réclamations, de frais
de jugements et de frais judiciaires résultant de la perte ou de dommages aux biens ainsi que de blessures ou du décès de personnes,
relativement à l’utilisation de l’espace loué.
5. L’Entreprise doit souscrire les assurances nécessaires contre la perte ou les dommages aux biens, les blessures et les décès, ainsi que
contre toutes les responsabilités qui en découlent (couverture minimale 2 millions), et fournir à l’Association une attestation de cette
assurance accompagnée d’une preuve de règlement de la prime pour la durée du Congrès AQPP 2015.
6. L’Entreprise assume par la présente l’entière responsabilité et s’engage à protéger, défendre, indemniser et exonérer le Centre Sheraton
Montréal, ses propriétaires, son exploitant, Starwood Hotels & Resorts Worldwide, Inc., ainsi que leurs sociétés mères et leurs filiales,
entreprises affiliées, employés, dirigeants, administrateurs et mandataires respectifs, de toute réclamation ou perte, ou de tout dommage
corporel ou matériel, ainsi que de tous frais ou amende du gouvernement et honoraires d’avocat découlant ou causés par la mise en place,
le démontage, l’entretien, l’occupation ou l’utilisation d’une partie ou de l’ensemble des lieux de l’exposition, à l’exception de toute
responsabilité découlant de la négligence grave du Centre Sheraton Montréal, de ses employés et mandataires.
7. L’Entreprise convient que, dans le cadre du Congrès AQPP 2015, il respectera les principes directeurs et les règlements énoncés dans le
Manuel de l’exposant.
8. L’Entreprise comprend et accepte qu’elle doit quitter le lieu du Congrès AQPP 2015 au plus tard à 23 h 59 le 13 novembre 2015. À compter
de ce moment, une pénalité de 500 $ l’heure sera imposée et l’Association pourra, de son propre chef, prendre les mesures nécessaires
pour libérer l’emplacement loué et l’Entreprise en supportera tous les coûts et les risques.
9. L’Entreprise convient que sa participation au Congrès AQPP 2015 ne constitue en rien une reconnaissance de ses produits et services.
10. Les renseignements nécessaires à la rédaction du Répertoire des exposants seront fournis par l’Entreprise, sous sa responsabilité et dans
les délais demandés par l’Association. Cette dernière ne sera en aucun cas tenue responsable des omissions, des erreurs de reproduction,
de composition ou autres qui pourront se produire. L’Association pourra refuser l’insertion ou modifier le libellé des inscriptions non
conformes aux dispositions générales ou de nature à nuire aux autres exposants ou au Congrès AQPP 2015.
11. Si pour toute raison qui échappe au contrôle de l’Association, le Congrès AQPP 2015 devait être annulé, l’Association ne sera tenue
responsable d’aucuns frais engagés par l’Entreprise et n’aura aucune autre responsabilité envers l’Entreprise que celle de rembourser la
portion du loyer déjà reçue.
12. Tous les avis, demandes de renseignements, demandes diverses et autres communications que peut ou doit transmettre l’une des parties
à l’autre en vertu du présent contrat doivent l’être soit de main à main, soit par courrier recommandé, par télécopie ou par courriel, selon
les coordonnées indiquées au présent contrat.
13. Le présent contrat est régi et interprété conformément aux lois du Québec.
GENERAL CONDITIONS
1. The Company agrees that the Association québécoise des pharmaciens propriétaires, hereinafter referred to as the ‘’Association’’, has the
right to rearrange the floor plan and relocate any booth. A relocation notice shall be given to the Exhibitor.
2. In case of relocation of the booth described herein, the Company agrees that it has no right to cancel its participation in the AQPP
Convention 2015 or claim damages from the Association.
3. The Company shall not sublet, assign or share any or all of the space rented, or represent, advertise or distribute literature for the products
or services of any other firm or individual except as approved in writing by the Association.
4. The Company agrees to hold the Association free and harmless from any obligation in respect of damages, claims, judgments and legal fees
arising out of any damage or loss of property, injury or death relating to the use of the rented space.
5. The Company shall obtain the necessary insurance coverage against property loss or damage, personal injury and death, as well as any
liability arising therefrom (minimum coverage 2 millions), and provide to the Association an attestation of such insurance with proof of
premium payment for the duration of the AQPP Convention 2015.
6. The Company hereby assumes full responsibility and agrees to protect, defend, indemnify and hold the Centre Sheraton Montreal, its
owners, its operator, Starwood Hotels and Resorts Worldwide, Inc., and their parent companies and their subsidiaries, affiliates, employees,
officers, directors and agents from any claim or loss, or any injury or damage, as well as all costs or fines the government and attorney fees
arising out of or caused by the setting up, removal, maintenance, occupancy or use of part or all of the premises of the exhibition, except for
any liability arising from the gross negligence of the Centre Sheraton Montreal, its employees and agents.
7. The Company agrees that, for the purpose of the AQPP Convention 2015, it shall conform to the guidelines and regulations listed in the
Exhibitor’s Manual.
8. The Company understands and agrees that it must leave the site of the AQPP Convention 2015 at the latest on November 13th, 2015, at
23 h 59. From that time on, a penalty of $500 per hour shall be payable, and the Association, at its sole discretion, may take the necessary
steps to free the rented areas, and the Company shall bear all the costs and the risks thereof.
9. The Company understands that its participation in this AQPP Convention 2015 does not constitute an acknowledgment of their services
or products.
10. The information required to compile the Exhibitor directory will be furnished by the Company, in the extent of its responsibility thereof, in the
time frame specified by the Association. The latter will in no case be held responsible for omissions, errors of typesetting, reproduction or
other that might occur. The Association may refuse any addition or modification of wording which is not in accordance with the general
guidelines or that which may cause prejudice to other exhibitors or to the AQPP Convention 2015 itself.
11. If the AQPP Convention 2015 is cancelled for any reason beyond the control of the Association, the Association shall not be liable for any
expenses incurred by the Company and shall have no other liability to the Company than the refund of that portion of the rent actually
received.
12. All notices, information requests, miscellaneous requests and other communications that may or must be transmitted hereunder by the
one party to the other shall be sent by hand, prepaid mail, facsimile transmission or email to the addresses given in this contract.
13. This contract shall be governed by the laws of Québec and shall be interpreted accordingly.
