We the undersigned hereby acknowledge receipt of good and valuable consideration and grant AFP and its
distributors, partners, affiliates, its/their customers (hereafter collectively referred to as Beneficiaries) a worldwide,
irrevocable in perpetuity exclusive license to freely use the images (photograph(s) or video(s)) identified below
(the “Images”) as AFP and its Beneficiaries deem it appropriate, by any means, in any language, in any form
including digital form, such that AFP and its Beneficiaries may communicate the Images (display, reproduce, edit,
license, distribute) within the framework of any and all of their existing or future products and services.
We further represent and warrant that we have the exclusive rights to grant this license and warrant
that the use of the Images by AFP and its Beneficiaries shall not infringe any copyright or so-called
neighboring rights (including moral rights) or any other intellectual property rights (such as
trademarks) nor any other rights whatsoever, including but not limited to rights of publicity and
privacy rights of any third party.
The Images will be used worldwide for all purposes and may be included in any AFP and its
Beneficiaries archive databases for further uses.
We understand that no additional compensation is due to us from AFP and its Beneficiaries for the
use of the Images. In the event any part of this agreement is determined to be unenforceable, the
remainder of the agreement shall be binding to the fullest extent of the law.
We have read this agreement, understand its terms and agree to be bound by them as evidenced by
our signature. We warrant that we have the right to bind all related parties with an interest in the
Images and no third party signature is required.
