HONG KONG -(Dow Jones)- Hong Kong-listed Citic 1616 Holdings Ltd.
(1883.HK) said Monday it agreed to acquire a telecommunications company
from its controlling shareholder Citic Pacific Ltd. (0267.HK) in exchange for
HK$253 million worth of new shares.
Citic 1616, a value-added telecommunications service provider, said in a
statement to the Hong Kong stock exchange it plans to issue 98 million
new shares to Citic Pacific at HK$2.58 each to pay for the acquisition of
Silver Linkage Investment Inc.
The new shares, equivalent to 4.96% of Citic 1616's enlarged capital, were
priced at a discount of approximately 5.4% to the stock's closing price
Friday of HK$2.72, the company said.
After the deal is completed, Citic Pacific's shareholding in Citic 1616 will
rise to 52.56% from 50.09%. The deal requires the approval of Citic 1616's
minority shareholders.
Citic 1616 said Silver Linkage has a 100% stake in CPCNet Hong Kong Ltd.,
a communications and network solution provider offering corporate data
services and network security solutions.
