Report of the Chair 5 Report of the Chair Orchestras Canada is pleased to report a year of service to Canada's orchestral community. We were able to provide continued services and support to this sector and managed this in a fiscally responsible manner. We thank our executive director, those who worked on contracts, board members, committee members and funders for their support and contributions. air 6 Report of the Chair Strategic Planning This year was marked by work toward adoption of a new strategic plan that has an emphasis on collaborative effort. The priorities and work plans that come out of the new directions will become apparent in the coming months and years. Areas of emphasis will be on the functions of: • Convening • Information sharing • Collaboration • Advocacy • Organizational Improvement 7 Report of the Chair Organizational Review of By-Laws To meet new expectations for federal registration of Orchestras Canada, by-laws were overhauled. ************************************************************* We thank members and supporters for their contributions to the successes of this year. 8 Annual General Meeting 5. Advocacy • Continued involvement with the Canadian Arts Coalition: success in early renewal of funding for programs at the Department of Canadian Heritage in Budget 2014 • Development of a customizable advocacy tool-kit for orchestras, available on OC’s website • Participation in cross-sectoral advocacy initiatives led by Imagine Canada, including work on proposed changes to Not-for-profit Accounting Standards, cost increases at Canada Post, and the impact of the Canada Anti-Spam Legislation 10 Report of the Executive Director 2. Communications and Research • 44 issues of Orchestra News/Info Orchestres • A lively presence on Facebook and Twitter • 144 jobs posted on OC’s on-line Job Board • Presentation of the 2013 Betty Webster Award to bassist and program designer par excellence Alison Mackay of Tafelmusik Baroque Orchestra • 67 orchestras taking part in our annual Comparative Report: 9 years of consistent data from a large group of Canadian orchestras • Launch of a research partnership with Renaud Legoux, Associate member of the Carmelle and Rémi Marcoux Chair in Arts Management at HEC Montréal 11 Report of the Executive Director 3. Partnerships • Final year of hosting the Arts Service Organization Learning Network, with funding from the George Cedric Metcalf Foundation. 3 years: 35 different ASOs: 25 learning events curated by OC. • Co-presentation of a webinar series for small budget performing arts organizations with Ontario Presents, Choirs Ontario, and Theatre Ontario – with more to come in 2014-15. • Co-chaired the annual Canada Council NASO meeting 12 Report of the Executive Director 4. Facilitating Links and Information Exchange National Meetings, Toronto 2013 • Innovation and Creativity theme, 77 participants • Guest speakers: Robert Kelly (University of Calgary), Jeanne Lamon (Tafelmusik), teams from Tafelmusik and the Toronto Symphony Orchestra, Alan Brown (WolfBrown) and Howard Herring (New World Symphony), Richard Evans (EMCArts) • Introduction of the Next Generation Leaders program 13 Report of the Executive Director 4. Facilitating Links and Information Exchange Ontario Small Budget Orchestras Meeting and Music Director Summit • 1.5 days, 55 participants from across the province • Funded by the Ontario Trillium Foundation • Discussions of mission and mandate, governance, artistic planning, fund development, and human resources 14 Report of the Executive Director 4. Facilitating Links and Information Exchange Webinars • Fundraising for small budget orchestras with Cynthia Armour, CFRE (funded by the Trillium Foundation) • Neighbouring Rights with representatives from the Musicians Rights Organization of Canada and the Audio Visual Licensing Agency • Ontario Non-profit Corporations Act with Brenda Doner of Community Legal Education Ontario • Working with the Temporary Foreign Workers program with lawyer Betsy Kane 15 Report of the Executive Director 4. Facilitating Links and Information Exchange Quebec Meeting • Half-day meeting coordinated by Gilles Choquet and Thérèse Boutin, and hosted by Orchestre Métropolitain. 16 Report of the Executive Director 5. Stephen Smith • OC’s marvellous board, with a special shout-out to Genevieve Twomey and Erika Beatty who ended their terms during the year, and to Mitchell Krieger, who steps down at this meeting • OC’s funding partners: The Canada Council for the Arts, the Ontario Arts Council, the Ontario Trillium Foundation, the George Cedric Metcalf Foundation, and the Ontario Ministry of Tourism, Culture and Sport 18 Annual General Meeting 6. Report of the Treasurer 19 Report of the Treasurer March 31, 2014 Standard audit opinion received from the auditors Cowperthwaite Mehta Statements were approved by the Board on September 17, 2014 During the year, the Board regularly reviewed financial results, projections and budgets for future fiscal periods 20 Report of the Treasurer March 31, 2014 Operating Surplus ‐ $17,999 Board Approved Strategic Initiative Expense ‐ $19,567 Net Deficit ‐ $1,568 21 Report of the Treasurer March 31, 2014 Statement of Financial Position Cash, GIC’s and Deferred Revenue balances are all lower at March 31, 2014 than at March 31, 2013 Deferred revenue was higher in 2013 as OC had received project funding for 2014 prior to year end and these amounts increased the cash and investment holdings at March 31, 2013. No comparable amounts were received in 2014 22 Report of the Treasurer March 31, 2014 Designated Net Assets – to be used for board approved strategic initiatives Approved spending included travel bursaries and the engagement of independent contractors to work on special projects 23 Report of the Treasurer March 31, 2014 Revenues highly comparable to 2013 with an overall increase of 1.6% Expenses increased by $28K (6%) with increased spending on Networking and Outreach funded projects and increased spending on Public Affairs Increases were offset by a lower cost National Meeting 24 Annual General Meeting 7. Report of the Nominating Committee 26 Report of the Nominating Committee Committee Members: Gilles Choquet, chair; Thérèse Boutin, Leanne Davis; Trudy Schroeder; Katherine Carleton The Committee and Board thank the following departing board members: • Genevieve Twomey (resigned October 2013) • Erika Beatty (resigned May 2014) • Mitchell Krieger (stepping down as of this Annual General Meeting) 27 Report of the Nominating Committee We salute three individuals who have served as ex officio directors, and will be stepping down from the Board at the time that Bylaw #5 is adopted by the Members. Under the Canada Not for Profit Corporations Act (CNCA), ex officio directorships are not permitted; however, we sincerely hope to maintain meaningful ties and strong communications with these exceptional people and their organizations. The Committee proceeded systematically with its mandate: Surveying current board members about their intentions to continue on the board or step down. Key learning? We have diversified talents and expertise around the OC board table Discussing, as a committee, the structure and make‐up of the board of directors. Topics covered included: • Geographic and linguistic representation • Diversity of orchestra size and type • Diversity of skills and expertise • Strategies for utilizing the expertise of the past chair The Nominating Committee observed that the continuing OC board members collectively manifested adequate geographic representation, orchestra size, linguistic, and skills diversity. 30 Report of the Nominating Committee 2. As OC’s strategic planning process was underway during our discussions, the Committee also considered existing and emerging roles for board members, given the implications of the plan. Emerging topics of interest included: Revenue diversification Committees and Task Forces Leadership of Regional Caucuses Leadership in Advocacy Work, in particular meeting with their local MPs Orientation and Mentoring of new OC Board Members The Committee will continue to work on these issues with the board. 31 Report of the Nominating Committee 3. Recommendation from the Nominating Committee: The Nominating Committee recommends that we leave the three positions presently open on the board (under the definitions provided in Bylaw #4) until OC has completed the process of adopting Bylaw #5 and transitioning to a Federal charter. 32 Annual General Meeting 9. Adoption of an application to transfer the Corporation out of Ontario into federal jurisdiction 33 Annual General Meeting 10. Adoption of federal Articles of Continuance (transition) and new By‐ law No. 5 to be effective on the date that the Corporation continues under the federal jurisdiction 34 Annual General Meeting 11.
