Spare Parts: the optimal reactivity
Innovation and Quality are one important parts of Wesper’s philosophy. Spending
all our energy to continuously develop innovative products for our customer will
ensure our market position. More than 130 people are devoted to study products
with a special are to the energy efficiency and acoustic emission issues for a better
quality of life.
Providing spare parts from Wesper origin is critical for good reliability and long life of our
machines. That is why we have installed our European spare parts centre in France in
Tillières (100 km West from Paris) on a factory site. With more than 12 000 references
in stock and very professional teams dedicated to customer service, we can deliver
parts in Europe within 2 to 3 days after validating customer order (depending on the
availability and specific constraints linked to the weight and size of the component).

which ensures that capacity ratings and design properties have been verified by
independent laboratories according to international standards.

Wesper’s primary objective is to design and offer air conditioning systems that
meet both the highest standards of environmental protection and users’ legitimate
expectations in terms of comfort and wellbeing. For Wesper, innovation has to be
linked tightly to a respect for the environment and must include stringent requirements
in terms of quality levels. This ongoing concern governs all our actions and involves
all our human and technological resources. In accordance with this principle and
with European Directives, in its appliances, Wesper uses ecological refrigerant
fluids of the HFC type (R410A & R407C) that do not harm the planet’s ozone layer.
Moreover, with a constant care for participating in preserving the environment,
Wesper designs and markets high efficiency products that reduce CO2 emissions
into the atmosphere and minimize our contribution to global warming.

On the French territory Wesper CAC business has a network of more than 10 ASTS
companies with a good knowledge of our products and trained on a regularly basis.
They are able to provide service like start-up for all machines of our professional
product range like chillers, rooftops, Heat pump…
In the meantime, we offer for our French and Export customers a technical phone
support given by our Technical after sales experts for all questions relative to installation,
commissioning or maintenance. For French customers they are available at following
number: 0891 700 407 from 8.30 AM to 12.30 PM and from 2 PM to 5 PM, from
Monday to Friday.
For Export customers, you have to dial +33 5 46 92 32 77.
For any specific question which requires a deeper expertise, we are able to arrange
a travel on site by one of out technical expert in after sales in order to study with the
installer the main causes of the request and the solution to be implemented.

The Company developed and began the mass production of the
first window unit, to offer exceptional climate conditions, mainly
dedicated to European and African markets.
1970
Airwell developed a split system unit by splitting its core window
unit in two parts, and was the first to produce wall split systems
in Europe.
1975
After the two oil crises in the 70s Airwell developed the first
high-efficiency air to water heatpump to be connected to
existing oil boilers in residential housing for oil energy saving.
1982
Airwell designed and produced the first European wall split
system range including electronic remote control, a high
technology cross-flow fan for low noise levels, and rotary
compressors.

The Group grew with the acquisition of Spanish, Italian, German
and French distribution companies, as well as the factory in
Tillieres.

2004/2006
In order to accentuate its position in the market, the Group

The Group reinforced its position in the American continent by
acquiring the Fedders Residential Business (USA).

General Terms
of sale
ARTICLE 1 – Purpose and field of application
1.1. The purpose of these general terms of sale is to
define the general provisions applicable to any sale of
any good(s) and/or service(s) by an AIRWELL Group
company, including but not limited to: AIRWELL
FRANCE SAS, AIRWELL INDUSTRIE FRANCE SAS,
WESPER INDUSTRIE FRANCE SAS (hereinafter the
“Vendor”).
1.2. Equipment shall mean finished good(s),
accessory(ies) and spare parts.
1.3. Any order implies full and total acceptance of
these general terms of sale. Any condition or clause
to the contrary, or general purchasing conditions
of the Buyer shall therefore be, in the absence of
express written acceptance, non-opposable to the
Vendor. Acceptance of these general terms of sale
by the Buyer constitutes a material condition without
which the Vendor would not have entered into an
agreement with the Buyer.
1.4. At any given time, if the Vendor chooses not to
act upon any clause of these general terms of sale,
this shall not be deemed as a waiver of his future
right to act upon these clauses or the general terms
of sale.
ARTICLE 2 – General points types: catalogues,
documentation…
2.1. Due to rapidly changing technology and
standards, or security advances in the field
concerned, any information, instruction, or value sent
by the manufacturer or the Vendor on any support
media whatsoever, is provided for information
purposes only. The manufacturer or the Vendor
reserve the right to make modifications, at any time
and without notice, to their apparatus, machines, or
machine parts whose prints, photos, or sketches are
in its documents.
2.2. When the Vendor chooses the equipment based
on information provided by the Buyer, the Vendor
shall not be held responsible for errors which may
result from inaccurate, vague, or incomplete data. It
is still up to the Buyer to ensure that the proposed
equipment’s features actually correspond to his
requirements, both in terms of performance and
implementation feasibility. In addition, if the Buyer
requires the collaboration of the Vendor’s freely
offered engineers or technicians for a study or project,
the Vendor shall not be held liable on any grounds
whatsoever. With respect to the aforementioned
cases, it is officially agreed that the Vendor shall not
be liable, and that the sale shall be concluded at
the Buyer’s own risk. The Buyer commits to seek
the advice of professionals, both for the choice of
equipment and for its implementation.
2.3. The Buyer shall not amend markings affixed
on the Equipment or on the packing, nor add any
marking, nor make any use of markings, logos and
brand which is not expressly authorized by the
Vendor.
ARTICLE 3 –Orders and quotations
3.1. Orders placed by the Buyer are firm. Once
accepted, the order or the quotation shall not be
amended or cancelled without Vendor prior and
express approval. If a Buyer wholly or partially
cancels any order, he shall be held responsible for
paying indemnities to the Vendor for the amount of
the order cancelled, without prejudice to any other
damages.
3.2. The Vendor is not bound by orders placed
unless written confirmation has been given by
acknowledgement of receipt. The Vendor reserves
the right to accept or refuse any order within 10 days
of receipt of the order.
3.3. The Buyer shall check the acknowledgement of
receipt and notice the Vendor any error or omission
within 48 hours maximum from its reception. After
this time period, the order is binding for the Buyer.
In the event the Buyer makes an order to the Vendor
without having paid previous order(s), the Vendor
may refuse to honour the order and to deliver the
relevant equipment, without Buyer’s possibility to
pretend to any indemnity whatsoever.
3.4. Due to the following: deterioration of Buyer’s
credit, non-registration of documents and deeds at
the commercial court registry, lowering of Buyer’s
quote by Vendor’s sales department, refusal by
credit insurance to cover the amount of the sales,
change or modification in Buyer’s financial or legal
capacity, third party rights or claims to Buyer’s
funds, and more generally, in the event of a change
in Buyer’s situation, the Vendor reserves the right,
even after partial fulfillment of an order, to demand

guarantees or cancel the order(s) or remaining
portion of the order(s) in progress, in the name
of the Buyer without any indemnity whatsoever.
ARTICLE 4 – Transport and delivery
4.1. The Equipment is deemed delivered “Ex Works”
(except as otherwise agreed). The Equipment
is delivered at the address mentioned in the
acknowledgement receipt. The Vendor shall therefore
not be responsible for transport operations. The
Buyer agrees to collect the Equipment at the date
mentioned in the acknowledgement receipt. The
Vendor may make full or spread deliveries.
4.2. The delivery dates are specified as accurately as
possible but are given for information only. Delayed
deliveries shall not lead to damages, withholding or
order cancellation. However, if two (2) months after
an unsuccessful injunction the Equipment has not
been delivered, for any reason other than a force
majeure event, the order may then be cancelled on
the request of either of the parties and the Buyer
may ask for its instalment to be returned, excluding
any further compensation or damages.
4.3. In case of damage occurred during the
transport of the Equipment, the Buyer shall notify
by recommended letter with acknowledgement of
receipt the carrier of such damage within 3 days as
from delivery. The Buyer shall immediately send a
copy of the letter to the Vendor. If no such provision
has been made and no letter has been sent within
that time, the relevant Equipment shall be deemed
accepted by the Buyer.
ARTICLE 5 – Receipt and return of goods
5.1. Any delivery shall be accompanied by a delivery
slip. Without prejudice to article 4.3, claims for
apparent defects or non-compliance for the delivered
Equipment should be sent by registered mail with
receipt confirmation to the Vendor’s registered address
within three (3) working days after the delivery. Failure
to notify within 3 days, the received Equipment shall
be deemed compliant with the order and free from
defects. The Buyer shall be responsible for providing
with its claim any proof of the reality of the defects it
could have found to the Vendor. The Buyer shall give
the Vendor the possibility to remedy such defects.

5.2. In no event shall the Buyer return the Equipment
goods without first being allowed to do so in writing
by the Vendor. Return costs and risks shall be borne
by the Buyer. They shall be borne by the Vendor
exclusively in case of apparent defect, or shortage,
if confirmed by the Vendor. If a claim is justified, the
returned Equipment(s) shall be exchanged, or if it
is not possible, shall result in a credit note, without
any possibility to ask for compensation or damages
for any reason. Any return of Equipment previously
accepted will lead to an automatic drop of 20% of the
price excluded taxes. Such losses in value include
the reconditioning costs or any costs generated by
this return.
ARTICLE 6 – Warranty – limitation of liabilities
6.1. The contractual warranty is applicable only if the
Buyer if fully up-to-date in his payment obligations.
6.2. This warranty does not apply: (i) if problems
occur from equipment or spare parts provided by
the Buyer or from a design imposed by him; (ii) if the
Equipment and/or accessories have been modified
by the Buyer or by a third party without Vendor’s
written agreement; (iii) to wear parts, consumables
and fluid refills, corrosion, and abrasion due to
conditions in which Equipment is used that is contrary
to Vendor’s specifications, or to the particular use
of equipment that was not made known to the
Vendor; (iv) if the Equipment is not used and/or
maintained in accordance with its original purpose
and Vendor’s and/or manufacturer’s instructions;
(v) if the Equipment is not installed in rules of art by
installer authorized to manipulate refrigerant (vi) in the
case of force majeure or exceptional circumstances
after equipment has been placed into service as
defined as defined hereafter: Except for the payment
of money, neither party shall be liable to the other for
delays, failures of performance and the like, arising
out of acts of God, acts of civil or military authority,
fire, strikes, labour disputes or disturbances, floods,
epidemics, war, civil strife, riots or delays in transport
or due to any other causes similar to the foregoing,
beyond its reasonable control.
6.3. Finished goods and spare parts are guaranteed
against any defect in material or manufacturing of
equipment and parts for one year as of the date of
delivery of equipment, unless specific warranty had

been granted for some sideline of equipment to the
Buyer. Any procedure underway with respect to
contractual warranty shall not prolong the duration
of said warranty.
6.4. With respect to the contractual warranty or
the warranty for hidden defects, the Vendor’s only
obligation shall be, at its choice, to replace or repair,
free of charge, the product or item acknowledged as
defective by its services. Any Product entitled to the
warranty shall first be subjected to the Vendor’s after
sales service, whose agreement is required for any
replacement; it will first check that the disorder does
not result from improper installation or from another
fact of the Buyer. Labour expenses for replacement of
parts under warranty, as well as transport expenses
and consumables, remain at the Buyer’s expense.
6.5. In all cases and for whatever problem
encountered, no damages shall be paid for operating
losses, property damage, or tangible or intangible
losses consequential or not.
6.6. The Vendor undertakes to supply the Buyer with
spare parts for a maximum period of 3 years as from
delivery of the Equipment, except in the event of
agreement to the contrary.
ARTICLE 7 – Prices and rebates
7.1. Unless otherwise agreed, prices are Ex Works,
and inclusive of packaging as needed, except for
special packaging, which is charged extra, according
to the terms specified in the Order. Any tax, duty,
fee or other charge to be paid shall be borne by the
Buyer.
7.2. Prices are those in effect at time of confirmation
of order. If the related delivery occurs more than
2 months after confirmation of the order, any
modification of price shall immediately apply.
7.3. In the event of early payment compared with the
period possibly granted, a discount of 0.50 % per
30-day period shall be granted and deducted from
the price initially agreed.
7.4. Except in the event of an agreement to the
contrary, the Vendor may grant to the Buyer rebates
on the prices in effect at the time of the confirmation
of the order, according to the volume of sales net
of tax generated annually or during a determined
period and/or to the quantity/nature of the products
purchased and/or to services eventually rendered
by the Buyer. These rebates can be fixed and/
or progressive by tranche of sales generated. The
Purchaser can obtain the schedule of rebates in
effect by simple request on its part if it has not yet
received it from the Vendor.
ARTICLE 8 – Term of payment
8.1. Except by express agreement to the contrary,
invoices are payable at Vendor’s head office. 100
% of Payment of the price must be made at time
of order, except otherwise previously agreed by the
parties. In case the Vendor accepts to be paid by (i)
bill of exchange or a promissory note, such document
have to be returned within a full 8 days after receipt
by the Buyer; or by (ii) instalments, the Buyer shall
pay on due dates.
8.2. In the event of non-payment on due date or failure
to return the bill of exchange within the time given,
or of payment by instalments, the non-payment of a
single term shall lead to immediate and full payment
of sums due by the Buyer to the Vendor, in full right
of the law. Any amount not paid by the due date will
incur a) late penalty charges owed at right amounting
to the European Central Bank’s re-financing rate +
10 points, b) collection fees amounting to at least
40 €. In addition, if a payment is late, (i) the Vendor
may suspend all orders in progress or future ones;
(ii) he may terminate the contract 48 hours after
non-response to formal notice and could request
for restitution of the Equipment, in full right of the
law without prejudice to any other action and/or
damages. The Buyer shall reimburse all expenses
caused by the recovery of disputed amounts owed,
including legal and lawyer fees, collection agency
fees, and in a general sense any amounts paid by
the Vendor for recovery.
8.3. Under no circumstances may payments be
suspended nor be subject to any compensation
without prior written agreement by the Vendor.
Any partial payment will first be applied to the nonpreferential debt, and then to the oldest balance.

ARTICLE 9 – Retention of title and transfer or
risks
9.1. Transfer of ownership of equipment is dependent
upon full payment of price by the Buyer. The Buyer
agrees to take proper care of the equipment,
specifically to insure it against all risks as from its
delivery, at its costs. In order to allow any demand from
the Seller, the Buyer shall identify and individualize the
Equipment.
9.2. In case of resale by the Buyer to a subsequent
buyer(s), the Buyer shall inform the subsequent buyer
of the Vendor’s retention of title still prevailing over the
Equipment. In case of non payment of any invoice on
due dates or in case of insolvency of the Buyer, the
Vendor will have the right to recover the Equipments,
whatever the subsequent buyer is, if any.
ARTICLE 10 – Election of jurisdiction –
applicable law
The present general sales conditions are governed
by the French law. Any litigation shall be exclusively
submitted to the Tribunal de commerce de Paris,
as well for an interim ruling, an ancillary claim, or
multiple defendants or third-party claims.
