Form of Notes: The Notes will be issued as interest bearing or issued at a discount to mature at their principal amount. The Notes will be payable in Canadian Dollars or in United States Dollars, whichever is the currency of issue. Notes issued in U.S. Dollars will be payable to bearer or to the order of a purchaser thereof. A specimen form of Note is attached hereto. Notes issued in Canadian Dollars will be issued in the name of CDS & Co., as nominee for The Canadian Depository for Securities Limited ("CDS"), on behalf of participants in its Debt Clearing System. No physical Notes will be issued or delivered other than global Notes which will be held by the Issuing Agent on behalf of CDS. Each issuance and placement of Notes will be recorded by means of electronic book-entry. Denominations: Multiples of $1,000, subject to a minimum of $100,000. Maturities: The Notes will mature up to but not exceeding 270 days from the date of issue. Rates: Available upon request. Delivery: Delivery of Notes issued in U.S. Dollars will be made to the purchaser against payment therefor. The Notes may be arranged for same day delivery to the purchaser or its agent in Montreal, Toronto, Winnipeg, Calgary or Vancouver, subject to confirmation by Chevron Capital, on applications made through a Canadian chartered bank designed by Chevron Capital in such cities or by bank letter of undertaking in other principal cities in Canada. Notes issued in Canadian Dollars will be delivered to the Issuing Agent, as custodian for CDS, against payment therefor. Payment: At maturity of the Notes issued in U.S. Dollars, payment will be made on behalf of Chevron Capital at the branches of the Canadian chartered bank designated in the Notes. We have examined originals or copies to our satisfaction of such public records and such other documents and instruments as we considered necessary as a basis for the opinions hereinafter expressed. Based upon and subject to the foregoing, we are of the opinion that, as of the date hereof: 1. The Corporation has been duly incorporated and organized and is subsisting under the laws of the Province of Nova Scotia and has the corporate power and capacity to create, issue and sell the Notes. 2. The Corporation has taken all necessary corporate action to authorize the borrowing of money through the sale of the Notes and to authorize the creation, execution and issuance of the Notes. 3. Notes issued in the forms and within the limits set forth in the Information Memorandum, signed manually or in facsimile on behalf of the Corporation by any two officers, countersigned by a person duly authorized in that behalf, and delivered by or on behalf of the Corporation for value, constitute legal, valid and binding obligations of the Corporation enforceable against the Corporation in accordance with their terms. 4. Notes duly guaranteed by the Guarantor, issued in accordance with paragraph 3 above, are, as at the date hereof and subject to the general investment conditions, provisions and restrictions contained in the legislation referred to below, investments: (a) in which the provisions of the Pension Benefits Standards Act, 1985 (Canada) and the regulations thereunder would not preclude a pension plan regulated under such Act from investing its funds, subject to compliance with the prudent standards for investment contained therein and provided that the investment in the Offered Units is not inconsistent with the written statement of investment policies and procedures which has been established by the administrator (as defined therein) of such pension plan; (b) in which the provisions of the Insurance Companies Act (Canada) and the regulations thereunder would not preclude a company (as defined in such Act) (other than assets of a segregated fund maintained pursuant to such Act) from investing its assets, subject to the obligation of the directors of the company to establish, and the obligation of the company to adhere to, investment and lending policies, standards and procedures that a reasonable and prudent person would apply in respect of a portfolio of investments and loans to avoid undue risk of loss and obtain a reasonable return; (c) in which the provisions of the Trust and Loan Companies Act (Canada) and the regulations thereunder would not preclude a company (as defined in such Act) from investing its assets, other than money or assets held in trust by such company which do not constitute guaranteed trust money or assets held in respect thereof, subject to the obligation of the directors of the company to establish, and the obligation of the company to adhere to, investment and lending policies, standards and procedures that a reasonable and prudent person would apply in respect of a portfolio of investments and loans to avoid undue risk of loss and obtain a reasonable return; (d) in which the provisions of the Loan and Trust Corporations Act (Ontario) and the Regulation thereunder would not, subject to compliance with the prudent investment standards and the general investment provisions of such Act and the Regulation thereunder and any registration restrictions applicable to the registrant under such Act, preclude the funds received as deposits by provincial corporations (as defined in such Act) as a fiduciary from being invested, provided that such an investment is consistent with the investment and lending policies, standards and procedures approved by the board of directors of the registrant and filed by the registrant under such Act; (e) in which the provisions of the Pension Benefits Act (Ontario) and the Regulation thereunder would not, subject to compliance with the prudent investment criteria and the general investment provisions contained therein, preclude the funds of a pension fund registered thereunder from being invested, provided that a written statement of investment policies and goals has been filed pursuant to such Regulation for such fund and further provided that the Notes are within a category of investments specifically permitted and for which guidelines have been established in the then applicable statement of investment policies and goals for such fund and the Notes comply with such guidelines; {K:\cdox\0057503\000001\CM010455.DOC;6}11 (f) in which the provisions of the Financial Institutions Act (British Columbia) and the regulations thereunder (collectively the "FIA") would not, subject to compliance with prudent standards in the making of investment and lending decisions within the meaning of subsection 136(1) of the FIA, preclude a financial institution regulated under the FIA from making an investment, provided that: (i) the investment in the Notes is consistent with the written investment and lending policy adopted by the financial institution in accordance with the FIA; and (ii) the financial institution and its subsidiaries, or any combination of the financial institution and its subsidiaries, does not, and such investment would not result in, their acquiring, holding or controlling, whether directly or indirectly, more than a 10% interest in the Corporation or the Guarantor; (g) in which the provisions of the Employment Pension Plans Act (Alberta) and the regulations thereunder would not preclude a pension plan (as defined therein) from investing its assets, subject to compliance with the prudent standards for investment contained therein and provided that the investment in the Notes is not inconsistent with the written statement of investment policies and procedures established by the administrator (as defined in such Act) of such pension plan; (h) in which a provincial company, as defined in the Insurance Act (Alberta) may invest, subject to the obligation of the provincial company to apply prudent investment standards which, in the overall context of an investment portfolio, a reasonable and prudent person would apply to investments made on behalf of another person with whom there exists a fiduciary relationship to make such investments without undue risk of loss or impairment and with a reasonable expectation of fair return or appreciation; (i) in which the provisions of the Loan and Trust Corporations Act (Alberta) and the regulations thereunder would not preclude a provincial corporation (other than a special purpose trust corporation) (both as defined therein) from investing the funds it received as deposits (excluding funds, other than deposits, held by it as a fiduciary), subject to compliance with the prudent investment standards within the meaning of section 196 of such Act, and provided that the investment in the Notes is consistent with the policies and procedures established by such provincial corporation pursuant to such Act; (j) in which the provisions of the Alberta Heritage Savings Trust Fund Act (Alberta) and the regulations thereunder would not preclude the Provincial Treasurer of Alberta from investing the assets of the Heritage Fund (as defined in such Act) subject to the obligation of the Provincial Treasurer to adhere to investment and lending policies, standards and procedures that a reasonable and prudent person would apply in respect of a portfolio of investments to avoid undue risk of loss and obtain a reasonable return that will enable the endowment portfolio and the transition portfolio (both as defined therein) to meet their respective objectives; (k) in which the funds of a pension plan registered under The Pension Benefits Act (Manitoba) and the Regulations thereunder may be invested, provided that where a written statement of investment policies and procedures for such plan has been established pursuant to the provisions of that Act, the investment by such plan in the Notes is in accordance with such written statement; (l) in which the provisions of The Insurance Act (Manitoba) would not preclude the surplus funds and reserve of insurers (as defined in such Act) incorporated and licensed under the laws of the Province of Manitoba from being invested, subject to compliance with the prudent investment standards {K:\cdox\0057503\000001\CM010455.DOC;6}12 and investment policies, standards and procedures contemplated by the Insurance Companies Act (Canada) applicable to a company which has obtained an order under section 53 of the Insurance Companies Act (Canada); (m) which the provisions of an Act respecting insurance (Quebec) would not preclude as investments by an insurer (as defined in such Act) incorporated under the laws of the Province of Quebec (other than a guarantee fund corporation), subject to the prudent investment standards contained therein; (n) in which the provisions of the Supplemental Pension Plans Act (Quebec) would not, subject to compliance with the prudent investment standards contained therein, preclude the assets of a pension plan registered pursuant thereto in respect of which a written investment policy conforming to such Act has been adopted from being invested; provided, however, that the Notes are within a category of investments specifically permitted in the investment policy for such plan applicable at the date of issue of the Notes; and (o) which the provisions of an Act respecting trust companies and savings companies (Quebec) would not preclude a trust company or savings company (in each case as defined in such Act) (other than a trust company with respect to funds (except deposits) which it administers for other persons) from making, subject to compliance with the prudent investment standards contained in such Act and subject to the specific provisions of Division VI of chapter 15 of such Act applicable to a Quebec company, including the adoption of and adherence to an investment policy approved by its board of directors. Our opinion with respect to enforceability in paragraph 3 above is subject to: (i) applicable bankruptcy, insolvency, reorganization, moratorium and other similar laws of general application which may limit the enforceability of creditors' rights; (ii) the discretion that a court may exercise in the granting of equitable remedies; and (iii) to the extent the Notes are payable in currencies other than lawful money of Canada, the provisions of the Currency Act (Canada) which provide that a court in Canada may grant monetary judgments only in lawful money of Canada. (d) dans lequel la Loi sur les sociétés de prêt et de fiducie (Ontario) et son règlement d’application n’interdisent pas, sous réserve du respect des normes de placement sûr et des dispositions générales en matière de placement de cette loi et de son règlement d’application ainsi que de toute restriction en matière d’inscription applicable à l’inscrit aux termes de cette loi, que les fonds reçus à titre de dépôts par des sociétés provinciales (provincial corporations au sens où l’entend cette loi) en qualité de fiduciaires soient investis, pourvu qu’un tel placement ne contrevienne pas aux politiques, normes et {K:\cdox\0057503\000001\CM010455.DOC;6}11 procédures en matière de placement et de prêt approuvées par le conseil d’administration de l’inscrit et déposées par l’inscrit aux termes de cette loi; (e) dans lequel la Loi sur les régimes de retraite (Ontario) et son règlement d’application n’interdisent pas, sous réserve du respect des critères de placement sûr et des dispositions générales en matière de placement prévus dans cette loi, que les fonds d’une caisse de retraite enregistrée aux termes de cette loi soient investis, pourvu qu’un énoncé écrit des politiques et objectifs de placement ait été déposé conformément au règlement d’application de cette loi pour un tel fonds et pourvu, en outre, que les billets fassent partie d’une catégorie de placements spécifiquement autorisée et pour laquelle des lignes directrices ont été établies dans l’énoncé des politiques et des objectifs de placement visant ce fonds alors en vigueur, et que les billets soient conformes à ces lignes directrices; (h) dans lequel une société provinciale (provincial company au sens où l’entend la Insurance Act (Alberta)) peut investir, sous réserve de l’obligation de la société provinciale d’appliquer les normes de placement sûr que, dans le contexte global d’un portefeuille de placements, une personne raisonnable et prudente appliquerait aux placements faits pour le compte d’une autre personne avec laquelle elle a des liens fiduciaires pour faire de tels placements sans s’exposer à des risques excessifs de perte ou d’insuffisance, et sur lesquelles elle fonde des attentes raisonnables de bon rendement ou de bonne application de la valeur; (i) dans lequel la Loan and Trust Corporations Act (Alberta) et son règlement d’application n’interdisent pas à une société provinciale (sauf une société de fiducie à vocation déterminée) (respectivement provincial corporation et special purpose trust corporation au sens où l’entend cette loi) d’investir les fonds qu’elle a reçus à titre de dépôts (sauf les fonds, autre que les dépôts, qu’elle détient en fiducie), sous réserve du respect des normes de placement sûr au sens où l’entend l’article 196 de cette loi, et pourvu que le placement dans les billets ne convienne pas aux politiques et procédures établies par cette société provinciale conformément à cette loi; (j) dans lequel la Alberta Heritage Savings Trust Fund Act (Alberta) et son règlement d’application n’interdisent pas au trésorier provincial de l’Alberta d’investir l’actif du Heritatge Fund (au sens défini dans cette loi), sous réserve de l’obligation du trésorier provincial d’adhérer aux politiques, {K:\cdox\0057503\000001\CM010455.DOC;6}12 normes et procédures de placement et de prêt que suivrait une personne raisonnable et prudente à l’égard d’un portefeuille de placements pour éviter de s’exposer à des risques excessifs de perte et pour obtenir un rendement raisonnable qui permette au portefeuille de capitalisation et au portefeuille de transition (respectivement endowment portfolio et transition portfolio au sens où l’entend cette loi) d’atteindre leurs objectifs respectifs; (k) dans lequel la Loi sur les prestations de pension (Manitoba) et son règlement d’application n’interdisent pas à un régime de retraite enregistré aux termes de cette loi d’investir ses fonds, pourvu que le placement par un tel régime dans les billets soit conforme à l’énoncé écrit des politiques et procédures en matière de placement pour ce régime établi conformément à cette loi, le cas échéant; (l) dans lequel la Loi sur les assurances (Manitoba) et son règlement d’application n’interdisent pas que les fonds excédentaires et la réserve d’assureurs (définis dans cette loi) constitués en société et ayant obtenu une licence aux termes des lois de la province du Manitoba soient investis, sous réserve du respect des normes de placement sûr et des politiques, normes et procédures en matière de placement prévues dans la Loi sur les sociétés d’assurances (Canada) applicables à une société qui a obtenu une ordonnance aux termes de l’article 53 de la Loi sur les sociétés d’assurances (Canada); (m) qui, aux termes de la Loi sur les assurances (Québec), ne constitue pas un placement interdit pour un assureur (défini dans cette loi) constitué sous le régime des lois de la province de Québec (sauf les corporations de fonds de garantie), sous réserve du respect des normes de placement sûr prévues dans cette loi;
