List of agreements involving current operations, entered into or terminated in the
normal course of business by Recylex SA (the "Company") over the financial year
ended on 31 December 2010, or which continued to run over that financial period
Agreements entered into or terminated over FY 2010
1. Service agreements
Recylex SA – Recylex Commercial SAS :
- Termination of service agreement (administrative, accounting and financial
services), as at 31 December 2010: Company invoiced services rendered until 31
December 2010
- End of vehicle rental contract dated 10 July 2010: Company invoiced rental
payments until 30 April 2010
2. Commercial cooperation agreements
Recylex SA – Recylex Commercial SAS: termination of Commercial Agency agreements
as at 23 June 2010: Company paid fees from 1 January 2010 until 23 June 2010 to
Recylex Commercial SAS for remuneration of services in connection with purchases and
sales of products by instruction and for account of the Company under such agreements.
Agreements that continued to run over FY 2010:
1. Commercial cooperation agreements
Supply of basic materials to the Company, from:
- Belgium: Fonderie et Manufacture des Métaux S.A.
Delivery of secondary materials by the Company to the following subsidiaries:
- Germany: Weser Metall GmbH
- France: C2P SAS
- Belgium: Fonderie et Manufacture des Métaux S.A.
2. General assistance contract
Under which the Company invoices part of the central services provided to the following
subsidiaries:
- France : Recylex Commercial SAS, C2P SAS
- Germany: Weser Metall GmbH, Harz Metall GmbH, C2P Germany GmbH,
PPM PureMetals GmbH, Recylex GmbH
- Belgium: Fonderie et Manufacture des Métaux S.A.

3. Rental agreements
For subletting of part of the premises at 79 rue Jean-Jacques Rousseau - 92150
Suresnes, to Recylex Commercial SAS, and invoicing the latter for general services in
connection with such partial use until June 2010.
For subletting to Norzinco SA, free of charge, an office located at 79 rue JeanJacques Rousseau - 92150 Suresnes.
Rental of part of the land and industrial buildings located at 155 avenue de Beaujeu –
BP 451, 69657 Villefranche Cedex, to C2P SAS, and invoicing the latter for services
and consumables.
4. Service contracts
The Company invoices the following subsidiaries for provision of services:
- Belgium: Fonderie et Manufacture des Métaux S.A.: in the areas of hygiene, safety
and environmental matters
5. Loan granted by the Company to DELOT METAL SAS on 1 October 2002
On 1 October 2002, the Company granted a loan to Delot Metal under the following terms
and conditions:

By amendment No. 1 dated 12 March 2007, the initial loan was modified corresponding to

By amendment No. 2 dated 29 June 2007, the interest rate was changed as follows, taking
effect on 1 July 2007:

By amendment No. 3 dated 21 December 2007, the amount of the loan was lowered as
