Richard’s practice has a particular emphasis on corporate tax and business/transaction structuring and implementation. He has experience working on major purchase, sale and take-over transactions, plans of arrangement, debt and equity financings, optimizing business structures, restructuring insolvent companies, “corporate divorce” and other divestiture transactions. He also advises clients on a broad range of commercial and tax issues, including shareholder agreements, estate plans and other transactions involving closely held entities and high-net worth individuals. Eligibility opinions for tax-free savings accounts, registered retirement savings plans and other similar plans for mutual fund trusts, public companies, private companies and various other types of entities. Planned or implemented transactions in a variety of “corporate divorce” and other divestiture scenarios. Prepared or advised clients regarding a variety of agreements, including Purchase and Sale Agreements, Unanimous Shareholder Agreements, Trust Indentures, Settlement Agreements and Employee Incentive Plans.
