(Rabobank), French Certificats de Dépôt. 1.2 Type de Programme : Programme pour l’émission de Certificats de Dépôt de droit français, conformément aux articles L.213-1 A à L.213-4-1 et D.213-1 A à D.213-14 du Code monétaire et financier. 1.3 Nom de l’Émetteur : Coöperatieve Rabobank U.A. (Rabobank) 1.4 Type d’Émetteur : Établissement de crédit. 1.5 Objet du Programme : Le produit de l’émission des Certificats de Dépôt sera employé par l’Émetteur dans le cadre de son activité bancaire. 1.6 Montant du Programme : L’encours maximum de Certificats de Dépôt émis est limité à 20.000.000.000 € (ou sa contre-valeur en toute autre devise). 1.7 Caractéristiques et Forme des Certificats de Dépôt : Les Certificats de Dépôt sont des titres de créance négociables, émis au porteur et inscrits en comptes tenus par un intermédiaire habilité. 1.8 Rémunération : La rémunération des Certificats de Dépôt est libre. L’Émetteur se réserve le droit d’employer tout type de rémunération autorisé par la réglementation en vigueur au jour de l’émission des Certificats de Dépôt. Néanmoins, si l’Émetteur émet des Certificats de Dépôt dont la rémunération est liée à un indice, ou une clause d’indexation, un tel indice ou une telle clause d’indexation ne pourront porter que sur un taux usuel du marché monétaire, interbancaire ou obligataire. Dans le cas d’une émission comportant une option de prorogation de rachat ou de remboursement anticipé telle que mentionnée dans le paragraphe 1.10 ci-dessous, les conditions de rémunération, notamment à l’occasion de l’exercice de l’option de prorogation, de rachat ou de remboursement anticipé, des Certificats de Dépôt seront fixées à l’occasion de l’émission initiale et ne pourront pas être modifiées ultérieurement, sauf accord des parties. Il est précisé que les Certificats de Dépôt ne pourront pas être remboursés à un montant inférieur au pair. 1.9 Devises d’émission des Certificats de Dépôt : Les Certificats de Dépôt peuvent être libellés en euros ou toute autre devise autorisée par la réglementation française applicable au moment de l’émission. 1.10 Maturité : Les Certificats de Dépôt ont une durée initiale inférieure ou égale à un an (365 jours ou 366 jours les années bissextiles). Prorogation des Certificats : Les Certificats de Dépôt émis dans le cadre du Programme pourront comporter une ou plusieurs options de prorogation de l’échéance (notamment au gré de l’Emetteur, ou du détenteur, ou en fonction d’un (ou plusieurs) évènement(s) indépendant(s) de l’Emetteur et/ou du détenteur) 3 étant entendu que toute prorogation devra porter sur la totalité des Certificats de Dépôt d'une même émission. Remboursement à l’échéance : Les Certificats de Dépôt pourront être remboursés (i) au pair ou (ii) à un montant calculé par référence à un indice ou à une clause d’indexation, un tel indice ou une telle clause d’indexation ne pourront porter que sur un taux usuel du marché monétaire, interbancaire ou obligataire. Il est précisé que les Certificats de Dépôt ne pourront pas être remboursés à un montant inférieur au pair. Remboursement anticipé : Les Certificats de Dépôt peuvent être remboursés avant leur maturité en accord avec les lois et la réglementation applicable en France. Rachat : Les Certificats de Dépôt pourront comporter une ou plusieurs options de rachat par l’Emetteur au gré de l’Emetteur, ou du détenteur, ou en fonction d’un (ou plusieurs) évènement(s) indépendant(s) de l’Emetteur et/ou du détenteur. Prorogation, remboursement anticipé, rachat : L’option de prorogation, de remboursement anticipé ou de rachat des Certificats de Dépôt, s’il y a lieu, devra être spécifiée explicitement dans la confirmation de toute émission concernée de Certificats de Dépôt, ou convenue ultérieurement d’un commun accord entre l’Emetteur et le(s) détenteur(s) concerné(s). 1.11 Montant unitaire minimal des émissions : Le montant unitaire est au moins égal à 150.000 €, ou sa contre-valeur en toute autre devise, déterminée à la date de l’émission. 1.12 Dénomination minimale des Certificats de Dépôt : La dénomination minimale des Certificats de Dépôt est au moins égale à 150.000 €, ou sa contre-valeur en toute autre devise, déterminée à la date de l’émission. 1.13 Rang des Certificats de Dépôt : Les Certificats de Dépôt constituent des engagements chirographaires et non assortis de sûreté de l’Émetteur venant au même rang entre eux et au même rang que toutes les autres créances chirographaires, présentes ou futures, sur l’Émetteur. 1.14 Droit Applicable aux Certificats de Dépôt : Les Certificats de Dépôt sont soumis au droit français. 1.15 Admission des titres sur un marché réglementé : Oui. L’ensemble, ou une partie seulement, des Titres de Créances Négociables émis dans le cadre de ce programme pourront être admis à la négociation sur Euronext Paris et/ou sur la Bourse de Luxembourg. Il pourra être vérifié si une émission de Titres de Créances Négociables est admise à la négociation (respectivement) sur le site internet d’Euronext Paris ou / et sur le site internet de la Bourse de Luxembourg ou / et sur un site d’information financière. 4 1.16 Système de Règlement Livraison : Les Certificats de Dépôt seront émis en Euroclear France. 1.17 Notations du Programme : Noté. Le programme d'émission de Certificats de Dépôt de l'Émetteur a obtenu la note A-1 par Standard & Poor’s Credit Market Services Europe Limited, la note de P-1 par Moody’s Investors Service Limited et la note de R-1 (high) par DBRS Ratings Limited. Une copie de la lettre de notation délivrée par DBRS Ratings Limited et/ou le lien internet permettant de consulter ces notations est consultable en annexe. Une notation ne constitue pas une recommandation d’achat, de vente ou de conservation de titres et peut être suspendue, réduite ou révoquée à tout moment par l’agence de notation concernée. Les notations sont susceptibles d’être revues à tout moment par les agences de notation. L’Émetteur pourra remplacer un Agent Placeur ou nommer d’autres Agents Placeurs ; une liste à jour desdits Agents Placeurs peut être communiquée aux investisseurs sur demande déposée auprès de l’Émetteur. 1.22 Restrictions de Vente : Chacun des Agents Placeurs a déclaré et garanti qu’il n'a offert ni cédé et n'offrira ni ne cédera, directement ou indirectement, les Certificats de Dépôt au public, et qu’il n’a pas distribué la présente documentation financière ou tout autre document d’offre se rapportant aux Certificats de Dépôt, et que ces offres et ventes et distributions seront faites exclusivement à des investisseurs qualifiés, tels que définis, et conformément aux dispositions des articles L.411-2 et D.411-1 du Code monétaire et financier. Ces derniers sont les clients de l’Émetteur. 2.7 Brève Description des Principales Activités de l’Émetteur : L’Émetteur appartient au groupe Rabobank. Des informations détaillées sur les Principales Activités du groupe Rabobank sont consultables aux pages 16 à 50 du Rapport Annuel pour 2015. Groupe Rabobank : pages 16 à 26 Marché domestique de la banque de détail : pages 27 à 34 Banque de grande clientèle et banque de détail internationale : pages 35 à 40 Leasing : pages 41 à 45 Immobilier : pages 46 à 50 Le groupe Rabobank est un prestataire international de services financiers opérant sur la base de principes coopératifs. Au 31 décembre 2015, il comprenait 106 banques locales Rabobank et leur organisation centrale Rabobank et ses filiales. À compter du 1er janvier 2016, Rabobank a adopté une nouvelle structure de gouvernance. A cette date, Coöperatieve Centrale Raiffeisen-Boerenleenbank B.A., entité subsistante, a fusionné avec les banques locales Rabobank, créant ainsi une seule coopérative, dotée d’une seule licence bancaire et de comptes sociaux unifiés. Coöperatieve Centrale Raiffeisen-Boerenleenbank B.A. a par la suite été renommée Coöperatieve Rabobank U.A.. Le groupe Rabobank est présent dans 40 pays. Ses activités comprennent les services de banque de détail domestique, de banque de gros et de détail à l'international, le crédit-bail et l'immobilier. Elle sert près de 8,6 millions de clients dans le monde entier. Aux Pays-Bas, son accent est mis sur le maintien de la position du Groupe sur le marché néerlandais et, au niveau international, sur l'alimentation et l'agriculture. L’activité coopérative principale du groupe Rabobank comprend les banques locales Rabobank. Les clients peuvent devenir membres de 7 Coöperatieve Rabobank U.A.. 2.8 Capital : Au 31 décembre 2015, le capital initial du groupe Rabobank s’élève à 28.754 millions d’euros. A la date de ce dossier de présentation financière, le capital initial au sens de la réglementation bancaire européenne n’a pas été significativement modifié. 2.8.1 Montant du capital souscrit et entièrement libéré : Non applicable. 2.8.2 Montant du capital souscrit et non entièrement libéré : Néant 2.9 Liste des Principaux Actionnaires : En tant que coopérative, Rabobank a des membres et non des actionnaires ordinaires comme les autres formes de sociétés. Les membres de Rabobank, qui sont des clients de Rabobank, sont organisés, entre autres, sur la base de critères géographiques en 100 Départements (Afdelingen) environ. Les membres de Rabobank jouent un rôle important dans le fonctionnement de la gouvernance de Rabobank. L’influence et la voix des membres de Rabobank s’exercent par l’intermédiaire de leurs représentants au Conseil Général des Membres (General Members’ Council) de Rabobank. Au niveau local, les membres exercent leur influence par l’intermédiaire d’un Conseil local des Membres (local Members’ Council) et d’un organe de surveillance au niveau de chaque Département. 2.10 Marchés réglementés où les titres de créance de l’émetteur sont négociés : Bourse du Luxembourg, Euronext Amsterdam, Stuttgart Stock Exchange, SIX Swiss Exchange, New Zealand Exchange et Taipei Exchange. 2.11 Composition des organes de direction : A ce jour, la composition des organes de direction est la suivante : Directoire: W. Rabobank, succursale de Nouvelle-Zélande a mis en place : • un programme domestique d’émission de Certificats de Dépôt sans limitation de montant. Rabobank Poland a mis en place : • un programme d’émission de Commercial Paper d’un montant de 1.000.000.000 de zloty polonais. Rabobank, succursale de Singapour a mis en place : • un programme d’émission de Commercial Paper et de Certificats de Dépôt d’un montant de 20.000.000 de dollars de Singapour. (Rabobank) French Certificates of Deposit (Certificats de Dépôt) 1.2 Type of Programme: Programme for the issue of French Certificats de Dépôt, pursuant to Articles L.213-1 A to L.213-4-1 and D.213-1 A to D.213-14 of the French Code monétaire et financier 1.3 Name of Issuer: Coöperatieve Rabobank U.A. (Rabobank) 1.4 Type of Issuer: Monetary financial institution 1.5 Purpose of the Programme: The net proceeds from the issue of the Certificats de Dépôt will be used by the Issuer in connection with its banking business. 1.6 Programme Size: The outstanding principal amount of the Certificats de Dépôt will not exceed €20,000,000,000 (or its equivalent in other currencies) at any time. 1.7 Characteristics and form of the Certificats de dépôt: The Certificats de Dépôt are negotiable debt securities (Titres de Créance Négociables), issued in bearer form and recorded in the books of authorised intermediaries (book entry system) in accordance with French laws and regulations. 1.8 Yield Basis: The yield of the Certificats de Dépôt is unrestricted. The Issuer may use any yield allowed by any applicable law and regulation in force at the date of the issue of the Certificats de Dépôt. However, if the Issuer issues Certificats de Dépôt with remuneration linked to an index or with an index clause, such index or index clause will only refer to a usual interbank market, money market or bond market rate. In the case of an issue of Certificats de Dépôt including an option of extension, repurchase or early redemption as mentioned in paragraph 1.10 below, the terms of the remuneration and when such option of extension, repurchase or early redemption will be exercised of such Certificats de Dépôt will be set when the said Certificats de Dépôt will be initially issued and shall not be further modified, unless otherwise agreed between the Issuer and the holder of Certificats de Dépôt. For the avoidance of doubt, each Certificat de Dépôt may not be redeemed at an amount below their nominal amount. 1.9 Currencies of issue of the Certificats de Dépôt: Certificats de Dépôt may be denominated in euros or any other currency subject to compliance with any French applicable legal and regulatory requirements. 12 1.10 Maturity: The maximum duration of each Certificat de Dépôt will be one year from the date of issue (365 days or 366 days for leap years). Extension of the maturity of the Certificats de Dépôt The Certificats de Dépôt issued under the Programme may include one or more option(s) of extension of the maturity (inter alia, at the option of either the Issuer or any holder of Certificats de Dépôt, or linked to one or several events not related to either the Issuer or the holder of Certificats de Dépôt), it being understood that any extension of the maturity of the Certificats de Dépôt should apply to all Certificats de Dépôt in respect of one series. Redemption at maturity The Certificats de Dépôt may be redeemed (i) at par or (ii) at an amount calculated by reference to an index or an index clause, such index or index clause will only refer to a usual interbank market, money market or bond market rate. For the avoidance of doubt, each Certificat de Dépôt may not be redeemed at an amount below their nominal amount. Early redemption The Certificats de Dépôt issued under the Programme may also include one or more option(s) of early redemption in compliance with French Law. Repurchase The Certificats de Dépôt issued under the Programme may include one or more option(s) of repurchase before the maturity of the Certificats de Dépôt (at the option of either the Issuer or any holder of Certificats de Dépôt, or linked to one or several events not related to either the Issuer or the holder of Certificats de Dépôt). Extension, early redemption, repurchase The option of extension of the maturity or of repurchase or early redemption, if any, shall be expressly specified in the confirmation of any relevant issue of Certificats de Dépôt, or duly agreed between the Issuer and the holder after the issue of such Certificats de Dépôt. 1.11 Minimum Issuance Amount: The minimum issuance amount of the Certificats de Dépôt will be €150,000 or, if the Certificats de Dépôt are denominated in any other currency, the equivalent in that currency of €150,000, such amount to be determined at the relevant rate of exchange at the issue date. 1.12 Minimum denomination of the Certificats de Dépôt: The minimum denomination of the Certificats de Dépôt will be €150,000 or, if the Certificats de Dépôt are denominated in any other currency, the equivalent in that currency of €150,000, such amount to be determined at the relevant rate of exchange at the issue date. 13 1.13 Status of the Certificats de Dépôt: The Certificats de Dépôt constitute unconditional, unsecured and unsubordinated obligations of the Issuer and will at all times rank pari passu among themselves and with any all other present or future unsecured and unsubordinated obligations of the Issuer. 1.14 Governing Law that applies to the Certificats de Dépôt: The Certificats de Dépôt will be governed by and construed in accordance with French law. 1.15 Listing: Yes. All, or part only, of the Titres de Créances Négociables issued under this Programme may be admitted to trading on Euronext Paris and/or the Luxembourg Stock Exchange. Whether an issue of Titres de Créances Négociables is admitted to trading can be verified (respectively) on the website of Euronext Paris and/or on the website of the Luxembourg Stock Exchange and/or on a financial information website. 1.16 Settlement System: The Certificats de Dépôt will be issued through Euroclear France. 1.17 Ratings of the Programme: Rated.
