PRINCIPAL FIELDS OF PROFESSIONAL AND PARAPROFESSIONAL ACTIVITY
WITH DESCRIPTION OF FUNCTIONS
My professional and paraprofessional principal fields of activity can be described as follows :
a) Law :
Lawyer in private practice with a law firm that has an excellent reputation, with a specific focus
on corporate and administrative law, as well as arbitration and mediation relating to commercial
and sport sectors at national and international levels. I have been involved with corporations
active in the manufacturing, communications, transport and pulp and paper industries. My field of
practice was extended to significant transactions involving mergers and acquisitions, licence and
technology transfer agreements, corporate financings and securities. A significant part of my
practice was devoted to arbitration and mediation, firstly in disputes relating to labour law and
gradually to disputes relating to commercial law due to my substantial experience and more
recently in disputes relating to sport law.
b) Diplomacy :
Honorary Consul General for the Kingdom of Sweden in Quebec from October 1994 to January
2016. As such I acted as Sweden representative during numerous protocolary events in Quebec
City and elsewhere. I have been in regular contact with the Ambassador of the Kingdom of
Sweden to Canada, in Ottawa.
I regularly received delegations of members of Sweden’s parliament, business people, journalists
and artists. In October 2006, I welcomed His Majesty the King of Sweden, Carl XVI Gustaf and
Queen Silvia of Sweden when they visited Quebec. On that occasion, I attended the reception

given in their honour by the Premier of Quebec and I accompanied the royal couple on their
official meetings in Quebec with the Premier of Quebec and the Rector of Laval University. My
husband and I also had the honour of being received by the King and Queen of Sweden at the
Royal Palace of Stockholm in June 2006.
Thus, I would feel very honoured and would be comfortable meeting the members of the Royal
Family, heads of states, ambassadors, consuls and other representatives of foreign countries on
their visits to Canada and Quebec in particular, since I am already experienced in such situations.
c) Academia :
Chair of the board of directors of the Institute for Advanced International Studies (HEI) of Laval
University, then Director of HEI for three years. As such, I have led the members of the
administrative support team and developed a strategy for the interdisciplinary programs of master
and doctorate as well as the activities of the chairs of excellence and research groups. I have been
in constant negotiations with the deans of the following faculties : - social sciences – arts agriculture – business administration and law – in order to obtain the resources needed for the
proper functioning of the programs of the Institute.
I also organized symposia and conferences of international scope in exchange with other
universities. I had to supervise the editing work of the scientific journal « Études internationales ».
I have negotiated with provincial and federal governments as well as other financial partners for
the continued funding for research centers, chairs of excellence and summer schools.
Since the last three years, I am invited at the Law Faculty of
Laval University to make
presentations to students of first and second cycles of this Faculty concerning the functioning of
boards of directors and the governance rules of corporations.

d) Government :
Member and Chair of the Security Intelligence Review Committee reporting to the Parliament of
Canada. As Chair of this Committee I presented the annual report as well as reports on specific
topics prepared by my Committee to the members of the Subcommittee on National Security of
the House of Commons and from time to time to the members of the Senate Committee on
National Security and Defence and the Special Senate Committee on Anti-Terrorism (ANTT). I
also accepted several invitations from my counterparts in various countries, including the United
States, Great Britain, South Africa, Australia and Poland, whom I also received in Ottawa, to talk
about subjects of mutual interest. All of these meetings involved protocol, since they were official
gatherings of representatives of various countries.
During all these years of my different mandates, I have been in constant contact with the
management of the Canadian Security Intelligence Service in Ottawa, in all provinces and
territories in Canada and abroad.
e) Armed forces : Member of the board of directors of the Royal Military College in Kingston,
Ontario and a member of the Advisory Board of the Royal 22e Régiment and member of the board
of directors of that regiment following the complete reorganization of its governance structure
since June 2015.
f) Business :
I have served on a number of boards of directors of Canada’s large public corporations, such as
the Royal Bank of Canada and I am still currently a director of Metro and of TransCanada
Corporation. In addition, I have been member of various Committees of these boards of directors
such as the Audit Committee, the Human Resources Committee, the Environment, Security and
Health Committee and the Governance Committee. Thus, I am well aware of the rules and new
trends concerning corporate governance.

g) Sports :
Arbitrator and mediator with the Sport Dispute Resolution Centre of Canada and the Court of
Arbitration for Sport in Lausanne, Switzerland. As such, I act in disputes concerning the selection
of teams, the awarding of scholarships, doping, and various sources of disputes involving elite
athletes. I find it very stimulating to work with young athletes, their coaches, and their family
members. Above all, I appreciate my role as a mediator, which allows me to seek solutions that
are satisfactory to all parties in an attempt to resolve their differences.
h) Social and community work :
Chair and member of a number of boards of directors of charitable organizations in Quebec and
Canada, in addition to having established my own charitable fund through the Charitable Gift
Funds Canada Foundation.
I am a member of the board of directors of the Foundation of the
« Musée national des Beaux-Arts du Québec ». I am also a member of the board of governors of
the « Fondation Québec Philanthrope ».
I am involved in an ongoing basis in the fundraising campaigns of several organizations, such as
Laval University, « l’Orchestre symphonique de Québec »,
« l’Opéra de Québec » ,
the
Valcartier Family Centre and Care Canada.
i) Professional Associations :
The first woman to be elected President of the Canadian Bar Association (CBA) since its
founding, 78 years ago, further to my involvement provincially, having previously been President
of the CBA’s Quebec Branch. I have also been an associate member of the American Bar
Association and the International Union of Lawyers during many years.
In my capacity as President of the CBA, I hosted many delegations of lawyers from the four
corners of the world, and I visited many of my colleagues in numerous countries, often as a
conference speaker. I had the pleasure and honour of welcoming the Secretary General of the
United Nations, His Excellency Boutros Boutros Ghali, who at my invitation agreed to attend the
opening of the annual Legal Conference of the Canadian Bar Association during my term as
president.

g) The Fonds Paule Gauthier for the fundraising campaign of the « Société du Patrimoine de la
Citadelle et du Royal 22e Régiment » to develop a new museum for the Royal 22e Regiment at
the Quebec Citadel.
h) The Paule Gauthier and Gilbert Cashman Fund for the fundraising campaign of the Rick
Hansen Foundation, which funds research to provide better care to persons living with spinal cord
injuries and help improve accessibiity for disab led persons, on the occasion of its 25th
anniversary.

Surgery Centre of the Royal Alexandra Hospital in Edmonton, Alberta.

k) Continuous participation in the fundraising campaigns of the Montreal SPCA and the Québec

l) In addition, for the past five years, my husband and I have been financially supporting, without any
consideration in return, a single mother and her 18-year-old son who immigrated to Canada from
Columbia and have been Canadian citizens for over a year now, to cover their necessities of life
and, more particularly, to pay for the mother’s studies at Laval University and those of the son,
who is in his first year of College in preparation for Laval University
m) Continuous participation in the fundraising campaigns of various organizations such as «Laval
University», « l’Orchestre Symphonique de Québec », « Opéra de Québec », « Centre de
famille Valcartier » and « Care Canada »
n) Honorary Chair in various fundraising activities in favour of the « Violons du Roy » and
« Collège Jésus-Marie of Sillery »
o) Member of the group of ambassadors for the new « Monastère des Augustines » (a therapeutic
hosting center for natural care givers and the public at large) in order to continue the work of the

PRINCIPAUX DOMAINES D’ACTIVITÉS PROFESSIONNELLES
ET PARAPROFESSIONNELLES
AVEC DESCRIPTION DES FONCTIONS
Les fonctions des principaux domaines de mes activités professionnelles et paraprofessionnelles se décrivent
comme suit :
a) Domaine juridique :
Avocate en pratique privée dans un cabinet d’avocats d’excellente réputation, œuvrant plus
particulièrement en droit corporatif et administratif, ainsi qu’en arbitrage et médiation dans le domaine
commercial et du sport à l’échelle nationale et internationale. J’ai agi pour des sociétés œuvrant dans
le secteur manufacturier, des communications, du transport et de la foresterie. Mon champ de pratique
s’étend aux fusions et acquisitions, transferts de technologie et licences, financements et valeurs
mobilières. J’ai dévolu une importante partie de ma pratique à l’arbitrage et la médiation, d’abord
dans les litiges relatifs au droit du travail et graduellement, dans des litiges reliés au droit commercial
en raison de mon expérience acquise dans ce domaine et plus récemment à des litiges reliés au droit du
sport.
b) Domaine diplomatique :
Consule générale honoraire du Royaume de Suède à Québec d’octobre 1994 à janvier 2016. À ce titre,
j’ai représenté la Suède lors de nombreux événements protocolaires à Québec et ailleurs et ai été en
contact régulier avec l’ambassadeur du Royaume de Suède au Canada à Ottawa.

J’ai reçu de façon régulière des délégations parlementaires, de gens d’affaires et de journalistes
suédois. En octobre 2006, j’ai reçu Sa Majesté le roi de Suède Carl XVI Gustaf et la Reine Silvia de
Suède lors de leur visite à Québec. À cette occasion, j’ai assisté à la réception donnée par le premier
ministre du Québec en leur honneur et les ai accompagnés lors de leurs rencontres protocolaires à
Québec avec le premier ministre du Québec et le recteur de l’Université Laval. J’ai fait de même avec
chaque ambassadeur de Suède lors de leurs visites à Québec. Mon mari et moi avons également eu
l’honneur d’être reçus par le Roi et la Reine de Suède au Palais Royal de Stockholm en juin 2006.
Je serais très honorée et à l’aise de rencontrer les membres de la famille royale, des chefs d’État, des
ambassadeurs, consuls et autres représentants de pays étrangers lors de visites effectuées au Canada et
au Québec puisque j’ai déjà vécu ces situations.
c) Domaine académique :
Présidente du conseil d’administration de l’Institut des Hautes Études internationales de l’Université
Laval et par la suite, directrice de cet institut pendant 3 ans. À ce titre, j’ai dirigé l’équipe de soutien
administratif et j’ai développé la stratégie des programmes interdisciplinaires de maîtrise et de
doctorat, des chaires d’excellence ainsi que des groupes de recherches.
J’ai été en constantes
négociations avec les doyens des facultés suivantes : droit - sciences sociales - lettres - agriculture et
sciences de l’administration - afin d’obtenir les ressources requises au bon fonctionnement des
programmes de l’Institut.
J’ai aussi organisé des colloques et conférences d’envergure internationale en échange avec d’autres
universités. Je devais également superviser le travail d’édition de la Revue scientifique « Études
internationales ». J’ai négocié avec les gouvernements provincial et fédéral et autres partenaires
financiers pour le maintien du financement des centres de recherches et chaires d’excellence ainsi que
des écoles d’été.

Depuis trois ans, je suis avocate invitée de la Faculté de droit pour faire des présentations aux étudiants
de premier et de deuxième cycle de cette faculté concernant le fonctionnement des conseils
d’administration et des règles de gouvernance d’entreprises.
d) Domaine gouvernemental :
Membre et présidente du Comité de surveillance des activités de renseignement de sécurité qui rend
compte au Parlement du Canada. À titre de présidente de ce Comité, j’ai présenté le rapport annuel
ainsi que les rapports sur des sujets spécifiques de mon Comité aux membres du Sous-comité sur la
Sécurité nationale de la Chambre des communes et à l’occasion, aux membres du Comité de la
Sécurité et de la défense et du comité d’Antiterrorisme (spécial) (ANTT) du Sénat. J’ai également
accepté plusieurs invitations de mes collègues de différents pays dont, entre autres, les États-Unis, la
Grande-Bretagne, l’Afrique du Sud, l’Australie et la Pologne, que j’ai également reçus à Ottawa, afin
d’échanger sur des sujets d’intérêt commun. Toutes ces réunions revêtaient un caractère protocolaire
puisqu’elles regroupaient de façon officielle des représentants de différents pays.
Pendant toutes les années de mes différents mandats, j’ai été en contact régulier avec les dirigeants du
Service canadien de renseignement de sécurité à Ottawa, dans toutes les provinces et territoires du
Canada et à l’étranger.
e) Domaine des Forces armées :
Membre du conseil des gouverneurs du Collège militaire royal du Canada de Kingston (Ontario) et
membre du Comité consultatif du Royal 22e Régiment, puis membre du conseil d’administration de ce
régiment à la suite de la restructuration complète de sa gouvernance depuis juin 2015.

f) Domaine des affaires :
Membre du conseil d’administration de grandes sociétés publiques au Canada. J’ai siégé à plusieurs
conseils d’administration de grandes sociétés publiques canadiennes, dont la Banque Royale du
Canada, et je suis toujours administratrice de Métro inc. et de Trans Canada Corporation. De plus, j’ai
siégé comme membre de divers comités de ces conseils d’administration, dont entre autres, le comité
d’audit, le comité des ressources humaines, le comité de la santé, sécurité et environnement et celui de
la gouvernance. Ainsi, je suis très au fait des règles et nouvelles tendances dans le domaine de la
gouvernance d’entreprises.
g) Domaine sportif :
Arbitre et médiateur du Centre de règlement des différends sportifs du Canada et du Tribunal Arbitral
du Sport de Lausanne (Suisse); à ce titre, j’agis dans des litiges relatifs à la sélection des équipes, à
l’attribution des bourses, au dopage et à différentes causes de litige impliquant des athlètes de haut
niveau. C’est pour moi très stimulant de travailler auprès des jeunes athlètes, de leurs entraîneurs et
des membres de leur famille.
J’apprécie avant tout mon rôle de médiateur qui me permet de
rechercher des solutions satisfaisantes pour toutes les parties afin de tenter de régler leurs différends.
h) Domaine social et communautaire :
Présidente et membre de plusieurs conseils d’administration d’œuvres caritatives au Québec et au
Canada, en plus d’avoir créé mon propre fonds de bienfaisance par l’entremise de la Charitable Gift
Funds Canada Foundation.
Sur le plan social et communautaire, je suis membre du conseil
d’administration de la Fondation du Musée national des Beaux-Arts du Québec. Je suis également
membre du bureau des gouverneurs de la Fondation Québec Philanthrope.
Je participe et ai participé de façon continue aux campagnes de financement de plusieurs organismes,
dont l’Université Laval, l’Orchestre symphonique de Québec, l’Opéra de Québec, le Centre de la
famille Valcartier et Care Canada.

i) Domaine d’associations professionnelles :
Première femme élue Présidente de l’Association du Barreau canadien (organisme qui regroupe plus
de 50,000 membres, soit avocats, notaires, juges et conseillers juridiques) après 78 années d’existence,
à la suite de mon implication au niveau provincial, ayant préalablement été présidente de sa division
du Québec.
J’ai également été membre associée de l’American Bar Association et de l’Union
Internationale des Avocats pendant plusieurs années.
En ma qualité de présidente de l’Association du Barreau canadien, j’ai reçu la visite de nombreuses
délégations d’avocats venant des quatre coins du monde et j’ai visité plusieurs de mes collègues dans
de nombreux pays, souvent comme conférencière. J’ai eu le plaisir et l’honneur de recevoir son
Excellence Boutros Boutros Ghali, le Secrétaire général des Nations unies, venu assister, à mon
invitation, à l’ouverture de l’assemblée générale annuelle de l’Association du Barreau canadien dont
j’étais alors la présidente.
