Article 17 de l’arrêté du 9 février 1988 : Le juge commis à la
surveillance du Registre du Commerce et des Sociétés demande le
bulletin n° 2 du casier judiciaire postérieurement à la réception de
la déclaration de non condamnation.
Art. 17 of the Decision of February 9. 1988 : The Magistrate
entrusted with the supervision of the Commercial Registry asks for
the report Nr. 2 of the convict record subsequently to the receipt of
the non-conviction certificate.
Article L 123-5 du code de commerce : Le fait de donner, de
mauvaise foi, des indications inexactes … en vue d’une
immatriculation ou d’une mention modificative au Registre du
Commerce et des Sociétés, est puni d’une amende de 4 500 € et
d’un emprisonnement de six mois (poursuites pénales par le
Procureur).
Art. L. 123-5 of Commercial Law : In case of false declarations prior
to an incorporation or modification in the Commercial Registry, the
infringer is subject to a penalty of 4 500 € and an imprisonment of
six months (penal continuation by the prosecutor).

Decree of Mai 30. 1984 in respect of the Commercial Registry, I
declare that I have never been subject to any criminal
conviction or to any civil or administrative penalty of a
nature to prohibit me from carrying out a business activity or
managing, administrating or running a legal entity.
déclare, conformément aux dispositions de l’art. L. 622-9 du
code de commerce, ne pas faire l’objet d’une liquidation
judiciaire commerciale non clôturée : toute personne ayant
fait l’objet d’une liquidation doit, préalablement à une inscription
au Registre du Commerce et des Sociétés, s’assurer de
l’apurement du passif ou de la clôture de la procédure pour
insuffisance d’actif auprès du mandataire-liquidateur désigné
dans le jugement de liquidation.

not subject to a non closed society’s winding up : prior to
the incorporation in the Commercial Registry, everyone subject
to a winding up has to get insured of the liabilities discharge by
the entitled Liquidator..
