Introduction
W
e created this directory to help nominating and governance
committees identify board-ready candidates who can help
companies achieve their global aspirations.
The Agenda International 100 is not only a directory of potential nominees but a template for finding such directors. We
gathered a panel of 14 corporate governance experts, including
five people who currently serve on boards, most at Fortune 500
companies. The advisory panel also included senior managers
from three executive search firms, a representative from CalPERS,
two former U.S. ambassadors to regional development banks, the
head of a membership group for women board directors, an investor advocate, and a program director at the international business
school INSEAD. (Please see the inside cover for the full advisory
committee.)
First, the group engaged in a broad debate about what qualities a director needs to advise companies on expanding globally.
The results led to a set of strong standards for choosing candidates. (An explanation of the methodology appears on page iv.)
Next, the committee vetted 212 potential candidates, nominated either by committee members or by Agenda readers and
other sources. Candidates came from the ranks of current and former corporate executives, academicians and public officials. The
committee waded into this pool of resumes, and after two rounds
of votes they whittled the list to the 100 individuals about whom
you’ll soon read.
Our purpose was to supply multinational corporations with
a fresh supply of board directors with expertise in the far corners
of the globe. Some of the Agenda International 100 are legal and
regulatory whizzes. Others know how to start a greenfield plant in
an emerging market. Still others have managed global divisions at
public companies, overseeing thousands of employees who speak
half a dozen different languages.
It’s not hard to see why such people could give a company a
significant competitive advantage by joining its board.
Ninety-five percent of the world’s consumers live outside of
America’s borders. As Susan Schwab, a former U.S. trade chief and
a director at Boeing, Caterpillar and FedEx, told the annual conference of the National Association of Corporate Directors last

year, boards need more than token international representation.
They need members with what Schwab calls “global literacy and
international I.Q.”
No doubt that’s why the board at Stanley Black & Decker now
considers international experience a key qualification for its directors. Last year, the company stated in its proxy that “knowledge in international business, legal or governmental affairs” is
among the ideal attributes of Stanley Black & Decker directors.
International management experience is also an important criterion for nominating committees at Lennox International and
Time Warner.
In fact, board recruiters have told Agenda reporters in interviews that board candidates who have managed only domestic
corporate divisions are now less attractive as U.S. companies globalize.
In preparing this directory, we applied many lessons we
learned last year when we published The Agenda Diversity 100, a
listing of highly qualified women and minority board candidates.
Both directories aim to help boards find new members with the
tools to enhance corporate governance – without relying on overboarded superstars.
Of course, finding such well-rounded directors remains a challenge. We hope this new directory will make that job — and your
company’s international expansion — a little easier. 

Editor’s Note (Methodology and limitations of the directory)
T
he selection committee debated how to build a nominating
standard for international directors. Here are the principal final criteria; nominators were responsible for ensuring that candidates met the required qualifications:
Candidates had to:
yy Have sufficient experience in, or knowledge of, one or more
non-U.S. markets to enhance a corporate board’s effectiveness
in overseeing global strategy
yy Serve on no more than two boards currently
yy Be qualified and willing to serve immediately on a Fortune
1000 board
yy Have demonstrated ability to govern senior managers and
make strategy decisions for a $2 billion company with a global
supply, manufacturing and distribution network
Candidates could:
yy Come from a profession or background other than business
yy Be a current or former CEO, CFO or COO
yy Be a current or former head of a national operating company
or division
yy Be a current or former university president or dean of a business or law school
yy Be a current or former head of a global non-profit or NGO
yy Have international experience as a manager
yy Have overseen at least $200 million in sales and 100 employees, in more than one discipline within an organization and in
more than one managerial role yy Have experience with a developed market, a developing market
or both
yy Be familiar with international accounting standards
yy Have experience in cross-border investment for banks, pension
funds, asset management firms or sovereign wealth funds
yy Be a pure entrepreneur
yy Be a scientist or medical professional
yy Have international corporate governance or trade expertise
yy Have worked and lived abroad
yy Have strong financial operations experience
yy Be multilingual
yy Enhance board diversity as well as global skills
