Commentary on Bylaw changes:
With the exception of the new postcode in Title I, article 1 and the correction of the name of the
Convocation in article 3, all the changes (Title I articles 4 and 5 and Title VII) were mandated
by the German tax authorities as a condition of our charitable status. In Title VII the German
tax authorities rejected the previous designation of the Altkatholische Kirchengemeinde in
Wiesbaden. In the case of dissolution our remaining funds can only go to a charitable e.V. or
Körperschaft öffentlichen Rechts, and the Old Catholic church in Wiesbaden is neither – only
the national Old Catholic Church would fulfil these conditions. The Vestry decided to appoint
the “Church of Christ the King e.V., Frankfurt, or if that is not possible to the nearest Anglican
parish in Germany” as new designees. All deletions are shown and all changes are highlighted
in red. These changes have been pre-approved by the Bishop and Council and sent to the
Diocese in Europe for information.

TITLE I
ABSCHNITT I
Article 1: The Church of St. Augustine of Canterbury,
65189 Wiesbaden, Frankfurter Str. 3, operates as a
registered association (eingetragener Verein) under the
name “Church of St. Augustine of Canterbury, e.V.”.

Augustine of Canterbury, e.V.”.
Article 2: The purpose of the Church is the spreading
of God's word, the promotion of Christian living and
the pastoral care of its Members in accordance with the
teachings of the Anglican Episcopal Church. This
purpose is carried out through regular services,
religious teaching, pastoral care of church members
and non-members, and the care and fostering of church
life and church music, as well as the care and maintenance of the church building and grounds.
Artikel 2: Ziele der Kirchengemeinde sind die
Verbreitung des Wort Gottes, die Förderung des
christlichen Lebens und die seelsorgerische Betreuung
der Kirchenmitglieder gemäß der Lehre der Anglican
Episcopal Church. Diese Ziele werden verwirklicht
durch regelmäßigen Gottesdienst, die Erteilung von
Religionsunterricht, die seelsorgerische Betreuung von
Mitgliedern und Nichtmitgliedern der Kirchengemeinde
sowie durch die Pflege und Förderung eines regen
Gemeindelebens und der Kirchenmusik nebst den
hierfür erforderlichen Betrieb und die Unterhaltung des
Kirchengebäudes und des Kirchengrundstücks.
Article 3: The church building and grounds are the
property of the Bishop of London of the Church of
England. The Bishop in the Diocese of Gibraltar in
Europe, of the Church of England, has, for the time
being, delegated ecclesiastical and pastoral authority
over the church to the Bishop of the Convocation of
Episcopal American Churches in Europe of the
Episcopal Church of the USA.
Artikel 3:
Das Kirchengebäude und
das
Kirchengrundstück sind Eigentum des Bischofs von
London in der Church of England. Der Bischof der
Diözese „Gibraltar in Europe“ der Church of England
hat bis auf weiteres die Betreuung und Aufsicht der
Kirchengemeinde an den Bischof der „Convocation of
Episcopal American Churches in Europe of the
Episcopal Church of the USA“ delegiert.
Article 4: The Church is a non-profit charitable
organisation, its primary purpose is not for its own
economic gain. financially independent, non-profit,
and non-commercial. It pursues solely church
purposes in accordance with the section on tax
exemptions of the German tax law (steuerbegünstigte
Zwecke der Abgabeordnung).
Artikel 4: Die Kirchengemeinde ist selbstlos tätig; sie
verfolgt nicht in erster Line eigenwirtschaftliche
Zwecke. wirtschaftlich selbständig und selbstlos tätig.
Sie verfolgt keine kommerziellen Zwecke. Sie verfolgt
ausschließlich und unmittelbar kirchliche Zwecke im
Sinne des Abschnitts „Steuerbegünstigte Zwecke“ der
Abgabenordnung.
Article 5: The financial means of the Church shall
only be used for the purposes stated in these bylaws.
Members do not receive donations from Church funds.
No person may benefit from expenses that are alien to
the purpose of the Church, or from disproportionately
high remuneration.
Artikel 5: Die Mittel der Kirchengemeinde dürfen nur
für satzungsgemäße Zwecke verwendet werden. Die
Mitglieder erhalten keine Zuwendungen aus Mitteln der
Kirchengemeinde. Es darf keine Person durch
Ausgaben, die dem Zweck der Kirchengemeinde fremd
sind, oder durch unverhältnismäßig hohe Vergütungen
begünstigt werden.
TITLE VII: DISSOLVING THE CHURCH

KIRCHENGEMEINDE
Upon dissolution or closure of the Church or upon
change of its fundamental purpose or the cessation of
its charitable and tax-exempt activities, its financial
assets shall go to the Church of Christ the King e.V.,
Frankfurt, or if that is not possible to the nearest
Anglican parish in Germany that is recognised by the
German tax authorities as gemeinnützig, the financial
and other assets of the Church shall go to the Altkatholische Kirchengemeinde in Wiesbaden which
shall use them directly and solely for church religious
purposes.
Bei Auflösung oder Aufhebung der Kirchengemeinde
oder bei Wegfall steuerbegünstigter Zwecke Änderung
ihres fundamentalen Zwecks fällt ihr Vermögen an
Church of Christ the King e.V., Frankfurt, oder wenn
nicht möglich an die nächstgelegene, als gemeinnützig
anerkannte anglikanische Gemeinde in Deutschland, die
Altkatholische Kirchengemeinde in Wiesbaden, die es
unmittelbar und ausschließlich für kirchliche religiöse
Zwecke zu verwenden hat.
TITLE VIII: RATIFICATION OF THE BYLAWS
ABSCHNITT VIII: INKRAFTTRETEN DER SATZUNG, SONSTIGE BESTIMMUNGEN
These bylaws supersede the current bylaws of 7th
February 2015 25th January, 1992. These bylaws
become effective upon registration with the court
(Vereinsregister des Amtsgerichts Wiesbaden).
Diese Satzung löst die bisher gültige Satzung der
Kirchengemeinde vom 7. Februar 2015 25. Januar 1992
ab. Sie tritt mit Eintragung in das Vereinsregister des
Amtsgerichts Wiesbaden in Kraft.
If any portion of these bylaws does not conform to
German law, in particular the law on "Eingetragene
Vereine", and is thus invalid, all other portions shall
remain valid.
Falls einzelne in dieser Satzung enthaltene Regelungen
gegen zwingendes deutsches Recht verstoßen,
insbesondere gegen Rechtsvorschriften hinsichtlich des
"Eingetragenen Vereins", und daher ungültig sind, soll
die Ungültigkeit dieser Regelungen nicht die gesamte
Satzung nichtig machen.
