Sehr geehrter Kunde,
Sie sind im Begriff, Microsoft Software zu erwerben. In diesem Zusammenhang weist Microsoft auf das
Folgende hin:
Die Microsoft Lizenzbestimmungen in den Endbenutzer-Lizenzverträgen (im Folgenden jeweils: „EULA“) für die folgenden Computerprogramme:







Microsoft Windows 7 Home Premium,
®
®
Microsoft Windows 7 Ultimate,
®
Microsoft Office Home & Business 2013,
®
Microsoft Word 2013,
®
®
Microsoft Excel 2013,
®
®
Microsoft Access 2013,
haben sich geändert.
Die EULAs der o.g. Computerprogramme enthalten derzeit noch folgende Klauseln:

Microsoft Windows 7 Home Premium und Microsoft Windows 7 Ultimate:
Je nachdem, ob Sie eine sog. FPP (= Full Packed Product)-Version (auch „Retail-Version genannt)
bzw. ESD (=Electronic Software Download) sowie PKC (= Product Key Card) oder eine sog. OEM®
®
bzw. System Builder Version erwerben wollen, enthalten die EULAs für Microsoft Windows 7
®
®
Home Premium und Microsoft Windows 7 Ultimate derzeit noch unterschiedliche Klauseln. Diese
lauten wie folgt:
a) FPP-, ESD- oder PKC-Version:
„ÜBERTRAGUNG AN DRITTE.
a. Andere Software als Windows-Sofortupgrade. Der erste Nutzer der Software ist berechtigt, die Software mit diesem Vertrag einmalig zu übertragen, indem er die Originalmedien,
das Echtheitszertifikat (Certificate of Authenticity), den Product Key und den Kaufnachweis
direkt an Dritte überträgt. Der erste Nutzer ist verpflichtet, die Software zu entfernen, bevor
er sie separat vom Computer überträgt. Der erste Nutzer ist nicht berechtigt, Kopien der
Software zurückzubehalten.
b. Windows-Sofortupgradesoftware. Sie sind berechtigt, die Software nur mit dem lizenzierten Computer direkt an Dritte zu übertragen. Sie sind nicht berechtigt, Kopien der
Software oder einer früheren Edition aufzubewahren.
c. Sonstige Anforderungen. Vor jeder gestatteten Übertragung muss sich die andere Partei damit einverstanden erklären, dass dieser Vertrag für die Übertragung und Verwendung der Software gilt.“
b) OEM- oder System Builder-Version:
„ÜBERTRAGUNG AN DRITTE. Sie sind berechtigt, die Software nur mit dem lizenzierten Computer direkt an Dritte zu übertragen. Die Übertragung muss die Software und das COA Label
einschließen. Sie sind nicht berechtigt, Kopien der Software oder einer früheren Version aufzubewahren. Vor jeder gestatteten Übertragung muss sich die andere Partei damit einverstanden
erklären, dass dieser Vertrag für die Übertragung und Verwendung der Software gilt.“

Microsoft Office Home & Business 2013, Microsoft Word 2013, Microsoft Excel 2013 und

Microsoft Access 2013:
Bei diesen Computerprogrammen lautet die fragliche Klausel wie folgt:
„Kann ich die Software auf einen anderen Computer oder Nutzer übertragen? Sie sind
nicht berechtigt, die Software auf einen anderen Computer oder Nutzer zu übertragen. Sie
dürfen die Software nur wie auf dem lizenzierten Computer installiert mit dem COA Label
und diesem Vertrag direkt an Dritte übertragen. Vor der Übertragung muss sich die andere
Partei damit einverstanden erklären, dass dieser Vertrag für die Übertragung und Verwendung der Software gilt. Sie sind nicht berechtigt, Kopien zurückzubehalten.“
Microsoft weist Sie hiermit darauf hin, dass die vorstehend genannten Klauseln mit
sofortiger Wirkung nicht mehr verwendet werden. Sie werden gebeten, diese Klauseln
als nicht existent und unanwendbar anzusehen. Vielmehr gilt für das jeweils von Ihnen
ausgesuchte Computerprogramm die folgende Klausel:
„ÜBERTRAGUNG AN DRITTE. Die Übertragung der Software sowie der Nutzungsrechte an
der Software an einen Dritten richtet sich nach den gesetzlichen Bestimmungen.“

Depending on whether you are about to purchase a so-called FPP (= Full Packed Product)-Version
(also called „Retail-Version”) or ESD (=Electronic Software Download) as well as PKC (= Product
Key Card) or a so-called OEM- as well as a System Builder Version, different stipulations are at this

Windows 7 Ultimate. The respective stipulations are the following:

“18. TRANSFER TO A THIRD PARTY.
a. Software Other Than Windows Anytime Upgrade. The first user of the software may
make a one time transfer of the software and this agreement, by transferring the original
media, the certificate of authenticity, the product key and the proof of purchase directly to
a third party. The first user must remove the software before transferring it separately
from the computer. The first user may not retain any copies of the software.
b. Windows Anytime Upgrade Software. You may transfer the software directly to a third
party only with the licensed computer. You may not keep any copies of the software or
any earlier edition.
c. Other Requirements. Before any permitted transfer, the other party must agree that this
agreement applies to the transfer and use of the software.”
d) OEM- oder System Builder-Version:
“TRANSFER TO A THIRD PARTY. You may transfer the software directly to a third party only
with the licensed computer. The transfer must include the software and the Certificate of Authenticity label. You may not keep any copies of the software or any earlier version. Before any
permitted transfer, the other party must agree that this agreement applies to the transfer and
use of the software.”

Microsoft Office Home & Business 2013, Microsoft Word 2013, Microsoft Excel 2013 und

Microsoft Access 2013:
The respective stipulation for these computer programs is:
„Can I transfer the software to another computer or user? You may not transfer the software
to another computer or user. You may transfer the software directly to a third party only as installed on the licensed computer, with the Certificate of Authenticity label and this agreement.
Before the transfer, that party must agree that this agreement applies to the transfer and use of
the software. You may not retain any copies.“
Microsoft hereby informs you that these transfer provisions are discontinued with immediate effect. Any acquirer and/or user of this software is requested to consider the
clauses non-existent and inapplicable; they are hereby replaced for the software you
are about to purchase with the following:
“TRANSFER TO A THIRD PARTY. Any transfer of the software and the right to use the software to a third party shall be in compliance with the statutory provisions in the law.”
