La conjoncture présente en Tunisie et le contexte régional et international occultent à mon avis l'importance du volet comptable de l'activité de la banque au profit des considérations sociopolitiques que connaît le pays depuis la deuxième quinzaine du mois de décembre 2010 et surtout depuis la Révolution du 14 janvier 2011. It is customary during our annual meetings at this time of the year to examine the balance sheet of the last fiscal year and define the priorities for the current year. In my opinion, the present situation in Tunisia along with the regional and international context, mask the weight of the accounting components of the bank's activity in favor of the social and political challenges which the country faces since the second half of December 2010, and mainly since the January 14th, 2011 Revolution. Il est un fait que la profonde mutation que vit la Tunisie aura ses répercussions sur les plans politique, économique, social et culturel. Le secteur bancaire n ’a pas été épargné et, en tant qu ’acteur économique important, il aura à faire face aux défis multiples dans l ’avenir. Il aura à intervenir dans la mise en oeuvre des réajustements de la politique de développement régional et apportera sa contribution comme catalyseur de confiance et de financement. It is a fact that the profound transformation undergone by Tunisia will have an impact on the political, economic, social and cultural fields. The banking sector was not spared and, as a key economic actor, it will have to face multiple challenges in the future. It will have to intervene by implementing the adjustments of the regional development policy and will act as a catalyst to build confidence and provide financing. Il me plaît de relever de prime abord que ABC-Tunisie ne se fait pas de souci à ce sujet. En outre, ses indicateurs fondamentaux confirment sa bonne gestion ainsi que la progression de sa croissance. Le résultat net de l'Exercice 2010 est positif avec un bénéfice de TND 1.25 million contre une perte de TND 1.66 million en 2009 et un Produit Net Bancaire accru de plus de 40%. I am pleased to note that ABC-Tunisie holds no worries in this regard. Besides, its fundamental indicators confirm the bank's good management as well as the upward trend of its growth. The net result for the year-ended 2010 is positive with a profit of TND 1.25 million compared to a loss of TND 1.66 million in 2009 and a Net Income up by more than 40 %. L'environnement des affaires en 2011, à la lumière de certains facteurs d'imprévisibilité, sera probablement difficile. Je suis cependant convaincu qu'avec sa bonne culture du risque et l'expérience de ses cadres, ABC-Tunisie surmontera avec succès les entraves ou perturbations éventuelles dans ses activités. Elle apportera, comme par le passé, sa contribution à la réalisation des objectifs économiques de la Tunisie et à sa croissance. In the light of factors of unpredictability, the business environment in 2011 will most probably be difficult to navigate in. I am, nevertheless convinced that with its strong risk management culture and experienced staff, ABC-Tunisie will successfully overcome any obstacles or possible disturbances to its activities. The bank will continue to provide its contribution to supporting Tunisia’s economic objectives and growth. La Tunisie a prouvé par le passé sa résilience aux chocs et crises. Sa politique économique prudente n'exclut pas les mesures courageuses d'ouverture libérale et de soutien de la compétitivité. Tunisia has proved in the past to be resilient to crisis and shocks. Its prudent economic policies do not exclude courageous measures aiming at market liberalization and improved competitiveness. Our commitment to Tunisia in the current context is an act of faith and loyalty to the principles and values defended by the Youth Revolution. How could it be otherwise when one sees the widespread support and encouragement in favor of Tunisia's anchorage among the states which have achieved good governance? Il va sans dire que les prévisions initiales du budget économique 2011 sont caduques tant au niveau des investissements qu'au niveau de la croissance ou des équilibres macroéconomiques. L'emploi est la priorité. Il conditionne la stabilité, la prévisibilité et l'investissement, dont il est la finalité. It goes without saying that the initial forecasts of the economic budget 2011 are outdated in terms of both investment and in terms of growth and macroeconomic balances. Employment is the utmost priority. It generates stability, predictability and investment, for which it is the end purpose. Le Gouvernement Tunisien a lancé un vaste programme de développement régional avec des incitations substantielles à l'investissement. Le secteur bancaire est appelé à y participer activement. Le caractère pressant et urgent du programme ne cède pas à la facilité ou à l'improvisation et encore moins à la politique de vigilance relative aux indicateurs fondamentaux du pays. The Tunisian Government has launched a comprehensive regional development program with substantial incentives for investment. The banking sector is expected to participate actively. The critical and vital nature of the program does not allow any improvisation or easygoingness, nor compromise the State's prudent policy with respect to fundamental indicators of the country. Ce rééquilibrage de la politique d'investissement et de la répartition des richesses dans un régime démocratique favorisant la transparence et la compétitivité offre des opportunités d'affaires qu'ABC-Tunisie, forte de ses liquidités et de ses résultats positifs enregistrés en 2010, se doit de saisir et d'en profiter. This new balancing between the investment policy and wealth distribution under a democratic regime promoting transparency and competitiveness, offers ABC-Tunisie new business opportunities. The bank's strong liquidity and positive performance registered in 2010, give it the impulse to seize such new opportunities and turn them into business success. Une telle démarche s'inscrit dans " l'option croissance " retenue pour ABC-Tunisie dans le plan stratégique du Groupe ABC, adopté lors de la réunion de Mai 2010 à Bahreïn. Tunis, Avril / April 2011 Nour Nahawi Ali Kooli 11 La Conjoncture Economique et Financière Nationale National Economic and Financial Outlook L'année 2010 en Tunisie s'est terminée dans un climat qui laisse l'observateur perplexe. Les débats budgétaires à la Chambre des Députés et à la Chambre des Conseillers (Sénat) relatifs à l'année 2011 font ressortir des résultats, somme toute, positifs enregistrés en 2010 et des perspectives meilleures pour 2011. La croissance du PIB a été de 3,7%, un taux satisfaisant en considérant la crise qui a touché certains partenaires européens et qui a eu ses échos négatifs en Tunisie, notamment au niveau des exportations, du tourisme et du flux des investissements étrangers. Les appréciations du FMI confortent la justesse de l'approche tunisienne en matière de réformes, de libéralisation et d'engagement pour la convertibilité du Dinar tunisien. Les prévisions pour 2011 s'inscrivent dans la continuité de la progression avec un rythme de croissance du PIB supérieur (5,4%), un volume d'investissements plus consistant, une augmentation des exportations à plus forte valeur ajoutée, une diversification des marchés et un effort accru pour le tourisme. Une seule ombre plane au tableau. Elle touche l'emploi. Les différentes initiatives prises dans ce domaine n'ont pas permis de répondre aux attentes de la jeunesse. Il est à signaler que la tranche de la population tunisienne de moins de 30 ans compte beaucoup de diplômés chômeurs. Year 2010 in Tunisia has ended in a climate which leaves the observer perplexed. The budget debates for fiscal year 2011, held in the Chamber of Deputies and Senate highlight results, which are in overall positive for 2010 and encouraging for 2011. GDP growth is reported to have reached 3,7 % - a satisfactory rate taking into consideration the global economic crisis which affected some European trade partners and which had negative consequences on the Tunisian economy, especially at the level of exports, the tourism industry and the flow of the foreign investments. The positive assessment of the IMF consolidates the correctness of the Tunisian approach in terms of reforms, liberalization and commitment towards the convertibility of the Tunisian dinar. Forecasts for year 2011 concur with the maintenance of development prospects, together with a higher growth rate (5,4%), a more substantial volume of investments, an increase in the volume of exports with higher added value, a diversification of markets and a more sustained effort for the development of the tourism industry. There is a fly in the ointment, however. That is unemployment. The various initiatives taken in this domain did not succeed in meeting the expectations of the young job seekers. It is worth to mention that the Tunisian population below 30 years counts many unemployed graduates. L'explosion de colère des jeunes diplômés dans des régions moins nanties et moins développées de l'intérieur du pays a dégénéré en véritable révolution. Elle a dévoilé au grand jour les abus, méfaits et défaillances du régime dictatorial de Ben Ali. The angry outbursts and local protests of young graduates in Tunisia's poor rural heartlands led to a real Revolution. It revealed in broad daylight the power abuses, misdeeds and failures of Ben Ali's dictatorial regime. L'heure actuellement est à la remise en ordre tant politique qu'économique, au retour à la stabilité sociale et à l'adoption des réformes qui s'imposent. La tâche parait ardue surtout pour un Président de la République intérimaire et un Gouvernement fragile et provisoire. The present priority is now to restore order, be it in the political or economic arena, maintain social stability and adopt the appropriate reforms. The task seems arduous especially for an Interim President of the Republic and a fragile temporary government. Cependant, le sentiment largement répandu, conforté par la sympathie manifestée par les pays partenaires occidentaux et les institutions financières et monétaires internationales à l'égard de la Tunisie, est que cette dernière gagnera le pari de la démocratie, ce qui accélèrera sa marche pour le développement. These deposits are composed of the following: 142.340KDT de dépôts à vue soit 76% des dépôts collectés (contre un volume de 131.482 KDT et 76% en 2009). At year end, sight deposits reached TND142,340th i.e. representing 76% of total customer deposits (compared to TND131,482th and 76% in 2009). 3.662KDT sous forme de dépôts d'épargne (contre 3.357KDT en 2009) soit 2% des dépôts collectés. 42.073KDT de dépôts à terme soit 22% des dépôts collectés (contre 37.160KDT et 22% en 2009). Concernant les dépôts d'épargne, 3.508KDT (contre 3.126KDT en 2009), correspondent à des Comptes d'Epargne sur Livret et 154KDT (contre 231KDT en 2009) représentent des Comptes Proprio, à savoir des comptes spéciaux d'épargne ouverts dans le cadre d'un plan d'épargne logement afin de bénéficier du CrédiProprio, le crédit conçu par ABC pour l'acquisition d'un logement. Concernant les dépôts à terme, 21.478KDT (contre 10.566KDT en 2009) correspondent à des dépôts en dinars, et un total de 20.595KDT (contre 26.594KDT en 2009) représente des dépôts en devises. Les dépôts à terme se répartissent en Bons de caisse pour un montant total de 11KDT (contre 81KDT en 2009), en comptes à terme pour un total de 27.879KDT (contre 10.484 KDT en 2009) et en certificats de dépôts pour un total de 11.000KDT. Savings deposits reached TND3,662th (compared to TND3,357th in 2009), representing 2% of Customer deposits. Term deposits reached TND42,073th (compared to TND37,160th in 2009) thus representing 22% of total Customer deposits. With regards to savings deposits, TND3,508th (versus TND3,126th in 2009) represent Booklet Savings accounts and TND154th (versus TND231th in 2009) correspond to ABC's Proprio Accounts - a special savings account specifically designed for clients interested in ABC's mortgage (i.e. CrédiProprio). As regards term deposits, TND21,478th (compared to TND10,566th in 2009) correspond to deposits in Tunisian dinars, and TND20,595th (compared to TND26,594th in 2009) represent deposits in foreign currencies. La part de chacune des Agences de Tunis, Sfax, Sousse et Le Belvédère dans les concours destinés à la Clientèle a été respectivement de 88%, 6%, 3% et 3%. Quant aux provisions, elles ont diminué de 6%, allant de 11.082KDT en 2009 à 10.431KDT en 2010. Le tableau suivant détaille la répartition sectorielle des crédits octroyés à la Clientèle. A closer look into the breakdown of loans per client target shows a 76% allocation (compared to 84% in 2009) to Corporate customers and 24% (vs. 16% in 2009) to Individuals, as per the previous year. The distribution of loans among the branches shows that Tunis, Sfax, Sousse and Le Belvédère grant respectively 88%; 6%; 3% and 3% of total loans to Customers. It is worth mentioning that the bulk of foreign trade finance is primarily booked with the Off-Shore Business Unit, ABC-Tunis. 3.EVOLUTION DES COURS DE CHANGE 4.FX EVOLUTION La marge d'intermédiation réalisée au cours de l'année 2010 a été en adéquation avec le montant budgétisé grâce à la marge positive réalisée sur les opérations libellées en TND et résultant d'un bon contrôle du coût des fonds et d'une augmentation progressive du TMM qui est passé de 4,07% en Janvier à 4,80% en Novembre 2010. The interest margin achieved during 2010 was in line with the budgeted figure thanks to the good margin earned on the TND business segment and resulting from a well controlled cost of funding and a gradual increase on the TMM which moved from 4.07% in January to 4.80% in November 2010. Concernant les taux d'intérêt relatif au Dollar, l'augmentation attendue du taux d'intérêt sur le Dollar n'a pas eu lieu, du fait de l'injonction massive de liquidité par la Fed. Le taux du Libor 1 mois a légèrement augmenté de 0,12% en Janvier pour atteindre 0,4% en août, puis chuter à 0,27% fin Novembre 2010. Pour l'Euro, la situation est légèrement meilleure et nous avons assisté à une augmentation régulière du taux Euribor 1 mois, de 0.25% en Janvier à 0.75% en Novembre. As for the interest rates on USD and EUR, the expected interest rate increase did not take place especially for the USD where the FED continued to provide massive liquidity to Banks. The 1-month rate increased slightly from 0.12% in January to reach 0.4% in August then dropped to 0.27% as of late November 2010. For the EUR, the situation is slightly better and we witnessed a smooth increase in the 1-month rate from 0.25% in January to 0.75% in November 2010. Pour remédier à cette situation, la Banque a réussi à améliorer sa marge sur ses excès de liquidité en EUR et USD, en investissant ces derniers sur 1 an avec une marge audessus du taux de référence de 3 mois. These fluctuations translated into similar ones for the EUR/TND pair where we saw the EUR dropping from 1.89TND in January to 1.82TND in June then correcting to reach 1.92TND late November 2010. The implementation at Head Office level in Bahrain, of a comprehensive Human Resources strategy, which applies to all ABC units and which recognizes that each employee's well being is a key success factor for the development of his/her competences within the organization. Ainsi, dans ce cadre nous avons procédé à la revue de notre système de Management des Performances en définissant les bases d'un processus de performances orienté "Résultat" et en mettant en place les outils à même de favoriser une évaluation objective et transparente de la contribution de chacun. Thus, in this context we conducted a review of our Performance Management system by laying down the basis for a Result-oriented process, and putting in place the adequate tools to enable an objective and fair assessment of each employee's contribution. Plan de Continuité d'Activité (PAC) Business Continuity Plan La Banque a conduit avec succès son Plan de Continuité d'Activité (PAC) à travers des tests de connexion avec le Siège à Bahreïn, ainsi que la Banque Centrale de Tunisie, et les partenaires Trade Net et Swift. Le Plan de Continuité d'Activité, est un plan d'urgence prévoyant les moyens techniques, organisationnels et humains pour permettre à la banque de maintenir ses prestations vis-à-vis de ses clients, sauvegarder ses données et préserver son image en temps de crise. The bank conducted successfully a business continuity test with a connection to Head Office in Bahrain and third party institutions, such as the Central Bank of Tunisia, Trade Net, and Swift. Référentiel d'élaboration des États Financiers Les Etats Financiers de l'Arab Banking Corporation Tunisie sont établis conformément aux dispositions prévues par la Loi n°96 112 du 30 décembre 1996 relative au système comptable des Entreprises et aux dispositions prévues par l'Arrêté du Ministre des Finances du 25 mars 1999 portant approbation des normes comptables sectorielles relatives aux établissements bancaires. 1. Basis of preparation of financial statements The Financial Statements of ABC-Tunisie as of December 31st, 2007 are prepared in accordance with the principles and policies established in Law n°96-112 dated December 30th, 1996 relatedto the companies' accounting system. They are also preparedin accordance with the Finance Ministerial Order dated March 25th, 1999 relating to the Accounting Standards (AS 21 to 25) for Banking Companies. The accounting principles, policies, and practices applied are summarized hereafter. 3.1- Comptabilisation des engagements et des revenus y afférents 3.1 - Loans and related Income Comptabilisation des engagements hors bilan Off balance sheet exposure The letters of credit and letters of guarantee are recorded within the off-balance sheet items when corresponding contracts are signed, and are transferred for the amount of disbursement to the balance sheet when the funds are released. Les lettres de crédit et de garantie sont portées en hors bilan à mesure qu'elles sont contractées et sont transférées au bilan au fur et à mesure des déblocages de fonds pour le montant du décaissement. The interests related to these loans and received in advance are deduced from the nominal value. The reserved interests and commissions in addition to the provisions on loans and overdrafts are deduced from these items. Revenues recognition Interest on loans and commissions are recognised as revenues of the financial period closed at December 31st 2010 for the amounts occurred during the period then ended. Interests on discounted loans are booked as interests received in advance. They are recognised as revenues on a time proportion basis. Provisions sur engagements Les provisions sur engagements sont déterminées conformément aux normes prudentielles de division, de couverture des risques et de suivi des engagements objet de la Circulaire BCT n° 91-24, telle que modifiée par la Circulaire BCT n° 99-04, qui définit les classes de risque et les taux minima de provisionnement de la manière suivante : A B1 B2 B3 B4 Actifs courants 0% Actifs necessitant un suivi particulier 0% Actifs incertains 20% Actifs preoccupants 50% Actifs compromis 100% December 17th, 1991, are recognised as revenues of the period during whichthey are accrued. The unpaid accrued interest on loans classified as "substandard assets" (class B2), or as "doubtful assets" (class B3) or as "loss/write off assets" (classified B4), according to the CBT memorandum N°91-24 dated on December 17th, 1991, are recorded as "reserved interests" and deduced from the “Loans and advances to customers” item. These interests are recorded as income when actually collected. The interests on frozen accounts are recorded as “reserved interests” and deducted from the “loans and advances to customers” items. Provisions on loans An assessment of the loan portfolio granted by the Bank is made at the year-end in order to estimate whether provisions should be made to cover potential risks on doubtful loans. This assessment is carried out according to the CBT prudential guidelines (Memorandum N°91-24 dated 17th, December 1991 and Memorandum N°99-04 dated March 19th, 1999) concerning risk division, risk coverage and follow up of the assets, which defines risk categories and related minimum provision rates as follows: A Satisfactory 0% B1 Special mention 0% B2 Substandard 20% B3 Doubtful 50% B4 Loss/write off 100% Les taux de provisionnement par classe de risque sont appliqués au risque net non couvert, soit le montant de l'engagement déduction faite des agios réservés et de la valeur des garanties obtenues sous forme d'actifs financiers, d'immeubles hypothéqués, de garanties de l'Etat et des garanties des Banques et Assurances. The provision rates are applied on the customers' net exposure. In other words, on the commitment of wich are deducted : Reserved interests, Financial guarantees, Real estate guarantees, Government guarantees, Banks and insurance companies guarantees. 3.2 - Comptabilisation des intérêts encourus et charges assimilées 3.2 - Interests and similar expenses Les interets encourus et charges assimilees sont pris en compte en Resultat au fur et a mesure qu'ils sont courus. En revanche, les charges decaissees et relatives a des Exercices futurs ne sont pas comptabilisees en tant que charges de l'Exercice et sont portees au bilan de la Banque en compte de regularisation. Interests and similar expenses are recognised as charges of the period when incurred. However, interests paid in advance are not taken into account among the period expenses and they are disclosed as other assets in the balance sheet. 3.3 - Conversion des opérations en monnaies étrangères 3.3 - Conversion of foreign currencies balances Les comptes de bilan et hors bilan libellés en monnaies étrangères font l'objet d'une réévaluation aux cours de change en vigueur à la date de clôture de l'Exercice. We conducted our audit in accordance with Tunisian Standards on Auditing. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements.
